2025年物流自動化AGV電池服務(wù)協(xié)議PartiesThisServiceAgreement(the"Agreement")isenteredintoandeffectiveasof[StartDate],2025(the"EffectiveDate"),byandbetween[ServiceProviderName],havingitsprincipalplaceofbusinessat[ServiceProviderAddress]("ServiceProvider"),and[UserCompanyName],havingitsprincipalplaceofbusinessat[UserCompanyAddress]("User").BackgroundWHEREAS,ServiceProviderisengagedinprovidingservicesrelatedtothemaintenanceandsupportofAGVbatteries;ANDWHEREAS,UseroperatesAGVsystemsthatutilizebatteriesmanufacturedorsuppliedbyServiceProviderorotherwiseutilizesAGVbatteriesforwhichServiceProviderprovidestechnicalexpertise;ANDWHEREAS,UserdesirestoengageServiceProvidertoprovideongoingmaintenance,repair,andsupportservicesforitsAGVbatteries,andServiceProviderdesirestoprovidesuchservicestoUser.ScopeofServices1.ServiceObjects:TheservicesprovidedunderthisAgreementshallcoverallAGVbatteriescurrentlyinusebyUseratits[SpecifyLocation(s)]facility,specificallyidentifiedbymodel[ListBatteryModelsordescribe],serialnumbers[Listrelevantserialnumbersordescribeidentificationmethod],andinstalledonAGVsoperatedbyUser.Thisincludes,butisnotlimitedto,batteriescoveredunderanyapplicableoriginalequipmentmanufacturer(OEM)warrantyprovidedbyServiceProvider,providedsuchwarrantyisexplicitlyincludedinthisAgreementatnoadditionalcosttoUserbeyondtheservicefeesoutlinedherein.2.ServiceContent:a.PreventiveMaintenance:ServiceProvidershallperformroutinepreventivemaintenanceontheUser'sAGVbatteriesonascheduledeterminedbyServiceProvider,butatafrequencynotexceeding[Number]monthsor[Number]cycles,whicheveroccursfirst.Suchmaintenanceshallinclude,butisnotlimitedto,visualinspectionofbatterycasings,terminals,andconnectionsforcorrosionordamage;cleaningofterminals;verificationofbatteryfluidlevels(ifapplicable);calibrationofbatterymanagementsystem(BMS)parameters;andperformancetestingtoensurebatteriesmeetminimumcapacitystandardsdefinedby[SpecifyStandard,e.g.,IEC62660].b.FaultDiagnosisandRepair:UponnotificationbyUserofabatterymalfunctionorfailure,ServiceProvidershallprovidetimelyfaultdiagnosisservices.ServiceProvidershallrepairdefectivebatteriestotheextentfeasibleandcost-effective,usingpartsthatareoriginalequipmentorequivalentqualityasdeterminedbyServiceProvider.Thescopeofrepairshallbemutuallyagreeduponinwritingbybothpartiesupondiagnosis.c.BatteryReplacement:ServiceProvidershallreplacebatteriesthatcannotbeeconomicallyorpracticallyrepairedafterathoroughdiagnosis,orbatteriesthathavereachedtheendoftheirspecifiedservicelifeasdeterminedbyServiceProviderbasedonperformancetestingandindustrystandards.Replacementshallbewithnewbatteriesofthesamemodelandcapacity,orwithmutuallyagreeduponequivalentmodels,ensuringcompatibilitywithUser'sAGVsystemandBMS.d.TechnicalSupportandConsultation:ServiceProvidershallprovidetechnicalsupporttoUserpersonnelregardingtheproperoperation,maintenance,charging,andtroubleshootingoftheAGVbatteries.Thisshallinclude,butbelimitedto,respondingtoinquiriesvia電話oremailwithin[Number]businesshours,andprovidingon-sitesupportuponrequest,subjecttoschedulingandavailability.e.SoftwareUpdates:ServiceProvidershallprovidenecessarysoftwareupdatesforthebatterymanagementsystemsorrelatedfirmwareontheUser'sbatterieswithintheserviceperiod,atnoadditionalchargeifsuchupdatesaredeemedessentialfortheproperfunctioning,safety,orperformanceofthebatteries.3.ServiceLevelsandPerformance:a.ServiceResponse:ServiceProvidershallrespondtoareportofbatterymalfunctionfromUservia電話within[Number]hoursduringnormalbusinesshours([Definenormalbusinesshours,e.g.,8:00AMto5:00PM,MondaythroughFriday]).Foron-siteservicerequestsrequiringphysicalintervention,ServiceProvidershallmakereasonableeffortstodispatchatechniciantotheUser'slocationwithin[Number]businesshoursfollowingtheinitialnotification,subjecttologisticsandtechnicianavailability.b.ServiceStandards:ServiceProvider'srepairservicesshallaimtorestorethebattery'sperformancetoatleast[Percentage]%ofitsoriginalcapacityortheminimumperformancestandardrequiredforUser'sAGVoperations,asmutuallyagreed.Replacedbatteriesshallmeetallspecificationsoftheoriginalequipmentoragreedequivalent.TermandTermination1.Term:ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[Number]years(the"Term"),unlessearlierterminatedasprovidedherein.[Optional:Includeauto-renewalclause:"ThisAgreementshallautomaticallyrenewforsuccessive[Number]-yeartermsunlesseitherPartyprovideswrittennoticeofnon-renewalatleast[Number]monthspriortotheendofthethen-currentTerm."]2.Termination:EitherPartymayterminatethisAgreementattheendoftheTermorearlierbyproviding[Number]months'writtennoticetotheotherParty.Additionally,eitherPartymayterminatethisAgreementimmediatelyupontheoccurrenceofamaterialbreachbytheotherParty,whichbreachisnotcuredwithin[Number]daysofwrittennoticebythenon-breachingParty.Upontermination,Usershallpayalloutstandingfeesforservicesrendereduptotheeffectivedateoftermination.FeesandPaymentTerms1.ServiceFees:UsershallpayServiceProvideraservicefeeof[SpecifyAmountorCalculationBasis,e.g.,$Xperyearperbattery,oralumpsumof$YfortheentireTerm]fortheprovisionoftheservicesunderthisAgreement.Thisfeecovers[Brieflylistwhatisincluded,e.g.,allpreventivemaintenance,diagnostics,standardrepairs,softwareupdates,andbatteryreplacementsaspertheScopeofServices].[Ifapplicable:Additionalchargesmayapplyforemergencyon-siterepairsoutsidenormalbusinesshours,repairsrequiringspecializedtravel,orpartscostsbeyondstandardreplacements].2.PaymentSchedule:Servicefeesshallbepayable[SpecifyFrequency,e.g.,inadvanceonthefirstdayofeachmonth,quarterly,annually]priortothecommencementofeachrespectiveperiod.3.PaymentMethod:Paymentsshallbemadeby[SpecifyMethod,e.g.,wiretransfer]tothefollowingaccount:Name:[ServiceProviderName]AccountNumber:[ServiceProviderAccountNumber]Bank:[ServiceProviderBankName]Routing/SortCode:[ServiceProviderRouting/SortCode]4.Taxes:[Specifyiffeesincludetaxesandwhobearsthem,e.g.,"AllfeesarequotedexclusiveofVAT/Taxes.Usershallberesponsibleforpayinganyapplicabletaxesontheservicefees."or"Allfeesarequotedinclusiveofallapplicabletaxes."].5.Invoices:ServiceProvidershallissueaninvoicedetailingtheservicesprovidedandtheapplicablefeesdue,[Specifytimeframe,e.g.,monthlyorquarterly],andshallsendittoUserat[ServiceProviderInvoiceAddressorEmail].ResponsibilitiesofParties1.ServiceProviderResponsibilities:ServiceProvidershallperformallservicesunderthisAgreementwithdiligenceandinaccordancewithindustrybestpracticesandthespecifictermsofthisAgreement.ServiceProvidershallensureitspersonnelareadequatelytrainedandqualified.ServiceProvidershallmaintainliabilityinsuranceasrequiredbylaw.2.UserResponsibilities:UsershallprovideServiceProviderwithaccesstotheAGVbatteriesandrelevantfacilitiesforthepurposeofperformingservicesunderthisAgreement.UsershallmaintainasuitableenvironmentforbatterystorageandoperationasrecommendedbyServiceProvider.UsershallnotifyServiceProviderpromptlyofanysuspectedbatterymalfunctionorfailure.UsershallcooperatewithServiceProvidertechniciansduringservicevisits.Usershallensureitspersonnelhandlingbatteriesareproperlytrained.WarrantiesandLiability1.Warranties:ServiceProviderwarrantsthatitsserviceswillbeperformedinaprofessionalandcompetentmanner.ServiceProviderwarrantsthatreplacementbatteriesshallbenewandfreefromdefectsinmaterialsandworkmanshipundernormaluseforaperiodof[Number]monthsfromthedateofreplacement.2.LimitationofLiability:ServiceProvider'stotalliabilityunderthisAgreementforanyclaimsarisingoutoforinconnectionwiththisAgreementshallbelimitedtotheaggregateamountoftheservicefeespaidbyUserunderthisAgreementduringthetwelve(12)monthsprecedingthedateoftheclaim.ServiceProvidershallnotbeliableforanyindirect,incidental,consequential,special,orpunitivedamages,includingbutnotlimitedtolossofprofit,data,orbusinessinterruption.ThislimitationofliabilitydoesnotapplytoclaimsarisingfromServiceProvider'sgrossnegligenceorwillfulmisconduct.IntellectualPropertyRightsAnyproprietaryinformation,documentation,ordataprovidedbyServiceProvidertoUserunderthisAgreementshallremainthepropertyofServiceProvider.UsershallusesuchinformationsolelyforthepurposeofreceivingtheservicesprovidedunderthisAgreementandshallnotreproduce,modify,ordiscloseittoanythirdpartywithoutServiceProvider'spriorwrittenconsent.ConfidentialityBothpartiesagreetokeepconfidentialallnon-publicinformationobtainedfromtheotherpartyduringthetermofthisAgreementandforaperiodof[Number,e.g.,three(3)]yearsthereafter.ThisobligationshallnotapplytoinformationthatisorbecomespubliclyknownwithoutbreachofthisAgreement,isindependentlydevelopedbyapartywithoutaccesstotheotherparty'sinformation,orisrequiredtobedisclosedbylaworcourtorder.GoverningLawandDisputeResolution1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[SpecifyState]withoutregardtoitsconflictoflawsprinciples.2.DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedamicablythroughgoodfaithnegotiationsbetweenauthorizedrepresentativesoftheparties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,thirty(30)]days,thedisputeshallbesubmittedtofinalandbindingarbitrationinaccordancewiththerulesofthe[SpecifyArbitrationInstitution,e.g.,AmericanArbitrationAssociation]effectiveasofthedateoftheinitiationofthearbitrationproceeding.Thearbitrationshallbeheldin[SpecifyCity,State/Province]andconductedintheEnglishlanguage.Miscellaneous1.Notices:AllnoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemeddeliveredwhendeliveredpersonally,sentbycertifiedorregisteredmail(returnreceiptrequested),sentbyemailtotheaddressessetforthabove,orpublishedinanewspaperofgeneralcirculationintheUser'
