參展商參展協(xié)議范本，中英文版ExhibitorParticipationAgreementThisExhibitorParticipationAgreement("Agreement")ismadeandenteredintoasof[Date],byandbetween[ExhibitorCompanyName],havingitsprincipalplaceofbusinessat[ExhibitorAddress]("Exhibitor"),and[OrganizerCompanyName],havingitsprincipalplaceofbusinessat[OrganizerAddress]("Organizer").WHEREAS,Organizerisplanning,organizingandoperatinganexhibition("theShow")tobeheldat[ShowLocation]from[StartDate]to[EndDate]("theShowDates");WHEREAS,ExhibitordesirestoexhibitattheShowanddesirestoenterintothisAgreementwithOrganizertofacilitatesuchexhibition;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.ShowInformationTheShowistitled[ShowName]andwillbeheldat[ShowLocation]from[StartDate]to[EndDate].2.Exhibitor'sRightsInconsiderationofthepaymentofthefeessetforthherein,Exhibitorshallbeentitledtooccupyaboothspaceof[BoothSize,e.g.,3mx3m]designatedontheShowfloorattheShowDates.3.Exhibitor'sObligations3.1.Fees.ExhibitorshallpaytoOrganizerthefeessetforthinSection4withinthetermsandconditionsspecifiedtherein.3.2.Registration.ExhibitorshallcompleteandsubmitallrequiredregistrationformsandinformationtoOrganizeratleast[Number,e.g.,60]dayspriortotheStartDateoftheShow.3.3.BoothConstructionandDisplay.ExhibitorshallconstructitsboothinaccordancewithOrganizer'srulesandregulations,theapprovedboothplan,andinamannerthatissafe,structurallysound,andcompliantwithallapplicablefireandsafetycodes.Exhibitorissolelyresponsibleforallcostsassociatedwithboothconstruction,design,anddismantling.Boothconstructionmustbecompletedby[Date,e.g.,thedaybeforetheShow]andshallnotcommenceearlierthan[Date,e.g.,thedaybeforetheShow].3.4.Exhibits.ExhibitorshallensurethatallexhibitsbroughtintotheShowarelegal,compliantwithallapplicablelawsandregulations,anddonotinfringeupontheintellectualpropertyrightsofanythirdparty.Exhibitorisresponsibleforallliability,claims,damages,losses,andexpensesarisingfromorinconnectionwithitsexhibits.3.5.Personnel.AllpersonnelattendingtheShowonbehalfofExhibitormustregisterwithOrganizerandcomplywithallShowrulesandregulations.Exhibitorshallberesponsiblefortheconductofitspersonnelandforanydamageorinjurycausedbythem.3.6.Insurance.ExhibitorshallprocureandmaintainduringtheShowDatescomprehensiveinsurancecoverageincluding,butnotlimitedto,propertyinsuranceandliabilityinsurance,inamountssatisfactorytoOrganizer.ExhibitorshallprovideevidenceofsuchinsurancetoOrganizeruponrequest.3.7.Compliance.Exhibitoragreestocomplywithallrules,regulations,andinstructionsofOrganizergoverningtheconductoftheShow,includingbutnotlimitedto,theExhibitor'sCodeofConduct,healthandsafetyregulations,andsecurityprocedures.3.8.On-SiteManagement.Exhibitorshallberesponsibleforthesupervision,operation,andmaintenanceofitsboothandfortheconductofitspersonnelwhileattheShow.Exhibitorshallensurethatitsboothremainscleanandingoodorderatalltimes.3.9.MarketingandPromotion.ExhibitormayconductmarketingandpromotionalactivitiesattheShowwithinthedesignatedboothspaceandinaccordancewithOrganizer'srulesandregulations.3.10.InformationProvision.ExhibitorshallprovideOrganizerwithallrequestedinformation,including,butnotlimitedto,alistofattendingpersonnel,alistofexhibits,andanyotherinformationrequiredbyOrganizertofulfillitsobligationsunderthisAgreement.4.FeesandPayment4.1.ExhibitorFee.ExhibitorshallpaytoOrganizeranExhibitorFeeintheamountof[Amount][Currency]forthedesignatedboothspace.4.2.PaymentSchedule.TheExhibitorFeeshallbepaidasfollows:[Detailpaymentschedule,e.g.,50%dueuponsigningthisAgreement,50%due60dayspriortotheStartDateoftheShow].4.3.OtherFees.ExhibitorshallpaytoOrganizeranyadditionalfeesincurredforservicessuchas,butnotlimitedto,electricity,internet,additionalboothspace,andadvertising,asoutlinedintheShow'sfeeschedule,within[Number,e.g.,30]daysofreceiptoftheinvoice.4.4.PaymentMethod.Allpaymentsshallbemadeby[Method,e.g.,banktransfer]tothefollowingaccount:[BankAccountDetails].5.Withdrawal5.1.Cancellation.ExhibitormaycancelitsparticipationintheShowbyprovidingwrittennoticetoOrganizeratleast[Number,e.g.,90]dayspriortotheStartDateoftheShow.Acancellationfeeof[Percentage,e.g.,25]%oftheExhibitorFeeshallbeincurred.5.2.EarlyTermination.ExhibitormayterminateitsparticipationintheShowearlybyprovidingwrittennoticetoOrganizeratleast[Number,e.g.,30]dayspriortotheterminationdate.Aterminationfeeof[Percentage,e.g.,50]%oftheExhibitorFeeshallbeincurred.6.Transfer6.1.BoothTransfer.ExhibitormaytransferitsboothparticipationtoanotherentitybyprovidingwrittennoticetoOrganizerandthetransfereeatleast[Number,e.g.,60]dayspriortotheStartDateoftheShow.Atransferfeeof[Percentage,e.g.,10]%oftheExhibitorFeeshallbeincurred.6.2.Conditions.ThetransfershallonlybepermittedifthetransfereeagreestobeboundbythetermsandconditionsofthisAgreement.7.Liability7.1.Exhibitor'sLiability.Exhibitorshallbeliableforalldamages,losses,claims,andexpensesarisingoutoforinconnectionwithitsparticipationintheShow,itsbooth,itsexhibits,itspersonnel,anditsactionsattheShow.7.2.Organizer'sLiability.Organizer'sliabilitytoExhibitorshallbelimitedtotheExhibitorFeepaidbyExhibitortoOrganizer.Organizershallnotbeliableforanyindirect,consequential,special,orpunitivedamages.8.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyaforcemajeureevent,whichisaneventbeyondthereasonablecontroloftheaffectedparty,including,butnotlimitedto,naturaldisasters,war,terrorism,pandemics,andgovernmentactions.9.DisputeResolutionAnydisputearisingoutoforinconnectionwiththisAgreementshallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationsbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]days,thedisputeshallbesubmittedto[Method,e.g.,arbitration]before[ArbitrationInstitution,e.g.,theInternationalChamberofCommerce]inaccordancewithitsrules.The仲裁shallbeheldin[City,Country].Thelanguageofthearbitrationshallbe[Language,e.g.,English].10.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[State/Country,e.g.,thePeople'sRepublicofChina].11.EntireAgreementThisAgreement,includinganyexhibitsandattachments,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiationsbetweentheparties.12.AmendmentsNoamendmentormodificationofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbyauthorizedrepresentativesofbothparties.13.SeverabilityIfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.14.AssignmentExhibitormaynotassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofOrganizer.OrganizermayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofExhibitor,providedsuchassignmentisforthebenefitofOrganize
