船舶配件質(zhì)量檢測(cè)合同英文版ThisShipsSparePartsQualityInspectionContract("Contract")ismadeandenteredintoasof[Date],byandbetween:[Inspector'sCompanyName],havingitsprincipalplaceofbusinessat[Inspector'sAddress]("Inspector"),and[Client'sCompanyName],havingitsprincipalplaceofbusinessat[Client'sAddress]("Client").WHEREAS,ClientdesirestoengageInspectortoconductqualityinspectionservices("InspectionServices")oncertainshipsspareparts("Parts")accordingtothetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:1.ScopeofWorkInspectorshallinspectthefollowingPartsspecifiedinAppendixA("AppendixA")accordingtothestandardsandprocedureslistedinAppendixB("AppendixB")andthegeneralrequirementsofthisContract.ThespecificInspectionItems,basisforinspection,andrequiredparametersaredetailedinAppendixA.ThePartsshallbedeemedtoconformtothequalityrequirementsiftheypasstheinspectionasspecified.2.ResponsibilitiesofInspectora.InspectorshallassignqualifiedinspectorstoperformtheInspectionServicesinaccordancewiththeagreedscheduleandthestandardslistedinAppendixB.b.Inspectorshallconducttheinspectionat[SpecifyLocation,e.g.,theInspector'slaboratory,Client'ssite,oronboardthevesselatClient'sexpense]unlessotherwiseagreedinwriting.c.Inspectorshallmaintainconfidentialityregardingalltechnicalinformation,commercialsecrets,inspectionmethods,andresultsobtainedduringtheperformanceofthisContract,exceptasrequiredbylaw.d.InspectorshallprepareadetailedInspectionReport("Report")accuratelyreflectingtheinspectionprocess,data,results,andconclusions.TheformatandcontentoftheReportshallcomplywithAppendixB.e.InspectorshalldelivertheReporttoClientwithin[Number,e.g.,10]daysfromthecompletionoftheinspection,orwithin[Number,e.g.,5]daysiftheinspectioniscompletedwithin[Number,e.g.,30]daysofsampleacceptance,whicheverislater.3.ResponsibilitiesofClienta.ClientshallprovideallnecessaryPartsforinspectionaslistedinAppendixAwithin[Number]dayspriortothescheduledinspectionstartdate.ClientguaranteesthattheprovidedPartsaregenuineandaccompaniedbyallrelevantdocumentationasrequiredbyInspector.b.Clientshallmakeavailablethenecessaryspace,equipment,andpersonnelsupportattheinspectionlocationtofacilitatetheInspectionServices,asreasonablyrequestedbyInspector.c.ClientshallpromptlynotifyInspectorofanychangesinthePartspecificationsorotherrelevantinformationthatmightaffecttheinspectionprocess.d.ClientshallpaytheInspectionFeestoInspectorasspecifiedinSection6.4.InspectionStandardsTheinspectionofthePartsshallbeconductedinaccordancewiththeapplicablestandardsandspecificationsdetailedinAppendixAandAppendixB.Ifnospecificstandardislisted,theinspectionshallbeperformedbasedongenerallyacceptedindustrypracticesandstandardsforsimilarParts.5.Samplesa.Clientshallberesponsibleforpackaging,labeling,andtransportingthePartstotheinspectionlocationspecifiedinSection2(b).AllassociatedcostsandrisksduringtransportationshallbebornebyClient.b.InspectorshallinspectthepackaginganddocumenttheconditionofthePartsuponreceipt.TheresponsibilityforanydamagetothePartsshallbedeterminedbasedontheconditiondocumenteduponacceptance.Ifthedamageisapparentandnotedatacceptance,Clientshallbenotifiedimmediately.c.Inspectorshallbeentitledtoretainareasonablenumberofsamplesforqualityrecordsorfuturereference,subjecttoClient'spriorwrittenconsentiftheretainedsamplesareintendedforpurposesbeyondqualityrecord-keeping.Theretainedsamplesshallbestoredsecurelyandconfidentially.6.FeesandPaymenta.ThetotalInspectionFeesfortheInspectionServicesshallbe[Amount][Currency](inwords:[Amountinwords]),asdetailedinAppendixC.ThisfeeincludesallcostsassociatedwithperformingtheInspectionServicesasdefinedherein,unlessotherwisespecified.b.ClientshallpaythetotalInspectionFeestoInspectorwithin[Number,e.g.,30]daysafterreceivingtheReportfromInspector.c.Paymentshallbemadebybanktransfertothefollowingaccount:BankName:[Inspector'sBankName]AccountName:[Inspector'sAccountName]AccountNumber:[Inspector'sAccountNumber]SWIFTCode:[Inspector'sSWIFTCode]d.Allfeesarequotedin[Currency]andaresubjectto[VAT/GSTrate,ifapplicable]VAT/GST,ifapplicable,whichshallbepaidbyClient.7.Reporta.TheReportshallbeissuedin[Number,e.g.,two(2)]originalcopiesand[Number,e.g.,one(1)]electroniccopyinPDFformat.b.TheReportshallcontain,butnotbelimitedto:auniquereportidentifier,detailsoftheClientandInspector,descriptionandquantityofthePartsinspected,listofInspectionItems,standardsandproceduresused,rawdatasummary,inspectionresults,conclusions,andsignaturesoftheauthorizedinspectors.c.ClientshallhavetherighttoreviewtheReportpriortoitsfinalissuance.AnyreasonableobjectionstotheReportmustbesubmittedinwritingtoInspectorwithin[Number,e.g.,5]daysofreceipt,otherwisetheReportshallbedeemedapprovedbyClient.InspectorshallrevisetheReportifanymaterialerrorsareidentified.8.ConfidentialityBothpartiesagreetokeepconfidentialallinformationobtainedfromtheotherpartyduringthetermofthisContractandforaperiodof[Number,e.g.,three(3)]yearsthereafter.Thisobligationshallnotapplytoinformationthat:(a)isorbecomespubliclyknownwithoutbreachofthisContract,(b)waspubliclyknowntothereceivingpartypriortodisclosurebythedisclosingparty,(c)isobtainedfromathirdpartywithoutconfidentialityobligations,or(d)isrequiredbylaworcompetentauthority.9.TermandTerminationa.ThisContractshallcommenceontheEffectiveDateandcontinueuntilthecompletionoftheInspectionServicesandthedeliveryofthefinalReport,oruntilterminatedasprovidedherein.b.ThisContractmaybeterminatedbyeitherpartyupon[Number,e.g.,30]days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionhereinandfailstocuresuchbreachwithinthenoticeperiod.c.Upontermination,ClientshallpayalloutstandingfeesowedtoInspector.InspectorshallreturnanyunusedPartsorsamplestoClientuponClient'swrittenrequest,unlessotherwiseagreed.10.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure,definedaseventsbeyondthereasonablecontroloftheaffectedparty,including,butnotlimitedto,actsofGod,war,terrorism,riots,civilcommotion,strikes,fire,flood,andactsofgovernment.Theaffectedpartyshallpromptlynotifytheotherpartyofsucheventandtakeallreasonableeffortstomitigatethedamages.PerformanceunderthisContractshallbesuspendedduringtheperiodofForceMajeure,andthedeadlineforperformanceshallbeextendedaccordingly.11.IndemnificationEachpartyshallindemnifyandholdharmlesstheotherpartyfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheindemnifyingparty'sbreachofanyprovisionofthisContractoritsnegligenceorwillfulmisconduct.12.GoverningLawandDisputeResolutionThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnydisputearisingoutoforinconnectionwiththisContractshallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]inaccordancewiththearbitrationrulesineffectatthetimeoftheinstitutionofthearbitration.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Beijing].The仲裁languageshallbe[SpecifyLanguage,e.g.,EnglishorChinese].13.EntireAgreementThisContract,includingitsAppendices,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.14.SeverabilityI
