2026年可再生能源租賃協(xié)議
Parties
Lessoris[Lessor'sFullLegalName],havingitsprincipalplaceofbusinessat[Lessor'sAddress],andLesseeis[Lessee'sFullLegalName],havingitsprincipalplaceofbusinessat[Lessee'sAddress].
Background
WHEREAS,LessorownsandoperatestheRenewableEnergyAsset(the“Asset”),locatedat[AssetLocation],comprising[AssetDescription,e.g.,XnumberofwindturbineswithatotalcapacityofYMWorZnumberofphotovoltaicpanelswithatotalcapacityofYkW];and
WHEREAS,LessordesirestoleasetheAssettoLesseeforatermof[TermDuration,e.g.,twenty(20)years](the“LeaseTerm”);and
WHEREAS,LesseedesirestoleasetheAssetfromLessorforthepurposeofobtainingrenewableenergyfromtheAsset;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:
1.AssetDescription
1.1ThesubjectmatterofthisLeaseAgreementistheRenewableEnergyAsset,includingbutnotlimitedtothe[DetailedDescriptionofAsset,e.g.,specificturbinemodels,paneltypes,installationlocation,associatedinfrastructurelikesubstationsorgridconnections],asmoreparticularlydescribedinExhibitAattachedhereto(the“Asset”).
1.2LessorrepresentsandwarrantsthatithasgoodandmarketabletitletotheAssetandthatithasthefullright,powerandauthoritytoleasetheAssettoLesseeforthepurposesofthisLeaseAgreement.
1.3Lessorrepresentsandwarrantsthatallnecessarylicenses,permits,approvals,licenses,consents,authorizations,registrationsandothergovernmentalapprovalsrequiredfortheconstruction,operation,maintenanceandleasingoftheAsset(collectively,the“Permits”)are,asoftheEffectiveDate,infullforceandeffectandareorcanbeobtainedandmaintainedbyLessorthroughouttheLeaseTerm.LessorshallprovideLesseewithcopiesofallPermitsuponrequestduringthetermofthisAgreement.LessorshallberesponsibleforobtaininganyadditionalPermitsrequiredduringtheLeaseTermandshallbearallcostsassociatedtherewith.
2.LeaseTerm
2.1ThisLeaseAgreementshallcommenceon[StartDate,e.g.,January1,2026](the“EffectiveDate”)andshallcontinueforatermof[TermDuration,e.g.,twenty(20)years](the“LeaseTerm”).
2.2UpontheexpirationoftheLeaseTerm,thisLeaseAgreementshallautomaticallyterminateunlessextendedorrenewedinaccordancewiththeprovisionsofSection6.
3.LeaseStructureandEnergyOfftake
3.1ThisLeaseAgreementisstructuredasa[LeaseStructure,e.g.,PowerPurchaseAgreementcombinedwithLease,orPhysicalLease],whereinLesseehastherightto[LeasePurpose,e.g.,purchaseanduseaportionoftheelectricitygeneratedbytheAsset]duringtheLeaseTerm.
3.2Lesseeshallbeentitledtopurchase[EnergyQuantity/Type],measuredat[MeteringLocation],fromtheAssetduringeach[SettlementPeriod,e.g.,month].Thequantityshallbe[SpecifyQuantityBasis,e.g.,basedontheactualenergygeneratedbytheAsset,measuredbytheMeteringSystem,orafixedamountofYMWhper[SettlementPeriod]].
3.3ThepricefortheenergypurchasedbyLesseeunderthisLeaseAgreementshallbedeterminedasfollows:[DetailedPricingMechanism,e.g.,afixedpriceofZcentsperkWh,includingafixedmonthlyfeeofWdollars;orafloatingpricebasedonthe[Benchmark,e.g.,LevelizedCostofEnergy]indexpublishedby[Authority]onthe[Frequency,e.g.,firstdayofeachmonth],roundedtothenearestwholenumber,plusafixedpremiumofVcentsperkWh;ortieredpricingwithdifferentratesforconsumptionlevels].
3.4TheMeteringSysteminstalledattheAssetshallbethesolemeansofmeasuringtheEnergyOfftake.Lessorshallberesponsiblefortheinstallation,maintenanceandcalibrationoftheMeteringSystem.Lesseeshallhavetherighttoaccessandreviewthemeterreadingsuponreasonablenotice.ThereadingsshallbeusedtocalculatetheEnergyOfftakeandshallbefinalandbindingupontheParties,subjecttomutualagreementorarbitrationasprovidedherein.
3.5EnergySettlementsshallbemadein[SettlementCurrency]basedontheMeteredEnergyOfftakeandtheapplicableEnergyPriceforeach[SettlementPeriod].
3.6LesseeshallpaytheEnergySettlementamounttoLessorwithin[PaymentDeadline,e.g.,fifteen(15)]daysfollowingtheendofeach[SettlementPeriod].PaymentsshallbemadetoLessorat[Lessor'sBankAddress].FailuretomakeapaymentwhendueshallconstituteabreachofthisAgreement,andLessorshallbeentitledtochargeinterestontheoverdueamountatarateof[InterestRate,e.g.,primerateplusone(1)percentagepoint]fromtheduedateuntilthedateofpayment.
4.RentandPayment
4.1InadditiontothepaymentsforEnergyOfftake,LesseeshallpayaLeaseRenttoLessorinconsiderationfortherighttoleasetheAsset.TheRentshallbecalculatedas[DetailedRentCalculation,e.g.,afixedamountofQdollarspermonthorperyear,payablewhetherornotEnergyisproducedordelivered].
4.2LesseeshallpaytheLeaseRenttoLessorwithin[PaymentDeadline,e.g.,ten(10)]daysfollowingtheendofeach[PaymentPeriod,e.g.,monthorquarter].PaymentsshallbemadetoLessorat[Lessor'sBankAddress],togetherwithanydueEnergySettlementsforthesameperiod.
5.OperationandMaintenance
5.1Lessor’sResponsibilities:Lessorshallbesolelyresponsiblefortheoveralloperation,maintenance,repair,andreplacementoftheAsset,includingbutnotlimitedtoroutinemaintenance,preventativemaintenance,majorrepairs,andcapitalimprovementsnecessarytokeeptheAssetingoodoperatingconditionandcompliantwithallapplicablelaws,regulations,Permits,andperformanceguarantees.LessorshallensuretheAssetoperateswithanAvailabilityofatleast[Percentage,e.g.,95%]duringtheLeaseTerm,excludingdowntimeduetoforcemajeureevents,gridoutagesbeyondLessor’scontrol,orscheduledmaintenanceagreedinadvancewithLessee.LessorshallbearallcostsassociatedwithitsresponsibilitiesunderthisSection5.
5.2Lessee’sResponsibilities:LesseeshallberesponsibleforthecostofelectricityconsumedattheAssetsiteforoperationalpurposesotherthantheproductionofelectricityfromtheAssetitself.LesseeshallberesponsibleformaintainingacleanandsafeenvironmentaroundtheAssetsite,ensuringthesiteisnotusedforanypurposeotherthantheoperationoftheAssetandtheagreed-uponactivitiesrelatedtotheLeaseAgreement.LesseeshallberesponsibleformanagingitsrelationshipwithlocalcommunitiesandauthoritiesregardingtheAsset.LesseeshallindemnifyLessoragainstanyclaimsarisingfromLessee’sactionsorinactionsrelatedtothesite.
5.3PerformanceGuarantee:LessorshallprovideaPerformanceGuaranteetoLesseeguaranteeingthattheAssetshallachieveaMinimumGuaranteeGenerationof[Amount,e.g.,XMWhperyear]duringeach[PerformanceYear,e.g.,calendaryear]duringtheLeaseTerm.IftheactualgenerationfallsbelowtheMinimumGuaranteeGeneration,LessorshallcompensateLesseebyrefunding[CompensationMethod,e.g.,apercentageoftheEnergyPaymentsreceivedforthatPerformanceYearorafixedamountperMWhshortfall].
6.Insurance
6.1LessorshallprocureandmaintainduringtheentireLeaseTermcomprehensiveinsurancecoverage,includingbutnotlimitedtoPropertyInsurance,GeneralLiabilityInsurance,andProfessionalLiabilityInsurance,inamountsreasonablysufficienttocoveritsliabilitiesunderthisLeaseAgreement.TheinsuranceshallnameLesseeasanadditionalinsuredpartyforthetypesofcoveragespecifiedherein.
6.2TheinsurancepoliciesshallprovidecoverageforlossesresultingfromallrisksoflossordamagetotheAssetandforallclaims,losses,damagesandliabilitiesarisingoutoforinconnectionwiththeoperation,maintenanceandleasingoftheAsset.
6.3Uponrequest,LessorshallprovideLesseewithcertificatesofinsuranceevidencingthemaintenanceoftherequiredcoverage.
7.Taxes
7.1EachPartyshallberesponsibleforpayingalltaxes,duties,fees,levies,chargesandassessmentsofeverykind,natureorcharacter(collectively,“Taxes”)imposedbyanygovernmentalauthorityonorinconnectionwiththisLeaseAgreement,theAsset,oranytransactionrelatedhereto,whetherdirectorindirect.
7.2LessorshallberesponsibleforanyTaxesimposedonLessorbyreasonoftheLeaseRentreceivedunderthisAgreement.LesseeshallberesponsibleforanyTaxesimposedonLesseebyreasonoftheEnergyPurchasedunderthisAgreementoranyotherpaymentsmadebyLesseetoLessorunderthisAgreement.
8.Confidentiality
8.1EachParty(“DisclosingParty”)shallholdinstrictconfidenceallnon-publicinformationdisclosedbytheotherParty(“ReceivingParty”)inconnectionwiththisLeaseAgreementortheAsset(the“ConfidentialInformation”).
8.2TheReceivingPartyshallusetheConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisLeaseAgreementandshallnotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.
8.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisLeaseAgreementforaperiodof[Duration,e.g.,five(5)]yearsafterterminationorexpiration.
9.ForceMajeure
9.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisLeaseAgreementifsuchfailureordelayiscausedbyaForceMajeureEvent.AForceMajeureEventshallmeananyeventbeyondthereasonablecontroloftheaffectedParty,includingbutnotlimitedtoactsofGod(suchasflood,earthquake,hurricane),war,terrorism,riots,civilcommotion,insurrection,governmentalactions(suchasacts,laws,regulationsorpolicies),strikes,lockouts,fire,explosion,orbreakdownofessentialmachineryorequipmentduetonofaultoftheaffectedParty.
9.2TheaffectedPartyshallpromptlynotifytheotherPartyofanyForceMajeureEvent.TheaffectedPartyshallusecommerciallyreasonableeffortstomitigatetheeffectsoftheForceMajeureEventandshallsonotifytheotherPartyuponterminationorexpectedterminationofthecauseofthedelay.
9.3TheobligationsoftheaffectedPartyunderthisLeaseAgreementshallbesuspendedduringtheperiodoftheForceMajeureEvent.IftheForceMajeureEventcontinuesforaperiodof[Duration,e.g.,onehundredeighty(180)]days,eitherPartymayterminatethisLeaseAgreementbyprovidingwrittennoticetotheotherParty.
10.GoverningLawandDisputeResolution
10.1ThisLeaseAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[StateName],withoutregardtoitsconflictoflawprinciples.
10.2Anydispute,controversyorclaimarisingoutoforinconnectionwiththisLeaseAgreement,includinganyquestionregardingitsexistence,validity,interpretation,breachortermination,shallfirstbeattemptedtoberesolvedamicablythroughgoodfaithnegotiationsbetweentheParties.
10.3Ifthedisputecannotberesolvedthroughnegotiationwithin[Duration,e.g.,thirty(30)]days,thedisputeshallbefinallyresolvedby[ArbitrationorLitigationChoice,e.g.,arbitrationinaccordancewiththeRulesofArbitrationofthe[ArbitrationInstitutionName]administeredby[AdministeringAssociationName]pursuanttothelawsoftheStateof[StateName](the“Arbitration”);or,litigationintheappropriatecourtsoftheStateof[StateName]].
11.Amendments
11.1Noamendment,modification,orwaiverofanyprovisionofthisLeaseAgreementshallbeeffectiveunlessitisinwritingandsignedbyauthorizedrepresentativesofbothParties.
12.Notices
12.1Allnotices,requests,demandsandothercommunicationsrequiredorpermittedunderthisLeaseAgreementshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)uponconfirmationofreceiptwhensentbyrecognizedovernightcourierservice,or(c)upondepositwiththeUnitedStatesPostalServiceoranationallyrecognizedovernightdeliveryserviceaddressedtothePartiesattheaddressessetforthinSection1and,ifchanged,totheaddressspecifiedinanoticesenttotheotherPartyatthethen-currentaddress.
13.EntireAgreement
13.1ThisLeaseAgreement,includingtheExhibitshereto,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,betweenthePartiesrelatingtothesubjectmatterofthisLeaseAgreement.
14.Assignability
14.1LesseemaynotassignitsrightsorobligationsunderthisLeaseAgreement,inwholeorinpart,withoutthepriorwrittenconsentofLessor.LessormayassignitsrightsorobligationsunderthisLeaseAgreement,inwholeorinpart,withoutthepriorconsentofLessee,butshallgiveLesseeatleast[Duration,e.g.,thirty(30)]days'noticeofanyassignment.
15.Counterparts
15.1ThisLeaseAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.Facsimileorelectronicallytransmittedsignaturesshallbedeemedoriginalsignatures.
16.Severability
16.1IfanyprovisionofthisLeaseAgreementisheldtobeinvalid,illegalorunenforceablebyacourtofcompetentjurisdiction,suchinvalidity,illegalityorunenforceabilityshallnotaffectanyotherprovisionhereof,andthisLeaseAgreementshallbeconstruedasifsuchinvalid,illegalorunenforceableprovisionhadneverbeencontainedherein.
17.SuccessorsandAssigns
17.1ThisLeaseAgreementshallbindandinuretothebenefitofthePartiesandtheirrespectiveheirs,executors,administrators,successorsandpermittedassigns.
18.Waiver
18.1NowaiverbyeitherPartyofanybreachofthisLeaseAgreementshallbedeemedawaiverofanysubsequentbreach.T
