2025年智慧城市解決方案服務(wù)協(xié)議PartiesThisServiceAgreement(“Agreement”)isenteredintoandeffectiveasof[Date],byandbetween:[ClientCompanyName],withitsregisteredaddressat[ClientAddress](“Client”),representing[Client’sAffiliates/Departmentsinvolved,e.g.,CityBureauofInformationTechnology],and[ServiceProviderCompanyName],withitsregisteredaddressat[ServiceProviderAddress](“ServiceProvider”).Whereas,ClientdesirestoengageServiceProvidertoprovideSmartCitySolutionServices(asdefinedinthisAgreement)relatedto[BriefDescriptionoftheSmartCityProject,e.g.,theconstructionofacitymanagementandoperationplatform],andServiceProviderdesirestoprovidesuchSmartCitySolutionServicestoClient.DefinitionsandInterpretations1.1“Agreement”meansthisServiceAgreement,includingallexhibits,attachments,andamendmentsthereto.1.2“Client”means[ClientCompanyName]anditsaffiliates,asdefinedinthisAgreement.1.3“ServiceProvider”means[ServiceProviderCompanyName]anditsaffiliates,asdefinedinthisAgreement.1.4“SmartCitySolutionServices”meanstheservicestobeprovidedbyServiceProvidertoClient,includingbutnotlimitedtodemandanalysis,planning,solutiondesign,platform/systemdevelopment,hardwaredeployment,systemintegration,dataservices,testing,personneltraining,operationandmaintenance,asfurtherdetailedinSection3.1.5“ProjectScope”meansthespecificscopeofSmartCitySolutionServicestobeprovided,asdetailedinSection3andanyagreed-uponamendments.1.6“Delivery成果”meansthetangibleandintangibleoutputsproducedbyServiceProvideraspartoftheSmartCitySolutionServices,includingsoftware,hardware,documentation,data,reports,andtrainingmaterials.1.7“AcceptanceCriteria”meansthestandardsandmetricsagreeduponbybothpartiesagainstwhichtheDelivery成果willbeaccepted,asspecifiedinSection“ConfidentialInformation”meansanynon-publicinformation,whethertangibleorintangible,disclosedbyaPartytotheotherParty,includingwithoutlimitationbusinessplans,technicaldata,sourcecode,customerlists,financialinformation,andoperationaldetails,regardlessoftheformofdisclosure.1.9“Data”meansanyinformation,whetherstructuredorunstructured,storedortransmitted,collectedorgenerated,withinthecontextoftheSmartCitySolutionServices,includingpersonaldataandnon-personaldata.1.10“IntellectualPropertyRights”meansallrights,title,andinterestinandtoanypatents,copyrights,trademarks,tradesecrets,know-how,andotherintellectualpropertycreations.1.11“GoverningLaw”means[SpecifyJurisdiction,e.g.,thePeople’sRepublicofChina]law,asamendedfromtimetotime.1.12“Arbitration”meanstheresolutionofdisputesarisingoutoforinconnectionwiththisAgreementpursuanttotherulesof[SpecifyArbitrationInstitution,e.g.,theChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)].1.13“Litigation”meanstheresolutionofdisputesarisingoutoforinconnectionwiththisAgreementthroughcourtproceedingsin[SpecifyCourt,e.g.,thePeople’sCourtoftheDistrictwhereClientislocatedorwhereServiceProviderislocated].1.14“不可抗力”meanseventsbeyondthereasonablecontrolofaParty,includingbutnotlimitedtonaturaldisasters,war,terrorism,actsofgovernment,andepidemics.1.15“Day”meansanycalendarday.1.16“Month”meansanycalendarmonth.1.17“Year”meansanycalendaryear.ScopeofServices3.1SubjecttothetermsandconditionsofthisAgreement,ServiceProvidershallprovidethefollowingSmartCitySolutionServicestoClient(the“Services”):(a)RequirementAnalysisandPlanning:Conducton-siteinvestigationsandinterviewstounderstandClient’sneedsregarding[SpecificAreas,e.g.,urbangovernanceefficiency,publicsafety,transportationmanagement].Analyzeexistingsystemsandinfrastructure.DevelopacomprehensiveplanorspecificmoduleplanfortheSmartCityproject,includinggoals,scope,timelines,andhigh-leveltechnologyarchitecture.(b)SolutionDesign:BasedontheRequirementAnalysisandPlanningphase,designthedetailedtechnicalarchitecture,functionalspecifications,dataflowdiagrams,interfacedefinitions,integrationschemes,andsecuritymechanismsfortheSmartCitySolution.(c)Platform/SystemDevelopment:Develop,configure,andcustomizethesoftwareplatform(s)andapplicationsystem(s)aspartoftheSmartCitySolution,includingbutnotlimitedto[ListKeySystems,e.g.,acity-wideoperationandmonitoringplatform,asmarttrafficmanagementsystem,anintegratedpublicserviceportal].ThedevelopmentshallcomplywiththedesignspecificationsandAcceptanceCriteria.(d)HardwareDeployment:Provide,install,andconfigurethenecessarysmartdevicesandhardwarecomponentsspecifiedintheSolutionDesign,suchassensors,cameras,intelligentterminals,networkequipment,servers,andstoragedevices,ensuringtheyareintegratedintotheoverallsystem.(e)SystemIntegration:Integratethevarioussoftwaresystems,hardwarecomponents,anddatasourcesdevelopedorprovidedbyServiceProvider,aswellasintegratewithClient’sexistingrelevantsystems,toachieveseamlessdataexchangeandprocessautomationaspertheSolutionDesign.(f)DataServices:[SpecifyDataServices,e.g.,Collect,store,process,analyze,andvisualizedatafromdeployeddevicesandotherdesignatedsources.Ensuredataquality,consistency,andsecurity.ProvidedataaccessinterfacesasrequiredbyClient.]Alldataprocessingactivitiesshallcomplywithapplicablelawsandregulations,includingdataprotectionandprivacyrequirements.(g)Testing:Conductvariouslevelsoftesting,includingunittesting,integrationtesting,systemtesting,andUserAcceptanceTesting(UAT)coordinatedwithClient’srepresentatives,toensuretheServicesmeettheagreed-uponspecificationsandperformancelevels.(h)PersonnelTraining:ProvidetrainingtodesignatedClientpersonnelontheoperation,maintenance,andmanagementofthedeliveredSmartCitySolution,usingmanuals,demonstrations,andpracticalexercises.(i)Documentation:Prepareanddeliverallnecessarytechnicaldocumentation,includingdesigndocuments,usermanuals,operationguides,maintenancemanuals,andtrainingmaterials.(j)[Optional:OtherServices]:[Addanyotherspecificservicesagreedupon,e.g.,projectmanagement,consulting,pilottesting,deploymentsupport].3.2Thedetailedspecifications,deliverables,timelines,andmilestonesfortheServicesshallbemutuallyagreeduponinwritingbybothpartiesandmaybedocumentedinseparateStatementsofWork(SOWs)orappendicestothisAgreement,whichshallformanintegralpartthereof.TermandTermination4.1Term:ThisAgreementshallcommenceon[StartDate]andcontinueforaperiodof[Duration,e.g.,three(3)years](“InitialTerm”),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.TheInitialTermmaybeextendedbymutualwrittenagreementofbothparties.UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessive[Number,e.g.,one(1)]yearterms(eacha“RenewalTerm”),unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[Number,e.g.,ninety(90)]dayspriortotheendofthethen-currentTerm.4.2TerminationforCause:ClientmayterminatethisAgreementatanytimeuponthirty(30)days’writtennoticetoServiceProviderifServiceProviderbreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.ServiceProvidermayterminatethisAgreementatanytimeuponthirty(30)days’writtennoticetoClientifClientbreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticeiftheotherpartybecomesinsolvent,declaresbankruptcy,orceasesoperations.4.3TerminationwithoutCause:EitherpartymayterminatethisAgreementatanytimewithoutcauseuponninety(90)days’writtennoticetotheotherparty.Uponterminationforanyreason,anyoutstandingpaymentsowingunderthisAgreementshallbecomeimmediatelypayable.4.4ConsequencesofTermination:UponterminationorexpirationofthisAgreement,bothpartiesshall:(a)Performanyobligationsincumbentuponthemupontermination,includingthereturnordestructionofConfidentialInformationandDelivery成果asmutuallyagreedorrequiredbylaw.(b)ProvidefinalreportsanddocumentationrelatedtotheServices.(c)EnterintoreasonablearrangementstoensureanorderlyshutdownorhandoveroftheSmartCitySolution,includingdatabackupandtransfer(asagreed),andprovidenecessarysupportforatransitionperiod(ifagreed).(d)ExecuteanynecessaryagreementstotransferrightsandobligationsrelatedtotheSmartCitySolution.PaymentTerms5.1PaymentSchedule:ThetotalcontractpricefortheServicesshallbe[TotalAmount]RMB(ChineseYuan).Paymentshallbemadeinaccordancewiththefollowingschedule:(a)Anon-refundabledepositof[Percentage,e.g.,30]%oftheTotalAmount,即[Amount]RMB,shallbepaidbyClienttoServiceProviderwithinfifteen(15)daysaftertheEffectiveDateofthisAgreement.(b)Theremaining[Percentage,e.g.,70]%oftheTotalAmount,即[Amount]RMB,shallbepaidbyClienttoServiceProvideruponServiceProvider’ssubmissionofawritteninvoiceandtheClient’s驗收合格ofthecorrespondingphaseoftheServicesortheentireServices,asmutuallyagreed.(c)[Optional:Specifypaymentmilestonesbasedonprojectphasesordeliverables,e.g.,40%uponcompletionofdesign,30%uponcompletionofcoresystemdevelopment,20%uponcompletionofintegrationandtesting,10%uponfinal驗收合格].5.2PaymentMethod:AllpaymentsunderthisAgreementshallbemadebyClienttoServiceProviderviabanktransfertothebankaccountdesignatedbyServiceProvider.5.3Invoicing:ServiceProvidershallissueawritteninvoicetoClientwithinten(10)daysaftertheinvoicedateortheduedateforpayment,whicheverislater,accompaniedbyrelevantdocumentationconfirmingtheworkperformedorservicesrenderedforwhichpaymentisrequested.5.4LatePayment:IfClientfailstopayanyamountdueunderthisAgreementwithinthirty(30)daysafterthepaymentdeadline,ServiceProvidershallbeentitledtochargeinterestontheoverdueamountatarateof[Rate,e.g.,LIBORplusone(1)percentagepoint]perannum,calculateddailyfromtheduedateuntilthedateofactualpayment.Withoutlimitingotherrights,ServiceProvidermayalsosuspendfurtherServicespendingpaymentoftheoverdueamountandassociatedcosts.5.5Taxes:ServiceProvidershallberesponsibleforanyandalltaxes,duties,andleviesapplicabletotheServicesprovidedunderthisAgreement,includingbutnotlimitedtovalue-addedtax(VAT)andsalestax,unlessotherwiseexpresslystatedintheSOWsorspecifiedinthisAgreement.Clientshallberesponsibleforanyandalltaxes,duties,andleviesapplicabletoitspaymentsunderthisAgreement.IntellectualPropertyRights6.1Ownership:SubjecttothetermsofthisAgreement,allIntellectualPropertyRightsintheSmartCitySolution,includingbutnotlimitedtothesoftwarecode,platformarchitecture,designdocuments,andreportscreatedbyServiceProviderspecificallyforClientunderthisAgreement,shallremainthesolepropertyofServiceProvider.6.2Client’sLicense:ServiceProviderherebygrantstoClientanon-exclusive,royalty-free,worldwidelicensetousethespecificDelivery成果createdforClientunderthisAgreementsolelyforthepurposeofdeployingandoperatingtheSmartCitySolutionforClient’sinternaluseandbenefit,subjecttothetermsandconditionsofthisAgreementandapplicablelaws.6.3OwnershipofClient-SuppliedMaterials:Anymaterials,data,specifications,orinformationprovidedbyClienttoServiceProvidershallremainthepropertyofClient,andServiceProvidershallnothaveanyrightsthereinexceptasnecessarytoperformitsobligationsunderthisAgreement.ServiceProvidershallusesuchClient-suppliedmaterialssolelyforthepurposeoffulfillingthisAgreementandshallnotcopy,distribute,ordisclosethemtoanythirdpartywithoutClient’spriorwrittenconsent.6.4Protection:ServiceProvideragreestotakeallreasonablynecessarystepstoprotectitsIntellectualPropertyRightsintheSmartCitySolution.ClientagreestoassistServiceProviderinenforcingitsIntellectualPropertyRightsagainstanythird-partyclaims,uponServiceProvider’sreasonablerequestandatClient’sexpense.6.5SourceCode:[Specifytermsregardingsourcecodedelivery,e.g.,ServiceProvidershallprovidethesourcecodeforthesoftwaredevelopedunderthisAgreementtoClientinreadableformupontheoccurrenceofoneofthefollowingevents:(i)theexpirationoftwelve(12)monthsfromthedateoffinalAcceptanceoftheServices,or(ii)uponthewrittenrequestofClient,providedClientpaysalloutstandingamountsdueunderthisAgreement.]Confidentiality7.1EachParty(“DisclosingParty”)agreestoholdinstrictconfidenceallConfidentialInformationdisclosedbytheotherParty(“ReceivingParty”)inconnectionwiththisAgreementandtousesuchConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreement.7.2TheReceivingPartyshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty,exceptasrequiredbylaw,regulation,orcourtorder;provided,however,thattheReceivingPartyshallnotbeliableforanydisclosuremadepursuanttosuchlaw,regulation,orcourtorderiftheReceivingPartytakesreasonablestepstolimitthedisclosuretoonlytheminimumextentrequired.7.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementandshallremainineffectforaperiodof[Number,e.g.,three(3)]yearsfollowingtheterminationorexpirationdate.7.4Notwithstandingtheforegoing,eachPartymaydiscloseConfidentialInformationifsuchinformation:(a)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortoitsdisclosurebytheReceivingParty;(b)becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheReceivingPartythroughnoactoromissionoftheReceivingParty;(c)wasreceivedbytheReceivingPartyfromathirdpartywhohadtherighttodiscloseit;or(d)wasindependentlydevelopedbytheReceivingPartywithoutuseoforreferencetotheDisclosingParty’sConfidentialInformation.7.5EachPartyshallbeentitledtodiscloseConfidentialInformationtoitsemployees,agents,contractors,andsubcontractorswhoneedtoknowsuchinformationforthepurposeoffulfillingtheirobligationsunderthisAgreement,providedthatsuchindividualsareboundbyconfidentialityobligationsnolessprotectivethanthosesetforthinthisAgreement.DataProtectionandPrivacy8.1BothPartiesacknowledgeandagreethattheprocessingofData,particularlypersonaldata,underthisAgreementshallbesubjecttoapplicablelawsandregulations,includingbutnotlimitedtotheCybersecurityLawofthePRC,theDataSecurityLawofthePRC,andthePersonalInformationProtectionLawofthePRC.8.2ServiceProvidershallimplementandmaintainreasonabletechnicalandorganizationalmeasurestoensurethesecurityofClient’sData,includingprotectionagainstunauthorizedaccess,disclosure,alteration,anddestruction.8.3ServiceProvidershallprocesspersonaldatacollectedorprocessedunderthisAgreementonlyontheinstructionsofClient,forthepurposeofprovidingtheServicesasrequestedbyClient,andshallnotprocesspersonaldataforanyotherpurposewithoutClient’spriorwrittenconsent.8.4ServiceProvidershallcooperatewithClientincomplyingwithallapplicabledataprotectionandprivacyrequirements,andshallassistClientinrespondingtoinquiriesorrequestsfromdatasubjectsorregulatoryauthoritiesregardingtheprocessingoftheirpersonaldata.8.5Clientisresponsibleforensuringthatithasthenecessaryrightsandconsentstocollect,process,andusepersonaldataprovidedtoServiceProviderunderthisAgreement,andforensuringthatitsuseoftheServicesdoesnotviolateanyapplicabledataprotectionandprivacylaws.8.6UponterminationorexpirationofthisAgreement,ServiceProvidershallsecurelydeleteorreturnallpersonaldataandotherDatabelongingtoClient,uponClient’swrittenrequest.WarrantiesandLiability9.1ServiceProviderWarranties:ServiceProviderwarrantsthattheServices,includingtheDelivery成果,willbeperformedinaprofessionalandworkmanlikemannerandwillconformtothespecificationsandrequirementsagreeduponinthisAgreement.ServiceProviderwarrantsthattheServicesandDelivery成果,atthetimeofdelivery,willnotinfringeupontheIntellectualPropertyRightsofanythirdparty.9.2DisclaimerofWarranties:ExceptasexpresslysetforthinSection9.1,ServiceProvidermakesnootherwarranties,expressorimplied,regardingtheServicesorDelivery成果,includingbutnotlimitedtowarrantiesofmerchantability,fitnessforaparticularpurpose,ornon-infringement.9.3LimitationofLiability:TOTHEFULLESTEXTENTPROVIDEDBYLAW,NEITHERPARTYSHALLBELIABLETOTHEOTHERPARTYFORANYINDIRECT,SPECIAL,INCIDENTAL,CONSEQUENTIAL,ORPUNITIVEDAMAGES(INCLUDINGBUTNOTLIMITEDTOLOSSOFPROFITS,LOSSOFBUSINESSORANTICIPATEDSAVINGS,LOSSOFGOODWILL,LOSSOFDATA,ORLOSSOFUSE),WHETHERCAUSEDBYBREACHOFCONTRACT,NEGLIGENCE,OROTHERTORTIOUSACTION,EVENIFFORESEEABLE.THETOTALLIABILITYOFSERVICEPROVIDERTOCLIENTUNDERTHISAGREEMENT,WHETHERINCONTRACT,TORT(INCLUDINGNEGLIGENCE),OROTHERWISE,SHALLNOTEXCEEDTHETOTALAMOUNTPAIDBYCLIENTTOSERVICEPROVIDERUNDERTHISAGREEMENTFORTHESERVICESPROVIDEDDURINGTHEPREVIOUSTWELVE(12)MONTHS.THISLIMITATIONSHALLNOTAPPLYIFTHEBREACHWASCAUSEDBYSERVICEPROVIDER’SWILLFULORRECKLESSCONDUCT,KNOWINGORWITHREASONABLECAUSETOBELIEVETHATSUCHCONDUCTWOULDRESULTINHARM,ORBYSERVICEPROVIDER’SVIOLATIONOFANYCONFIDENTIALITYORDATAPROTECTIONOBLIGATIONUNDERTHISAGREEMENT.NOTWITHSTANDINGTHEFOREGOING,THEMAXIMUMLIABILITYOFSERVICEPROVIDERSHALLNOTEXCEED[SpecificMonetaryLimitorThreshold,e.g.,RMB1,000,000].9.4Client’sLiability:ClientshallbeliabletoServiceProviderforanydamages,losses,orexpensesincurredbyServiceProviderresultingfromClient’sbreachofthisAgreementoritsfailuretoprovidenecessarycooperationorinformation.9.5Indemnification:EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyandallclaims,losses,damages,liabilities,fees,costs,andexpenses(includingreasonableattorneys’fees)incurredbytheindemnifiedPartyarisingoutoforresultingfrom:(a)TheindemnifiedParty’sbreachofanyrepresentation,warranty,orobligationunderthisAgreement.(b)TheindemnifiedParty’suseofordisclosureofanyConfidentialInformation.(c)TheindemnifiedParty’sviolationofanyapplicablelaw,regulation,ororderrelatingtoDataProtection,Privacy,Cybersecurity,orIntellectualPropertyRights.(d)TheindemnifiedParty’suseoforrelianceuponanymaterials,information,orDelivery成果providedbyathirdparty.(e)TheactionsoromissionsoftheindemnifiedParty’semployees,agents,contractors,orsubcontractors,providedtheindemnifiedPartywasnegligentinselectingorsupervisingsuchindividuals.(f)Theoccurrenceof不可抗力affectingtheindemnifiedParty.ServiceLevelAgreements(SLAs)10.1[Ifapplicable,specifySLAsforoperationandmaintenanceservices.Forexample:]*ServiceProvidershallprovideLevel1andLevel2technicalsupportfortheSmartCitySolutionduringtheMaintenancePeriod(definedas[StartDate]to[EndDate]),MondaythroughFriday,from9:00AMto6:00PM(BeijingTime).*Forissuesreportedduringbusinesshours,ServiceProvidershallrespondwithin[Number,e.g.,15]minutesandprovidearesolutionwithin[Number,e.g.,4]businesshours.Forissuesreportedoutsidebusinesshours,ServiceProvidershallrespondwithin[Number,e.g.,2]hoursandprovidearesolutionwithin[Number,e.g.,8]businesshours,basedontheseverityoftheissue.*ThesystemavailabilityforthecorecomponentsoftheSmartCitySolutionshallbeguaranteedatleast[Percentage,e.g.,99.9%]duringtheMaintenancePeriod.*[SpecifypenaltiesorremediesforfailuretomeetSLAs.]GoverningLawandDisputeResolution11.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople’sRepublicofChina,withoutgivingeffecttoanychoiceorconflictoflawprovisionorrule.11.2DisputeResolution:Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallfirstbeattemptedtobesettledamicablythroughnegotiationbetweentheParties.Ifthedisputecannotbesettledthroughnegotiationwithinthirty(30)daysfromthedateofthelastwrittenproposal,thedisputeshallbesubmittedto[Chooseone:ArbitrationorLitigation].*[IfArbitrationischosen:]ThedisputeshallbesubmittedtoArbitrationInstituteof[SpecifyCity,e.g.,Beijing](the“ArbitrationInstitution”)inaccordancewiththethen-currentRulesofArbitrationoftheArbitrationInstitution.The仲裁awardshallbefinalandbindinguponbothParties.ThecostsofarbitrationshallbebornebythelosingParty,unlessthe仲裁paneldecidesotherwise.*[IfLitigationischosen:]Thedisputeshallbesubmittedtothecompetentpeople’scourtlocatedin[SpecifyCity,e.g.,theDistrictwhereClientislocatedorwhereServiceProviderislocated]withjurisdictionoversuchdispute(the“Court”).Miscellaneous12.1Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally;(b)uponconfirmationofreceiptwhensentbyemail;or(c)three(3)businessdaysaftermailingbyregisteredorcertifiedmail,returnreceiptrequested,postageprepaid.AllnoticesunderthisAgreementshallbeaddressedtothepartiesattheaddressessetforthbeloworatsuchotheraddressoraddressesaseitherpartymaydesignateinwriting.12.2EntireAgreement:ThisAgreement,includingtheSOWsandexhibitsreferencedherein,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.12.3Amendments:Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeff
