第一條定義（Definitions）1.1軟件（Software）：指許可方擁有知識產(chǎn)權(quán)的[軟件名稱]（版本號：[版本號]），包括但不限于其程序代碼、文檔、界面設計、相關數(shù)據(jù)及后續(xù)更新版本（如有）。1.1Software：Refersto[SoftwareName](VersionNo.:[VersionNo.])withintellectualpropertyrightsownedbytheLicensor,includingbutnotlimitedtoitsprogramcode,documents,interfacedesign,relateddataandsubsequentupdatedversions(ifany).1.2許可方（Licensor）：指[公司名稱/自然人姓名]，系軟件的知識產(chǎn)權(quán)權(quán)利人，有權(quán)授予本合同項下的軟件使用許可。1.3被許可方（Licensee）：指[公司名稱/自然人姓名]，系接受本合同項下軟件使用許可的主體。1.4授權(quán)使用范圍（AuthorizedScopeofUse）：指本合同約定的被許可方使用軟件的具體方式、地域、期限及其他限制條件。1.4AuthorizedScopeofUse：Referstothespecificmanner,region,termandotherrestrictiveconditionsfortheLicenseetousetheSoftwareasagreedinthisContract.第二條許可授予（GrantofLicense）2.1許可性質(zhì)：許可方授予被許可方一項非獨占、不可轉(zhuǎn)讓（除非本合同另有約定）、有限的軟件使用許可，被許可方僅可在授權(quán)使用范圍內(nèi)使用軟件。2.1NatureofLicense：TheLicensorgrantstheLicenseeanon-exclusive,non-transferable(unlessotherwiseagreedinthisContract),andlimitedsoftwareuselicense.TheLicenseemayonlyusetheSoftwarewithintheauthorizedscopeofuse.2.2許可目的：被許可方使用軟件的目的為[具體目的，如：內(nèi)部業(yè)務管理、數(shù)據(jù)分析、產(chǎn)品開發(fā)輔助等]，不得用于任何違反法律法規(guī)或損害許可方利益的活動。2.2PurposeofLicense：TheLicenseeshallusetheSoftwarefor[specificpurpose,e.g.,internalbusinessmanagement,dataanalysis,productdevelopmentassistance,etc.],andshallnotuseitforanyactivitiesthatviolatelawsandregulationsordamagetheinterestsoftheLicensor.第三條許可范圍（ScopeofLicense）3.1使用方式：被許可方有權(quán)在[數(shù)量，如：X臺]指定的計算機設備上安裝、運行軟件，并可制作[數(shù)量，如：X份]備份副本用于存檔或設備故障恢復，但備份副本的使用應嚴格限于被許可方內(nèi)部且不得用于其他設備的安裝或運行。3.2地域范圍：本許可的地域范圍為[國家/地區(qū)，如：中華人民共和國境內(nèi)（不含港澳臺地區(qū)）]，被許可方不得在授權(quán)地域外使用軟件（除非獲得許可方書面同意）。3.2GeographicScope：Thegeographicscopeofthislicenseis[country/region,e.g.,withintheterritoryofthePeople’sRepublicofChina(excludingHongKong,MacauandTaiwanregions)].TheLicenseeshallnotusetheSoftwareoutsidetheauthorizedregion(unlessobtainingthewrittenconsentoftheLicensor).3.3禁止行為：被許可方不得對軟件進行反向工程、反向編譯、拆解，不得修改、翻譯軟件代碼或文檔，不得向任何第三方披露、轉(zhuǎn)讓、出租、出借軟件或其副本，除非本合同另有明確授權(quán)。第四條雙方權(quán)利與義務（RightsandObligationsofBothParties）4.1許可方的權(quán)利與義務（RightsandObligationsofLicensor）4.1.1權(quán)利：許可方有權(quán)按照本合同約定收取許可費用，有權(quán)對被許可方的軟件使用情況進行合規(guī)檢查，以確保被許可方遵守本合同約定。4.1.2義務：許可方應向被許可方提供軟件的安裝文件、使用文檔（如適用）及必要的技術(shù)支持（支持方式：[如：遠程協(xié)助、電子郵件支持等]，支持期限：[如：自許可生效之日起X年]）；許可方保證軟件的知識產(chǎn)權(quán)無瑕疵，且軟件在正常使用情況下能滿足本合同約定的功能需求。4.1.2Obligations：TheLicensorshallprovidetheLicenseewiththeinstallationfilesoftheSoftware,userdocuments(ifapplicable)andnecessarytechnicalsupport(supportmethod:[e.g.,remoteassistance,emailsupport,etc.],supportperiod:[e.g.,Xyearsfromtheeffectivedateofthelicense]);TheLicensorshallensurethattheintellectualpropertyrightsoftheSoftwarearefreefromdefects,andthattheSoftwarecanmeetthefunctionalrequirementsagreedinthisContractundernormaluseconditions.4.2被許可方的權(quán)利與義務（RightsandObligationsofLicensee）4.2.1權(quán)利：被許可方有權(quán)在授權(quán)范圍內(nèi)使用軟件，有權(quán)獲得許可方提供的技術(shù)支持（在支持期限及范圍內(nèi)）。4.2.1Rights：TheLicenseehastherighttousetheSoftwarewithintheauthorizedscope,andhastherighttoobtainthetechnicalsupportprovidedbytheLicensor(withinthesupportperiodandscope).4.2.2義務：被許可方應按照本合同約定支付許可費用，應妥善保管軟件及相關資料，應遵守本合同約定的使用限制及禁止行為，應在軟件使用過程中采取合理的安全措施以保護軟件及相關數(shù)據(jù)的安全。第五條許可期限（TermofLicense）5.1生效日期：本合同自雙方簽署（或蓋章）之日起生效，許可期限自生效日起計算，為期[期限，如：X年]。5.2續(xù)期：被許可方如需續(xù)期，應在許可期限屆滿前[時間，如：30日]以書面形式向許可方提出申請，雙方協(xié)商一致后可簽訂續(xù)期協(xié)議。5.2Renewal：IftheLicenseeneedstorenewthelicense,itshallsubmitawrittenapplicationtotheLicensor[time,e.g.,30days]beforetheexpirationofthelicenseterm.Bothpartiesmaysignarenewalagreementafterreachingaconsensusthroughconsultation.5.3終止：出現(xiàn)下列情形之一的，本許可自動終止：（1）許可期限屆滿且未續(xù)期；（2）被許可方嚴重違反本合同約定，經(jīng)許可方書面通知后在[時間，如：15日]內(nèi)未改正；（3）法律法規(guī)規(guī)定的其他終止情形。許可終止后，被許可方應立即停止使用軟件，銷毀所有軟件副本及相關資料，并向許可方書面確認上述行為已完成。5.3Termination：Thelicenseshallbeautomaticallyterminatedinanyofthefollowingcircumstances:(1)Thelicensetermexpiresandisnotrenewed;(2)TheLicenseeseriouslyviolatestheprovisionsofthisContractandfailstocorrectitwithin[time,e.g.,15days]afterreceivingthewrittennoticefromtheLicensor;(3)Otherterminationcircumstancesstipulatedbylawsandregulations.第六條許可費用（LicenseFee）6.1費用金額：被許可方應向許可方支付的許可費用為[金額，如：人民幣X元（或美元X元）]，該費用包含[費用包含內(nèi)容，如：軟件使用許可費、技術(shù)支持費（如適用）等]。6.1AmountofFee：ThelicensefeethattheLicenseeshallpaytotheLicensoris[amount,e.g.,RMBX(orUSDX)],whichincludes[contentincludedinthefee,e.g.,softwareuselicensefee,technicalsupportfee(ifapplicable),etc.].6.2支付方式：被許可方應在本合同生效后[時間，如：10日]內(nèi)，通過[支付方式，如：銀行轉(zhuǎn)賬、支票等]將許可費用支付至許可方指定的賬戶：賬戶名稱：[賬戶名稱]開戶行：[開戶行名稱]賬號：[賬號]6.2PaymentMethod：TheLicenseeshall,within[time,e.g.,10days]aftertheeffectivedateofthisContract,paythelicensefeetotheaccountdesignatedbytheLicensorthrough[paymentmethod,e.g.,banktransfer,check,etc.]:AccountName:[AccountName]Bank:[BankName]AccountNo.:[AccountNo.]6.3發(fā)票：許可方收到許可費用后，應在[時間，如：5日]內(nèi)向被許可方開具符合法律法規(guī)要求的發(fā)票。6.3Invoice：Afterreceivingthelicensefee,theLicensorshallissueaninvoicethatmeetstherequirementsoflawsandregulationstotheLicenseewithin[time,e.g.,5days].第七條知識產(chǎn)權(quán)歸屬（OwnershipofIntellectualPropertyRights）7.1軟件知識產(chǎn)權(quán)：軟件（包括其原始版本及任何更新版本）的著作權(quán)、專利權(quán)（如適用）、商標權(quán)（如適用）及其他相關知識產(chǎn)權(quán)均歸許可方所有。被許可方僅享有本合同約定的軟件使用權(quán)，不享有任何知識產(chǎn)權(quán)。7.1IntellectualPropertyRightsofSoftware：Thecopyright,patentright(ifapplicable),trademarkright(ifapplicable)andotherrelatedintellectualpropertyrightsoftheSoftware(includingitsoriginalversionandanyupdatedversion)shallbeownedbytheLicensor.TheLicenseeonlyhastherighttousetheSoftwareasagreedinthisContractanddoesnothaveanyintellectualpropertyrights.7.2衍生作品：被許可方在使用軟件過程中產(chǎn)生的任何基于軟件的衍生作品（如有），其知識產(chǎn)權(quán)歸許可方所有，但許可方應尊重被許可方在衍生作品中投入的合法權(quán)益（如適用）。7.2DerivativeWorks：TheintellectualpropertyrightsofanyderivativeworksbasedontheSoftware(ifany)producedbytheLicenseeduringtheuseoftheSoftwareshallbeownedbytheLicensor.However,theLicensorshallrespectthelegitimaterightsandinterestsinvestedbytheLicenseeinthederivativeworks(ifapplicable).第八條保密條款（ConfidentialityClause）8.1保密信息范圍：雙方在履行本合同過程中知悉的對方的商業(yè)秘密、技術(shù)秘密、軟件代碼、客戶信息、財務信息及其他非公開的信息（以下簡稱“保密信息”）均屬于保密范圍。8.2保密義務：雙方應對保密信息承擔保密義務，未經(jīng)對方書面同意，不得向任何第三方披露、使用或允許他人使用保密信息，但下列情形除外：（1）法律法規(guī)要求披露的（但應在披露前通知對方并采取合理的保密措施）；（2）向履行本合同必要的員工、顧問披露（但應要求該等人員承擔保密義務）；（3）已進入公知領域的信息（非因一方違反保密義務導致）。8.2ConfidentialityObligation：BothpartiesshallbeobligedtokeeptheConfidentialInformationconfidential.Withoutthewrittenconsentoftheotherparty,theyshallnotdisclose,useorallowotherstousetheConfidentialInformation,exceptforthefollowingcircumstances:(1)Disclosureisrequiredbylawsandregulations(buttheotherpartyshallbenotifiedandreasonableconfidentialitymeasuresshallbetakenbeforedisclosure);(2)DisclosuretoemployeesandconsultantsnecessaryfortheperformanceofthisContract(butsuchpersonnelshallberequiredtoundertakeconfidentialityobligations);(3)Informationthathasenteredthepublicdomain(notcausedbyaparty’sbreachofconfidentialityobligations).8.3保密期限：本條款的保密期限為自本合同生效之日起[期限，如：5年]，即使本合同終止，雙方仍應承擔保密義務。8.3TermofConfidentiality：Theconfidentialityperiodofthisclauseshallbe[term,e.g.,5years]fromtheeffectivedateofthisContract.EvenifthisContractisterminated,bothpartiesshallstillundertakeconfidentialityobligations.第九條違約責任（LiabilityforBreachofContract）9.1一般違約：任何一方違反本合同約定的義務，應向?qū)Ψ街Ц哆`約金，違約金金額為[金額，如：許可費用的X%]；如違約金不足以彌補對方損失的，違約方還應賠償對方因此遭受的全部損失（包括直接損失和間接損失，但間接損失以可預見為限）。9.2嚴重違約：被許可方有下列行為之一的，視為嚴重違約，許可方有權(quán)解除本合同，要求被許可方支付相當于許可費用[倍數(shù)，如：2倍]的違約金，并賠償全部損失：（1）未經(jīng)許可方書面同意，擅自將軟件轉(zhuǎn)讓、出租、出借或向第三方披露；（2）對軟件進行反向工程、反向編譯或拆解，導致軟件核心技術(shù)泄露；（3）拖欠許可費用超過[時間，如：30日]；（4）其他嚴重違反本合同約定，導致許可方
