離職員工保密協(xié)議(中英文版)協(xié)議編號(AgreementNo.):____________________甲方(原用人單位):____________________乙方(離職員工):____________________PartyA(FormerEmployer):____________________PartyB(ResignedEmployee):____________________鑒于乙方曾在甲方任職,在職期間及離職過程中,接觸、知悉并掌握甲方大量未公開的保密信息及商業(yè)秘密;為保障甲方核心信息安全、維護甲方合法權(quán)益,明確乙方離職后的保密義務及相關(guān)權(quán)責,依據(jù)《中華人民共和國民法典》《中華人民共和國反不正當競爭法》《中華人民共和國勞動合同法》等相關(guān)法律法規(guī),甲乙雙方本著平等自愿、公平誠信、權(quán)責統(tǒng)一的原則,經(jīng)充分協(xié)商一致,訂立本協(xié)議,以資共同信守。WhereasPartyBhaseverworkedforPartyA,andduringtheemploymentperiodandresignationprocess,hascomeintocontactwith,knownandmasteredalargeamountofunpublishedconfidentialinformationandtradesecretsofPartyA;toprotectthesecurityofPartyA'scoreinformation,safeguardPartyA'slegitimaterightsandinterests,andclarifyPartyB'sconfidentialityobligationsandrelatedrightsandresponsibilitiesafterresignation,inaccordancewiththeCivilCodeofthePeople'sRepublicofChina,theAnti-UnfairCompetitionLawofthePeople'sRepublicofChina,theLaborContractLawofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,bothparties,onthebasisofequality,voluntariness,fairness,goodfaithandunificationofrightsandobligations,enterintothisAgreementthroughfullnegotiation.一、基本信息(BasicInformation)1.1甲方信息(PartyA'sInformation)全稱(FullName):____________________統(tǒng)一社會信用代碼(UnifiedSocialCreditCode):____________________注冊地址(RegisteredAddress):____________________通訊地址(MailingAddress):____________________聯(lián)系人(ContactPerson):____________________聯(lián)系電話(Tel):____________________電子郵箱(Email):____________________1.2乙方信息(PartyB'sInformation)姓名(FullName):____________________性別(Gender):______身份證號碼(IDCardNo.):____________________戶籍地址(HouseholdRegistrationAddress):____________________通訊地址(MailingAddress):____________________聯(lián)系電話(Tel):____________________電子郵箱(Email):____________________1.3任職及離職約定(EmploymentandResignationAgreement)原任職崗位(FormerPosition):____________________原任職部門(FormerDepartment):____________________任職期限(EmploymentPeriod):自______年____月____日起至______年____月____日止(From____________to____________)離職日期(ResignationDate):______年____月____日離職交接完成日期(CompletionDateofResignationHandover):______年____月____日二、保密信息的定義與范圍(DefinitionandScopeofConfidentialInformation)2.1本協(xié)議所稱“保密信息”,是指甲方在經(jīng)營管理、生產(chǎn)研發(fā)、市場運營、客戶服務等各類經(jīng)營活動中形成或獲取的,未向社會公眾公開、具有商業(yè)價值或管理價值,且甲方已采取保密措施(包括但不限于標注保密標識、設定訪問權(quán)限、簽訂保密協(xié)議、口頭或書面告知保密要求等)的全部信息、數(shù)據(jù)、資料、文件、技術(shù)成果、商業(yè)秘密及其載體(包括紙質(zhì)載體、電子載體、實物載體、存儲介質(zhì)等)。ForthepurposeofthisAgreement,"ConfidentialInformation"referstoallinformation,data,materials,documents,technicalachievements,tradesecretsandtheircarriers(includingpapercarriers,electroniccarriers,physicalcarriers,storagemedia,etc.)formedorobtainedbyPartyAinvariousbusinessactivitiessuchasbusinessmanagement,productionandR&D,marketoperationandcustomerservice,whicharenotmadepublictothesociety,havecommercialormanagementvalue,andforwhichPartyAhastakenconfidentialitymeasures(includingbutnotlimitedtomarkingconfidentialitysigns,settingaccesspermissions,signingconfidentialityagreements,andnotifyingconfidentialityrequirementsorallyorinwriting).2.2乙方確認,其在職期間及離職交接過程中接觸、知悉、掌握的下列信息均屬于本協(xié)議約定的保密信息,具體包括但不限于以下類別(PartyBconfirmsthatallthefollowinginformationcontacted,knownandmasteredbyhimduringtheemploymentperiodandresignationhandoverprocessareConfidentialInformationagreedinthisAgreement,specificallyincludingbutnotlimitedtothefollowingcategories):(1)經(jīng)營運營類(OperationandManagement):甲方的經(jīng)營戰(zhàn)略、發(fā)展規(guī)劃、商業(yè)模式、投融資方案、年度經(jīng)營計劃、財務報表(未公開)、成本核算數(shù)據(jù)、定價策略、采購渠道、銷售網(wǎng)絡、客戶名單及核心信息(含聯(lián)系人、聯(lián)系方式、合作內(nèi)容、交易記錄、需求偏好、信用狀況等)、供應商信息、銷售數(shù)據(jù)、市場調(diào)研報告、營銷方案、招投標文件(未公開)、合作協(xié)議(未生效或未公開)、商務談判方案及記錄等;(1)OperationandManagement:PartyA'sbusinessstrategy,developmentplan,businessmodel,investmentandfinancingplan,annualbusinessplan,financialstatements(unpublished),costaccountingdata,pricingstrategy,procurementchannels,salesnetwork,customerlistandcoreinformation(includingcontactperson,contactinformation,cooperationcontent,transactionrecords,demandpreferences,creditstatus,etc.),supplierinformation,salesdata,marketresearchreports,marketingplans,biddingdocuments(unpublished),cooperationagreements(unexecutedorunpublished),businessnegotiationplansandrecords,etc.;(2)技術(shù)研發(fā)類(TechnologyandR&D):甲方的核心技術(shù)參數(shù)、技術(shù)配方、生產(chǎn)工藝、研發(fā)成果、試驗數(shù)據(jù)、技術(shù)圖紙、設計方案、軟件源代碼、算法模型、數(shù)據(jù)庫信息、專利申請文件(未公開)、技術(shù)訣竅、產(chǎn)品升級計劃、設備運行維護方案、技術(shù)研發(fā)團隊信息、研發(fā)經(jīng)費預算等;(2)TechnologyandR&D:PartyA'scoretechnicalparameters,technicalformulas,productionprocesses,R&Dachievements,testdata,technicaldrawings,designschemes,softwaresourcecodes,algorithmmodels,databaseinformation,patentapplicationdocuments(unpublished),technicalknow-how,productupgradeplans,equipmentoperationandmaintenanceplans,technicalR&Dteaminformation,R&Dfundbudget,etc.;(3)人事管理類(PersonnelManagement):甲方的員工名冊、薪酬福利體系、績效考核標準、核心員工信息(含簡歷、薪資、崗位職責、競業(yè)限制約定等)、人事任免文件、內(nèi)部管理制度、培訓資料、員工保密協(xié)議、股權(quán)激勵方案、員工投訴及處理記錄等內(nèi)部文件;(3)PersonnelManagement:PartyA'semployeeroster,salaryandwelfaresystem,performanceappraisalstandards,coreemployeeinformation(includingresume,salary,jobresponsibilities,non-competeagreements,etc.),personnelappointmentandremovaldocuments,internalmanagementsystems,trainingmaterials,employeeconfidentialityagreements,equityincentiveplans,employeecomplaintandhandlingrecordsandotherinternaldocuments;(4)離職交接類(ResignationHandover):乙方離職交接過程中涉及的全部未公開信息,包括但不限于工作交接清單、未完成工作事項、項目進展情況、工作資料移交記錄、甲方分配的賬號密碼及權(quán)限信息等;(4)ResignationHandover:AllunpublishedinformationinvolvedinPartyB'sresignationhandoverprocess,includingbutnotlimitedtoworkhandoverlist,unfinishedworkitems,projectprogress,workdatatransferrecords,accountpasswordsandpermissioninformationassignedbyPartyA,etc.;(5)其他保密類(OtherConfidentialInformation):甲方明確標注“保密”“機密”“內(nèi)部使用”“絕密”等字樣的各類文件資料,甲方口頭告知乙方需保密的信息,以及乙方在任職期間和離職過程中知悉的其他未公開的、對甲方權(quán)益有重大影響的敏感信息。(5)OtherConfidentialInformation:Variousdocumentsandmaterialsclearlymarkedas"Confidential","Secret","InternalUseOnly","TopSecret"orothersimilarwordsbyPartyA,informationthatPartyAorallyinformsPartyBtokeepconfidential,andotherunpublishedsensitiveinformationknownbyPartyBduringtheemploymentperiodandresignationprocessthathasasignificantimpactonPartyA'srightsandinterests.2.3下列信息不屬于本協(xié)議約定的保密信息(ThefollowinginformationisnotincludedintheConfidentialInformationagreedinthisAgreement):(1)非因乙方違約或違法行為,已通過合法途徑公開且可被公眾自由獲取的信息;(1)Informationthathasbeenpubliclyavailablethroughlegalchannelsandcanbefreelyobtainedbythepublic,notduetoPartyB'sbreachofcontractorillegalacts;(2)乙方在入職甲方前已通過合法途徑獨立獲取,且無保密義務的信息(乙方需提供充分有效證據(jù)證明);(2)InformationthatPartyBhasindependentlyobtainedthroughlegalchannelsbeforejoiningPartyAandhasnoconfidentialityobligation(PartyBshallprovidesufficientandeffectiveevidencetoprove);(3)乙方依據(jù)法律法規(guī)、司法機關(guān)、仲裁機構(gòu)或行政監(jiān)管部門的強制性要求必須披露的信息,且乙方在披露前已及時書面通知甲方并配合甲方采取保護措施的;(3)InformationthatPartyBmustdiscloseinaccordancewiththemandatoryrequirementsoflawsandregulations,judicialorgans,arbitralinstitutionsoradministrativesupervisiondepartments,andPartyBhaspromptlynotifiedPartyAinwritingandcooperatedwithPartyAtotakeprotectivemeasuresbeforedisclosure;(4)甲方以書面形式明確告知乙方無需承擔保密義務的信息;(4)InformationthatPartyAhasexplicitlyinformedPartyBinwritingthatnoconfidentialityobligationisrequired;(5)乙方通過獨立研發(fā)、自行收集等合法途徑在離職后獲取的,與甲方保密信息無關(guān)聯(lián)的信息。(5)InformationobtainedbyPartyBthroughlegalchannelssuchasindependentresearchanddevelopmentandself-collectionafterresignation,whichisnotrelatedtoPartyA'sConfidentialInformation.三、乙方的保密義務(ConfidentialityObligationsofPartyB)3.1乙方承諾,自知悉甲方保密信息之日起,直至該保密信息通過合法途徑成為公眾可獲取信息之日止,無論是否與甲方存在勞動關(guān)系,均嚴格履行本協(xié)議約定的保密義務,不得擅自泄露、使用、處置或允許他人使用甲方的保密信息。PartyBpromisesthat,fromthedateofknowingPartyA'sConfidentialInformationuntiltheConfidentialInformationbecomespubliclyavailablethroughlegalchannels,regardlessofwhetherthereisalaborrelationshipwithPartyA,itshallstrictlyperformtheconfidentialityobligationsagreedinthisAgreementandshallnotarbitrarilydisclose,use,disposeoforallowotherstousePartyA'sConfidentialInformation.3.2未經(jīng)甲方事先書面同意,乙方不得從事下列行為(WithoutPartyA'spriorwrittenconsent,PartyBshallnotengageinthefollowingacts):(1)向任何第三方(包括但不限于乙方的親友、新用人單位、甲方的競爭對手、其他單位或個人等)以口頭、書面、電子傳輸、復制傳播、展示、轉(zhuǎn)述等任何形式披露、泄露、傳播、轉(zhuǎn)讓、出租、出借或贈與甲方的保密信息;(1)Disclose,leak,disseminate,transfer,lease,lendordonatePartyA'sConfidentialInformationtoanythirdparty(includingbutnotlimitedtoPartyB'srelativesandfriends,newemployer,PartyA'scompetitors,otherunitsorindividuals,etc.)inanyformsuchasoral,written,electronictransmission,copyanddissemination,display,retelling,etc.;(2)將甲方保密信息用于與甲方業(yè)務相競爭的活動,或利用保密信息為自身及任何第三方謀取不正當利益(包括但不限于商業(yè)利益、經(jīng)營優(yōu)勢、求職便利等),或從事?lián)p害甲方合法權(quán)益的行為;(2)UsePartyA'sConfidentialInformationforactivitiescompetingwithPartyA'sbusiness,orusetheConfidentialInformationtoseekimproperinterestsforitselfandanythirdparty(includingbutnotlimitedtocommercialinterests,operationaladvantages,job-huntingconvenience,etc.),orengageinactsthatdamagePartyA'slegitimaterightsandinterests;(3)擅自復制、復印、修改、拆解、提取、反向工程、破譯、編輯、篡改、刪除甲方保密信息或其載體,或私自留存保密信息的副本、備份、摘錄及存儲記錄(包括存儲在個人電腦、手機、平板、U盤、硬盤、云盤等設備或介質(zhì)中);(3)Arbitrarilycopy,duplicate,modify,disassemble,extract,reverseengineer,decrypt,edit,tamperwith,deletePartyA'sConfidentialInformationoritscarriers,orprivatelyretaincopies,backups,excerptsandstoragerecordsoftheConfidentialInformation(includingstorageinpersonalcomputers,mobilephones,tablets,Udisks,harddisks,clouddisksandotherdevicesormedia);(4)在未采取有效保密措施的情況下存儲、攜帶甲方保密信息,或擅自將保密信息帶離甲方指定的工作場所(離職后不得擅自持有任何甲方保密信息載體);(4)StoreorcarryPartyA'sConfidentialInformationwithouttakingeffectiveconfidentialitymeasures,orarbitrarilytaketheConfidentialInformationoutoftheworkplacedesignatedbyPartyA(noConfidentialInformationcarrierofPartyAmaybeheldarbitrarilyafterresignation);(5)在新的工作單位或其他場合,利用甲方保密信息開展工作、進行商業(yè)談判、提供技術(shù)支持或從事其他與保密信息相關(guān)的活動;(5)UsePartyA'sConfidentialInformationtocarryoutwork,conductbusinessnegotiations,providetechnicalsupportorengageinotheractivitiesrelatedtoConfidentialInformationinthenewworkplaceorotheroccasions;(6)勸說、誘導甲方在職員工泄露甲方保密信息,或協(xié)助任何第三方獲取、使用甲方保密信息。(6)PersuadeorinducePartyA'son-the-jobemployeestodisclosePartyA'sConfidentialInformation,orassistanythirdpartytoobtainorusePartyA'sConfidentialInformation.3.3乙方應妥善保管其在職期間及離職交接過程中接觸、持有、控制的全部甲方保密信息及其載體,離職后不得再以任何形式持有、使用該等保密信息及載體。PartyBshallproperlykeepallPartyA'sConfidentialInformationanditscarrierscontacted,heldandcontrolledduringtheemploymentperiodandresignationhandoverprocess,andshallnotholdorusesuchConfidentialInformationandcarriersinanyformafterresignation.3.4乙方發(fā)現(xiàn)甲方保密信息泄露或存在泄露風險(包括自身不慎泄露、第三方竊取、其他員工泄露等情況)時,應立即采取有效補救措施(包括但不限于收回泄露信息、保護現(xiàn)場、防止信息進一步擴散、通知相關(guān)方停止使用等),并在24小時內(nèi)書面或口頭通知甲方聯(lián)系人,全力配合甲方的調(diào)查、處置工作,不得隱瞞、拖延、謊報相關(guān)情況,不得銷毀、篡改相關(guān)證據(jù)。IfPartyBfindsthatPartyA'sConfidentialInformationisleakedorthereisaleakagerisk(includingaccidentalleakagebyitself,theftbyathirdparty,leakagebyotheremployees,etc.),itshallimmediatelytakeeffectiveremedialmeasures(includingbutnotlimitedtorecoveringtheleakedinformation,protectingthescene,preventingfurtherdiffusionofinformation,notifyingrelevantpartiestostopusing,etc.),andnotifyPartyA'scontactpersoninwritingororallywithin24hours,andfullycooperatewithPartyA'sinvestigationanddisposalwork,andshallnotconceal,delayorfalselyreportrelevantsituations,ordestroyortamperwithrelevantevidence.3.5乙方確認,其已在離職交接過程中,將其持有的全部甲方保密信息及其載體(包括但不限于紙質(zhì)文件、電子文檔、U盤、硬盤、筆記本、圖紙、實物資料等)完整、無遺漏地移交給甲方指定人員,并辦理了書面交接手續(xù);已刪除個人設備及介質(zhì)中存儲的全部甲方保密信息,且未留存任何副本、備份或摘錄。若存在未移交或未刪除的情況,乙方應在本協(xié)議簽訂之日起1個工作日內(nèi)完成移交或刪除,并向甲方出具《保密信息返還/銷毀確認函》。PartyBconfirmsthatduringtheresignationhandoverprocess,ithascompletelyandwithoutomissionhandedoverallPartyA'sConfidentialInformationanditscarriers(includingbutnotlimitedtopaperdocuments,electronicdocuments,Udisks,harddisks,notebooks,drawings,physicalmaterials,etc.)heldbyittothepersondesignatedbyPartyA,andcompletedthewrittenhandoverprocedures;hasdeletedallPartyA'sConfidentialInformationstoredinpersonaldevicesandmedia,andhasnotretainedanycopies,backupsorexcerpts.Ifthereisanyunhandoverorundeletion,PartyBshallcompletethehandoverordeletionwithin1workingdayfromthedateofsigningthisAgreement,andissuea"ConfirmationLetterforReturn/DestructionofConfidentialInformation"toPartyA.四、甲方的權(quán)利與義務(RightsandObligationsofPartyA)4.1甲方有權(quán)明確乙方接觸、知悉的保密信息范圍、保密要求及保密期限,向乙方告知甲方的保密管理制度及相關(guān)注意事項,對乙方履行本協(xié)議約定保密義務的情況進行監(jiān)督、檢查和核實。PartyAhastherighttoclarifythescope,confidentialityrequirementsandconfidentialityperiodoftheConfidentialInformationcontactedandknownbyPartyB,informPartyBofPartyA'sconfidentialitymanagementsystemandrelevantprecautions,andsupervise,inspectandverifyPartyB'sperformanceoftheconfidentialityobligationsagreedinthisAgreement.4.2甲方有權(quán)要求乙方如實說明其在職期間及離職后接觸、持有、使用甲方保密信息的情況,有權(quán)要求乙方提供相關(guān)證明材料(包括但不限于信息移交記錄、設備刪除憑證等),乙方應予以配合。PartyAhastherighttorequirePartyBtotruthfullyexplainthesituationofcontacting,holdingandusingPartyA'sConfidentialInformationduringtheemploymentperiodandafterresignation,andhastherighttorequirePartyBtoproviderelevantcertificationmaterials(includingbutnotlimitedtoinformationhandoverrecords,equipmentdeletioncertificates,etc.),andPartyBshallcooperate.4.3甲方發(fā)現(xiàn)乙方違反本協(xié)議約定的保密義務時,有權(quán)要求乙方立即停止違約行為、采取有效補救措施消除影響,并依據(jù)本協(xié)議約定追究乙方的違約責任;情節(jié)嚴重、造成甲方重大損失或構(gòu)成犯罪的,甲方有權(quán)向司法機關(guān)報案,追究乙方的民事賠償責任、行政責任及刑事責任。IfPartyAfindsthatPartyBviolatestheconfidentialityobligationsagreedinthisAgreement,ithastherighttorequirePartyBtoimmediatelystopthebreachofcontract,takeeffectiveremedialmeasurestoeliminatetheimpact,andpursuePartyB'sliabilityforbreachofcontractinaccordancewiththisAgreement;ifthecircumstancesareserious,causingsignificantlossestoPartyAorconstitutingacrime,PartyAhastherighttoreporttothejudicialauthoritiesandpursuePartyB'scivilcompensationliability,administrativeliabilityandcriminalliability.4.4甲方應按照法律法規(guī)及雙方原有勞動合同約定,及時足額向乙方支付勞動報酬、經(jīng)濟補償金(如有)等相關(guān)費用,不得因乙方履行本協(xié)議約定的保密義務而克扣、拖欠相關(guān)費用。PartyAshall,inaccordancewiththeprovisionsoflawsandregulationsandtheoriginallaborcontractbetweenbothparties,timelyandfullypayPartyB'slaborremuneration,economiccompensation(ifany)andotherrelevantexpenses,andshallnotdeductordefaultonrelevantexpensesbecausePartyBperformstheconfidentialityobligationsagreedinthisAgreement.4.5甲方應對乙方在本協(xié)議履行過程中提供的個人信息(如身份證號、通訊方式等)予以保密,不得隨意披露或用于與本協(xié)議無關(guān)的用途(法律法規(guī)要求披露的除外)。PartyAshallkeepconfidentialthepersonalinformation(suchasIDcardnumber,contactinformation,etc.)providedbyPartyBintheperformanceofthisAgreement,andshallnotarbitrarilydiscloseoruseitforpurposesunrelatedtothisAgreement(exceptasrequiredbylawsandregulations).4.6若乙方嚴格履行本協(xié)議約定的保密義務,甲方不得無故追究乙方的相關(guān)責任;若乙方因履行保密義務而遭受第三方追責,甲方應在合理范圍內(nèi)為乙方提供必要的協(xié)助(包括但不限于出具相關(guān)證明材料等)。IfPartyBstrictlyperformstheconfidentialityobligationsagreedinthisAgreement,PartyAshallnotarbitrarilypursuePartyB'srelevantliabilities;ifPartyBispursuedforliabilitybyathirdpartyduetoperformingtheconfidentialityobligations,PartyAshallprovidenecessaryassistancetoPartyBwithinareasonablescope(includingbutnotlimitedtoissuingrelevantcertificationmaterials,etc.).五、協(xié)議效力與期限(ValidityandTermoftheAgreement)5.1本協(xié)議自甲乙雙方簽字(甲方加蓋公章、乙方簽字)之日起生效,有效期為乙方離職后3年。ThisAgreementshalltakeeffectfromthedateofsignaturebybothparties(PartyAaffixesitsofficialsealandPartyBsigns),andshallremainvalidfor3yearsafterPartyB'sresignation.5.2對于甲方的核心技術(shù)秘密、商業(yè)秘密等具有長期保密價值(保密期限超過3年)的信息,本協(xié)議約定的保密義務期限不受本條5.1款的限制,持續(xù)至該保密信息通過合法途徑成為公眾可獲取信息之日止。ForPartyA'scoretechnicalsecrets,tradesecretsandotherinformationwithlong-termconfidentialityvalue(confidentialityperiodexceeding3years),thetermofconfidentialityobligationsagreedinthisAgreementshallnotbelimitedbyParagraph5.1ofthisArticle,andshallcontinueuntiltheConfidentialInformationbecomespubliclyavailablethroughlegalchannels.5.3本協(xié)議的效力不受甲乙雙方原有勞動合同是否終止、解除、無效或被撤銷的影響。即使原有勞動合同終止、解除、無效或被撤銷,乙方的保密義務仍持續(xù)有效,不得免除。ThevalidityofthisAgreementshallnotbeaffectedbywhethertheoriginallaborcontractbetweenbothpartiesisterminated,rescinded,invalidatedorrevoked.Eveniftheoriginallaborcontractisterminated,rescinded,invalidatedorrevoked,PartyB'sconfidentialityobligationsshallremainvalidandshallnotbeexempted.5.4本協(xié)議包含中文、英文兩個版本,兩個版本具有同等法律效力。若中英文版本在文字表述、解釋或理解上存在不一致、歧義或沖突,以中文版本為準。ThisAgreementhastwoversions:ChineseandEnglish.Bothversionshavethesamelegaleffect.Incaseofanyinconsistency,ambiguityorconflictbetweenthetwoversionsinwording,interpretationorunderstanding,theChineseversionshallprevail.六、違約責任(LiabilityforBreachofContract)6.1任何一方違反本協(xié)議約定的義務,均構(gòu)成違約,應承擔相應的違約責任。乙方違反保密義務的,無論是否給甲方造成實際損失,均視為嚴重違約,應向甲方承擔全部賠償責任。AnypartythatviolatestheobligationsagreedinthisAgreementshallconstituteabreachofcontractandshallbearcorrespondingliabilityforbreachofcontract.IfPartyBviolatestheconfidentialityobligations,regardlessofwhetheritcausesactuallossestoPartyA,itshallbedeemedaseriousbreachofcontractandshallbearfullcompensationliabilitytoPartyA.6.2乙方違約的,甲方有權(quán)采取下列一項或多項措施追究乙方的違約責任(IfPartyBbreachesthecontract,PartyAhastherighttotakeoneormoreofthefollowingmeasurestopursuePartyB'sliabilityforbreachofcontract):(1)要求乙方立即停止違約行為,采取有效補救措施(包括但不限于收回泄露信息、刪除留存信息、消除不利影響、書面道歉、公開澄清等);(1)RequirePartyBtoimmediatelystopthebreachofcontractandtakeeffectiveremedialmeasures(includingbutnotlimitedtorecoveringleakedinformation,deletingretainedinformation,eliminatingadverseeffects,writtenapology,publicclarification,etc.);(2)要求乙方支付違約金:輕微違約(未造成信息泄露或僅造成輕微影響)的,違約金不低于人民幣5000元;嚴重違約(造成核心信息泄露、甲方經(jīng)濟損失、聲譽損害或商業(yè)信譽受損)的,違約金不低于人民幣50000元,具體金額根據(jù)違約情節(jié)、損失程度、保密信息價值等因素由甲方合理確定;(2)RequirePartyBtopayliquidateddamages:nolessthanRMB5,000forminorbreachofcontract(noinformationleakageoronlyminorimpact);nolessthanRMB50,000forseriousbreachofcontract(coreinformationleakage,economicloss,reputationdamageorbusinessreputationdamagetoPartyA),andthespecificamountshallbereasonablydeterminedbyPartyAaccordingtofactorssuchasthecircumstancesofthebreachofcontract,thedegreeofloss,andthevalueofConfidentialInformation;(3)要求乙方賠償甲方因此造成的全部經(jīng)濟損失,包括但不限于直接經(jīng)濟損失(如產(chǎn)品滯銷、客戶流失、研發(fā)投入損失等)、間接經(jīng)濟損失(如預期利益損失、品牌聲譽損失、市場份額下降等)、律師費、訴訟費、保全費、公證費、調(diào)查取證費、差旅費等維權(quán)費用;(3)RequirePartyBtocompensatePartyAforalleconomiclossescausedthereby,includingbutnotlimitedtodirecteconomiclosses(suchasunsalableproducts,customerloss,R&Dinvestmentloss,etc.),indirecteconomiclosses(suchasexpectedinterestloss,brandreputationloss,marketsharedecline,etc.),attorneyfees,litigationfees,preservationfees,notarizationfees,investigationandevidencecollectionfees,travelexpensesandotherrightsprotectioncosts;(4)向乙方新用人單位及相關(guān)行業(yè)主管部門通報乙方的違約情況,必要時通過法律途徑或媒體發(fā)布相關(guān)聲明,消除對甲方的不利影響;(4)NotifyPartyB'snewemployerandrelevantindustryauthoritiesofPartyB'sbreachofcontract,andifnecessary,issuerelevantstatementsthroughlegalchannelsorthemediatoeliminatetheadverseimpactonPartyA;(5)乙方違約行為構(gòu)成犯罪(如侵犯商業(yè)秘密罪、泄露商業(yè)秘密罪等)的,甲方有權(quán)向司法機關(guān)報案,追究乙方的刑事責任。(5)IfPartyB'sbreachofcontractconstitutesacrime(suchasthecrimeofinfringingtradesecrets,disclosingtradesecrets,etc.),PartyAhastherighttoreporttothejudicialauthoritiesandpursuePartyB'scriminalliability.6.3甲方違反本協(xié)議約定給乙方造成損失的,應承擔相應的賠償責任,賠償范圍限于乙方的直接經(jīng)濟損失。IfPartyAviolatestheprovisionsofthisAgreementandcauseslossestoPartyB,itshallbearcorrespondingcompensationliability,andthescopeofcompensationshallbelimitedtoPartyB'sdirecteconomiclosses.七、爭議解決(DisputeResolution)7.1因本協(xié)議的簽訂、履行、解釋、變更、終止及爭議解決等事宜引起的任何爭議,雙方應首先通過友好協(xié)商的方式解決;協(xié)商不成的,任何一方均有權(quán)向甲方注冊地址所在地有管轄權(quán)的人民法院提起訴訟。Anydisputearisingfromthesigning,performance,interpretation,modification,terminationanddisputeresolutionofthisAgreementshallfirstberesolvedthroughfriendlynegotiationbetweenbothparties;ifthenegotiationfails,eitherpartyhastherighttofilealawsuitwiththepeople'scourtwithjurisdictionattheplaceofPartyA'sregisteredaddress.7.2爭議解決期間,除爭議事項外,本協(xié)議其他條款應繼續(xù)履行,雙方均應恪守各自的義務,不得擅自中止或終止本協(xié)議的履行。Duringthedisputeresolutionperiod,exceptforthedisputedmatters,otherclausesofthisAgreementshallcontinuetobeperformed,andbothpartiesshallabidebytheirrespectiveobligationsandshallnotarbitrarilysuspendorterminatetheperformanceofthisAgreement.7.3本協(xié)議的爭議解決適用中華人民共和國法律(不包括香港特別行政區(qū)、澳門特別行政區(qū)及臺灣地區(qū)法律)。ThedisputeresolutionofthisAgreementshallbegovernedbythelawsofthePeople'sRepublicofChina(excludingthelawsofHongKongSpecialAdministrativeRegion,MacaoSpecialAdministrativeRegionandTaiwanRegion).八、其他條款(OtherProvisions)8.1本協(xié)議一式兩份,甲乙雙方各執(zhí)一份,具有同等法律效力。ThisAgreementismadeinduplicate,witheachpartyholdingonecopy,whichhasthesamelegaleffect.8.2對本協(xié)議的任何修改、補充,均須經(jīng)雙方協(xié)商一致并簽訂書面補充協(xié)議。補充協(xié)議與本協(xié)議具有同等法律效力,補充協(xié)議與本協(xié)議內(nèi)容不一致的,以補充協(xié)議為準。An
