1、物業(yè)治理處待租房屋租賃合同 TENANCY AGREEMENT 本合同由以下雙方于2008年【02】月【28】日在中國北京市簽訂。 This Tenancy Agreement is entered into in Beijing, Peoples Republic of China on 28th February 2008,by and between Parties hereto: 出租方: (以下簡稱“甲方”) Land Lord: 地址: Address: 電話: Phone No.: 傳真: Fax No.: 承租方: Tenant: 電話: Phone No.: 甲方、乙方合稱為

2、“雙方”。 Party A and Party B of this Agreement are collectively referred to as “the Parties”. 依照中華人民共和國合同法及其他相關(guān)法律法規(guī)的規(guī)定,就乙方承租北京星城國際大廈A座公寓事宜達(dá)成以下協(xié)議。 The Parties hereby entered into the Agreement as following in relation to Party B rent the Apartment A of the stay-city building under the Agreement Law of P

3、eoples Republic of China and other relevant laws and regulations. 一、租賃標(biāo)的 The Leased Subject 1.1 甲方同意按照本合同約定的條件和條款將附件1所列的星城國際大廈A座公寓(以下簡稱“公寓”)及附件2所列的設(shè)備家具在良好狀態(tài)下租賃予乙方,乙方同意按照本合同約定的條件和條款承租前述公寓及設(shè)備家具。 Party A hereby agrees to lease, and Party B agrees to rent the apartment as stated in annex 1 (hereinafter

4、called as “the premises”) with the facility and furniture as stated in annex 2 in good conditions according to the clauses specified in this agreement. 二、公寓用途 Purpose of the premises 2.1 雙方確認(rèn)該公寓的使用用途為法律法規(guī)同意的用途,乙方不得將該公寓用于前述用途以外的目的,否則甲方有權(quán)提早解除本合同,并不再返還本合同約定的押金。 The parties hereby confirm that the purpo

5、se of the premises shall be accordance with the laws and regulations. Party B shall not use the premises for other purposes; otherwise Party A has the right to release the agreement early and shall have no obligation to return the deposit. 三、租賃期限 Term of the Tenancy 3.1 乙方承租該公寓的期限見本合同附件1的約定。 The ter

6、m of the tenancy is specified in the annex 1. 3.2 乙方能夠在本合同約定的租賃期限屆滿前三(3)個月向甲方提出續(xù)租的書面申請,屆時雙方重新協(xié)商相關(guān)的合同條款,包括續(xù)租期的租金,但假如雙方未能在租賃期限屆滿前1個月簽訂續(xù)租協(xié)議,則甲方有權(quán)在租賃期限屆滿后將該公寓出租給其他第三方。 Party B may present a written application for extension of the term of the tenancy three (3) months before the expiry of this Agreement.

7、 Terms and conditions including the amount of rent shall be negotiated before extending the Lease Agreement. If the parties could not sign the extension agreement one month before the expiry of this Agreement, Party A has right to lease the premises to other parties after the expiry of this Agreemen

8、t. 四、租金: Rents 4.1 雙方同意乙方按照本合同附件1約定的租金標(biāo)準(zhǔn)向甲方支付租金,該租金包括物業(yè)治理費(fèi)、暖氣費(fèi),衛(wèi)星電視收視費(fèi)。 The parties mutually agree with the rents as stated in annex 1, the rents includes management fees, heating fees and cable TV fees. 4.2 雙方同意租金月付,每月開始前七日內(nèi)乙方向甲方一次性支付本月的租金,如乙方逾期支付租金(包括未足額支付租金)在10日之內(nèi),則乙方須按日向甲方支付相當(dāng)于未付租金0.5%的違約金;如乙方逾期

9、支付租金(包括未足額支付租金)超過10日,則視為乙方單方提早解除本合同,乙方應(yīng)按照本合同第七條的約定向甲方退還該公寓,甲方無須向乙方返還押金。 The Parties agree the rents is payable monthly, on or before the 7th day of each month. If Party B has not paid the rent for ten days due to its own fault, a penalty of 0.5% of the rent will be charged per day from the due date

10、of payment to the date of actual payment. If the rent has not been paid for more than ten days, the Lease is considered being terminated automatically, Party B shall return the premises to Party A according to the clause 7 and Party A shall have no obligation to return the deposit. 4.3 雙方確認(rèn)本合同約定的租賃期

11、限內(nèi),租金不予調(diào)整。若續(xù)租,租金可適當(dāng)上調(diào),但最高不能超過原租金的10%。 The Parties hereby confirm that the rents shall not adjust during the term of the tenancy. The extended leasing term could increase the rent, but not more than 10%. 4.4 乙方同意不管甲方或星城國際大廈物業(yè)治理公司(以下簡稱“物業(yè)治理公司”)是否存在違約情形,乙方均應(yīng)按照本合同第四條的約定支付相應(yīng)的租金,其它事宜由雙方另行協(xié)商。 Party B agree

12、s that Party B should pay the rents according to clause 4 no matter what happens and the dispute between Party B and Party A or the management company shall be negotiated by the Parties. 五、其它費(fèi)用: Other fees 5.1 通訊費(fèi)用:乙方應(yīng)按照電信部門規(guī)定的標(biāo)準(zhǔn)支付該公寓發(fā)生的所有通訊費(fèi)用,包括但不限于電話費(fèi)、傳真費(fèi)、寬帶費(fèi)、信息費(fèi)等。 Communication fees: Party A shal

13、l undertake all the communication fees according to the Telecommunication Bureau standard tariffs including but not limited to telephone fee, facsimile fees, Broad Band fees and information fees. 5.2 雜費(fèi):乙方應(yīng)按照每月實(shí)際使用的數(shù)額按時支付相應(yīng)的水電煤氣費(fèi)(包括污水處理費(fèi)),并承擔(dān)因使用該公寓而發(fā)生的其他費(fèi)用。 Extra fees: Party B shall pay the water fe

14、es, electric fees and gas fees and other fees in relation to using the premises according to consumption. 六、押金: Deposit 6.1 在本合同簽訂之日,乙方應(yīng)向甲方支付相當(dāng)于一(1)個月租金數(shù)額的押金(具體數(shù)額見附件1)。甲方收到押金兩日內(nèi),應(yīng)向乙方開具押金收據(jù)。 Party B shall pay the deposit of performing the Agreement which amounts to the rent of two months on the signa

15、ture date of this Agreement (the amount see the annex 1). Party A shall provide the receipt of the deposit in two days after receiving the deposit. 6.2 在下列條件全部滿足之日起三十(30)日內(nèi),甲方無息向乙方退還本合同6.1條款約定乙方支付的押金或押金余額(如有): Party A shall return the deposit in full or balance thereof (if any) to Party B (excluding

16、 interest) within thirty days after the following conditions are fulfilled: 6.2.1 本合同約定的租賃期限屆滿; The term of tenancy has been expired. 6.2.2 乙方按照本合同第六條的約定向甲方完好退還了該公寓及家具設(shè)備; Party B has returned the premises with equipment and furniture in good conditions according to the clause 6. 6.2.3 乙方向甲方支付了所有的款項(xiàng)(

17、包括因乙方未遵守、履行在本合同項(xiàng)下其必須遵守、履行的一切協(xié)議、條文、規(guī)定、條件而導(dǎo)致甲方產(chǎn)生的支出、費(fèi)用、損失或損害賠償金); Party B has paid all the amounts to Party A (including cost, expenses, loss or damage sustained by Party A as the result of any non-observance or non-performance by Party A of any of the said agreements, stipulations terms or conditions

18、). 6.2.4 乙方差不多按照本合同的約定支付了全部其他費(fèi)用。 Party B has paid the entire utilities fees such as water, electricity, gas and telephone bill. 6.3 如乙方違反本合同約定或沒有按照本合同的約定履行相應(yīng)的義務(wù),則甲方有權(quán)從乙方支付的押金中扣除由此產(chǎn)生的支出、費(fèi)用、損失或損害賠償金,且不阻礙甲方的其他權(quán)利和/或補(bǔ)償。甲方亦有權(quán)從乙方支付的押金中扣除乙方因使用該公寓、相關(guān)設(shè)施、甲方或其他方不時向乙方提供的服務(wù)而應(yīng)向第三方支付的費(fèi)用。假如在本合同期間甲方依據(jù)前述約定扣除了相應(yīng)的押金,則乙方

19、應(yīng)依照甲方的要求補(bǔ)足所扣款項(xiàng),否則甲方有權(quán)單方解除本合同并收回該公寓。 Without prejudice to any other right and/or remedy, Party A has the right to deduct from the said deposit any cost, expenses, loss or damage sustained by Party A as the result of any non-observance or non-performance by Party B of any of the said物業(yè)治理處待租房屋使用 agreem

20、ents, stipulations terms or conditions. Party A also has the right to deduct from the said deposit any sums incurred by Party B or by Party A on behalf of Party B to any third Party A rising from Party Bs use of the premises, any other facilities or services which may from time to time be made avail

21、able to Party B whether by Party A or any other party. In the event of any deduction being made by Party A from the said deposit accordance herewith during the duration of this agreement, Party B shall forthwith on demand by Party A make a further deposit equal to the amount so deducted and failure

22、by Party B so to do shall entitle Party A forthwith to re-enter upon the premises and to determine this agreement as herein before provided. 6.4 假如因乙方的緣故導(dǎo)致本合同提早終止,則甲方無須向乙方返還押金,并有權(quán)要求乙方支付剩余租賃期的租金。 If this agreement is early terminated for reasons of Party B, Party A shall have no obligation to return

23、the deposit and shall have the right to require Party B to pay the rent of rest term of the tenancy. 七、公寓交付與退還 Handover and return of the Premises 7.1 在乙方按照本合同的約定向甲方支付第一月租金及全部押金之日起兩日內(nèi),甲方向乙方交付該公寓及相關(guān)家具設(shè)備,雙方簽訂本合同附件3約定的交接單。 Party A shall hand over the premises with equipment and furniture within two day

24、s after Party B pays the rent of the first year and full deposit. The parties shall sign the check in and out list as stated in annex 3. 7.2 乙方須在租賃期屆滿之日(包括本合同提早解除或終止之日)將該公寓及時清理潔凈,并按本合同的規(guī)定將該公寓內(nèi)原有的附屬物、裝置、附加物(包括鑰匙等),在原交付使用的狀態(tài)下(合理的損耗除外)交還給甲方。如乙方在清理該公寓過程中對甲方或第三方造成損害和損失,乙方應(yīng)承擔(dān)一切責(zé)任。甲方有權(quán)從押金中扣除乙方給甲方造成的實(shí)際損失。如押

25、金不足以抵扣,則甲方有權(quán)接著向乙方追償。 Party B shall clean the premises upon expiration of the term (including early releasing or termination of the agreement), and return the premises and all ancillary items (including keys and etc) fitting and fixtures in their original condition as delivered pursuant to this agree

26、ment (except reasonable wear and tear). Party B shall bear full liability if Party B causes damages and losses to Party A or any third person during cleaning. Party A shall have the right to deduct from the deposit amount of actual losses caused to Party A. Party A has the right to demand indemnific

27、ation if the deposit is not sufficient. 7.3 乙方在租賃期屆滿時遷出該公寓后,如該公寓內(nèi)有乙方遺留下的任何裝飾、家具、裝備、物件或其他任何物品,均視為乙方放棄前述物品,甲方有權(quán)以任何方式處理前述物品,乙方不得異議,也不得追究甲方責(zé)任和要求甲方賠償;同時,甲方亦有權(quán)向乙方追討因清除、清理、處理前述物品所產(chǎn)生的所有費(fèi)用,或從乙方所交付的押金內(nèi)先行扣除該等費(fèi)用,然后將余款退回給乙方,如乙方所繳付的押金不足以支付該等費(fèi)用時,則甲方仍有權(quán)接著向乙方追索不足部分的款項(xiàng)。 After Party B vacates the premises upon expirat

28、ion of the term or after the expiration of the term, any decoration, furniture, equipment, articles and any other item that left in the premises shall be deemed abandoned by Party B and Party A shall have the right to dispose of such items by any mean and Party B shall have no right to object theret

29、o or hold Party A liable or demand compensation therefor. At the same time, Party A shall have the right to demand from the Party B for expenses incurred due to removal, cleaning and disposal of such items, or shall have the right to deduct such expenses from the deposit paid by Party B before retur

30、ning the deposit to Party B. If the deposit is not sufficient to pay such expenses, Party A reserves the right to demand indemnification for any deficiency. 7.4 如乙方延遲向甲方退還該公寓及家具設(shè)備,則每延遲一日,乙方應(yīng)向甲方支付相當(dāng)于五倍日租金的違約金,同時甲方無須向乙方返還押金。 If Party B delays to return the premises with equipment and furniture, Party

31、B shall pay Party A the daily liquidated damages of five times equal to daily rent from the due date of return of the premises to the date of actual return. Party A shall have no obligation to return the deposit. 八、甲方的權(quán)利和義務(wù) Rights and Responsibilities of Party A 8.1 租賃期內(nèi)甲方不得無故收回房屋,如甲方中途要求收回房屋,乙方能夠拒絕

32、。 Party A is not permitted to take back the premises during the term of the agreement without good reason. If Party A wishes to do so, Party B has the right to object. 8.2 在雙方均攤?cè)魏芜m用的印花稅的前提下,甲方應(yīng)向政府有關(guān)部門支付所有依照法律、法規(guī)及地點(diǎn)性規(guī)定就出租該公寓而須由甲方支付的各種稅費(fèi)。 Party A shall pay to relevant government departments all taxes

33、and fees which Party A is required to pay in accordance to the law, provided that any applicable stamp duty shall be borne equally by the parties. 8.3 在乙方按照合同的約定支付租金和其他費(fèi)用以及完全履行合同其他義務(wù)的前提下,甲方或其授權(quán)代表非因緊急情況不應(yīng)干擾乙方在租賃期間占有、使用該公寓。 To permit Party B (duly paying the rent and others fees and observance and per

34、formance of non monetary term that stated in the agreement and complying the agreement) to have quiet enjoyment and possession of the premises during the said term without any unnecessary interruption by Party A or any persons lawfully claiming under or through or in trust of Party A. 8.4 甲方應(yīng)敦促物業(yè)治理公

35、司(但甲方不承擔(dān)物業(yè)治理公司的責(zé)任)盡力保持(I)屋頂、主結(jié)構(gòu)、墻壁、水管管道及電纜電線處于良好的使用狀態(tài);(II)電梯、消防及安全裝置、暖氣及空調(diào)處于正常運(yùn)轉(zhuǎn)狀態(tài);(III)星城國際大廈公共區(qū)域、洗手間及設(shè)施處于清潔狀態(tài)。但如因乙方自行裝修改造該公寓造成破壞的除外。 Party A shall instruct (but shall not be liable for any failure of management to do so) management company to exert its best efforts to maintain (I) in good conditio

36、n for use the roof, main structure, walls, water pipes, electrical cable and wiring, (II) in a normal operating condition any lifts, fire prevention and security apparatus, heating and air-conditioning, and (III) in clean condition the common area, lavatories and facilities of the Star City. Except

37、for breakage are rising from the fitting-out by Party B. 8.5 甲方有權(quán)在發(fā)出合理通知(緊急情況無須發(fā)出通知)并盡量減少對乙方阻礙的情況下,為維護(hù)、修理、更新、升級或重置的目的而臨時終止空調(diào)、電梯、電力、冷水、熱水及其他相關(guān)服務(wù),且不承擔(dān)任何賠償或補(bǔ)償責(zé)任。 Party A have the right from time to time on giving reasonable notice to Party B (such notice not to be required in case of emergency or break

38、down) and causing as little inconvenient to Party B reasonably possible to suspend the air-conditioning system, lifts, electric power, water supply, hot water supply and any other service or facilities provided in or serving the said building for the purpose of servicing, maintaining, repairing, ren

39、ewing, improving or replacing the same. 8.6 在租賃期間,甲方有權(quán)處分該公寓,包括但不限于轉(zhuǎn)讓、抵押等。如甲方將該公寓轉(zhuǎn)讓給其他方,屆時該公寓的受讓方將承繼甲方在本合同項(xiàng)下的全部權(quán)利和義務(wù)。 Party A has the right to dispose the premises during the leasing term, including but not limited to transfer, mortgage and etc. If Party A transfers the premises to other parties, the

40、 assignee shall obtain Party As rights and obligations under the agreement. 8.7 在合同終止前1個月內(nèi),甲方有權(quán)帶領(lǐng)潛在承租方或購買方參觀該公寓 One (1) month before the end of the agreement, Party A has the right to bring others prospective lessees or purchaser to view the premises. 九、乙方的權(quán)利和義務(wù) Rights and Responsibilities of Party

41、B 9.1 乙方在征得甲方同意的情況下,可安排本公司其他人員入住本合同中所提之房屋,甲方不得以無理理由拒絕。 Party B may arrange other personal of its company to live in the premises with the prior written consent of Party A, which consent shall not be unreasonably withheld. 9.2 乙方在該公寓內(nèi)進(jìn)行的所有居住使用活動或其他一切行為應(yīng)遵守中國法律和法規(guī)、政府部門頒布的其他規(guī)定以及甲方和物業(yè)治理公司關(guān)于該公寓的相關(guān)規(guī)定,否則乙方應(yīng)

42、賠償甲方的全部損失。如乙方收到政府有關(guān)部門就該公寓發(fā)出的任何通知或傳票,則乙方應(yīng)在48小時內(nèi)書面通知甲方。 To comply with all applicable Chinese law and regulations and others issued by government departments relating to the conduct of Party Bs living and other activities in the premises and with any of Party As or management companys rules and regula

43、tions regarding the premises; to indemnify Party A with respect to any violation thereof by Party B; and to notify Party A in writing within forty- eight (48) hours after receipt of any government notice or summons with respect to the premises. 9.3 在租賃期間內(nèi)乙方應(yīng)自費(fèi)對該公寓的內(nèi)裝修和各種設(shè)備設(shè)施進(jìn)行維修保養(yǎng),并保持該公寓和其設(shè)施處于良好狀態(tài)。

44、To repair and maintain the internal fitting and various equipment installed by Party B at Party Bs cost during the term and maintain the premises and its facilities in good condition. 9.4 一旦發(fā)生該公寓、A座公寓遭受毀損,或發(fā)生人身損害,火災(zāi)或其他意外事件,乙方應(yīng)立即通知甲方或物業(yè)治理公司。 To give immediate notice to Party A and Management Company

45、of any damages that may be suffered to the premises or any part of the Apartment A, any personal injury, fire or any emergency. 9.5 乙方應(yīng)遵守國家和北京市關(guān)于消防和安全的法律、法規(guī),并負(fù)責(zé)該公寓的消防和安全工作。在緊急情況發(fā)生時,乙方應(yīng)服從物業(yè)治理公司的安排。 Party B shall abide by relevant laws and regulations of the China and Beijing Municipality on the fire

46、prevention and safety rules. Party B shall be in charge of fire prevention and safety of the premises. As the emergency occurs, Party B shall follow the instruction by the management company personnel. 9.6 乙方不得在該公寓或A座公寓內(nèi)攜帶或存放易燃易爆物品,乙方應(yīng)就其違反消防和安全的相關(guān)規(guī)定或治理不當(dāng)產(chǎn)生的所有后果承擔(dān)全部責(zé)任 Party B shall not carry or keep

47、any inflammable and explosive goods in the premises or Apartment A. Party B shall be responsible for fire resulting from violation by Party B of the relevant fire prevention and safety rules or its improper management. 9.7 乙方同意甲方及其代理人、承包商、雇員及其他授權(quán)代表在合理的時刻內(nèi)進(jìn)入該公寓提供維修等服務(wù)。在緊急情況下,甲方或物業(yè)治理公司無需事先通知即可進(jìn)入該公寓。乙方

48、同意甲方無需就甲方(或其授權(quán)代表)因處理緊急情況而給乙方造成的損害承擔(dān)責(zé)任, 如該緊急情況是由乙方直接或間接所致,則乙方應(yīng)承擔(dān)相關(guān)費(fèi)用。前述緊急情況包括但不限于煤氣報警或火災(zāi)警情、漏水現(xiàn)象、發(fā)生嚴(yán)峻的可疑氣味、有被盜竊的可疑情形以及政府相關(guān)部門的檢查等。 To allow Party A and its agent, contractors, employee and all other authorized personal to enter the premises at such reasonable time to provide servicing, maintaining and

49、repairing. In case in emergency Party A or the Management Company has the right to enter the premises without prior notification. Party B agrees on Party A shall not responsible for any damage done to Party B in the event of Party A (or its authorized personal) exercising on dealing with emergency.

50、If such emergency is directly or indirectly caused by Party B, Party B shall undertake the relevant fees. The above-mentioned emergency includes but not limited to coal gas or fire alarm, leaking of water, rising serious odor or gas, shadiness case of pilferage, inspected by administration departmen

51、t, etc. 9.8 乙方不得轉(zhuǎn)讓、抵押、轉(zhuǎn)租該公寓的全部或部分區(qū)域。乙方亦不得批準(zhǔn)或容許任何安排或交易,導(dǎo)致任何第三方獲得使用、占有、享用該公寓的全部或部分區(qū)域的權(quán)利,不管該第三方是否為此支付租金或其他代價。 Party B may not transfer, mortgage, sublease, subdivide the premises or any part thereof, or approve or permit any arrangement or transaction whereby any third party obtain the right to use, oc

52、cupation enjoyment of the Premises or any part thereof, regardless of whether such third party pay any rents or other expenses. 9.9 乙方不得將其機(jī)動車停放在或企圖停放在專為星城國際大廈的住戶、客戶或者其他承租方、星城國際大廈相應(yīng)區(qū)域的所有人或占有人保留的停車位,乙方亦不得將其機(jī)動車停放或停留在機(jī)動車出入口或星城國際大廈范圍內(nèi)的公共活動區(qū)域。 Party B shall not park or attempt to park or procure the parki

53、ng of any motor vehicle in any car park facilities available exclusively to residents and/ or guests of Star-city or to any other lessees, owner or occupier of any part of the Star-city or in any driveways entrance courtyards or other areas dedicated or intended for public right of passage within St

54、ar-city. 9.10 乙方同意在提早30日書面通知的情況下,物業(yè)治理公司有權(quán)依照物業(yè)治理規(guī)定調(diào)整物業(yè)治理費(fèi)及其他相關(guān)費(fèi)用。 Party B agrees that upon thirty (30) days prior written notice, the management company of Star-city (hereinafter called as Management Company) reserves the right to adjust the management fees and others fees in accordance with the mana

55、gement rules. 9.11 乙方不得破壞、損害公共區(qū)域或從事任何有損公共區(qū)域形象的行為,也不得在公共區(qū)域存放物品或從事任何有損公共區(qū)域使用的行為。 Party B shall not damage, injure or deface any part of the public/ common areas and shall not place or leave any obstructions in the public/common area. 9.12 乙方不得使用客運(yùn)電梯搬運(yùn)物資,如乙方需要搬運(yùn)物資或大件物品,則乙方應(yīng)事先取得甲方的同意,并在甲方的監(jiān)督下搬運(yùn)前述物品。 Par

56、ty B shall not use the passenger lifts otherwise than transportation of Party B. If Party B would like to transport goods and other big object, Party B should get prior consent from Party A and shall transport such thing under the supervision of Party A. 9.13 在該公寓內(nèi)已有的裝飾和設(shè)施之外,乙方如要增加設(shè)備、在墻壁上懸掛畫、圖片或其他裝飾

57、物或其他裝修須事先征得甲方同意。 In addition to the decoration and equipment already in the premises, if Party B wishes to make any alterations, hang pictures, painting or other decorative articles on the wall or decorate the property, Party B should get the permission from Party A in advance. 9.14 在未經(jīng)甲方書面同意下,乙方不得擅
