2、本公司基于信托的方式，作為貴行的受托人，從貴行收到貴行加簽的如下貨物所有權(quán)證或簽發(fā)給船公司的銀行保函(以下合稱“單據(jù)”)，以使本公司能夠提取下述質(zhì)押給貴行的貨物。InconsiderationofyourreleasingtoustheDocuments,weagreewithandundertaketoyouasfollows:鑒于貴行向本公司釋放單據(jù)，本公司同意并向貴行承諾如下：TheDocumentsandthegoodsand/orproductstowhichtheyrelate(the“Goods”)arenowandshallremaininpledgetoyouassecuri

3、tyforthedueperformanceofourobligationstoyoufreeofanysecurityinterestinfavorofanyotherpersonandweshallreceiveandholdtheDocumentsandtakedeliveryofanddealwiththeGoodsexclusivelyforobtainingdeliveryofand/ormakingdeliverytopurchasersoftheGoodsorthirdpartiesforthepurposeofprocessingandsellingtheGoodsunles

4、syoushalldirectoragreeotherwise.本公司現(xiàn)在和今后將繼續(xù)把單據(jù)以及與單據(jù)相關(guān)的貨物和/或產(chǎn)品(“貨物”)質(zhì)押給貴行，以作為本公司完全履行義務(wù)的擔(dān)保，該擔(dān)保不受以任何其他人為受益人的任何擔(dān)保權(quán)益的影響。除非貴行另行同意或指示，本公司將僅為接收貨物和/或?yàn)殇N售或加工而向買方或第三方交付貨物之目的接收并持有單據(jù)。TheDocuments,theGoodsandtheproceedsofsaleareandwillbeheldbyusontrustforyouandsolelytoyourorderbutweshallbearallrisksandexpenses.Wes

5、hallpayallproceedsofsaleoftheGoods(inwhateverformtheymaytake),andanysumsreceivedinrespectofinsurancesrelatingtotheGoods,toyouimmediatelyonreceiptwithoutanyset-offordeduction.WeshallkeeprecordswhichproperlyrecordyourinterestintheGoods.PendingpaymentofthesaleproceedsoftheGoodstoyou,weshallholdthemontr

6、ustforyouandsolelytoyourorder,andshallkeeptheminaseparatebankaccountsegregatedfromallotherfundsunderourcontrol.本公司現(xiàn)在和將來均作為貴行的受托人持有單據(jù)、貨物和銷售收益并完全憑貴行指示行事，但是本公司應(yīng)承擔(dān)全部風(fēng)險(xiǎn)和費(fèi)用。本公司一旦收到貨物的銷售收益（無論以何種形式）以及與貨物保險(xiǎn)相關(guān)的任何金額，應(yīng)立即向貴行全額支付，不得作任何抵消或扣減。本公司應(yīng)就貴行對(duì)貨物享有的利益進(jìn)行正確記錄。在將貨物的銷售收益支付給貴行之前，本公司應(yīng)當(dāng)作為貴行的受托人持有該款項(xiàng)并憑貴行指示行事，并且應(yīng)當(dāng)將該款

7、項(xiàng)存放在與本公司控制的其他款項(xiàng)相分隔的單獨(dú)銀行賬戶中。Youareherebyauthorisedtodemandand/orreceivethesaleproceedsoftheGoodsdirectlyfromanybuyerorotherperson,andtoexerciseallotherrights(ifany)ofusastheseller.本公司在此授權(quán)貴行直接向任何買方或其他人請(qǐng)求支付和/或接收貨物的銷售收益，并行使本公司作為賣方所享有的全部其他權(quán)利(如有)。TheGoodsshallbestoredinyournameandanywarrantsfortheGoodssha

8、llbedeliveredtoyou.PendingsaleoftheGoods,weundertaketowarehousetheGoodsasyoumayfromtimetotimedirect.YouareauthorisedtoenteranypremisessoastoinspectorsecurepossessionoftheGoodsandtheDocuments,toremoveanddisposeoftheGoods(oranyofthem)bysaleorotherwiseasyoumaythinkfitandotherwisetodealwiththeGoodsasyou

9、mayconsiderexpedient.本公司應(yīng)當(dāng)以貴行名義存儲(chǔ)貨物并將收據(jù)提交給貴行。在貨物銷售之前，本公司承諾將按貴行不時(shí)發(fā)出的指示對(duì)貨物進(jìn)行倉儲(chǔ)。本公司在此授權(quán)貴行進(jìn)入任何地點(diǎn)，以檢查或確保貨物和單據(jù)的占有情況，并授權(quán)貴行以銷售或貴行認(rèn)為適當(dāng)?shù)钠渌绞睫D(zhuǎn)移和處置貨物(或其任何部分)，以及以貴行認(rèn)為有利的其他方式處置貨物。Weshallpayallwarehousing,freight,dockandotherchargesrelatingtotheGoodsandDocuments.本公司應(yīng)支付與貨物和單據(jù)有關(guān)的全部倉儲(chǔ)費(fèi)、運(yùn)費(fèi)、碼頭費(fèi)和其他費(fèi)用。Weshalladviseyouoft

10、hewhereaboutsoftheGoodsatalltimesandkeepthistransaction,theDocuments,theGoodsandallsaleproceedsseparatefromanyothersandshallnotpermittheGoodstobeprocessedoralteredwithoutyourpriorwrittenconsent.IftheGoodsshallbeheldinpremisesbelongingtousorotherwisestoredwithotherassetsbelongingtous,weshallensuretha

11、ttheGoodsarephysicallysegregatedandeasilyidentifiableasbeingheldontrustforyou.本公司應(yīng)當(dāng)隨時(shí)告知貴行貨物的所在地點(diǎn)，并保持本交易、單據(jù)、貨物和全部銷售收益的獨(dú)立性。在得到貴行的書面同意之前，不得允許對(duì)貨物進(jìn)行加工或變更。如果貨物存放在本公司的場地或者與本公司的其他財(cái)產(chǎn)一起存放，本公司應(yīng)確保本公司作為貴行受托人所持有的貨物在物理上具有獨(dú)立性并且容易與其他財(cái)產(chǎn)相區(qū)分。WeshallkeeptheGoodsfullyinsuredagainstallinsurablerisksasyoumayrequireatourexp

12、ensewithsuchinsurersasyoumayapproveandshallholdthepoliciesandanyinsuranceinstrumentsandproceedsontrustforyouandsolelytoyourorder.Weshallnotifyyouforthwithofanycircumstanceslikelytogiverisetoaninsuranceclaimundersuchinsurances.Intheeventoflossordamage,weshallaccounttoyouimmediatelyforanymoneysreceive

13、dfromtheinsurersandshallmakegoodanydeficiency.本公司應(yīng)當(dāng)根據(jù)貴行的要求，自負(fù)費(fèi)用向貴行批準(zhǔn)的保險(xiǎn)公司就全部可保風(fēng)險(xiǎn)對(duì)貨物進(jìn)行投保，并應(yīng)當(dāng)作為貴行的受托人持有保險(xiǎn)單、其他保險(xiǎn)憑證和保險(xiǎn)收益，憑貴行指示行事。本公司將及時(shí)通知貴行在相關(guān)保險(xiǎn)項(xiàng)下可能發(fā)生保險(xiǎn)金索賠請(qǐng)求的任何情況。如發(fā)生損失或損害，本公司將把自保險(xiǎn)公司收到的任何款項(xiàng)立即支付給貴行，并就任何差額對(duì)貴行作出補(bǔ)償。WeshallnotsellorotherwisedisposeofanyoftheGoods,exceptbyasaleorotherdisposalastrusteeforyouin

14、accordancewiththetermsandconditionsofthisTrustReceipt.本公司不得出售或者以其他方式處置貨物，但依照本信托收據(jù)的條款和條件并作為貴行受托人進(jìn)行的出售或其他處置除外。Youmay,atanytime,terminatethisTrustReceiptandtakepossessionoftheGoodsand/ortheDocumentsand/ortheproceedsofsale,whereverandinwhateverformthesamemaybe.Weundertaketoreturntoyouforthwithuponyourre

15、questatanytimetheDocumentsand/oranyotherdocumentsreceivedbyusinexchangeorsubstitutionforthemandtocomplypromptlyandfullywithanyinstructionswhichyoumaygiveastothemannerofprocessinganddealingwiththeGoods(oranyofthem)ortheremovalofthemto,orstorageofthemat,anyplace.貴行可隨時(shí)終止本信托收據(jù)并占有貨物和/或單據(jù)和/或銷售收益，無論其處于何地或何

16、種形式。本公司承諾，一經(jīng)貴行要求，本公司即向貴行返還單據(jù)和/或本公司作為單據(jù)的交換品或替代品而收到的其他文件，并立即完全遵照貴行就貨物(或其任何部分)的加工和處置方式所發(fā)出的，或?qū)⒇浳?或其任何部分)從某地轉(zhuǎn)出或儲(chǔ)存于某地的任何指示。IfthecredittermarrangedwithyouonthisTrustReceiptexpires,youareherebyauthorisedtodebitourcurrentaccountinfull/partialrepaymentoftheloanagainstimportand/orretirementoftherelevantbillwit

17、houtreferencetous.如本信托收據(jù)的授信期間到期，本公司授權(quán)貴行在無需通知本公司的情況下，借記本公司的往來賬戶以償還全部/部分進(jìn)口押匯款項(xiàng)及/或結(jié)清相關(guān)單據(jù)款項(xiàng)。WeacknowledgethatincasetheGoodsaretakendeliverybymeansofaletterorlettersofguaranteetotheshippingcompany,thevalueappearingaboveisanapproximatevalueonlyestimatedbyusintheabsenceoftheexportersinvoicerelatingtotheGoo

18、dswhichhasnotyetbeenreceivedbyeitherusoryourselvesandweaccordinglyacknowledgeandagreethatweshallabidebyandacceptastheactualvalueoftheGoodssuchtotalsumasshallberevealedbyyourbooksasrelatingtothecommercialcreditorloanagainstimportasthecasemaybewhichshallbeestablishedpursuanttothedocument(s)relatingtot

19、radefinancingtransactionsexecutedbyusandonfilewithyoufromtimetotime(assuchdocument(s)maybeamendedfromtimetotime)andafteryouhavedischargedyourliabilitytoyourcorrespondentinrelationtotheGoodsandthesameshallbefinal.本公司確認(rèn)，如果貨物是以向船公司交付銀行保函的形式提取，由于本公司或貴行還沒收到出口商出具的與貨物相關(guān)的發(fā)票，此時(shí)上述的金額是由本公司估計(jì)的近似的金額。本公司確認(rèn)并且同意，當(dāng)貴

20、行履行了與上述貨物有關(guān)的責(zé)任后，接受上述貨物的實(shí)際價(jià)格，其總額應(yīng)與貴行根據(jù)本公司與貴行隨時(shí)簽署并在貴行存檔的有關(guān)貿(mào)易融資交易文件(該等文件可不時(shí)進(jìn)行修訂)所開立的信用證或進(jìn)口押匯的賬面總額相一致。Weshallnotpledge,chargeorotherwiseencumbertheGoodsforanypurpose,norallowanyperson(otherthanyou)toacquireanysecurityinterestinthem,norpartwithcontrolofthemexcepttopurchasersthereofintheordinarycourseofou

21、rbusiness.本公司不得為任何目的在貨物上設(shè)立質(zhì)押、擔(dān)?；蚱渌?fù)擔(dān)，亦不得允許任何人(貴行除外)在貨物上取得任何擔(dān)保利益，并且除了正常經(jīng)營過程中的買方外，不得放棄對(duì)貨物的控制。WeshallnotwithoutyourpriorwrittenconsentselltheGoods(oranyofthem)oncredittermsorforlessthanthebillamount(ifany)asshownabove.NorshallweselltheGoodstopurchaserstowhomweareindebtedorunderanyliability.未經(jīng)貴行書面同意，本公司

22、不得賒銷貨物(或其任何部分)，或者以低于上述票據(jù)金額(如有)的價(jià)格出售貨物，并不得向本公司對(duì)其欠付債務(wù)或負(fù)有任何責(zé)任的買方出售貨物。Yourknowledgeofanybreach,failureoromissioninrespectofanyofourobligationsunderthisTrustReceiptshallnotoperateasawaiveroforotherwiseprecludeyoufromexercisinganyofyourrightsunderthisTrustReceipt.貴行知悉本公司在信托收據(jù)項(xiàng)下的義務(wù)被違反，或者未能履行或疏于履行義務(wù)，不得視作貴行放

23、棄本信托收據(jù)項(xiàng)下的任何權(quán)利，也不得以其他方式阻礙貴行行使相關(guān)權(quán)利。Youshallhavenoresponsibilitywhatsoeverforthecorrectness,validityorsufficiencyoftheDocumentshandedtousorfortheexistence,character,quality,quantity,condition,packing,valueordeliveryoftheGoods.貴行無需就貴行提交給本公司的單據(jù)的正確性、有效性或充分性承擔(dān)責(zé)任，也無需就貨物的存在、性質(zhì)、質(zhì)量、數(shù)量、狀況、包裝、價(jià)值或交付承擔(dān)責(zé)任。Weherebya

24、greetopromptlyandfullyindemnifyyou,yourcorrespondentsandagentsondemandagainstallliabilities,claims,demands,losses,damages,taxes,costs,chargesandexpensesofanykind(including,withoutlimitation,legalfeesonafullindemnitybasis)whichmaybesufferedorincurredbyyouoranyofyourcorrespondentsoragentsandallactions

25、orproceedingswhichmaybebroughtbyoragainstyouoranyofyourcorrespondentsoragentswhetherincontract,tortorotherwisearisingfromorinconnectionwithyourreleasetousoftheDocumentsorotherwiseinrelationtotheGoodsintheabsenceofanynegligenceorwillfuldefaultonyourpart.本公司在此同意，如果貴行、貴行的往來行和代理行因向本公司釋放單據(jù)或與貨物有關(guān)的其他事項(xiàng)遭致或發(fā)

26、生任何責(zé)任、索賠、請(qǐng)求、損失、損害、稅賦、成本、費(fèi)用和任何形式的支出(包括但不限于全部法律費(fèi)用)，或貴行提起或被提起合同、侵權(quán)或其他任何訴訟或程序，只要貴行不存在疏忽或故意的違約行為，本公司一經(jīng)請(qǐng)求，將立即對(duì)貴行、貴行的往來行和代理行做出充分補(bǔ)償。ThisTrustReceiptisofcontinuingeffectnotwithstandingthedeath,bankruptcy,liquidation,incapacityoranychangeintheconstitutionofusoranysettlementofaccountorothermatterwhatsoeverandi

27、sinadditiontoandshallnotmergewithorotherwiseprejudiceoraffectanycontractualorotherrightorremedyoranyguarantee,pledge,bill,note,mortgage,(ifpermittedbylaw)lienorothersecurity(whethercreatedbythedepositofdocumentsorotherwise)noworhereafterheldbyoravailabletoyouandshallnotbeinanywayprejudicedoraffected

28、therebyorbytheinvaliditythereoforbyyounoworhereafterdealingwithexchanging,releasing,varyingorabstainingfromperfectingorenforcinganyofthesameoranyrightswhichyoumaynoworhereafterhaveorgivingtimeforpaymentorindulgenceorcompoundingwithanyotherpersonliable.無論本公司發(fā)生死亡、破產(chǎn)、清算、喪失行為能力，或者本公司的組織機(jī)構(gòu)、賬戶結(jié)算或其他任何事項(xiàng)發(fā)生任

29、何變更，本信托收據(jù)將繼續(xù)有效，并作為貴行當(dāng)前和今后持有或可獲得的合同或其他權(quán)利、補(bǔ)償或任何擔(dān)保、質(zhì)押、單據(jù)、票據(jù)、抵押、（如法律允許）留置或其他擔(dān)保（無論以質(zhì)押單據(jù)的方式或其他方式創(chuàng)設(shè)）的補(bǔ)充，不得與其混同，并且不得以任何方式受到上述合同或其他權(quán)利、補(bǔ)償或任何擔(dān)保、質(zhì)押、單據(jù)、票據(jù)、抵押、（如法律允許）留置或其他擔(dān)保的損害或影響，或因其無效，或因貴行現(xiàn)在和將來交換、釋放、變更、放棄完善或強(qiáng)制執(zhí)行上述合同或其他權(quán)利、補(bǔ)償或任何擔(dān)保、質(zhì)押、單據(jù)、票據(jù)、抵押、（如法律允許）留置或其他擔(dān)保或貴行當(dāng)前和將來擁有的任何其他權(quán)利，或因貴行給予付款延展期，寬限或與其他責(zé)任人達(dá)成妥協(xié)而受到損害或影響。(xvii

30、i)Ifsignedbyafirm,thisTrustReceiptshallbebindingjointlyandseverallyonallpersonsfromtimetotimecarryingonbusinessinthenameofsuchfirmorunderthenameinwhichthebusinessofsuchfirmmayfromtimetotimebecontinuednotwithstandingtheretirementordeathofanypartnerortheintroductionofanyfurtherpartner.如果本信托收據(jù)由合伙簽署，則不時(shí)以該合伙名義或以該合伙存續(xù)的業(yè)務(wù)在當(dāng)時(shí)所使用的名義從事經(jīng)營的全部人士均應(yīng)受其約束并承擔(dān)連帶責(zé)任，無論該合伙的任何合伙人發(fā)生退休，死亡或其引入任何新合伙人。(xix)ThisTrustReceipt(“thisTrustReceipt”)isgoverne
