ServiceAgreementofSuninerseas甲方：（下稱“商家PartyA:(hereinafterreferredtoas“the乙方：江蘇蘇寧易購電子商務(wù)（下稱“蘇寧易購PartyB:Jiangsu merceCo.,.(hereinafterreferredtoas 住所地：江蘇省市玄武區(qū)徐莊園蘇寧大道1Domicile:No.1,SuningAvenue,XuzhuangSoftwarePark,XuanwuDistrict,Nanjing,JiangsuRepresentative:JinTheAgreementisjointlyconcludedbetweentheMerchantwhoagreesandpromisestoabidebytheAgreementandenjoytheOverseasPurchaseServiceofSuning(PartyA)andSuning (PartyB).TheAgreementislegallybindinguponbothparties.Thecontentandinuringofthe（一）本協(xié)議內(nèi)容包括協(xié)議正文、附屬文件，以及所有蘇寧易購在蘇寧易購上（含蘇寧海外購）已經(jīng)發(fā)布的或?qū)砜赡馨l(fā)布的各類使用規(guī)則（以下簡稱“海外購規(guī)則”）；所有TheAgreementincludesthemainbodyoftheAgreement,theappendixesoftheAgreement,andallwebsiteserviceregulations(hereinafterreferredtoas“OverseasPurchaseRules”)thatSuningmercehasreleasedormayreleaseinthefutureonitswebsite(includingSuningOverseasPurchase).AllOverseasPurchaseRulesshallconstituteanintegralpartoftheAgreementandthesamelegal themainbodyofthe協(xié)議及海外購規(guī)則。蘇寧易購根據(jù)業(yè)務(wù)發(fā)展需要不時地修訂本協(xié)議及海外購規(guī)則，或制定訂或新制定內(nèi)容，必須立即停止使用海外購服務(wù)，并以方式通知蘇寧易購終止本協(xié)議。商另行明確外，任何使海外購服務(wù)范圍擴(kuò)大或功能增強(qiáng)的新內(nèi)容均受本協(xié)議約束。WhileenjoyingtheOverseasPurchaseServiceofSuning(hereinafterreferredtoas“OverseasPurchaseService”),theMerchantpromisestoacceptandobservetheAgreementandOverseasPurchaseRules.Suning merceshallhavetherighttomodifytheAgreementandOverseasPurchaseRulesatanytimeaccordingtoitsbusinessdevelopment,orformulatenewOverseasPurchaseRulesandAppendixes.Suning mercewillnotifytheMerchantofthemodificationandthenewformulationthroughpublicityatthebackstageoftheMerchant,whichshalltakeeffectand eanintegralpartoftheAgreementseven(7)daysafterthenotification.IftheMerchantdisapprovestheAgreement,therelevantmodificationornewformulation,theMerchantmustimmediaystopenjoyingOverseasPurchaseService,andterminatetheAgreementbynotifyingSuning merceinwriting.IftheMerchantlogsontoSuningOverseasPurchaseorcontinuestoenjoyOverseasPurchaseService,theMerchantshallberegardedashavingacceptedtheAgreementanditsmodificationandaddition.Unlessotherwisedeclaredexplicitly,anynewcontentwhichexpandsthescopeorintensifiesthefunctionofOverseasPurchaseServiceshallbeboundbytheAgreement.ThesignatureoronlineacceptanceoftheAgreementbytheMerchantshallnotcontributetotheimmediateinuringoftheAgreement.AftertheMerchantsubmitsapplicationforsettlementand merceapprovestheapplicationandnotifiestheMerchantofthestart-upofthebackstagefunctionoftheMerchant’sOverseasPurchaseStore,theAgreementshallimmediayelegallyeffectivebetweentheMerchantand Thefollowingtermsshallhavethefollowingmeaningsunlessotherwise1、蘇寧易購：指由蘇寧易購提供技術(shù)支持和服務(wù)的電子商務(wù)，首頁（或蘇寧易購根據(jù)業(yè)務(wù)需要不時修改的），蘇寧易購是為用戶提ThewebsiteofSuning merce:theelectroniccommercewebsiteforSuningmercetooffertechnicalsupportandservice.Thenameofthewebsitehomepageis(oranyothernameselectedbySuning merceatanytimeaccordingtoitsbusinessrequirements).ThewebsiteofSuning merceisaplatformforwebsiteuserstoconductsuchtransactionsasinformationbrowsing,inquiry,release,exchangeandreachinganintentoftransaction.、、地區(qū)）商品或服務(wù)的，交易以及結(jié)算平臺。SuninerseasPurchase:theplatformofcross-bordertransactionsandsettlements,onwhich mercereleasesatanytime,andwhichappliesforregistrationandsettlementatSuninerseasPurchaseaccordingtotheproceduresandrequirementsofOverseasPurchase.、4：是指商家登錄蘇寧海外購平臺，申請成為海外購商家并按蘇寧易購要求填寫相關(guān)信息，閱讀并確認(rèn)接受或簽署本協(xié)議，以獲取并激活蘇寧易購分配給其使用的蘇、Registration:theprocessfortheMerchanttologontotheplatformofSuningOverseasPurchase,applyfor ingaMerchantofOverseasPurchasethroughregistration,fillinrelevantinformationsheetsaccordingtotherequirementsofSuning merce,andreadandconfirmacceptanceoftheAgreementonlineorsigntheAgreementinwriting,soastoacquireandactivatetheaccountofSuninerseasPurchaseallocatedbySuning mercetoitforuse.ServiceofOverseasPurchase:suchserviceasInternetinformationrelease,commercialpromotion,commoditytransactionandrelatedInternetTechnologyservicethatSuning offerstotheMerchantviaSuninerseasPurchase.商家須將用戶名（通常為一組字符）和賬戶匹配使用后方可登錄進(jìn)入商家系統(tǒng)界面，使用相關(guān)海外購服務(wù)；海外購賬戶由商家自行設(shè)定和更改，商家應(yīng)妥善保管其海外購用戶名及信息，商家不得以擅自轉(zhuǎn)讓、轉(zhuǎn)借或他人使用自己的海外購賬戶。OverseasPurchaseAccount(alsoreferredtoas“MerchantAccount”):theaccountofright-to-usethatSuning merceallocatestotheMerchantwhichhascompletedregistration.TheMerchantcanlogontothebackstagesysteminterfaceoftheMerchantonlybymatchingandusingitsusername(usuallyagroupofcharacters)andaccountpassword,thusenjoyingtherelevantOverseasPurchaseService.ThepasswordofOverseasPurchaseAccountshallbesetandalteredbytheMerchantvoluntarily.TheMerchantshalltakegoodcareofitsusernameandpasswordinformationofOverseasPurchase,andshallnot,inanyform,arbitrarilytransfer,lendorauthorizeanyothertouseitsownOverseasPurchase在自己的內(nèi)有獨立經(jīng)營管理權(quán)利，商家通過商家賬戶登陸對實施管理，自內(nèi)商品信息和外觀，自主進(jìn)行交易MerchantStore(alsoreferredtoas“Store”):anindependentonlinevirtualsalesenvironmentthatSuning merceallocatestotheMerchant.TheMerchantenjoysanindependentrightofoperationandmanagementinitsownstore,andcanlogontothestorebackstageviaMerchantAccounttoexertduemanagementovertheStore,andvoluntarilymaintainthecommodityinformationandstoreappearanceandconducttransactionsinitsownstore.用戶提供的“易付寶”系統(tǒng)及通過該系統(tǒng)為用戶提供的代管、代收、代付款項等中介服YifubaoService:The“Yifubao”softwaresystemthatNanjingSuningPaymentTechnologyCo.,.(hereinafterreferredtoas“YifubaoCompany”)providestoYifubaousersandsuchintermediaryserviceasescrow,collectionandpayment(hereinafterreferredtoas“YifubaoService”)thatYifubaoCompanyofferstotheusersviathesoftwaresystem.寶公司提供的唯一的，即易付寶賬號，并由易付寶用戶自行設(shè)置，以此查詢或計量易YifubaoAccount:thesoleserialnumber(namely:YifubaoNumber)thatYifubaoCompanyprovidestotheuserwhohasmadeupitsdecisiontoapplyforYifubaoservices,andhasnormallycompletedtheproceduresforregisteringtheYifubaoAccount.TheYifubaousershallsetthepasswordvoluntarily,withwhichtheusercaninquireaboutorcalculateitsprepayments,receivablesorpayablesorcarryoutrelevantoperations.ServiceTermsofOverseasPurchase:acontractualseparaysignedbetweentheMerchantandSuning merce,relatedtoOverseasPurchaseServiceandcontainingvariousindividualizedprovisions.IfthereisanybetweenanytermofOverseasPurchaseServiceandanypartofthemainbodyoftheAgreement,thentheformershallprevail.Commodities:Fortheconvenienceofexpression,the“Commodities”referredtointheAgreementincludecommoditiesandservice,e.g.tangiblecommodities,virtualcommodities,intangibleservice.12、買家：是指通過或意圖通過蘇寧海外購向商家商品或服務(wù)的個人消費者等客戶TheBuyer:anyindividualconsumeroranyothercustomerwhopurchasesorintendstopurchaseanycommodityorservicefromtheMerchantviaSuninerseasPurchase.Overviewofcooperation1 merceshallofferOverseasPurchaseServiceonthebasisofitstechnicalcapacityandresources.TheMerchantscommoditiesorservicestotheBuyerviathePlatformofOverseasPurchase.TheMerchantshalldealinitsbusinessaccordingtolaw,assumesoleresponsibilityforitsprofitsandlosses,andindependentlybearrelevantliabilitiesandrisks.務(wù)、應(yīng)用服務(wù)等）的服務(wù)商也可以入駐海外購平臺，商家可根據(jù)需要自主選擇與該等入駐FortheconvenientsalesoftheMerchant,themerchants(hereinafterreferredtoas“serviceproviders”)whoprovideauxiliaryservicesfortransactions(includingbutnotlimitedtowarehousingservice,distributionservice,onlinemarketingserviceandapplicationsoftwareservice)csosettleontothePlatformofOverseasPurchase.TheMerchantcanvoluntarilychoosetocooperatewiththesesettledserviceprovidersasrequired.Merchantqualificationand（一）Merchant商家保證其為根據(jù)其所在國法律登記、的合法經(jīng)營主體，具有簽訂和履行本協(xié)議的權(quán)TheMerchantshallguaranteethatitisalawfulbusinessentityregisteredaccordingtothelawofitshostcountry,havingtherightandcapacityforsigningandperformingtheAgreement,andhavingthelawfulqualificationtosellthecommoditiesorservicesitreleasesonthePlatformofOverseas”：TheMerchantshallproviderelevantqualifications(“s”)toSuningmerce,toprovethatitenjoysthelawfuloperationrighttosellcommoditiesandofferatSuninerseasPurchase.Thesesincludebutnotlimitedto(subjecttotherequirementsofSuning ：（1）主體資格證明指商家為所在國合法企業(yè)居民的相關(guān)類證明文（如、公司證明等；：Entityqualifications:therelevantIDswhichprovethattheMerchantisalawfulcorporatecitizenofitshostcountry(e.g.businesslicense,corporateregistration（Effectiveexistences:theswhichcertifythelocallawfulexistenceoftheMerchant(e.g.therecenttaxpayment,commercialregistration);Operationauthorizations:includingbutnotlimitedtotrademarkauthorization,brandauthorization,andpatentauthorization.Theoriginalsorduplicatesofthesesshallbe商家應(yīng)確保在中民境內(nèi)設(shè)置分支機(jī)構(gòu)或委托他方代為辦理事宜，TheMerchantshallensurethatithasalreadysetupitsbranchorhasalreadyauthorizedanyotherpartyintheterritoryofthePeople’stohandleafter-salesserviceonitsbehalf,andshallprovidecorrespondings;其他蘇寧易購要求提供的資料（5）OtherswhichshallbeprovidedaccordingtothepublicityrequirementsofSuningTheoriginalandscannedcopiesofabove-mentionedsshallbeuploadedtoSuningOverseasPurchase.，蘇寧易購根據(jù)經(jīng)營需要、中民（下稱“中國”）政策變化以及消費者、行政蘇寧易購要求的，蘇寧易購終止商家使用海外購服務(wù)的申請中止或解除本協(xié)議， merceshallhavetherighttodemandtheMerchanttoprothersaccordingtoitsbusinessrequirements,thepolicychangeofthePeople’sRepublicofChina(hereinafterreferredtoas“China”)andthedemandsofconsumersandadministrativeandjudiciaryans,oridentifytheauthenticityandpurposeofrelevants,andcarryoutcorrespondingtreatmentsaccordingtotheconclusionofidentification.IftheMerchantcannotproviderelevantsorprovidesswhichdonotmeettherequirementofSuning merce,SuningmerceshallhavetherighttoterminatethereviewoftheapplicationoftheMerchantforenjoyinerseasPurchaseService,andshallhavetherighttosuspendorrescindtheAgreement.（二）(Ⅱ)submission:WhileapplyingforOverseasPurchaseService,theMerchantmustsubmitallnecessarysrequiredbytheMerchantStandardsofSuning merce,andassistSuning merceinverifyingrelevants.其他可能影響商家訂立及履行本協(xié)議的情況，蘇寧易購解除本協(xié)議和/或注銷商家海外購帳戶，商家應(yīng)承擔(dān)由此產(chǎn)生的，并應(yīng)進(jìn)一步就蘇寧易購由此承擔(dān)的任何直接或間接損失IfanyoftheMerchanthasbeenupdated,theMerchantshallprovidetherenewedversiontoSuning mercewithin30daysaftertheupdating.IftheMerchantprovidesanyfalseorinvalid ,orfailstotimelyprovideanyupdated ,orSuning merceholdstheopinionthatanycircumstanceofanyoftheMerchantmaypreventtheMerchantfromconcludingorperformingtheAgreementnormally,thenSuning merceshallhavetherighttorescindtheAgreementand/orcanceltheOverseasPurchaseAccountoftheMerchant.TheMerchantshallbearalllegalliabilitiesthusoccurred,andshallfurtherassumecompensationliabilitytoSuningmerceforanydirectorindirectlossthatSuning mercehasincurredaccordingly.（三）(Ⅲ)Theguaranteeof給蘇寧易購（包括其合作伙伴、人、職員等）造成損失的，商家同意賠償其全部損失。TheMerchantshallguaranteethatallsprovidedbytheMerchanttoSuningmerceareauthentic,accurate,complete,lawfulandfreeofanyoutdatedproblem(namely:guaranteeingthatallsarewithintheirvalidperiodthroughouttheperiodofcontractperformance).IfanydisputeoccursoranypunishmentismetedoutbyarelevantChineseauthoritybecauseofthefalsehood,invalidity,etc.ofanyqualificationoftheMerchant,theMerchantshallsolelyassumeallrelevantliabilities.If merce(includingitsbusinessagentsandemployees)incursanylossaccordingly,theMerchantshallcompensateforthe（四）商家主體資質(zhì)(Ⅳ)ThepublicityoftheMerchantity商家應(yīng)依法在其前臺界面醒目位置，商家主體資格證明文件信息或主體資格證明文件電子。商家應(yīng)賠償蘇寧易購因商家未能按照本條要求進(jìn)行而的任何損失。TheMerchantshall,accordingtolaw,publicizeitityqualificationsorelectroniclinkswithitsentityqualificationsatanyconspicuouspositionofitsforestagestoreinterfaces.TheMerchantshallcompensateforanylossincurredbySuning mercebecausetheMerchantfailstopublicizetheaboveaccordingtotherequirementofthisclause.ApplicationMerchantswhoapplyforenjoyingOverseasPurchaseServicemustmeetthefollowingconditionsatthesametime:（一）MeetthespecificrequirementsoftheMerchantStandardsof （二）確認(rèn)接受本協(xié)議（含其附屬文件和海外購規(guī)則 成為蘇寧海外購用戶ConfirmacceptanceoftheAgreement(includingitsappendixesandOverseasPurchaseRules),and eauserofSuninerseasPurchasethroughregistration;ConfirmacceptanceofYifubaoServiceAgreementandYifubaoServiceRules,andputitsYifubaoAccountintooperation,andbegintoenjoyYifubaoService.（四）SubmitthequalificationsofMerchantrequiredbytheAgreementandSuningmerceandobtaintheapprovalofSuning 如無經(jīng)營資格或本協(xié)議規(guī)定的經(jīng)營主體，不當(dāng)為海外購商家或其民事權(quán)利或立即注銷該經(jīng)營主體的海外購賬戶，并其使用海外購服務(wù)的一切，并賠償蘇寧易購由此的一切損失ForanybusinessentitywhichdoesnothaveanyoperationqualificationandwhichgoesagainsttheprovisionsoftheAgreement,ifthisbusinessentity esaMerchantofOverseasPurchasethroughillegalregistrationorcarriesoutanytransactionbeyonditscivilrightordisposingcapacity,thentheagreementreachedbetweenthisbusinessentityandSuning merceshall invalidfromthebeginning.Afterdiscovery,Suning merceshallhavetherighttoimmediaycanceltheOverseasPurchaseAccountofthisbusinessentity,andinvestigateallthelegalliabilitiesofthebusinessentityforenjoyingOverseasPurchaseService,anddemandthebusinessentitytocompensateforalllossesSuning mercehasincurredaccordingly.六、商家的、保證與承Thedeclarations,guaranteesandpromisesofthe商家、保證并承諾如下Thedeclarations,guaranteesandpromisesofthe1、商家保證其符合蘇寧海外購招商標(biāo)準(zhǔn)規(guī)定的申請條件，且向蘇寧易購提供的資料真商家同意，商家有義務(wù)在相關(guān)資料實際變更時立即更新有關(guān)資料。TheMerchantguaranteesthattheMerchantmeetstheapplicationconditionsstipulatedbytheMerchantStandardsofSuninerseasPurchase,andprovidesSuning mercewithauthentic,accurate,complete,lawfulandvalidregistration s.TheMerchantalsoguaranteesthat mercecangetintouchwiththeMerchantwiththecontactinformationintheregistrations.TheMerchantagreesthattheMerchantisobligedtoimmediayupdaterelevantregistrationswhentherelevantregistrationshavebeenactuallyaltered.TheMerchantpromisestoabidebytheAgreement,YifubaoServiceAgreement,OverseasPurchaseRulesandallrulespublicizedonthewebsiteofSuning 3TheMerchantguaranteesthattheMerchanthasthelawfulrightandqualificationtoconcludetheAgreementandenjoyOverseasPurchaseService.戶，商家同意，商家應(yīng)妥善保管海外購賬戶用戶名及信息，不得以擅自轉(zhuǎn)讓Aftercompletingtheregistrationprocedures,theMerchantwillobtainausernameofOverseasPurchaseAccountfromSuning merce.TheMerchantshallvoluntarilysetthepasswordfortheOverseasPurchaseAccount.TheMerchantagreesthattheMerchantshalltakegoodcareoftheusernameandpasswordinformationofOverseasPurchaseAccount,shallnotarbitrarilytransferorauthorizeotherstouseitsownOverseasPurchaseAccountinanyform,andshallassumeallliabilitiesforallactivitiesbasedontheusingoftheOverseasPurchaseAccount.TheMerchantpromisesthatallinformationtheMerchanthasreleasedonthewebsiteof merceistruthful,accurate,completeandlawful,andconsistentwithrequirementsofrelevantlawsandregulations,theAgreementandOverseasPurchaseRules.6、商家保證對其發(fā)布于蘇寧易購的交易信息中所涉商品有合法的銷售權(quán)，商家已取得享有唯一的合法的所，且商品推介、銷售和交付等行為均未任何第的任何合法權(quán)TheMerchantpromisesthattheMerchanthasthelawfulrighttosellthecommoditiescoveredbythetransactioninformationonthewebsiteofSuning merce,theMerchanthasalreadyacquiredtheapproval,permission,certification,testingandotherlegal srequiredforsellingthesecommodities.TheMerchantguaranteesthatallcommoditiessoldbytheMerchanthavelawfulsources,andtheMerchantenjoysthesolelawfulownershiptothesecommodities,andthecommoditypromotion,salesanddeliveryandotherbehaviorsoftheMerchantdonotinfringeuponanylawfulrightandinterestofanythirdparty.用者造成任何產(chǎn)品說明標(biāo)示以外的，因產(chǎn)品使用造成的相關(guān)由商家承擔(dān)。商家承諾對其所出售的商品提供，且保證執(zhí)行蘇寧易購發(fā)布的各項規(guī)定。TheMerchantguaranteesthatallcommoditiessoldbytheMerchantfullymeetthelegalprovisionsandrelevantproductstandardsofthecargo-dispatchingcountries(regions),andwillnotbringanymoreharmtotheuserthanwhatismarkedintheproductinstructions,andtheMerchantshallassumeallrelevantconsequencesfortheusingoftheproducts.TheMerchantpromisestoofferafter-saleservicetothecommoditiessoldbytheMerchant,andguaranteesthattheMerchantshallabidebyvariousprovisionsofafter-saleservicereleasedbySuning 中國法律對于本協(xié)議約定的相關(guān)商品執(zhí)行的法律及標(biāo)準(zhǔn)要求與本協(xié)議有的，按照中國法律政策規(guī)定執(zhí)行。蘇寧易購按照中國的法律及產(chǎn)品標(biāo)準(zhǔn)對商家銷售的商品進(jìn)行檢測，對于不符合中國產(chǎn)品標(biāo)準(zhǔn)的商品，蘇寧易購選擇對商家進(jìn)行警示、解約或?qū)ι唐愤M(jìn)行下架處IfthereisanybetweenChineselaws/policiesandtheAgreementontherelevantapplicablelawsandstandardsofcommodities,theChineselaws/policiesshallprevail.SuningmerceshallhavetherighttotestthecommoditiessoldbytheMerchantaccordingtoChineselawsandproductstandards.ForcommoditieswhichdonotconformtoChineseproductstandards, merceshallhavetherighttochoosetoissuewarningtotheMerchant,rescindtheAgreement,removetherelevantcommoditiesoffshelvesortakeotherrelevantmeasures.以及由該等事項的對買家或第的責(zé)任，全部由商家自行承擔(dān)。TheMerchantconfirmsknowingandagreeingthat:Suning merceonlyprovidesasalesplatformtotheMerchantintheAgreement,Suning mercewillnotengageinanysellingoroperatingactivityoftheMerchantonitsownandwillnotassumeanyliabilityforanythingrelatedtothecommoditiesandservicesdbytheMerchant.TheMerchantshallindependentlyassumeallliabilitiesforallmattersrelatedtothecommoditiessoldbyortheserviceofferedbytheMerchant,includingthepre-saleservice,productsafety,productqualityandafter-saleservice.TheMerchantshallalsoindependentlyassumealltheliabilitiesfortheBuyerorthirdpartieswhicharecausedbythesematters. TheMerchantshallpayrelevanttaxesaccordingtoChineselaws.IftheMerchantneedstoissuesandothertransactionvoucherstotheBuyerforthesoldcommoditiesaccordingtotheexplicitprovisionsofChineselaws,thentheMerchantshalldosoaccordingly.ThetransactionbehaviorsoftheMerchantshallstrictlyadheretothelawsofthehostcountryoftheMerchantortheplacewherethetransactionbehavioroccurs,andtheMerchantshallpaytaxesandissuetransactionbillsaccordingtothelawsofthiscountry.TheMerchantvoluntarilyagreestoacceptonly“YifubaoService”oranyotherpaymentmeansprovidedbyYifubaoCompanyasthepaymentinstrumentforthetransactionstheMerchantconcludesviathePlatformofOverseasPurchase,soastopromoteconsumerexperience,increasepaymentandsettlementefficiencyandenhanceplatformservicequality.TheMerchantguaranteesthattheMerchantwillabidebytheprincipleofhonestyandcreditwhileconductingtransactionsthroughOverseasPurchaseService,andwillnottakeanyillegalcompetitiveactintheprocessoftransactions,willnotdisturbthenormalorderofonlinetransactions,andwillnotengageinanybehaviorunrelatedtoonlinetransactions.12、商家保證其在使用海外購服務(wù)過程中所實施的所有行為均遵守相關(guān)國家的，應(yīng)以自己的名義獨立承擔(dān)所有。TheMerchantguaranteesthattheMerchantwillabidebylawsandregulationsofrelevantcountries,theAgreement,OverseasPurchaseRules,socialpublicpoliciesandpublicmoralitywhilecarryingoutallbehaviorsthroughtheOverseasPurchaseService.Incaseofanyviolationinthisregard,theMerchantshallsolelyassumealllegalliabilitiesinitsownname.13、商家同意其不對蘇寧易購上的自身以外的任何數(shù)據(jù)作商業(yè)性利用；在蘇寧易購及其他用戶事先同意情況下，商家不得以、或向他方披露等方式使用在蘇寧易購上其他用戶展示的任何資料。TheMerchantagreesthattheMerchantwillnotuseanydataoutsideitsownstoreonthewebsiteofSuning merceforanycommercialpurpose.Withoutthepriorwrittenpermissionof merceandotherusers,theMerchantshallnotcopy,spread,disclosetoanyotherparty,oruseinanyotherformanydataorinformationdisplayedbyanyotheruseronthewebsiteofSuning14、商家承諾其擁有合法的權(quán)利和資格向蘇寧易購上傳有關(guān)商品銷售信息并進(jìn)行商品構(gòu)成，如因商家行為導(dǎo)致蘇寧易購任何第提起的索賠，或行政，商家將承擔(dān)全部責(zé)任，并賠償蘇寧易購或其關(guān)聯(lián)公司所的損失。TheMerchantpromisesthattheMerchanthaslawfulrightsandcapacitiestouploadrelevantcommoditysaleinformationandengageincommoditysalesto/onthewebsiteofSuning andthesebehaviorswillnotconstituteanyinfringementuponthelawfulrightsandinterestsofanythirdparty(includingbutnotlimitedtotheinlectualpropertyright,realrightandportraitrightofthirdparties).IfanybehavioroftheMerchantbringsaboutanyclaim,lawsuitoradministrativeinvestigationinstitutedbyanythirdpartyagainstSuning merce,thentheMerchantshallassumeallliabilitiesandcompensateforlossesincurredbySuning merceoritsaffiliatedTheMerchantknowsandagreesthattheMerchantshallsolelyassumeliabilityfortheautomaticrefundingofsystemandotherlossesincurredbytheMerchantbecauseofitswrong16、商家同意，對商家未及時通知或更新商家資料和證明文件所導(dǎo)致的承擔(dān)全部TheMerchantagreesthattheMerchantshallassumeallliabilitiesfortheconsequencesoftheMerchant’sfailuretomaketimelynotificationorupdatetheMerchant’sregistrationdataand17、商家不可撤銷地蘇寧易購可以任何方式（如、翻譯、展示等形式）使用商家于海外購平臺的各類信息，或以現(xiàn)在已知或日后開發(fā)的、載體或技術(shù)，將上述信息納入其它作品（以下簡稱‘使用權(quán)’）；商家不可撤銷地授予蘇寧易購在本協(xié)議有效期內(nèi)無償?shù)氖褂脵?quán)，并且蘇寧易購就該使用權(quán)進(jìn)行包括但不限于市場推廣行為的再授TheMerchantherebyirrevocablylicensesSuning mercetousevarioustypesofinformationtheMerchantpublicizesonthePlatformofOverseasPurchaseinanyform(e.g.copying,translationordisplay),orincludetheaboveinformationinanyofitsotherworksthroughanyknownorsubsequently-developedform,carrierortechnique(hereinafterreferredtoas“LicensingRight”).TheMerchantherebyirrevocablyconfertheLicensingRightuponSuning mercetousetheaboveinformationfreeofchargeinthevalidperiodoftheAgreement,and mercehavetherighttosub-licensetheLicensingRightincludingbutnotlimitedtomarketpromotion18、在本協(xié)議前款約定的使用權(quán)期限屆滿后或本協(xié)議被提前終止或解除后，對于蘇寧易購（或蘇寧易購的第）在有效期內(nèi)已經(jīng)使用的商家的各類信息，商家同意蘇寧易購（或蘇寧易購的第）無需更換、收回或處理，并無需承擔(dān)任何責(zé)任。AftertheperiodofthelicensingrightagreeduponintheaboveclauseexpiresoraftertheAgreementisterminatedorrescindedinadvance,theMerchantagreesthatSuning merce(oranythirdpartyauthorizedbySuning merce)needn’treplace,recoverordisposeofvarioustypesofinformationoftheMerchantwhichhavealreadybeenusedinthevalidperiodoflicensingby merce(oranythirdpartyauthorizedbySuning merce),andneedn’tassumeanytortliability,either.19、商家不可撤銷地易付寶公司在以下情形或本協(xié)議約定的其他情形下自本協(xié)議訂立TheMerchanttherebyirrevocablyauthorizesYifubaoCompanyto,underthefollowingcircumstancesoranyothercircumstanceagreeduponintheAgreement,directlyfreeze,transferanddeductanyofthebalanceoftheYifubaoAccountoftheMerchantaccordingtotheinstructionof merceaftertheAgreementisconcluded:商家短時間內(nèi)發(fā)生大量或?qū)I家存在重大履約風(fēng)險的（1）AlotofcomplaintsoccurtotheMerchantwithinashortperiod,orthereexistsanymajorriskofcontractperformancetotheBuyeronthepartoftheMerchant;商家行政或刑事違法行為，可能給蘇寧易購造成損失的TheMerchantisedofanyadministrativeorcriminalillegalbehavior,whi bringlosstoSuning 商家本合同或平臺規(guī)則的規(guī)定，賠償責(zé)任超過商家保證金額度的（3）TheMerchantviolatesanyprovisionsoftheAgreementorplatformrules,withitscompensationliabilityexceedingthesuretylimitoftheMerchant.20、商家保證蘇寧易購及其關(guān)聯(lián)公司的良好聲譽(yù)和企業(yè)形象，不做出任何有損于蘇寧易購及其關(guān)聯(lián)公司之品牌形象和聲譽(yù)的任何及行動。商家同意，如蘇寧易購發(fā)現(xiàn)商家有故意詆毀或損害蘇寧易購及其關(guān)聯(lián)公司聲譽(yù)的言行或行為的，蘇寧易購立即終止本協(xié)議，并將視情節(jié)商家。TheMerchantguaranteesthattheMerchantwilltryitsbesttomaintainthegoodreputationandcorporateimageofSuning merceanditsaffiliatedcompany,andwillnotmakeanystatementortakeanyactionwhichmayimpairthebrandimageandreputationofSuningmerceanditsaffiliatedcompany.TheMerchantagreesthatSuning merceshallhavetherighttoterminatetheAgreementandinvestigatetheMerchant’slegalliabilityaccordingtothecircumstanceifSuning mercefindsoutthattheMerchanthasmadeanystatementortakenanyactionwhiayimpairthereputationofSuning merceanditsaffiliatedcompany.21、商家同意，蘇寧易購，商家不得為任何目的和形式使用蘇寧易購及其關(guān)聯(lián)公司的商標(biāo)、標(biāo)志及企業(yè)名稱、字號，否則，商家應(yīng)承擔(dān)由此引致的全部。TheMerchantagreesthattheMerchantshallnot,foranypurposeorinanyform,usethetrademark,logoandenterprisenameortradenameofSuning merceanditsaffiliatedcompanywithoutthewrittenauthorizationofSuning elegallyeffectiveonlyafterSuningmercehasreviewedandverifiedalldatasubmittedbytheMerchantandalltheinuringconditionsagreeduponintheAgreementhavebeenmet.Inaddition,theMerchantagreesthatSuningmercehastherighttoindependentlyassessandjudgetherelevantmatters,dataandsincludingthesandtheregistrationdataoftheMerchantandtheapplicationmadebytheMerchantforlaunchingthebrandoperationauthority.TherelevantreviewresultsshallbesubjecttotheassessmentandjudgmentofSuning merce.TheMerchantshallnotraiseanyobjectiontothis.23、商家承諾，商家在蘇寧易購上發(fā)布的商品信息中不使用任何未獲品牌的關(guān)鍵TheMerchantpromisesthattheMerchantshallnotuseanykeywordofanyunauthorizedbrandinthecommodityinformationtheMerchantreleasesonthewebsiteofSuning andshallnotreleaseanycommodityorserviceinformationwhichisedofinfringinguponothers’inlectualpropertyrightoranyotherlegitimaterightorinterest.IfSuning findsout(e.g.throughthereportingofanyrightowneroranythirdparty)thattheMerchanthasviolatedtheaboveprovisions,Suning merceshallhavetherighttocancelthekeywordorinformation,ortakeanyothernecessarymeasuretostopitsviolationaccordingtolaw.品，商家對此承擔(dān)舉證不利的；蘇寧易購對商品來源問題，獨立做出評估和判TheMerchantpromisestoacceptSuning
