主要分類

按術(shù)語的性質(zhì)分

(1)待運合同(E組)賣方無需運輸裝運。

(2)裝運合同（F、C組）賣方僅負責(zé)裝運，不保證買方收到貨物。

(3)到貨合同（D組）賣方需保證買方收到貨物。MainCategories

按交貨方式分

（1）象征性交貨（symbolicdelivery），也叫單證交貨。賣方可通過向買方提交貨運單據(jù)來完成其交貨義務(wù)。CFR、CIF、CPT、CIP組屬于此類。

（2）實際交貨（physicaldelivery）賣方必須按規(guī)定的方式將貨物交到指定的地點，實際地交付貨物。其他組屬于此類。Bywayofdeliverypoints

三、常用術(shù)語介紹

1）FOB，F(xiàn)reeOnBoard（…namedportofshipment）

這一術(shù)語通常譯為裝運港船上交貨，簡稱船上交貨，也就是常聽到的離岸價格。

《通則》解釋為：賣方在指定的裝運港將貨物裝船，越過船舷后，履行其交貨義務(wù)。

這意味著買方必須從此開始承擔(dān)全部費用及貨物丟失損壞的風(fēng)險。同時要求賣方付出口的貨物清關(guān)。Third,commonterminologyintroduced

<通則>解釋為：賣方必須在合同規(guī)定的裝運期內(nèi)在裝運港將貨物交至運往指定目的港的船上，裝運后及時通知買方，承擔(dān)貨物越過裝運港船舷為止的一切風(fēng)險，并負責(zé)辦理貨運保險和租船訂艙，支付保險費用和從裝運港到目的地的費用。

★CIF術(shù)語的變形

★買賣雙方對FOB和CIF的取合。在實踐中提倡賣CIF，買FOB。

《通則》解釋為：賣方負責(zé)將貨物運至進口國指定目的地向買方或買方指定的另一人交付，但無需將貨卸下，即賣方是在目的地的運輸工具上交貨的。買方自行卸貨，辦理進口請關(guān)，并承擔(dān)貨物交付起的一切費用。

★區(qū)別

電匯和信匯的收款人只能向付款行自取或委托往來的銀行代收，記入其賬戶，不能經(jīng)過背書轉(zhuǎn)讓流通，而票匯的收款人加具背書可以轉(zhuǎn)讓匯票。II．托收（Collection）

是出口商將開具的匯票交給所在地銀行，委托該行通過它在進口商所在地的分行或代理向進口商收取貨款。Difference

1、出口人按合同規(guī)定裝運后，填寫委托申請書，開立即期匯票，連同貨運單據(jù)交托收行，請求代收貨款。

2、托收行根據(jù)托收申請繕制托收委托書，連同匯票、貨運單據(jù)交進口地代收行委托代收貨款。

3、代收行按照委托書的指示向進口人提示匯票和單據(jù)。

4、進口人付款。

5、代收人交單。

6、代收行辦理轉(zhuǎn)賬并通知托收行已收妥。

信托收據(jù)(TrustReceipt,T/R)進口人向代收行借取貨運單據(jù)時提供的一種書面擔(dān)保文件,表示愿意以代收行的委托人身份代為提貨、報關(guān)、存?zhèn)}、保險、出售，并承認貨物的所有權(quán)屬于代收行，在貨物售出后所得貸款應(yīng)交給銀行。TrustReceipt(TrustReceipt,T/R)importstothecollectingbanktoborrowtheshippingdocumentstoprovideawrittensecuritydocument,saidthatthecollectingbankiswillingtopickupthegoodsonbehalfofclientidentity,customsclearance,warehousing,insurance,saleandrecognizetheownershipofgoodsbelongstothecollectingbank,theproceedsafterthesaleofgoodstothebankloansshouldbe.

2、承兌交單（DocumentsAgainstAgainstAcceptance，D/A）

★特點

1、屬于商業(yè)信用，銀行無檢查單據(jù)內(nèi)容及保證付款的責(zé)任。

2、如遭進口人的據(jù)付，除非中另有規(guī)定，銀行無代管貨物的義務(wù)。

3、托收對出口人風(fēng)險較大，D/A比D/P的風(fēng)險更大。

4、托收對進口人較為有利，可免去開證手續(xù)及預(yù)付押金，還有可預(yù)借貨物單據(jù)的便利。

Ⅲ.信用證（LetterofCredit，簡稱L/C）

指開證銀行根據(jù)買方的指示和要求開立的、以賣方為受益人，保證在賣方履行信用證規(guī)定的各項條件、交付規(guī)定的單據(jù)時支付一定金額的書面承諾。Feature

Meanstheissuingbank'sinstructionsandrequirementsofthebuyeropenedtothesellerasthebeneficiary,toensurethesellertofulfilltheconditionssetforthintheletterofcredit,deliveryofdocumentsrequiredtopayacertainamountofwrittencommitments.

委托人（出口人）開證申請人（進口人）

通知行、議付行開證行、付款行

1、進口人向開證行申請開證，并提交押金、手續(xù)費。

2、開證行將開立的信用證轉(zhuǎn)寄通知行。

3、通知行將信用證轉(zhuǎn)遞出口人。

4、受益人審核無誤后，安排裝運，開立匯票，交貨運單據(jù)等，在信用證有效期內(nèi)向議付行辦理議付。

5、議付行審核單證無誤后，墊款給受益人。

6、議付行轉(zhuǎn)寄匯票和單據(jù)給開證行或其指定的付款行。

7、開證行審查無誤后，向議付行付款。

8、開證行通知開證申請人付款取得單據(jù)后，憑此向承運人提貨。

★主要分類

（1）不可撤銷信用證（IrrevocableCredit）
