上海市商品房預(yù)售合同ShanghaiCommodityHousingPresaleContract上海市房屋土地資源管理局制定上海市工商行政管理局監(jiān)制二零零零年印制PreparedbyShanghaiHousingandLandResourcesAdministrationBureauSupervisedbyShanghaiIndustrialandCommercialAdministrationBureauPrintedinYear2000特別告知SpecialNotice一、本合同文本是根據(jù)《上海市房地產(chǎn)轉(zhuǎn)讓辦法》制定的示范文本,印制的和同條款為提示性條款,供雙方當(dāng)事人約定采用。ThisContractisamodelcontractstipulatedinaccordancewithShanghaiMethodforRealEstateTransfer,termsandconditionsprintedhereofaresuggestiveonesformutualadoptionbybothparties.二、購房是一種民事法律行為,涉及的標(biāo)的額較大、專業(yè)性較強(qiáng)、法律規(guī)范較多,為更好地維護(hù)雙方當(dāng)事人的權(quán)益,雙方簽訂合同時(shí)應(yīng)當(dāng)慎重,力求簽訂得具體、全面、嚴(yán)密。Housepurchaseisacivillegalactinvolvesrelativelybiggeramountofsubjectmatter,higherexpertiseandmorelawsandregulations.Tobetterprotecttherightsandinterestsofbothparties,aContractshallbeenteredintowithduediscretionandasdetailed,comprehensiveandpreciseaspossible.三、在簽訂預(yù)售合同前,房地產(chǎn)開發(fā)企業(yè)應(yīng)向購房人出示商品房預(yù)售許可證。預(yù)售許可證真實(shí)性、合法性及該商品房屋是否存在重復(fù)預(yù)售和被司法機(jī)關(guān)查封等權(quán)利轉(zhuǎn)移受限制的情況,購房人可向該商品房屋所在地的區(qū)縣房地產(chǎn)交易中心查閱。BeforesigningofthepresaleContract,therealestatedevelopershallshowthepresalelicenseofcommodityhousingtothepurchaser.Withregardtotheauthenticityandvalidityofthepresalelicenseandthepossibilitiesoflimitedtransferofrightscausedbythefactsthatthesaidcommodityhousehasbeenpresoldrepeatedlyorsealedupbyjudicialauthorities,thepurchasermaymakeanenquirytothedistrict/countyrealestatetradingcenterwherethesaidcommodityhouseislocated.四、為保護(hù)合同雙方當(dāng)事人的合法權(quán)益,雙方可以將預(yù)售廣告、售樓書約定為商品房預(yù)售合同的附件。Toprotecttheirlegalrightsandinterests,bothpartieshereinmaymakethepresaleadvertisementandbrochuretheannexofthecommodityhousingpresaleContractuponagreement.五、預(yù)售的商品房是房地產(chǎn)開發(fā)企業(yè)正在建設(shè)中的房屋(或已建成但未經(jīng)初始登記的房屋),該房屋的面積、交房日期質(zhì)量等方面都存在著不確定因素。房屋買賣雙方在簽訂前,應(yīng)對(duì)下列問題予以充分了解:Thecommodityhouseforpresaleisahouseunderconstruction(orabuilthousewithoutinitiallandregistration)bytherealestatedeveloper,thereareuncertaintiesconcerningthearea,deliverydateandqualityofthehouse.BeforesigningthepurchaseContract,bothpartiesshallbefullyacquaintedwithissueslistedbelow:1、商品房預(yù)售時(shí)房屋的建筑面積是暫測的,房屋交付時(shí)則以上海市房屋土地資源管理局認(rèn)定的測繪機(jī)構(gòu)實(shí)測建筑面積為準(zhǔn)。預(yù)售合同中須明確載明房屋的建筑面積、套內(nèi)建筑面積、公用分?jǐn)偨ㄖ娣e。暫測面積與交付時(shí)實(shí)測面積不一致,按《上海市房地產(chǎn)轉(zhuǎn)讓辦法》第四十四條規(guī)定處理?!镜谒氖臈l(預(yù)售商品房交付時(shí)建筑面積增減的處理)預(yù)售商品房交付時(shí),其建筑面積與預(yù)售合同的約定出現(xiàn)增減的,應(yīng)當(dāng)按照下列規(guī)定處理:Whenthecommodityhouseispresold,thebuildingareaofthehouseisaresultoftemporarymeasurement.Upondelivery,theactualbuildingareadeterminedbySHLRABauthorizedmappinginstitutionshallbefinal.ThepresaleContractshallexplicitlyprovidethegrossbuildingarea,interiorbuildingareaandpublicsharebuildingarea.Ifthetemporarilymeasuredareaisindiscrepancywiththeactualarea,actionsshallbetakeninlinewithArticle44ofShanghaiMethodforRealEstateTransfer.[Article44(TreatmentofBuildingAreaDisconformityuponDeliveryofPresoldCommodityHouse).Uponthedeliveryofapresoldcommodityhouse,ifitsbuildingareaisdifferentfromthatasagreedinthepresaleContract,suchconditionsshallbedealtwithasperthefollowingprovisions:(一)因按照本辦法第二十七條第二款規(guī)定分?jǐn)偡课莨貌课坏慕ㄖ娣e或者因具有相應(yīng)資質(zhì)的測量機(jī)構(gòu)實(shí)際勘測的誤差而造成建筑面積增減的,預(yù)售合同約定的轉(zhuǎn)讓總價(jià)格不變。(附第二十七條第二款:房屋轉(zhuǎn)讓時(shí),房屋的公用部位、公用設(shè)備與自用部位、自用設(shè)備同時(shí)轉(zhuǎn)讓;公用部位的建筑面積按照國家和本市有關(guān)規(guī)定由房地產(chǎn)權(quán)利人分?jǐn)偂#?1)IfthedisconformityiscausedbysharingpublicbuildingareaaccordingtoClause2Article27ofthisMethodorerrorofactualmeasurementbyrelevantlyqualifiedmappinginstitution,thetotalpriceoftransferasagreedinthepresaleContractshallremainunchanged.(AttachhereClause2Article27asstipulates:whenahouseistransferred,thepublicarea,publicfacilitiesandprivatearea,privatefacilitiesofthehousearesimultaneouslytransferred.Thepublicbuildingareashallbesharedbyobligesoftherealestateasperrelevantnationalandmunicipalregulations.)(二)因預(yù)售商品房的建筑設(shè)計(jì)變更而造成建筑面積增減的,按照本辦法第三十九條的規(guī)定處理。(2)Ifthedisconformityiscausedbydesignchangeofthepresoldcommodityhouse,actionsshallbetakenaccordingtoArticle39ofthisMethod.(附第三十九條:已經(jīng)預(yù)售的商品房,房地產(chǎn)開發(fā)企業(yè)不得擅自變更其建筑設(shè)計(jì);確需變更的,應(yīng)當(dāng)在征得預(yù)購人同意并報(bào)規(guī)劃管理部門審核批準(zhǔn)后,與預(yù)購人訂立預(yù)售合同的變更協(xié)議。(AttachhereArticle39asstipulates:therealestatedevelopercannotchangethebuildingdesignofpresoldcommodityhousewithoutpermission.Ifit’sprovednecessary,thedevelopershallsignachangeagreementofthepresaleContractwiththepurchaseraftergettingtheconsentofpurchaserandsubmittingfortheapprovalofplanningadministrationauthorities.未征得預(yù)購人同意,房地產(chǎn)開發(fā)企業(yè)變更預(yù)售商品房的建筑設(shè)計(jì)的,預(yù)購人有權(quán)解除預(yù)售合同,并由房地產(chǎn)開發(fā)企業(yè)承擔(dān)違約責(zé)任。)Iftherealestatedeveloperchangesthebuildingdesignofpresoldcommodityhousewithoutthepurchaser’spermission,thepurchaserisentitledtorescindthepresaleContractandthedevelopershallbeartheliabilitiesforbreachofcontract.)(三)除本條第(一)項(xiàng)、第(二)項(xiàng)所列的情形外,建筑面積超過預(yù)售合同約定的,受讓人可以不承擔(dān)增加建筑面積部分的價(jià)款;建筑面積不足預(yù)售合同約定的,房地產(chǎn)開發(fā)企業(yè)應(yīng)當(dāng)將減少建筑面積部分的價(jià)款退還受讓人。但預(yù)售合同另有約定的,從其約定。(3)WithregardtoconditionsnotlistedinItem(1)and(2)ofthisArticle,ifthebuildingareaexceedsthatasagreedinthepresaleContract,thetransfereecanavoidthepaymentfortheadditionalarea;ifthebuildingareaislessthanthatasagreed,therealestatedevelopershallreimbursethepurchasepriceinproportiontothereducedareatothetransferee.Provided,however,thatit’sotherwisestipulatedbythepresaleContract.2、依據(jù)《上海市房地產(chǎn)登記條例》關(guān)于"房地產(chǎn)開發(fā)企業(yè)應(yīng)當(dāng)在新建商品房屋竣工驗(yàn)收后交付給買受人之前,持本條例第二十條所列文件和商品房屋建設(shè)項(xiàng)目批準(zhǔn)文件辦理新建商品房屋初始登記"的規(guī)定,商品房建成交付前房地產(chǎn)開發(fā)企業(yè)應(yīng)取得新建商品房房地產(chǎn)權(quán)證(大產(chǎn)證)。2).SubjecttothestipulationsetforthbyShanghaiRegulationforRealEstateRegistrationthat“therealestatedevelopershallusedocumentslistedbyArticle20ofthisRegulationandapprovaldocumentsofcommodityhousingconstructionprojectstoproceedinitialregistrationfornewly-builtcommodityhousingbeforedeliverytothepurchaserafteritsfinalacceptance”,therealestatedevelopershallacquireCertificateofRealEstateTitlefornewly-builtcommodityhousing(theBigPropertyCertificate)beforethebuildingupanddeliveryofcommodityhousing.3、國務(wù)院發(fā)布的《建設(shè)工程質(zhì)量管理?xiàng)l例》規(guī)定,施工單位對(duì)商品房屋的質(zhì)量的保修期限為:“(一)基礎(chǔ)設(shè)施工程、房屋建筑的地基基礎(chǔ)工程和主體結(jié)構(gòu)工程,為設(shè)計(jì)文件規(guī)定的該工程的合理使用年限;(二)屋面防水工程、有防水要求的衛(wèi)生間、房間和外墻面的防滲漏,為5年;(三)供熱與供冷系統(tǒng),為2個(gè)采暖期、供冷期;(四)電氣管線、給排水管道、設(shè)備安裝和裝修工程,為2年?!北P奁谙拮钥⒐ず细耱?yàn)收之日起計(jì)算。房地產(chǎn)開發(fā)企業(yè)對(duì)購房人購買的商品房屋得保修責(zé)任從房屋交付之日起承擔(dān),保修期自房地產(chǎn)權(quán)利轉(zhuǎn)移之日起,不得少于兩年。3).AsstipulatedinConstructionProjectQualityManagementRegulationpromulgatedbytheStateCouncil,constructionunitshallprovideawarrantytothequalityofcommodityhousingas:“(1)incaseofinfrastructurework,groundsillfoundationworkandmainstructureworkofbuildingconstruction,thereasonableservicelifeoftheworkhereinbeforeasstatedbythedesigndocumentation;(2)5yearsofantiseepperiodforroofingwaterproofworkandtoilets,rooms,externalwallsrequirewaterprooffunction;(3)2cyclesofheatingandcoldsupplyfortheheatandcoldsupplysystems;(4)2yearsforinstallationanddecorationofelectricpipeline,watersupplyanddrainagepipesandequipments.”Thewarrantyperiodhereinshallbecalculateduponandfromthedateoffinalacceptance.Therealestatedevelopershallbeartheresponsibilitytokeepthecommodityhouseboughtbythepurchaseringoodrepairfromthedateofdelivery,calculatingfromthedatethattherightsofrealestatearetransferred,thisperiodshallnotlessthan2years.4、房屋交付使用后,房屋的主體結(jié)構(gòu)質(zhì)量不合格的,按國務(wù)院發(fā)布的《城市房地產(chǎn)開發(fā)經(jīng)營管理?xiàng)l例》第三十二條關(guān)于“商品房交付使用后,購買人認(rèn)為主體結(jié)構(gòu)質(zhì)量不合格的,可以向工程質(zhì)量監(jiān)督單位申請重新核驗(yàn)。經(jīng)核驗(yàn),確屬主體結(jié)構(gòu)質(zhì)量不合格的,購買人有權(quán)退房;給購買人造成損失的,房地產(chǎn)開發(fā)企業(yè)應(yīng)當(dāng)依法承擔(dān)賠償責(zé)任?!钡囊?guī)定處理。4)Afterdeliveryofthehouse,ifitsmainbodystructureisfoundunqualified,actionscanbetakenaccordingtoArticle32ofRegulationforCityRealEstateDevelopmentandOperationManagementissuedbytheStateCouncil,whichregulatesthat“afterdeliveryofthehouse,ifthepurchaserconsidersthemainstructureasunqualified,he/shemayapplytoprojectqualitysupervisionunitsforasecondcheck.Ifthemainstructureisreallyproveddisqualified,thepurchaserhastherighttoreject;ifitcausesanylossanddamagetothepurchaser,therealestatedevelopershallassumethelegalliabilityforcompensation.”六、雙方履行合同發(fā)生爭議的,可選擇向不動(dòng)產(chǎn)所在地人民法院起訴,也可選擇向仲裁委員會(huì)申請仲裁。如果選擇申請仲裁的,可向本市的仲裁委員會(huì)申請,也可向外地的仲裁委員會(huì)申請,本市的仲裁委員會(huì)全稱是上海仲裁委員會(huì)。IfanydisputearisesduringtheexecutionofContract,bothpartiescanchoosetofileasuittothepeople’scourtwheretherealestateislocatedorapplytothearbitralcommissionforarbitration.Ifarbitrationisselected,theapplicationcanbemadetoarbitralcommissioninsideandoutsideShanghai,thefullnameoftheincityarbitralcommissionisShanghaiArbitralCommission.七、商品房預(yù)售合同簽訂后應(yīng)及時(shí)向房地產(chǎn)登記機(jī)構(gòu)辦理商品房預(yù)售合同登記備案,以便保護(hù)合同雙方當(dāng)事人權(quán)益。不登記備案的預(yù)售合同,當(dāng)發(fā)生重復(fù)預(yù)售、抵押等事實(shí)時(shí)不能對(duì)抗第三人。根據(jù)規(guī)定,辦理登記手續(xù),可由合同當(dāng)事人雙方共同辦理,也可由購房人一方單獨(dú)辦理。SignedpresaleContractofcommodityhousingshallbetimelyregisteredandputonrecordsatrelevantrealestateregistrationorgantoprotecttherightsandinterestsofbothparties.PresaleContractwithoutregistrationshallnotcounteragainstathirdpartyintheoccurrenceofsuchfactsasrepeatedpresaleandmortgage.Accordingtorelevantregulations,registrationcanbedonetogetherbybothpartieshereoforsolelybythepurchaser.八、本合同文本在市、區(qū)、縣房地產(chǎn)交易中心對(duì)外發(fā)售,建議購房人先行購買,仔細(xì)閱讀。ThisContractisforexternalsaleatallthemunicipal,districtandcountyrealestatetradingcenters.It’ssuggestedthatthepotentialpurchaserbuythisfirstforathoroughreading.甲方(賣方):PartyA(Seller)住所(址):Domicile:____________郵編:PostCode__________身份證/護(hù)照/營業(yè)執(zhí)照號(hào)碼:IDCard/Passport/BusinessLicenseNumber:聯(lián)系電話:ContactNumber:委托/法定代理人:Authorized/LegalProxy:住所(址):Domicile:_______________聯(lián)系電話:ContactNumber:乙方(買方):PartyB(thePurchaser):國籍:Nationality______性別:Gender:______出生年月:DateofBirth:________住所(址):Domicile:___________ 用。乙方的付款方式和付款期限由甲乙雙方在附件一中約定明確。UponthesigningofthisContract,theconstructionofthisHouseshallreachthedegreethatitsmainbodystructurehasbeenfinished.PartyBshallmakefullpaymentwithinthetimeagreedinthisContracttoPartyA’ssupervisionaccountforpresalemoney(relevantsupervisionorganforpresalemoney:_______,accountname______.,accountnumber:).Useofthepresalemoneyshallbesupervisedsubjecttogovenmentalregulations.MethotandtermofpaymentbyPartyBwillbeexplicityagreedbybothpartiesinAnnex1.第七條乙方若未按本合同約定的時(shí)間付款,應(yīng)當(dāng)向甲方支付違約金,違約金按逾期未付款額的日萬分之__計(jì)算,違約金自本合同的應(yīng)付款期限之第二天起算至實(shí)際付款之日止。逾期超過_____天后,甲方有權(quán)選擇下列第____種方案追究乙方責(zé)任:IfPartyBfailstomakepaymentwithinthetimeagreedinthisContract,PartyBshallpayfineforbreachofcontracttoPartyA,suchoverduefinewillbecalculatedas‰oftheduepaymenteverydayandfromtheseconddayaftertheexpirationoftimelimitforaccountpayablehereoftothedayofactualpayment.Incaseofanoverdueexceedingdays,PartyAshallhavetherighttochoosetheoptionbelowtoholdPartyBforresponsibilities:壹、甲方有權(quán)單方面解除本合同,乙方應(yīng)當(dāng)承擔(dān)賠償責(zé)任。賠償金額為總房價(jià)款的_____%,甲方有權(quán)在乙方已支付的房價(jià)款中扣除乙方應(yīng)支付的賠償金額,剩余房款退還給乙方。如乙方已支付的房價(jià)款不足賠償?shù)?,甲方有?quán)追索。甲方如行使解除合同權(quán)的,應(yīng)當(dāng)書面通知乙方。1.PartyAhastherighttounilaterallyrescindthisContractandPartyBshallbeartheresponsibilityforindemnity,theamountofwhichwillbe%ofthetotalprice.PartyAhastherighttodeductthisamountpayablefromthepaymentalreadymadebyPartyBandreturnthebalancetoPartyB.IftheamountpaidbyPartyBisnotenoughforcompensation,PartyAshallhavetherighttorecourse.PartyAshallgiveawrittennoticetoPartyBifitexecutesitsrightofrescindment.貳、2第八條簽訂本合同后,甲方不得擅自變更該房屋的建筑設(shè)計(jì)(見附件二),確需變更的應(yīng)當(dāng)征得乙方書面同意并報(bào)規(guī)劃管理部門審核批準(zhǔn),在獲得批準(zhǔn)之日起_____天內(nèi)與乙方簽訂本合同變更協(xié)議。甲方未征得乙方同意擅自變更該房屋的建筑設(shè)計(jì),乙方有權(quán)單方面解除本合同。AftersigningofthisContract,PartyAshallnotchangethebuildingdesignofthisHouse(seeAnnex2)withoutpermission,ifchangeisnecessary,PartyAshallgetthewrittenconsentfromPartyBandapprovalofplanningadministrationauthorityandthensignachangeagreementofthisContractwithPartyBwithindaysaftergettingtheapproval.IfPartyAchangesthebuildingdesignofthisHousewithoutPartyB’spermission,PartyBisentitledtounilaterallyrescindthisContract.第九條甲方不得擅自變更已經(jīng)與乙方約定的小區(qū)平面布局(見附件四),確需變更的應(yīng)當(dāng)征得乙方書面同意。甲方未征得乙方同意變更小區(qū)的平面布局,乙方有權(quán)要求甲方恢復(fù),如不能恢復(fù)的,甲方應(yīng)當(dāng)向乙方支付總房價(jià)款的_____%違約金。PartyAshallnotchangethelayoutstructureofthecommunity(seeAnnex4)asagreedwithPartyBwithoutpermission,ifthechangeisnecessary,writtenconsentfromPartyBshallbeobtained.fPartyAchangesthelayoutstructureofthecommunitywithoutPartyB’spermission,PartyBisentitledtoaskPartyAforreconversion,ifit’simpossible,PartyAshallpayafineamountto_____%ofthetotalpricetoPartyB.第十條該房屋的交付必須符合下列第_____種方案所列條件:DeliveryofthisHousemustconformtothefollowingconditionslistedbythefirstoptionbelow:壹、辦理了房地產(chǎn)初始登記手續(xù),取得新建商品房房地產(chǎn)權(quán)證(大產(chǎn)證);甲方對(duì)該房屋設(shè)定的抵押已注銷;甲方已按規(guī)定繳納了物業(yè)維修基金。1.InitialregistrationoftherealestateismadeandCertificateofRealEstateTitle(theBigPropertyCertificate)forthenewly-builtcommodityhousingisacquired;themortgageonthisHousesetbyPartyAhasbeencancelledandPartyAhaspaidrealtymaintenancefundasrequired.貳、取得了《住宅交付使用許可證》;甲方對(duì)該房屋設(shè)定的抵押已注銷;甲方已按規(guī)定繳納了物業(yè)維修基金;甲方承諾在_____年____月___日前辦理房地產(chǎn)初始登記手續(xù),取得新建商品房房地產(chǎn)權(quán)證(大產(chǎn)證),如到時(shí)不能取得商品房房地產(chǎn)權(quán)證(大產(chǎn)證),乙方有權(quán)單方面解除本合同。2.PermitofHouseDeliveryforUseisacquired;themortgageonthisHousesetbyPartyAhasbeencancelled;PartyAhaspaidrealtymaintenancefundasrequired;PartyApromisestomakeinitialregistrationofrealestateandacquireCertificateofRealEstateTitle(theBigPropertyCertificate)forthenewly-builtcommodityhousingbefore(YY/MM/DD),ifPartyAfailstogetCertificateofRealEstateTitle(theBigPropertyCertificate)withinthisperiod,PartyBshallhavetherighttounilaterallyrescindthisContract.叁、3第十一條甲方定于_____年____月____日前將該房屋交付給乙方,除不可抗力外。PartyAwilldeliverthisHousetoPartyBbefore(YY/MM/DD)exceptforforcemajeure.第十二條甲方如未在本合同第十一條約定期限內(nèi)將該房屋交付乙方,應(yīng)當(dāng)向乙方支付違約金,違約金按乙方已支付的房價(jià)款日萬分之___計(jì)算,違約金自本合同第十一條約定的最后交付期限之第二天起算至實(shí)際交付之日止。逾期超過______天,乙方有權(quán)選擇下列第____種方案追究甲方責(zé)任:IfPartyAfailstodeliverthisHousetoPartyBwithintheperiodasagreedinArticle11ofthisContract,PartyAshallpayfineforbreachofcontracttoPartyB,suchoverduefinewillbecalculatedas‰ofthepaidamounteverydayandfromtheseconddayaftertheexpirationofdeliverytimeagreedinArticle11ofthisContracttothedayofactualdelivery.Incaseofanoverdueexceeding60days,PartyBshallhavetherighttochoosetheoptionbelowtoholdPartyAforresponsibilities:壹、乙方有權(quán)單方面解除本合同。1.PartyBhastherighttounilaterallyrescindthisContract.貳、2第十三條該房屋符合本合同第十條約定的交付條件后,甲方應(yīng)在交付之日前______天書面通知乙方辦理交付該房屋的手續(xù)。乙方應(yīng)在收到該通知之日起______天內(nèi),會(huì)同甲方對(duì)該房屋進(jìn)行驗(yàn)收交接。房屋交付的標(biāo)志為______________。IfthisHouseisinconformitywiththedeliveryconditionsagreedinArticle10ofthisContract,PartyAshall,____dayspriortothedayofdelivery,informPartyBinwritingtogothroughtheformalitiesconcerningthedeliveryofthisHouse.PartyBshall,within____daysuponreceivingsuchnotice,makeacheckandtakeoverthisHousewiththepresenceofPartyB.SigningofthePropertyHandOverPaperbybothpartiesshallrepresentthedeliveryoftheHouse.在驗(yàn)收交接時(shí),甲方應(yīng)出示符合本合同第十條約定的房屋交付條件的證明文件,因該房屋用途為____________用房,甲方應(yīng)向乙方提供《__________質(zhì)量保證書》和《______使用說明書》。同時(shí),甲方應(yīng)當(dāng)根據(jù)乙方要求提供實(shí)測面積的有關(guān)資料。Duringtheprocessofcheckandhand-over,PartyAshallpresentdocumentsthatcertifytheHouseisinaccordancewiththedeliveryconditionsagreedinArticle10ofthisContract,consideringthatthepurposeofthisHouseisfordwelling,PartyAshallprovideQualityGuaranteeforShanghaiNewly-builtResidentialHousesandUserGuideforShanghaiNewly-builtResidentialHousestoPartyB.Meanwhile,PartyAshallalso,uponPartyB’srequest,providerelevantmaterialsconcerningtheactualarea.甲方如不出示和不提供前款規(guī)定的材料,乙方有權(quán)拒絕接收該房屋,由此而產(chǎn)生的延期交房的責(zé)任由甲方承擔(dān)。IfPartyAfailstopresentorprovidedocumentationsstipulatedhereinbefore,PartyBhastherighttorejectthisHouseandrelevantresponsibilityofoverduedeliveryheretoshallbebornebyPartyA.第十四條在甲方辦理了新建商品房房地產(chǎn)初始登記手續(xù)、取得了房地產(chǎn)權(quán)證(大產(chǎn)證)后______日內(nèi),由甲、乙雙方簽署本合同規(guī)定的《房屋交接書》。《房屋交接書》作為辦理該房屋過戶手續(xù)的必備文件。甲、乙雙方在簽署《房屋交接書》之日起______天內(nèi),由雙方依法向____________交易中心辦理價(jià)格申報(bào)、過戶申請手續(xù)、申領(lǐng)該房屋的房地產(chǎn)權(quán)證(小產(chǎn)證)。Within_____daysafterPartyAmakesinitialregistrationofrealestateandacquireCertificateofRealEstateTitle(theBigPropertyCertificate)forthenewly-builtcommodityhousing,bothpartieswillsignthePropertyHandOverPaperprovidedinthisContract,whichconstitutesthenecessarydocumenttogothroughownershiptransferformalitiesofthisHouse.Within_____daysafterthesigningofPropertyHandOverPaperbybothparties,bothpartiesshallmakepricedeclaration,applicationforownershiptransferandCertificateofRealEstateOwnership(theSmallPropertyCertificate)ofthisHouseto_____accordingtothelaw.第十五條該房屋的風(fēng)險(xiǎn)責(zé)任自該房屋交付之日起由甲方轉(zhuǎn)移給乙方。如乙方未按約定的日期辦理該房屋的驗(yàn)收交接手續(xù),甲方應(yīng)當(dāng)發(fā)出書面催告書一次。乙方未按催告書規(guī)定的日期辦理該房屋的驗(yàn)收交接手續(xù)的,則自催告書約定的驗(yàn)收交接日之第二日起該房屋的風(fēng)險(xiǎn)責(zé)任轉(zhuǎn)移由乙方承擔(dān)。Uponthedayofdelivery,alltheriskresponsibilitiesofthisHouseshallbetransferredfromPartyAtoPartyB.IfPartyBfailstogothroughcheckandtake-overformalitiesofthisHouse,PartyAshallissueawritteninterpellationnoticeforonce.IfPartyBfailstoactwithinthetimestipulatedintheinterpellationnotice,alltheriskresponsibilitiesofthisHousewillbetransferredtoPartyBfromtheseconddayfollowingthedayofcheckandtake-overasprovidedintheinterpellationnotice.第十六條甲方保證在向乙方交付該房屋時(shí)該房屋沒有甲方設(shè)定的抵押權(quán),也不存在其它產(chǎn)權(quán)糾紛和財(cái)務(wù)糾紛。如房屋交付后出現(xiàn)與甲方保證不相一致的情況,由甲方承擔(dān)全部責(zé)任。PartyAguarantees,whenthisHouseisdeliveredtoPartyB,there’snomortgagesettothisHousebyPartyAorotherownershiporfinancialdisputes.PartyAshallbeheldfullyresponsibleifanydiscrepancywithPartyA’sguaranteearisesafterdeliveryoftheHouse.第十七條甲方交付的該房屋系驗(yàn)收合格的房屋。如該房屋的裝修、設(shè)備標(biāo)準(zhǔn)達(dá)不到本合同附件三約定的標(biāo)準(zhǔn),乙方有權(quán)要求甲方按實(shí)際的裝修、設(shè)備與約定的裝修、設(shè)備差價(jià)__倍給予補(bǔ)償。如主體結(jié)構(gòu)不符合本合同附件三約定的標(biāo)準(zhǔn),乙方有權(quán)單方面解除本合同。雙方商定對(duì)標(biāo)準(zhǔn)的認(rèn)定產(chǎn)生爭議時(shí),委托本市有資質(zhì)的建設(shè)工程質(zhì)量檢測機(jī)構(gòu)檢測并以該機(jī)構(gòu)出具的書面鑒定意見為處理爭議的依據(jù)。ThisHousedeliveredbyPartyshallbeahousepassesthecheckandacceptance.Ifthedecoration,equipmentofthisHousecannotreachthecriteriadescribedinAnnex3ofthisContract,PartyBisentitledtoaskPartyAtoreimburse1timesofthepricedifferencebetweentheactualdecoration,equipmentandtheagreedones.IfthemainbodystructureisinconsistentwiththecriteriasetforthinAnnex3ofthisContract,PartyBisentitledtounilaterallyrescindthisContract.Bothpartiesagree,ifthere’sanydisputeconcerningtherecognitionofcriteria,toentrustaqualifiedconstructionprojectqualityinspectionorganwithinShanghaitomakeinspectionandthesettlementofdisputeshallbesubjecttothewrittenexpertopinionsissuedbythisorgan.第十八條該房屋交付后,乙方認(rèn)為主體結(jié)構(gòu)不合格的,可以委托本市有資質(zhì)的建筑工程質(zhì)量檢測機(jī)構(gòu)檢測。經(jīng)核驗(yàn),確屬主體結(jié)構(gòu)質(zhì)量不合格的,乙方有權(quán)單方面解除本合同。AfterthedeliveryofthisHouse,ifPartyBregardsthemainbodystructureasunqualified,he/shemayentrustaqualifiedconstructionprojectqualityinspectionorganwithinShanghaitomakeinspection.If,afterinspection,themainbodystructureisfounddisqualified,PartyBisentitledtounilaterallyrescindthisContract.第十九條乙方行使本合同條款中約定的單方面解除本合同權(quán)利時(shí),應(yīng)書面通知甲方,甲方應(yīng)當(dāng)在收到乙方的書面通知起______天內(nèi)將乙方已支付的房價(jià)款(包括利息,利息按中國人民銀行公布的同期存款利率計(jì)算)全部退還乙方,并承擔(dān)賠償責(zé)任,賠償金額為總房價(jià)款的___%,在退還房價(jià)款時(shí)一并支付給乙方。前款及本合同其他條款所稱已支付的房價(jià)款是包括乙方直接支付的和通過貸款方式支付的房價(jià)款。PartyBshallgiveawrittennoticetoPartyAifhe/sheexecutestherighttounilaterallyrescindthisContractasagreedbythetermsofthisContract.PartyAshall,within60daysuponreceivingthewrittennoticefromPartyB,returnallthemoneypaidbyPartyB(includinginterest,whichwillbecalculatedaccordingtothedepositinterestasthenpublicizedbyPBC)toPartyBandbeartheresponsibilityofindemnity,whichamountsto%ofthetotalpriceandshallbepaidtoPartyBtogetherwiththerefundofhouseprice.ThepaidhousepriceindicatedhereinbeforeandinotherarticlesofthisContractshallincludethemoneypaiddirectlyorbyloanbyPartyB.第二十條甲方交付該房屋有其他工程質(zhì)量問題的,乙方在保修期內(nèi)有權(quán)要求甲方除免費(fèi)修復(fù)外,還須按照修復(fù)費(fèi)的___倍給予補(bǔ)償。雙方商定對(duì)該房屋其他工程質(zhì)量問題有爭議的,委托本市有資質(zhì)的建設(shè)工程質(zhì)量檢測機(jī)構(gòu)檢測并以該機(jī)構(gòu)出具的書面鑒定意見為處理爭議的依據(jù)。IfthisHousedeliveredbyPartyAisfoundwithotherqualityproblems,PartyB,withinthewarrantyperiod,isentitledtoaskPartyA,atPartyA’sexpense,torepairandgetacompensationamountingto___timesoftherepairfees.Bothpartiesagree,ifthere’sanydisputeconcerningotherqualityproblemsofthisHouse,toentrustaqualifiedconstructionprojectqualityinspectionorganwithinShanghaitomakeinspectionandthesettlementofdisputeshallbesubjecttothewrittenexpertopinionsissuedbythisorgan.第二十一條自該房屋驗(yàn)收交接之日起,甲方對(duì)該房屋負(fù)責(zé)保修。保修范圍和保修期由甲乙雙方參照國務(wù)院分布的《建筑工程質(zhì)量管理?xiàng)l例》及《上海市房地產(chǎn)轉(zhuǎn)讓辦法》規(guī)定在本合同附件五中約定。FromthedaythatthisHouseischeckedandhandedover,PartyAwillberesponsibleforkeepingitingoodrepair.TherangeandtermofsuchguaranteewillbenegotiatedinAnnex5ofthisContractbybothpartieswithreferencetoConstructionProjectQualityAdministrationRegulationpromulgatedbytheStateCouncilandShanghaiMethodforRealEstateTransfer.第二十二條甲方已選聘________________________物業(yè)公司對(duì)該房屋進(jìn)行前期物業(yè)管理,并與其簽訂了《前期物業(yè)管理服務(wù)合同》(見附件五)。因該房屋規(guī)劃用途為_________用房,甲乙雙方已簽訂了《_____________________使用公約》(見附件五)。PartyAhasengaged_________toprovideprophaserealtymanagementforthisHouseandenteredintowithitaProphaseRealtyManagementServiceContract
