式。thepayment.1）TwocopiesofCommercialInvoice,2）TwocopiesofPackingList,3）ThreecopiesofCertificatesofQualityissuedbymanufacturer4）Onecopyofcertificateoforigin5）OnecopyofHealthCertificate6）Afillingcertificatefromfactory7）FumigationCertificateorNon-woodPackingMaterialCertificate8）Therelevantinsurancepolicywhichbecovered110%ofthetotalcontractvalueagainstALLRisks.9）Fivecopiesoflabels（frontandback）Incaseofbyseatransportation,thesellershallsendsimultaneouslywithshipmentonecopyeachoftheabovementioneddocumentstoXXXCO丄TD.支付票據(jù)：賣方將向買方供給以下票據(jù)以執(zhí)行支付。1）商業(yè)發(fā)票兩份；2）裝箱單兩份；3）制造商出具的質(zhì)量證明書一份。4）原產(chǎn)地證一份（正本）5）衛(wèi)生證一份（正本）6）工廠出具灌裝證明一份7）有木質(zhì)包裝狀況下的熏蒸證明或非木質(zhì)包裝證明8）按合同價(jià)的110%投保全部險(xiǎn)的保險(xiǎn)單。9）標(biāo)簽五份（正面、反面）假如采納海運(yùn)，賣方在裝船的同時(shí)將如上票據(jù)各一份寄送給目的港的XXX企業(yè)。12.DATEOFSHIPPING:ThedateofBillofLadingshallberegardedastheactualdateofshipment.裝運(yùn)日期：提單上的日期將被視為裝運(yùn)日期。13.GUARANTEEOFQUALITY:TheSellerguaranteethatcompliesinallrespectswiththequalityandspecificationsstipulatedinthisContract.Thesellerguaranteesthatchoosetherightmeansoftransportationwillbethegoodsarrivedattheportofdestination.1)質(zhì)量保證：賣方保證貨物的質(zhì)量和規(guī)格與本合同的規(guī)定符合。賣方保證采納適合的運(yùn)輸方式將貨物運(yùn)抵目的港。14.INSPECTION:⑴Suchasthequalityofthegoodsinconformitywiththecontractandspecification,thebuyerofthecommodityinspectionbureaushouldbeinvitedforinspection,andshallhavetherighttoclaimagainsttheselleraccordingtoareportissuedbythecommodityinspectionbureauinspection.如貨物的質(zhì)量與規(guī)格與合同不符，買方應(yīng)請(qǐng)商檢局進(jìn)行檢驗(yàn)，并有權(quán)依據(jù)商檢局出具的查驗(yàn)報(bào)告向賣方索賠。15.CLAIMS:IncasethattheSellerareliableforthediscrepanciesandaclaimismadebyBuyerwithinthetime-limitofinspectionandqualityguaranteeperiodasstipulatedinClause14ofthisContract,theSellershallsettletheclaimupontheagreementoftheBuyersinoneorthecombinationofthefollowingways:(1)AgreetotherejectionofthegoodsandrefundtotheBuyersthevalueofthegoodssorejectedinthesamecurrencyascontractedherein,andtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,bankingcharges,freight,insurancepremium,inspectioncharges,storage,stevedorechargesandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.(2)Devaluethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyers.theSellersfailtoreplywithin30daysafterreceivingtheBuyers'claim.索賠：買方依據(jù)本合同14條的規(guī)定，在查驗(yàn)或質(zhì)量保證期內(nèi)提出的索賠，其問(wèn)題應(yīng)由賣方負(fù)責(zé)時(shí)，賣方在取得買方贊同后應(yīng)按以下之一或混淆的方式辦理索賠。(1)贊同買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的全部直接損失和花費(fèi)，包含利息、銀行花費(fèi)、運(yùn)費(fèi)、保險(xiǎn)花費(fèi)、商檢費(fèi)、倉(cāng)儲(chǔ)費(fèi)和裝卸費(fèi)。⑵依據(jù)貨物的疵劣程度，破壞的范圍和買方所遭到的損失將貨物貶值。賣方在收到買方的索賠30天內(nèi)沒(méi)有回復(fù)將被以為接受上述索賠。16.FORCEMAJEURE:Thesellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerbycable/teleximmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,shallsendbyairmailtotheBuyerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthorities,wheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.不行抗力：因?yàn)閲?yán)重的火災(zāi)、水災(zāi)、臺(tái)風(fēng)、地震以及兩方贊同的其余不行抗力事故，以致賣方交貨延緩或不可以交貨時(shí)，賣方可不負(fù)責(zé)任，但發(fā)生上述事故時(shí)，賣方應(yīng)立刻以電傳或電報(bào)通知買方，并于事故發(fā)生后14天內(nèi)將事故發(fā)生地主管當(dāng)局出具的事故證明書用航空寄交買方，依不行抗力事件之輕重，一部或所有免去合同責(zé)任。17.ARBITRATION:AlldisputesinconnectionwiththisContractortheexecutionthereofshallbestettedfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththeRulesofArbitrationpromulgatedbythesaidArbitrationCommission.TheArbitrationshalltakeplaceinDalianandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.仲裁：全部因執(zhí)行本合同或與本合同相關(guān)的爭(zhēng)議，應(yīng)由
