Article1-Definitions

"TheOwner"shallmean….

"TheSite"shallmeanallthelandwheretheplantistobeconstructedinaccordancewiththisContract.

第一條

定義

TheOwner指“業(yè)主”。

TheContractor指“承包商”。

“工廠”指在附錄×中指定的構成固定設備的全部機器、設備和材料。

“工地”指按本合同用于建造工廠的全部地皮。

"TheWorks"shallmeantheworkstobedonebytheContractorunderthis

Contract.

"TheContractPrice"shallmeanthetotalsumpayabletotheContractorbytheOwnerfortheWorks.“工程”指承包商按本合同實施的工程。

“合同價格”指業(yè)主向承包商支付的全部工程款項。

Article2-Contractor'sResponsibilities

1.TheContractorshalldesign,engineer,andconstructthePlantattheSite.

第二條

承包商的職責

1.承包商應負責設計、籌劃以及在工地上建造工廠。

2.TheContractorshallprovideallequipment,materials,tools,facilities,labourandservicesnecessaryforthesuccessfulconstructionofthePlant

exceptthoseitemsandfacilitiestobesuppliedbytheOwnerunderArticle(…).

2.除了業(yè)主根據第×條提供的項目和設施，承包商應提供所有為使工廠成功建造所必需的設備、材料、工具、設施、勞工和服務。

3.TheContractorshallperformtheWorksinaccordancewiththeScheduleinAppendix(…).

4.TheContractorshallprovidetheOwner'spersonnelwithtrainingof

operationandmaintenanceofthePlantinaccordancewithAppendix(…).

3.承包商應根據附錄×中的日程安排施工。

4.承包商應根據附錄×中的規(guī)定為業(yè)主培訓工廠設備的操作和維修人員。

5.TheContractorshallsupplytheOwnerwiththesparepartsspecified

inAppendix(…).

6.TheContractorshallsupplytheOwnerwiththemaintenanceequipment

specifiedinAppendix(…).5.承包商應向業(yè)主提供附錄×中規(guī)定的備件。

6.承包商應向業(yè)主提供附錄×中指定的維修設備。

Article3-Owner'sResponsibilities

1.TheOwnershallmakeavailabletheSiteandgranttheContractorfreeanduninterruptedaccesstheretothroughoutthedurationofthisContract.

2.TheOwnershallprovidethoseitemsandfacilitiesspecifiedinAppendix

第三條

業(yè)主的職責

1.業(yè)主應提供工地，并在本合同有效期內允許承包商自由地、不受干擾地出入該工地。

2.業(yè)主應按時提供附錄×中指定的物件和設施。

3.TheOwnerwillobtainfromtherelevantAuthoritiesthoselicensesandpermitsnecessarytoconstructandoperatethePlantontheSiteincludingworkpermitfortheContractor'semployees.

4.TheOwnershallpaythecontractorfortheWorksperformedtheContractPricesetoutinArticle(…).3.業(yè)主將從有關部門獲取為工廠建造、設備運行所必需的執(zhí)照和許可證，包括承包商雇員的工作許可證。

4.業(yè)主應按第×條中規(guī)定的合同價格向承包商支付工程款項。

Article4-ContractPrice

1.Within(…)daysaftertheeffectivedateofthisContract,theOwnershallpaytheContractorasfullandcompletecompensationforaccomplishing

theWorksandassumingallobligationsunderthisContracttheContractPriceintheamountof.

第四條

合同價格

1.在本合同生效后××天內，業(yè)主應向承包商支付金額為----

合同價格，作為承包商完成該工程并承擔本合同規(guī)定的所有義務的全部報酬。

2.TheContractPriceisnotsubjecttoescalation,andthecostofexecutingtheWorksshallbetheriskoftheContractorwhoshallbedeemedtohave

obtainedallinformationandtakenintoaccountallcircumstanceswhichmayaffectthecostinagreeingtheContractPrice.2.合同價格不再上調調，完成工種的成成本風險應由承包包商承擔，商定合合同價格時應認為為承包商已獲得全全部信息并已把所所有可能影響成本本的因素估計在內內。Article5-Drawings

1.TheContractorshallsubmittotheOwnerforapprovalandreviewwithinthetimespecifiedinAppendix(……)suchdrawingsasmayberequiredfor

ConstructionofthePlantunderthisContract.WithinonemonthafterreceivingsuchdrawingstheOwnershallreviewandapproveordisapprovethedrawing.第五條設計圖樣1.承包商應根據合同同，在附錄××規(guī)定的時間內向業(yè)業(yè)主提交工廠建造造所需的圖樣，供供業(yè)主審批。業(yè)主主應在收到這些圖圖樣后一個月內，，對圖樣進行審核核，并作出批準或或不批準的決定。。2.TheContractorshallberesponsibleforanydefects,errorsoromissions

intheabovedrawingsunlesssuchdefects,errorsoromissionsarecaused

byinaccurateinformationfurnishedinwritingtotheContractorbythe

Owner.2.承包商應對上述圖圖樣中的任何缺點點、錯誤或疏漏負負責，除非這種缺缺點、錯誤或疏漏漏是因業(yè)主書面提提供的不準確信息息所致。3.AlldrawingsandtechnicaldocumentationdeliveredbytheOwnerortheContractortotheotherpartyshallbetreatedasconfidentialbythereceivingpartyunlessagreedotherwise,andshallnotbeusedbythatpartyforpurposesotherthanthoseconnectedwiththisContract.3.業(yè)主或承包商互相相提供的所有圖樣樣和技術資料，收收到方應作為機密密文件對待，除非非另有商定，收到到方不得將這些圖圖樣和資料用于與與本合同無關的其其他目的。Article6-Inspection1.TheContractorshallperformallinspectionandtestingofthePlantrequiredbylawandnormalengineeringpractice.第六條檢驗1.承包商應該按法律律和正常的工程慣慣例的要求，負責責工廠所有的檢驗驗和試驗工作。2.TheOwnershallbeentitledatallreasonabletimesandatitsowncosttoinspect,examineandtestthematerialsandworkmanshipofthePlantunderconstruction.Suchinspection,examinationortestingifmadeshallnotreleasetheContractorfromanyobligationundertheContract.2.業(yè)主有權在任何適適當時間對建造中中的工廠的材料和和工藝進行檢驗和和測試，費用自理理。這種檢驗或測測試不能免除承包包商在合同中應盡盡的任何義務。3.ThecompletedPlantshallbeinspected,examinedandtestedbytheOwner,

andtheContractorshallgivetheOwnerreasonablenoticeinwritingofthedateonwhichthePlantwillbereadyfortesting.3.完工后的工廠應由由業(yè)主進行檢驗和和測試；工廠何時時可以測試，承包包商應提前以書面面形式通知業(yè)主。。4.TheContractorshallprovidesuchassistance,labour,materials,electricity,fuels,apparatus,storesandinstrumentsasmayberequiredandasmaybereasonablydemandedtocarryoutsuchtestsbytheOwnerproperlyandefficiently.4.承包商應根據業(yè)主主的合理要求，為為徹底而有效的檢檢測提供所需要的的協助、勞力、材材料、電力、燃料料、設備、備用品品和儀器。5.WhenthePlantshallhavepassedtheabovetests,theOwnershallfurnishtheContractorwithacertificateinwritingtothateffect.NoPlantshall

bedelivereduntilanyfaultsdiscoveredduringinspectionaresatisfactorilyrectified.5.工廠通過上述測試試后，業(yè)主應向承承包商簽發(fā)一份表表示通過測試的證證書。檢測中發(fā)現現的任何問題未圓圓滿解決，工廠不不得移交。Article7Site1.TheContractorshallprovideattheSitetothereasonablesatisfactionoftheOwnerallmaterials,labour,equipment,servicesandfacilitiesthatmaybenecessaryfortheproperexecutionandcompletionoftheWorks.第七條工地1.承包商應在工地上上提供所有令業(yè)主主滿意的材料、勞勞力、設備、服務務和便利，以便順順利施工和完工。。2.Withoutprejudicetothegeneralityoftheabove,theContractorshallprovide,asmaybenecessary,thefollowing:a.Constructionequipment.

b.MeansoftransportwithintheSiteincludingtemporaryroadways.

c.Fencing,lightingandguardingandallothermaterialsandservicesnecessaryforthesafetyandsecurityofpersonsandproperty.2.在總體上得到上述述保證的前提下，，承包商應提供下下列各項必需品：：a.建筑設備；b.工地上使用的運輸輸工具，包括臨時時道路；c.保護人員和財產安安全所需的籬笆、、燈光、崗哨以及及所有其他材料和和服務；d.Temporarystores,officesandotherbuildingsorstructuresformaterialsandpersonsengagedintheWords,includingpersonsemployedbytheOwner.

e.Telephones,fire-fightingequipmentandfirst-aidequipmentuntilthewholeWorkshavebeentakenover.f.SanitaryandcanteenfacilitiesfortheuseofpersonsengagedintheWorks.d.為材料和施工人員員（包括業(yè)主雇員員）提供臨時倉庫庫、辦公室和其他他房屋建筑；e.在整個工程移交之之前提供電話、滅滅火設備和急救設設備；f.供施工人員使用的的衛(wèi)生設備和食堂堂。3.TheContractorshallobserveallsafetyandotherregulationsimposed

ontheSitebylocallaws.3.承包商應遵守當地地法律規(guī)定的所安安全及其他條例。。4.TheContractorshallatalltimeskeeptheOwner'spropertyandtheadjoiningpremises,drivewaysandstreetsfreeofconstructionmaterialsandrubbishcausedbytheWorks,andatthecompletionoftheWorksshallremoveallremainingmaterialsfromandaboutthepremisesandshallleavetheSiteandPlantsafe,cleanandreadyforuse.4.無論何時，承包商商都不應在業(yè)主的的房產及其鄰近建建筑物、車道和街街道上堆積施工用用建筑材料和建筑筑垃圾，工程完工工后，應從建筑物物及其周圍清除所所有用剩的材料，，保持工地和工廠廠安全、整潔，以以備使用。Article8-Inspection1.TheContractorwillsupplyathisowncostfood,transportandallnecessaryfacilitiesforallhisownpersonnel.第八條承包商的工作人員員1.承包商將自費為其其全部工作人員提提供飲食、交通及及一切必要的便利利。2.OnsigningtheContract,theContractorshallappointaprojectmanagerwhowillrepresenttheContractoratalltimesbepresentattheSiteduringworkinghours.AllcommunicationsissuedbytheOwnertotheprojectmanagershallbebindingasifgiventotheContractor.2.合同簽署后，承承包商應指定一一名項目經理，，在工程進行過過程中全權代表表承包商。他將將在工作時間內內坐鎮(zhèn)施工現場場。業(yè)主向項目目經理發(fā)出的所所有指示，如同同發(fā)給承包商本本人一樣，同樣樣具有約束力。。3.TheOwnermayrequesttheremovalandreplacementofanypersonemployed

bytheContractorontheSiteifsuchpersonisintheOwner'sopinionguiltyofmisconduct,incompetenceornegligence.3.如果業(yè)主認為工工地上承包商的的雇員品行不端端、不能勝任工工作或有失職行行為，可要求承承包商將此人調調離或更換。Article9-1.TheContractorshallberesponsibleforalllossesofordamagetothePlantbeforefinalacceptance,andshallmakegoodatsuchlossordamageatthecostoftheContractorandtothereasonablesatisfactionoftheOwnerprovided,第九條責任1.在工廠被最終驗驗收之前，承包包商應對工廠的的任何損失或損損壞負責，并自自費將其修復，，直至業(yè)主滿意意。however,inthecaseoflossordamagetothePlantarisingfromoroccasionedbycausesforwhichtheContractorisnotresponsibleundertheContract,thesameshallbemadegoodbytheContractorbutat

bythenegligenceoftheContractororanyofhissubcontractorsorbydefectivedesign,materialsorworkmanshipbutnototherwise.2.在最后驗收合格格證書簽發(fā)之前前，凡因承包商商或其分包商的的疏忽，或設計計、材料或工藝藝上的缺陷而產產生的任何財產產損失或人身傷傷害，承包商應應向業(yè)主賠償，，并保護業(yè)主免免受由此而產生生的各種訴訟、、索賠、要求或或費用支出。3.IntheeventofanyclaimbeingmadeoractionsbroughtagainsttheOwnerarisingoutofanymatterinrespectofwhichtheContractorisormaybeliableunderthisArticle,theOwnershallpromptlynotifytheContractorinwritingthereof3.如果業(yè)主因某種種原因遭受索賠賠或訴訟，而按按本條款規(guī)定承承包商應該或可可能對該事由承承擔法律責任，，則業(yè)主應立即即書面通知承包包商。andtheContractorshallathisownexpensetakeoverandconductinthenameoftheOwnerallnegotiationsforthesettlementofthesameandanylitigationthatmayarisetherefrom.TheOwnershallattherequestoftheContractoraffordallsuchinformationandassistanceastheContractormayreasonablyrequireforthepurposeofdealingwithanysuchclaimoraction.承包商應以業(yè)主主名義接手并通通過談判處理解解決或能由此而而產生的訴訟，，并承擔一切費費用。如承包商商要求，業(yè)主應應向承包商提供供承包商為處理理此類索賠或訴訴訟所需要的所所有資料和幫助助。Article10-insurance1.WithoutlimitingtheContractor'sliabilitiestheContractorwillathisownexpensetakeoutthefollowinginsurance:

a.TransportationinsuranceonthemachineandequipmentfromitsdeliverytoarrivalattheSite.第十條保險1.在不限制承包商商責任的情況下下，承包商將自自費投保下列險險：a.機器設備從工廠廠交貨到目的地地的運輸險。b.WorkerscompensationinsuranceforallContractor'sandsubcontractor'semployeesengagedorsimilarstatutorysocialinsuranceinaccordancewiththeapplicablelawsandregulations.b.為承包商和分包包商的所的雇員員投保雇員賠償償險，或者根據據適用的法律和和法規(guī)投保類似似的法定社會保保險。c.Productliabilityinsuranceagainstdamagetopropertyorinjurytopersonsuntiltheendofthemaintenanceperiodinthesumnotlessthat(amount)USdollarsperoccurrence.c.防備財產損壞或或人身傷害的產產品責任險，期期限到維修期結結束，每次事件件的金額不少于于××美元。d.ComprehensiveautomobileliabilityinsuranceinrespectofallvehiclesusedbytheContractororhissub-contractorinconnectionwithhisContract.d.對承包商或其分分包商在執(zhí)行本本合同中使用的的所有車輛投保保綜合汽車責任任險。2.TheaforesaidpoliciesofinsurancewillbetakenoutinthenamesoftheContractoranditssub-contractors,theOwner,theirengineer,consultantandemployeesandagentsasthejointinsuredandthepoliciesshallcontainawaiverofinsurer'srightsofsubrogationagainsttheOwner,itsengineer,

consultantandemployeesandagents.2.上述保險單應以以承包商及其分分包商、業(yè)主、、及其工程師、、顧問、雇員、、代理人為聯合合投保人。保險險單應包含保險險人放棄對業(yè)主主及其工程師、、顧問、雇員及及代理人的代位位權之條款。3.TheContractorshallmaintaintheaforesaidpoliciesinfullforceand

effectuntilthedischargeofhisobligationsunderthisContract,andtheOwnershallhavetherighttodemandfromtimetotimecopiesofthe

policies,endorsementsandrenewalsandreceiptsforpaymentofinsurance

premiums.3.承包商應保持上上述保單的完全全有效性，直到到本合同對其規(guī)規(guī)定的義務解除除為止。業(yè)主有有權隨時索取保保單、背書、續(xù)續(xù)保和保險費收收據的復印件。。IftheContractorfailstomaintainanyofthesepoliciesinfullforceandeffect,theOwnershallhavetherighttorakeoutsuchpoliciesandpayallrelativepremiumsonbehalfofthecontractorandtodeducttherelevantcostsfromandsumsowingtotheContractor.如果承包商未能能全面投保，業(yè)業(yè)主應有權代表表承包商辦理上上述保險，支付付所有相關保費費，并從支付給給承包商的款項項中扣除有關費費用。Article11-completion1.OncompletionofallconstructionanderectionworkofthePlant,theContractorshallinformtheOwnerandshallcarryoutmechanicalerectioncompletiontestsspecifiedinAppendix(…)tothesatisfactionoftheOwner.第十一條完工1.一俟工廠的全部部建設和安裝工工程完工，承包包商應通知業(yè)主主，并根據附錄錄×的規(guī)定進行機械械安裝完成測試試工作，直至業(yè)業(yè)主滿意。2.OnsatisfactorycompletionofsuchteststheOwnerwillissueacertificateofcompletionoferectionofthePlant.2.測試圓滿結束后后，業(yè)主應簽發(fā)發(fā)一份完工證明明書。3.Intheeventofminordeficienciesintheconstructionanderectionworkwhichdonotpreventerectioncompletionand/orintheeventofdefectsrevealedbythetestswhichdonotpreventthestart-upofthePlant,theOwnershallissueacertificateofcompletionoferectionandtheContractorshallbeobligedtorectifythedeficienciesasquicklyaspossiblethereafter.3.如果在建造和安安裝中出現不影影響完成安裝的的小缺陷，或者者在測試中測出出不影響工廠開開工的缺陷，業(yè)業(yè)主應簽發(fā)完工工證明書，而承承包商則有義務務盡快修復這些些不足之處。Article12-1.FollowingtheissueofthecertificatesofcompletionoferectiontheContractorshallgivetheOwner(…)daysnoticeofthedatewhenhewillbereadytocarryoutperformancetestsofthePlant.第十二條最后驗收1.完工證明書頒發(fā)發(fā)之后，承包商商應提前××天將工廠性能測測試的時間通知知業(yè)主。2.TheOwnershallprovidethefeedstockandotherfacilitiesrequiredinAppendix(……)toenabletheteststocommenceontimeandtheContractorshallbegintheperformancetestsatthetimesonotified.2.為使測試準時開開始，業(yè)主應按按附錄×中的要求提供原原料和其他設備備，而承包商應應按通知的時間間開始性能測試試。3.TheperformancetestswillbecarriedoutinacceptancewiththeprovisionsofAppendix(…)andontheirsuccessfulcompletion,theOwnershallissueafinalacceptancecertificatestatingthatthePlanthasbeentakenoverbytheOwnerasfromthedatethereof.3.性能測試將按附附示×的規(guī)定進行。測測試成功后，業(yè)業(yè)主應簽發(fā)一份份最后驗收證明明書，證明工廠廠已從證書簽發(fā)發(fā)日起移交業(yè)主主。4.IfthePlantfailstopassitsperformancetest,thentheContractor,aftermakingsuchadjustmentsasheconsidersnecessary,shallrepeatsuchtestsinthepresenceoftheOwneratatimetobeagreeduponunderthesametermsandconditionsastheoriginaltests.4.如果工廠未能通通過性能測試，，承包商在進行行他認為必要的的調整之后，應應在業(yè)主在場的的情況下重新進進行測試，時間間由雙方商定，，條件照舊。5.ThePlantshallnotbecommerciallyoperatedbeforetheissueofthefinalacceptancecertificate.NotwithstandingthefailureofthePlanttopassitsperformancetests,theOwnermayathisdiscretionissueafinalacceptancecertificatesubjecttotheContractorremedyingthePlantdefectsassoonaspossible.5.在最后驗驗收合格格證書簽簽發(fā)之前前，工廠廠不得投投入商業(yè)業(yè)性運轉轉。如工工廠未能能通過性性能測試試，業(yè)主主仍可酌酌情頒發(fā)發(fā)最后驗驗收合格格證書，，條件是是承包商商必須盡盡快糾正正工廠存存在的問問題。Article13-1.IntheeventofanyrepeatofaperformancetestfailingforreasonsimputabletotheContractor,andtherebeingnomutualagreementtocontinuere-testing,theresultsofthefinaltestwillbemeasuredandtheContractorwillbeliabletopaytotheOwnerliquidateddamagesonthescalesetoutinAppendix（…）uptoamaximumof（…）%oftheContractPrice.第十三條條違約賠償償金1.如果由于于承包商商的原因因導致性性能測試試的再次次失敗，，而雙方方并無繼繼續(xù)重新新測試的的協議，，則對最最后一次次測試的的結果進進行評估估。承包包商將根根據附錄錄×的規(guī)定向向業(yè)主支支付違約約賠償費費，費率率不超過過合同價價格的××%。2.IftheContractorisunableforreasonswithinhiscontroltoobtainafinalacceptancecertificateforthewholePlantby（…）monthsfromtheeffectivedateofthisContract,heshallbeliabletopaytotheOwnerforeachmonth'sdelayliquidateddamagesof（…）%oftheContractPriceuptoamaximumof（…）%oftheContractPriceinaccordancewithAppendix2.如果承包包商因自自身的原原因未能能在合同同生效后后的×個月內獲獲得整個個工廠的的最后驗驗收合格格證書，，承包商商須根據據附錄×的規(guī)定向向業(yè)主每每月支付付相當于于合同價價格××%的拖延賠賠償費，，但最多多不超過過合同價價格的××%。3.TheContractorshallestablish,infavouroftheOwner,aguaranteefor（……）%oftheContractPriceintheformsetoutinAppendix（（…）insupportofhisobligationsunderthisArticle.3.承包商應應根據附附錄×規(guī)定的格格式開立立一份以以業(yè)主為為受益人人、金額額為合同同價格××%的保證書書，作為為其履行行本條款款項下義義務的保保證。Article14-1.TheContractorwarrants,foraperiodof（…）monthsfromthedateofissueofthefinalacceptancecertificateor（…）monthsfromtheeffectivedateofthisContractwhicheveristheearlier,thesuppliedPlantagainstfaultydesign,materialandworkmanship.第十四條條保修1.承包商保保證，在在最后驗驗收合格格證書簽簽發(fā)日起起×個月內或或本合同同生效日日期×個月內（（以先到到日期為為準），，所提供供的工廠廠無設計計、材料料和工藝藝上的缺缺陷。2.TheOwnershallinformtheContractorinwritingofallclaimsarisingunderthisprovisionwithin（…）daysofthedetectionoffault,iftheContractor'srepresentativeisonSiteorwithin（…）daysifnot,totheContractor'sheadofficebytelexrecordedairmaildeliverywithsupportingdata.

TheContractorshallhavetheoptiontoreplaceorrepairallpartsproveddeficient.2.發(fā)現問題題后，如如果承包包商的代代表在現現場工作作，業(yè)主主應在×天內按本本條款以以書面形形式向承承包商提提出全部部要求；；如果承承包商的的代表不不在現場場，業(yè)主主應在×天內以航航空郵件件將確證證材料發(fā)發(fā)往承包包商總公公司。承承包商應應更換或或修理所所有有缺缺陷的零零部件。。ForthispurposetheContractorshallhavetheoptiontoreplaceorrepairallpartsproveddeficient.ForthispurposetheContractorshallhaveanaccesstotheSitetoinspectthefaultypartsatanytimeandtoenablehimtocomplywiththetermsofthisguarantee.ShouldtheContractorfailtocarryoutagreedremedialworkwithinanyperiodoftimereasonableintheparticularcircumstance,theOwnershallhavetherighttodothisworkattheContractor'sexpense.為此，應允許承包包商隨時自由出入入工地，檢查缺損損部件，使其能履履行本保修條款。。如果承包商因某某種特殊情況未能能在適當期限內進進行雙方同意的補補救工作，業(yè)主有有權自行修復，但但費用由承包商負負擔。3.ThiswarrantyisgivensubjecttotheOwnerstoring,operatingandmaintainingthePlantinaccordancewiththeContractor'sinstructionsandspecifiedoperatingparametersandmaybenullifiedintheeventoftheOwnerattemptingrectificationworkwithouttheContractor'sagreement.3.本保修的先決條件件是，業(yè)主須按承承包商的指示和具具體規(guī)定的性能參參數對工廠進行裝裝備、操作和維護護。如果業(yè)主未經經承包商同意試圖圖自行修正，則本本保修條款無效。。4.Thiswarrantydoesnotincludeitemswhichfailduetonaturalwearandtear,orconsumablesorsimilaritemswhosenaturallifeis(…)months
