北京XXXX認(rèn)證有限公司認(rèn)證證書和認(rèn)證標(biāo)志使用協(xié)議CertificateAndMarkUsingAgreement( 以下簡稱“獲證組織”)(hereinafter referred to as the "certificatedorganization")北京XXXX認(rèn)證有限公司 ( 以下簡稱“認(rèn)證中心”)ChinaXXXXAuthenticationCo.,Ltd.(hereinafterreferredtoasthe"certificationcenter")鑒于：當(dāng)獲證組織通過認(rèn)證中心的移動金融技術(shù)服務(wù)認(rèn)證審查后，認(rèn)證中心將發(fā)放認(rèn)證證書給獲證組織。為了有效管理認(rèn)證證書和認(rèn)證標(biāo)志的使用，雙方經(jīng)平等協(xié)商，就認(rèn)證證書和標(biāo)志的管理和使用達(dá)成一致意見，簽訂本協(xié)議，并承諾共同遵守。Whereas:Afterthecertificatedorganizationisqualifiedinthetechnologycertificationofmobilefinancialserviceapprovalbythecertificationcenter,thelatterpartywillissuethecertificatetotheformerparty.Inordertoeffectivelymanagetheusingofcertificatesandmarks,bothparties,uponfriendlynegotiation,reachintotheconsensusuponthemanagementandusingthereofandsignthisAgreementformutualimplementation.雙方對協(xié)議條款確認(rèn)如下：Bothpartiesconfirmtheagreementcontentsasfollows:認(rèn)證證書1.Certificate認(rèn)證證書是認(rèn)證中心頒發(fā)給受審查方證明其產(chǎn)品符合認(rèn)證要求的一種證明文件。認(rèn)證證書包括以下基本內(nèi)容：Certificatereferstoakindofdocumentaryevidenceissuedbythecertificationcentertothe第1頁共7頁CFNR-SQ-02-06 requirements.Certificateincludesthefollowingbasiccontents:證書名稱；Certificatename;獲證組織的名稱、地址；Nameandaddressofcertificatedorganization;認(rèn)證所覆蓋的業(yè)務(wù)范圍；Scopeofbusinesscoveredincertification;認(rèn)證所依據(jù)的標(biāo)準(zhǔn)、技術(shù)要求；Standardsandtechnicalrequirementsabidedbythecertification;注冊編號（認(rèn)證證書編號）；RegistrationNo.(CertificateNo.);認(rèn)證中心的名稱、頒證日期和有效日期；Nameofcertificationcenter,certificateissuingdateandeffectivedate;認(rèn)證中心徽標(biāo)、移動金融技術(shù)服務(wù)認(rèn)證標(biāo)志，如果移動金融技術(shù)服務(wù)認(rèn)證獲得認(rèn)可，則認(rèn)證證書加蓋中國合格評定國家認(rèn)可委員會的機(jī)構(gòu)認(rèn)可標(biāo)志；Logoofcertificationcenterandmarkoftechnologycertificationofmobilefinancialservice(whichifisapproved,theauthenticationmarkofChinaNationalAccreditationServiceforConformityAssessmentshallbeaffixedonthecertificate);其他需要說明的內(nèi)容。Othernecessarydescriptions.2．認(rèn)證標(biāo)志2.Mark獲證組織標(biāo)志包括：Markofcertificatedorganizationincludes:移動金融技術(shù)服務(wù)認(rèn)證標(biāo)志；Markoftechnologycertificationofmobilefinancialservice;移動金融技術(shù)服務(wù)認(rèn)證標(biāo)志和CNAS認(rèn)可標(biāo)志的組合標(biāo)志。CombinedmarkoftechnologycertificationofmobilefinancialserviceandtheCNASauthenticationmark.第2頁共7頁CFNR-SQ-02-06 北京XXXX認(rèn)證有限公司3.責(zé)任與義務(wù)ResponsibilitiesandObligations3.1責(zé)任與義務(wù)--認(rèn)證證書3.1Responsibilitiesandobligations-certificate認(rèn)證證書可以展示在文件、網(wǎng)站、通過認(rèn)證的工作場所、銷售場所、廣告和宣傳資料中或廣告宣傳等商業(yè)活動，但不得利用認(rèn)證證書和相關(guān)文字、符號，誤導(dǎo)公眾認(rèn)為認(rèn)證證書覆蓋范圍外的管理體系、產(chǎn)品或服務(wù)獲得認(rèn)證，宣傳認(rèn)證結(jié)果時不應(yīng)損害認(rèn)證中心的聲譽(yù)；Thecertificatecanbepresentedindocuments,websites,workingsitespassingcertification,salessites,advertising,propagandamaterialsoradvertisingpublicitiesandothercommercialactivities,butthecertificateandrelevantlettersandsymbolsshallnotbeusedtomisleadtheaudiencetobelievethatothermanagementsystems,productsorservicesbeyondthecoverageofthecertificatehavebeencertificatedandapproved;andthereputationofthecertificationcentershallnotbeinjuredduringthepropagandaofcertificationresults;證書不準(zhǔn)偽造、涂改、出借、出租、轉(zhuǎn)讓、倒賣、部分出示、部分復(fù)印。獲證組織應(yīng)妥善保管好證書，以免丟失、損壞。如發(fā)生證書丟失、損壞的，獲證組織可申請補(bǔ)發(fā)，同時要在認(rèn)證中心網(wǎng)站上聲明掛失；Thecertificateshallnotbeforged,obliterated,borrowed,rent,transferred,sold,partiallypresentedorpartiallyprinted.Thecertificatedorganizationshallappropriatelysafeguardthecertificateandavoiditslossordamage.Incaseofcertificatelossordamage,thecertificatedorganizationcanapplyforreissueandshallreportthelossonthewebsiteofthecertificationcenter;獲證組織應(yīng)建立認(rèn)證證書、審核報告使用和管理制度，對認(rèn)證證書的使用情況如實(shí)記錄存檔。獲證組織發(fā)生重大變化，應(yīng)報告認(rèn)證中心并接受認(rèn)證中心的調(diào)查或監(jiān)督檢查，調(diào)查前及監(jiān)督檢查不合格者，不得使用該證書；Thecertificatedorganizationshallsetuptheusingandmanagementpoliciesconcerningthecertificateanditsevaluationreports,totruthfullyrecordandarchiverelevantsituations.Shouldanymajorchangeoccurtothecertificatedorganization,itshallreporttothecertificationcenterandaccepttheinvestigationorsupervisoryinspectionofthecenter;whereitisprovedtobequalifiedbeforeinvestigationandsupervisoryinspection,thecertificateshallnotbeusedanymore.第3頁共7頁CFNR-SQ-02-06 北京XXXX認(rèn)證有限公司獲證組織應(yīng)按時交納認(rèn)證費(fèi)用，并保持認(rèn)證覆蓋的業(yè)務(wù)范圍運(yùn)行穩(wěn)定，以獲得或保持證書；Thecertificatedorganizationshallpaycertificationchargestimelyandmaintainthestableoperationofthescopeofbusinesscoveredinsuchcertification,toobtainormaintainthecertificate;證書被認(rèn)證中心暫停、撤銷、注銷時，獲證組織應(yīng)按認(rèn)證中心的要求將證書交還到認(rèn)證中心，并同時停止在文件、網(wǎng)站、通過認(rèn)證的工作場所、廣告和宣傳資料中展示認(rèn)證證書和停止將有關(guān)認(rèn)證信息用于廣告宣傳等商業(yè)活動。Whenthecertificateissuspended,revokedorcancelledbythecertificationcenter,thecertificatedorganizationshallreturnthecertificatetothecenterasrequiredandshallstopthepresentationofthecertificateinanydocument,website,workingsitepassingcertification,advertisingandpropagandamaterialandstopallcommercialactivitiesusingrelevantcertificationinformationforadvertisingandpublicity.獲證組織還應(yīng)遵守認(rèn)證中心提出的為保障認(rèn)證證書及產(chǎn)品相關(guān)信息被有效而正確使用的其他相關(guān)要求。Thecertificatedorganizationshallalsocomplywithotherrelevantrequirementsputforwardbythecertificationcentertomakesuretheeffectiveandaccurateusingofthecertificateandotherproductrelatedinformation.3.2 責(zé)任與義務(wù)--認(rèn)證標(biāo)志3.2Responsibilitiesandobligations-mark獲證組織若以某種方式使用認(rèn)證標(biāo)志時，應(yīng)事先向認(rèn)證中心提出書面申請，認(rèn)證中心客戶服務(wù)部進(jìn)行審查，由認(rèn)證中心書面授權(quán)獲證組織以指定的方式使用指定的認(rèn)證標(biāo)志；Whenthecertificatedorganizationintendstousethemarkbycertainmeans,itneedstosubmitwrittenapplicationtothecertificationcenterbeforehandandthecustomerservicedepartmentofthecenterwillreviewrelevantsituationsandthenauthorizeinwritingthecertificatedorganizationtousedesignatedmarkbydesignatedmeans;獲證組織在使用認(rèn)證中心標(biāo)志時，可同時使用CNAS認(rèn)可標(biāo)志，但CNAS認(rèn)可標(biāo)志不可單獨(dú)使用。即可以選擇認(rèn)證中心認(rèn)證標(biāo)志，或選擇認(rèn)證中心認(rèn)證標(biāo)志與CNAS認(rèn)可標(biāo)志的組合標(biāo)志，認(rèn)證中心認(rèn)證標(biāo)志置于CNAS認(rèn)可標(biāo)志左方；(2)Whenusingthemarkoftechnologycertificationofmobilefinancialservice,thecertificated第4頁共7頁CFNR-SQ-02-06 北京XXXX認(rèn)證有限公司organizationcanusetheCNASauthenticationmarksimultaneously,whichhowever,cannotbeseparatelyused.Thatistosaythat,theorganizationcanusethemarkoftechnologycertificationofmobilefinancialserviceorthecombinedmarkofthemarkoftechnologycertificationofmobilefinancialserviceandtheCNASauthenticationmark,withtheformeronelocatedattheleftofthelatterone;認(rèn)證標(biāo)志只能由獲證組織在獲準(zhǔn)認(rèn)證范圍內(nèi)使用，不得以任何方式轉(zhuǎn)讓、轉(zhuǎn)送、出售或借用、冒用。獲證組織不得進(jìn)行被認(rèn)證中心認(rèn)為誤導(dǎo)顧客的錯誤宣傳；Themarkcanonlybeusedbythecertificatedorganizationwithinthescopeapprovedandshallnotbetransferred,transmitted,sold,borrowedorarrogated.Thecertificatedorganizationshallnotconductanyfalsepropagandaactivitywhichisdeemedasmisleadingbythecertificationcenter;認(rèn)證標(biāo)志只能用于認(rèn)證產(chǎn)品或服務(wù)符合認(rèn)證標(biāo)準(zhǔn)的全部要求，當(dāng)認(rèn)證產(chǎn)品只是申請符合標(biāo)準(zhǔn)中某類指標(biāo)的檢驗(yàn)和認(rèn)證時，產(chǎn)品或服務(wù)上不能使用認(rèn)證標(biāo)志；Themarkcanonlybeusedifalltherequirementsofcertificationstandardsforproductsorservicesaremet;whenthecertificatedproductsareonlytoapplyforthecomplianceofcertaininspectionorauthenticationstandards,suchproductsorservicecannotbeaddedwiththemark;認(rèn)證標(biāo)志在使用時，應(yīng)與獲證組織單位名稱和產(chǎn)品名稱放在一起；Themark,duringuseshallbeplacedtogetherwiththenameandproductnameofthecertificatedorganization;在使用標(biāo)志圖案時，應(yīng)根據(jù)認(rèn)證中心提供的圖樣按比例放大或縮?。?6)Atthetimeofusingmarkpattern,itneedstozoominoroutaspertheproportionprovidedbythecertificationcenter;獲證組織在使用獲證組織標(biāo)志時只能使用與認(rèn)證中心所提供色調(diào)一致、排列方式一致的標(biāo)志。獲證組織在使用獲證組織標(biāo)志時可按比例放大或縮小，并經(jīng)認(rèn)證中心批準(zhǔn)。認(rèn)證標(biāo)志字跡必須清晰，標(biāo)志必須完整，也不得將其變形使用。Thecertificatedorganization,whenusingthemark,shallcomplywiththehueandarrangementmodeprovidedbythecertificationcenter.Thecertificatedorganizationcanzoominoroutitsmarkatthetimeofusingandshallbeapprovedbythecertificationcenter.Thewritingofthemarkmustbeclearandthemarkmustbecomplete,withoutanyothershapechanges.獲證組織還應(yīng)遵守認(rèn)證中心提出的為保障認(rèn)證標(biāo)志及產(chǎn)品相關(guān)信息被有效而正確使用的其他相關(guān)要求。(8)Thecertificatedorganizationshallalsocomplywithotherrelevantrequirementsput第5頁共7頁CFNR-SQ-02-06 北京XXXX認(rèn)證有限公司forwardbythecertificationcentertomakesuretheeffectiveandaccurateusingofthemarkandotherproductrelatedinformation.本協(xié)議應(yīng)自認(rèn)證中心為獲證組織頒發(fā)認(rèn)證證書之日起開始生效，有效期一年。4.ThisAgreementshallbeeffectivewithinoneyearsincetheissuingdateofthecertificatebythecertificationcentertothecertificatedorganization.4.1 在證書有效期內(nèi)，獲證組織應(yīng)嚴(yán)格遵守并履行其責(zé)任與義務(wù)；4.1Withintheeffectivedateofthecertificate,thecertificatedorganizationshallstrictlyexerciseitsresponsibilitiesandobligations;4.2 在證書有效期內(nèi)，如發(fā)現(xiàn)誤用 /濫用認(rèn)證證書/標(biāo)志及違反上述規(guī)定的，認(rèn)證中心立即向獲證組織發(fā)出通知，責(zé)令其糾正；4.2Withintheeffectivedateofthecertificate,incaseofanymisuseorabuseofthecertificate/markoranyviolationofaboveregulations,thecertificationcentercanimmediatelynotifythecertificatedorganizationandrequestittomodify;4.3 認(rèn)證中心按照《移動金融技術(shù)服務(wù)認(rèn)證實(shí)施規(guī)則》中的有關(guān)規(guī)定暫?；虺蜂N獲證機(jī)構(gòu)的認(rèn)證證書，獲證組織應(yīng)暫停使用認(rèn)證標(biāo)志；4.3ShouldthecertificationcentersuspendorrevokethecertificateofthecertificatedorganizationinlinewithrelevantregulationsinRulesfortheImplementationofTechnologyCertificationofMobileFinancialService,thecertificatedorganizationshallimmediatelystopitsusingofthemark;4.4獲證組織應(yīng)按本協(xié)議之約定規(guī)范使用認(rèn)證證書及認(rèn)證標(biāo)志、圖案，否則，認(rèn)證中心有權(quán)依據(jù)本協(xié)議第 4條的相關(guān)約定處理，并根據(jù)具體情況追究獲證組織的侵權(quán)責(zé)任。4.4ThecertificatedorganizationshallusethecertificateandmarkandpatternasperthisAgreement,otherwise,thecertificationcenterhastherighttodisposeofinlinewithArticle4hereinandlookintotheliabilityfortortoftheorganization.適用法律及管轄5.ApplicableLawsandJurisdiction5.1本協(xié)議根據(jù)中華人民共和國法律解釋；5.1ThisAgreementshallbeinterpretedinlinewiththelawofthePeople'sRepublicofChina;5.2如引起法律糾紛，按相關(guān)法律追究獲證組織和認(rèn)證中心的法律責(zé)任；第6頁共7頁CFNR-SQ-02-06 若在本協(xié)議有效期間內(nèi)，認(rèn)證所依據(jù)的相關(guān)法律或規(guī)則有所修訂的，雙方可根據(jù)修訂的內(nèi)容對本協(xié)議作出書面的修改或補(bǔ)充協(xié)議，與本協(xié)議具有同等法律效力；5.3Should,withintheeffectivedateofthisAgreement,relevantlawsorregulationsservingasthebasisofthecertificationberevi
