外籍專家聘用合同EMPLOYMENTCONTRACTOFFOREIGNEXPERT一、科技有限公司聘請德籍WolfgangKrautter(外文姓名)為技術總監(jiān)，護照號碼： 。雙方本著友好合作精神，自愿簽訂本合同并保證認真履行合同中約定的各項義務。Article1TechnologyCo.,Ltd.agreestoemployWolfgangKrautter,whoisofGermannationalityandwhosepassportnumberis ,toserveasitsChiefTechnologyOfficer.Thetwoparties,inthespiritoffriendshipandcooperation,agreetoenterintothisContractandfulfilltheliabilitiesandobligationsagreedherein.二、合同期共12個月，自2012年7月10日起至2013年7月10日止。受聘方的試用期為60天，在試用期內(nèi)，聘方如發(fā)現(xiàn)受聘方健康狀況或?qū)I(yè)水平等不能勝任本聘用合同規(guī)定的工作任務，有權解除合同，且無須向其支付任何違約金或補償。Article2ThetermofthisContractshallbe12months,fromJuly10,2012toJuly10,2013.TheprobationperiodforEmployeeis60days.Withintheprobationperiod,incaseEmployerfindsEmployeeincompetenttothetasksstipulatedhereinduetohishealthconditionorprofessionalcapability,EmployershallbeentitledtorescindthisContractwithoutobligationtogiveEmployeeanyliquidateddamagesorcompensation.三、受聘方的工作任務Article3TasksofEmployee1)員工品質(zhì)觀念的提升和技術培訓PromotingEmployee'sawarenessonqualityandtechnicaltraining;品質(zhì)控管體系的建立，品質(zhì)的提升，達到德國標準EstablishingqualitycontrolsystemandenhancingthequalitytomeetGermanStandard;精密附件和雙層冠的技術指導Technicalinstructionsonpreciseaccessoriesanddoubledentalcrowns;過程技術難點的攻克4)Overcomingthechallengeofprocesstechnology;技術管理和技術仲裁5)Technologymanagementandtechnologyarbitration;6)降低公司的重作率和過程返工返修率Loweringtheremakingrateandbackrepairrateforthecompany;7)優(yōu)化工藝流程，提高工作效率Improvingtheprocessflowandenhancingtheworkefficiency.四、受聘方的月薪為歐元4500元，月工作時數(shù)為187小時(不含用餐時間,以30天/月，8.5小時*5天*4周+2天*8.5小時)，每小時工資為24歐元。(受聘方應當按照《中華人民共和國個人所得稅法》依法交納個人所得稅)Article4ThemonthlysalaryforEmployeeis4500Euros.Themonthlyworkinghoursshallbe187hours(excludingthehoursformeals,30daysamonth,8.5hours*5days*4weeks+2days*8.5hours),andthewageforeachworkinghouris24Euros.EmployeeshallpaytheindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeople’sRepublicofChina.五、受聘方每日工作時間為9小時，用餐時間為每次半小時，每周工作時間為五天，月工作時數(shù)為187小時。Article5Employeeshallwork9hoursaday,includinghalfanhourforthemeal.Employeeshallwork5daysaweekand187hoursamonth.六、聘方的義務：Article6LiabilitiesofEmployer:1、向受聘方介紹中國有關法律、法規(guī)和聘方有關工作制度以及有關外國專家的管理規(guī)定。shallintroducetoEmployeerelevantlawsandregulationsofChina,relevantworkingsystemsofEmployerandrelevantmanagementrequirementsonforeignexperts.2、對受聘方的工作進行指導、檢查和評估。shalldirect,inspectandassessEmployee’swork.3、工作期間，免費向受聘方提供吃住。若受聘方需在珠海租房，費用自理。ShallprovidefreeaccommodationandfoodtoEmployeeduringtheperiodinwhichEmployeeworksforEmployer.IncaseEmployeeneedstorentahouseinZhuhai,Employeeshallberesponsibleforfeesandexpendituresincurredtherefrom.4、配備合作共事人員。6.4shallassignpartnerstoassistEmployee.5、每月15日支付受聘方上月的工作報酬，以人民幣支付，按工資發(fā)放日的匯率進行結算。shallpaythesalaryforthepreviousmonthonthe15thdayofeachmonthinRMBaccordingtotheexchangerateontheday.6、受聘方享受中國下列節(jié)日休假：元旦、春節(jié)、國際勞動節(jié)、國慶節(jié)以及法律、法規(guī)規(guī)定的其他法定節(jié)假日。shallenableEmployeetoenjoythefollowingChineseholidaysandfestivals:NewYear’sDay,TheSpringFestival,InternationalLaborDay,NationalDayandotherstatutoryholidaysandfestivalsstipulatedbyapplicablelawsandregulations.七、受聘方的義務：Article7ObligationsofEmployee:1、遵守中國的法律、法規(guī)，不干預中國的內(nèi)部事務。shallabidebythelawsandregulationsofChinaandshallnotinterferewiththeinternalaffairsofChina.2、遵守聘方的工作制度和有關外國專家的管理規(guī)定，接受聘方的工作安排、業(yè)務指導、檢查和評估。未經(jīng)聘方同意,不得兼任與聘方無關的其他勞務。shallabidebyEmployer’sworkingsystemandrelevantmanagementrequirementsonforeignexperts;andshallacceptworkarrangement,operationdirection,inspectionandassessmentmadebyEmployer.WithoutconsentofEmployer,EmployeeshallnotengageinotherlaborserviceirrelevanttoEmployer.3、按期完成工作任務，保證工作質(zhì)量。shallcompletethetasksonscheduleandguaranteetheworkquality.4、尊重中國的宗教政策。不從事與專家身份不符的活動。shallrespectChina’spoliciesonreligion;shallnotconductanyactivityincompatiblewiththestatusofaforeignexpert.5、尊重中國人民的道德規(guī)范和風俗習慣。shallrespecttheChinesepeople’smoralstandardsandcustoms.八、合同的變更、解除和終止：Article8Change,RescissionandTerminationoftheContract:1、雙方應信守合同，未經(jīng)雙方一致同意，任何一方不得擅自更改、解除和終止合同。ThetwopartiesheretoshallcomplywiththisContractand,withoutthepriorconsensusbetweenthetwo,neitherpartymayalter,rescindorterminatethisContract.2、經(jīng)當事人雙方協(xié)商同意后，可以變更、解除和終止合同。在未達成一致意見前，仍應當嚴格履行合同。Uponmutualagreementbetweenthetwopartiesthroughconsultation,thisContractmaybechanged,rescindedorterminated.Withoutmutualconsensus,thetwopartiesshallstrictlycomplywiththisContract.3、聘方在下述條件下，有權以書面形式通知受聘方解除合同：EmployershallhavetherighttonotifyEmployeeinwrittentorescindthisContractincaseofanyofthefollowingsituations:（1）受聘方不履行合同或者履行合同義務不符合約定條件，經(jīng)聘方指出后仍不改正的；EmployeefailstoexecutethisContractorfailstofulfillanyobligationsunderthisContractincompliancewiththeagreedmanner,andEmployeetakesnocorrectiveactionafterEmployeradvisesEmployeeofthecase;（2）根據(jù)醫(yī)生診斷，受聘方在病假連續(xù)30天后不能恢復正常工作的；accordingtothediagnoseofcertaindoctors,Employeefailstoreturntoworkafter30daysickleave;（3）受聘方嚴重違反聘方的工作制度的；EmployeemateriallybreachestheworkingregulationsofEmployer;（4）受聘方提供的個人信息與事實不符的；ThepersonalinformationprovidedbyEmployeeisproveduntrue;（5）受聘方嚴重瀆職，給聘方造成損失的；EmployeecausesdamagessorlossestoEmployerduetoEmployee'sgrossmisconduct;（6）受聘方違反中國法律、法規(guī)的。EmployeeviolatesanylaworregulationsofChina.聘方在上述條件下提出解除合同的，無須向受聘方支付任何違約金或經(jīng)濟補償。IncaseEmployerproposestorescindthisContractonthegroundofanyoftheabovesituations,EmployershallhavenoobligationtopayanyliquidateddamagesoreconomiccompensationtoEmployee.4、受聘方在下述情況下，有權以書面形式通知聘方解除合同：EmployeeshallhavetherighttogiveawrittennoticetoEmployertorescindthisContractincaseofanyofthefollowingsituations:(1)聘方未按合同約定提供受聘方必要的工作和生活條件；EmployerfailstoprovidenecessaryworkingandlivingconditionsspecifiedhereintoEmployee;(2)聘方未按時支付受聘方報酬。EmployerfailstopaythecompensationtoEmployeeinfullontime.5、雙方均不得無故提前終止合同。受聘方如無故提前終止合同，必須在提前一個月向聘方提出書面申請，未經(jīng)聘方書面同意，受聘方仍應照常進行工作。聘方書面同意的，則自同意之日起的兩周后，停發(fā)工資，并停止提供受聘方有關生活待遇，回國的一切費用自理。NeitherpartymayterminatethisContractwithoutproperreason.IncaseEmployeeterminatesthisContractwithoutproperreason,EmployeeshallapplyforterminationofthisContractinwrittenatEmployeronemonthinadvance.WithoutEmployer’swrittenconsent,EmployeeshallcontinuetoworkforEmployerasusual.IncaseEmployeragreesonthetermination,Employerwill,twoweeksaftertheconsentgranted,ceasetopayanysalarytoEmployeeandceasetoofferanybenefitsfordailylifetoEmployee.Employeeshallbesolelyresponsibleforanyandallcostsandexpendituresonleavingforhisowncountry.九、違約金：Article9LiquidatedDamages當事人一方不履行合同或者履行合同義務不符合約定條件，即違反合同時，應當向另一方支付5002000美元(或相當數(shù)額的人民幣)的違約金。IncaseapartyfailstoperformthisContractorfailstofulfillanyobligationsunderthisContractincompliancewithagreedmanner,itshallbedeemedthatthepartybreachesthisContractandthepartyshallpayaliquidateddamagestotheotheratanamountofUSD5002000(orinRMBatcorrespondingamount).受聘方因不可抗力事件要求解除合同，需出具有關機構證明，經(jīng)聘方同意后，離華的費用自理；受聘方若無故解除合同，除離華費用自理外．還應當向聘方支付違約金。IncaseofanyforcemajeureeventandEmployeerequeststoterminatethisContract,Employeeshallprovideacertificateissuedbyrelevantauthority.UponEmployer’sconsent,EmployeemayterminatethisContractandshallbesolelyresponsibleforcostsandexpendituresonleavingChina.IncaseEmployeeterminatesthisContractwithoutproperreason,EmployeeshallbesolelyresponsibleforcostsandexpendituresonleavingChinaandalsopayaliquidateddamagestoEmployer.聘方因不可抗力事件要求解除合同，經(jīng)受聘方同意后，離華費用由聘方負擔；聘方若無故解除合同，除負擔受聘方離華費用外，還應當向受聘方支付違約金。IncaseofanyforcemajeureeventandEmployerrequeststoterminatethisContract,EmployermayterminatethisContractuponEmployee’sconsentandshallberesponsibleforcostsandexpendituresonleavingChinabyEmployee.IncaseEmployerterminatesthisContractwithoutproperreason,Employershall,inadditiontothecostsandexpendituresonleavingChinaincurredbyEmployee,payaliquidateddamagestoEmployee.十、本合同附件為合同不可分割的部分，與合同具有同等效力。Article10.AnyandallattachmentsheretoshallbeinalienablepartofthisContractandshallhavethesameeffectwiththisContract.十一、本合同自雙方簽字之日起生效。合同期滿，當事人任何一方要求延長聘用合同，必須在本合同期滿30天前向另一方書面提出，經(jīng)雙方協(xié)商同意后簽訂新合同。雙方均未提出延長聘期或一方不同意延長聘期時，本合同期滿即失效。Article11ThisContractshallcomeintoforceassoonasitissignedbybothparties.UponexpirydateofthisContract,incaseeitherpartyintendstoextendthisContract,thepartyshall,30dayspriortoexpirydateofthisContract,notifytheotherofhisintentioninwrittenandanewemploymentcontractmaybeenteredintobyandbetweenthetwopartiesthroughconsultation.IncaseneitherpartynotifiestheotherofintentionofextensionoreitherpartydisagreestoextendthisContract,thisContractshallautomaticallybec
