9.任何其他雙方同意作為合同組成部分的文件二、違約行為及認(rèn)定：1.賣方未能按照訂單約定時間交付商品

2.賣方交付的商品不符合訂單約定的規(guī)格和要求

3.買方未能按照約定的時間支付貨款

4.買方未能在規(guī)定時間內(nèi)對交付的商品進(jìn)行驗(yàn)收

5.任何一方未履行合同項(xiàng)下的其他義務(wù)三、法律名詞及解釋：1.賣方：指根據(jù)本合同約定出售商品的公司。

2.買方：指根據(jù)本合同約定購買商品的公司。

3.商品：指本合同項(xiàng)下賣方同意出售給買方的貨物和產(chǎn)品。

4.交付：指商品的風(fēng)險(xiǎn)和所有權(quán)轉(zhuǎn)移給買方的時間點(diǎn)。
