2025英語合同范本解析版2025EnglishContractSampleCommentedVersionTHISCONTRACTmadeandenteredintoasof(the"Date"),byandbetween(the"PartyA")and(the"PartyB"),bothhavingaplaceofbusinessat,hereinafterindividuallyreferredtoasa"Party"andcollectivelyreferredtoasthe"Parties".RECITALS:A.PartyAisengagedinthebusinessofandwishesto.B.PartyBisengagedinthebusinessofandwishesto.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,PartyAandPartyBagreeasfollows:1.DEFINITIONSForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:1.1"Agreement"or"Contract"shallmeanthisagreement,includingallSchedules,Exhibits,andAppendicesattachedhereto.1.2"Party"shallmeaneitherPartyAorPartyB.1.3"Affiliate"shallmeananypersonorentitythatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwithaParty,where"control"meanstheownershipofatleast%oftheoutstandingvotingsecuritiesorthepossessionofthepowertodirectorcausethedirectionofthemanagementandpoliciesoftheentity.1.4"BusinessDay"shallmeananydayotherthanaSaturday,Sunday,orlegalholidayinthejurisdictionwherethePartywhoseobligationsaremeasuredresides.1.5"ConfidentialInformation"shallmeananyandallinformationdisclosedbyeitherPartytotheotherParty,whetherorallyorinwriting,thatisrelatedtothebusinessofeitherPartyandisidentifiedasconfidentialatthetimeofdisclosureorisunderstoodtobeconfidentialbasedonthenatureoftheinformation.2.PURPOSEOFTHECONTRACTThepurposeofthisContractistogoverntherelationshipbetweenPartyAandPartyBarisingoutofthe(the"Transaction").ThePartiesagreetoperformtheirrespectiveobligationsunderthisContractinamannerthatreflectsmutualrespectandintegrity.3.OBLIGATIONSOFTHEPARTIES3.1PartyAshall.3.2PartyBshall.4.PAYMENTS4.1PartyAshallpayPartyBthesumof(the"Fee")inaccordancewiththefollowingschedule:4.1.1oftheFeeshallbepaidon.4.1.2oftheFeeshallbepaidon.4.2AllpaymentsunderthisContractshallbemadeinandpaidtotheaccountdesignatedbyPartyBinwritingfromtimetotime.4.3IfanypaymentrequiredunderthisContractisnotmadewithindaysofthedatedue,thedefaultingPartyshallpayinterestontheoverdueamountattherateofperannum,calculatedonadailybasis.5.TERMANDTERMINATION5.1ThisContractshallcommenceon(the"EffectiveDate")and,unlessterminatedearlierinaccordancewiththetermshereof,terminateon(the"ExpirationDate").5.2EitherPartymayterminatethisContractupondays'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisContractandsuchbreachremainsuncuredfordaysafterreceiptofwrittennoticethereof.5.3ThisContractmaybeterminatedimmediatelybyeitherPartyiftheotherPartybecomesinsolvent,filesapetitioninbankruptcy,orhasareceiverortrusteeappointedforalloranyofitsassets.6.WARRANTIESANDREPRESENTATIONS6.1EachPartyrepresentsandwarrantsthatithasthefullpowerandauthoritytoenterintoandperformitsobligationsunderthisContract.6.2EachPartyfurtherrepresentsandwarrantsthatithasnotmadeanyprioragreementorcommitmentthatwouldconflictwithorpreventitfromperformingitsobligationsunderthisContract.7.CONFIDENTIALITY7.1EachPartyagreestomaintaintheconfidentialityoftheotherParty'sConfidentialInformationandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.7.2TheobligationsofconfidentialityimposedbythisSection7shallsurvivetheterminationofthisContract.8.INDEMNIFICATION8.1PartyAagreestoindemnify,defend,andholdPartyBharmlessfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforrelatedto.8.2PartyBagreestoindemnify,defend,andholdPartyAharmlessfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforrelatedto.9.GOVERNINGLAWThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof.10.DISPUTERESOLUTION10.1Anydispute,controversy,orclaimarisingoutoforrelatingtothisContractshallberesolvedbymediationinaccordancewiththeRulesofthebeforeproceedingtoarbitrationorlitigation.10.2Ifthemediationisnotsuccessfulwithindaysofthecommencementofthemediation,eitherPartymayreferthedisputetoarbitrationinaccordancewiththeRules.10.3Thearbitrationshalltakeplacein,andthejudgmentofthearbitrationtribunalmaybeenforcedinanyjurisdictioninwhicheitherPartyhasassets.11.ENTIREAGREEMENTThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal,relatingtosuchsubjectmatter.12.AMENDMENTSNoamendmentormodificationofthisContractshallbevalidunlessitisinwritingandsignedbybothParties.13.FORCEMAJEURENeitherPartyshallbeliableforanyfailureordelayinperformanceunderthisContractifsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,including,withoutlimitation,actsofGod,war,rebellion,riot,strike,orotherlabordisputes,epidemic,orgovernmentalactions.14.NOTICESAllnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,orwhensentbyregisteredorcertifiedmail,returnreceiptrequested,orbyinternationally
