2025職場英語合同簽訂與談判口語技巧ContractAgreementPartiesThisContractisenteredintoonthisdayof,2025,byandbetween:1.,acompanyincorporatedunderthelawsof(hereinafterreferredtoas"PartyA"),withitsprincipalplaceofbusinessat,representedby,and2.,acompanyincorporatedunderthelawsof(hereinafterreferredtoas"PartyB"),withitsprincipalplaceofbusinessat,representedby.Recitals1.1PartyAandPartyB(collectivelyreferredtoasthe"Parties")desiretoestablishamutuallybeneficialrelationshipbasedontheprinciplesofcooperation,respect,andcompliancewithapplicablelawsandregulations.1.2ThepurposeofthisContractistooutlinethetermsandconditionsunderwhichPartyAshallprovide(hereinafterreferredtoasthe"Services")toPartyB,andPartyBshallcompensatePartyAforsuchServices.Agreement2.ServicestobeProvided2.1PartyAagreestoprovidethefollowingServicestoPartyB:2.2TheServicesshallbeperformedinaccordancewiththespecifications,timelines,andstandardsagreeduponbythePartiesduringthenegotiationprocess.3.TermoftheContract3.1ThetermofthisContractshallcommenceonandcontinueuntil,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.3.2EitherPartymayterminatethisContractupondays'writtennoticetotheotherParty,providedthatnobreachofcontractexistsatthetimeoftermination.4.CompensationandPaymentTerms4.1PartyBshallcompensatePartyAfortheServicesrenderedinaccordancewiththefeesoutlinedinExhibitA,whichisattachedheretoandmadeanintegralpartofthisContract.4.2Allpaymentsshallbemadewithindaysoftheissuanceofaninvoice,unlessotherwiseagreeduponinwriting.4.3AllpaymentsshallbemadeinthecurrencyspecifiedinExhibitA.5.IntellectualPropertyRights5.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,createdordevelopedinthecourseofprovidingtheServicesshallremainthesolepropertyof,unlessotherwiseagreeduponinwriting.5.2PartyAgrantsPartyBanon-exclusive,royalty-freelicensetouseanyintellectualpropertycreatedasaresultoftheServicesforthedurationofthisContract.6.Confidentiality6.1EachPartyagreestomaintaintheconfidentialityofallnon-public,proprietary,orconfidentialinformation(hereinafterreferredtoas"ConfidentialInformation")exchangedduringthenegotiationandexecutionofthisContract.6.2TheobligationsofconfidentialityshallsurvivetheterminationofthisContractforaperiodofyears.7.GoverningLaw7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitschoiceoflawprinciples.7.2AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthrough.8.EntireAgreement8.1ThisContract,togetherwithanyExhibits,appendices,orschedulesattachedhereto,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal.8.2AnyamendmentsormodificationstothisContractmustbemadeinwritingandsignedbybothParties.9.ForceMajeure9.1NeitherPartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,orgovernmentalactions.9.2IfsuchaneventpreventseitherPartyfromfulfillingitsobligationsunderthisContract,theaffectedPartyshallpromptlynotifytheotherPartyinwritingandmakereasonableeffortstominimizetheimpactoftheevent.10.Miscellaneous10.1ThefailureofeitherPartytoenforceanyprovisionofthisContractshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.10.2IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.11.Acceptance11.1BysigningthisContract,thePartiesconfirmthattheyhaveread,understood,andagreetobeboundbythetermsandconditionssetforthherein.InWitnessWhereof,thePartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.PartyAName:
