中英文數(shù)據(jù)庫(kù)會(huì)員協(xié)議范本DatabaseMembershipAgreement(Model)**前言（Preamble）**本《數(shù)據(jù)庫(kù)會(huì)員協(xié)議》（以下簡(jiǎn)稱“本協(xié)議”）由以下雙方于______年______月______日自愿簽訂，旨在明確雙方在數(shù)據(jù)庫(kù)會(huì)員服務(wù)中的權(quán)利與義務(wù)，保障服務(wù)順利開(kāi)展。ThisDatabaseMembershipAgreement(hereinafterreferredtoas"thisAgreement")isvoluntarilyenteredintoon[Date]bythefollowingpartiestoclarifytherightsandobligationsofbothpartiesinthedatabasemembershipservicesandensurethesmoothimplementationoftheservices.甲方（PartyA）：______________________（數(shù)據(jù)庫(kù)提供者，DatabaseProvider）住所地（RegisteredAddress）：______________________統(tǒng)一社會(huì)信用代碼（UnifiedSocialCreditCode）：______________________乙方（PartyB）：______________________（會(huì)員，Member）住所地/住址（RegisteredAddress/Residence）：______________________統(tǒng)一社會(huì)信用代碼/身份證號(hào)（UnifiedSocialCreditCode/IDNumber）：______________________**1.定義（Definitions）**1.1數(shù)據(jù)庫(kù)服務(wù)（DatabaseServices）：指甲方通過(guò)其運(yùn)營(yíng)的平臺(tái)（包括網(wǎng)站、移動(dòng)應(yīng)用等）向乙方提供的數(shù)據(jù)庫(kù)內(nèi)容訪問(wèn)、數(shù)據(jù)檢索、數(shù)據(jù)分析、數(shù)據(jù)導(dǎo)出等服務(wù)。1.2會(huì)員（Member）：指符合本協(xié)議條件，向甲方申請(qǐng)并獲得會(huì)員資格的自然人、法人或其他組織。1.3授權(quán)內(nèi)容（LicensedContent）：指甲方數(shù)據(jù)庫(kù)中包含的文字、圖片、表格、音頻、視頻、數(shù)據(jù)集合等所有內(nèi)容，甲方對(duì)其享有完整知識(shí)產(chǎn)權(quán)。1.4賬號(hào)（Account）：指乙方為使用數(shù)據(jù)庫(kù)服務(wù)而注冊(cè)的賬戶，包括用戶名、密碼及關(guān)聯(lián)的身份信息。1.Definitions1.1DatabaseServices:ReferstotheservicesprovidedbyPartyAtoPartyBthroughitsoperatedplatform(includingwebsites,mobileapplications,etc.),suchasdatabasecontentaccess,dataretrieval,dataanalysis,dataexport,etc.1.2Member:Referstoanaturalperson,legalperson,orotherorganizationthatmeetstheconditionsofthisAgreement,appliestoPartyA,andobtainsmembershipeligibility.1.4Account:ReferstotheaccountregisteredbyPartyBforusingDatabaseServices,includingusername,password,andassociatedidentityinformation.**2.會(huì)員資格（MembershipEligibility）**2.1申請(qǐng)條件（ApplicationRequirements）：（1）自然人會(huì)員：需具備完全民事行為能力；（2）企業(yè)會(huì)員：需為合法存續(xù)的法人或其他組織；（3）提供真實(shí)、準(zhǔn)確、完整的注冊(cè)信息（如姓名/名稱、聯(lián)系方式、身份憑證等）。2.2審核與生效（ReviewandEffectiveness）：甲方有權(quán)對(duì)乙方的申請(qǐng)進(jìn)行審核，審核通過(guò)后，乙方獲得會(huì)員資格，本協(xié)議自審核通過(guò)之日起生效。甲方有權(quán)拒絕不符合條件的申請(qǐng)，且無(wú)需說(shuō)明理由。2.3會(huì)員類型（MembershipTypes）：會(huì)員分為個(gè)人會(huì)員（IndividualMember）和企業(yè)會(huì)員（EnterpriseMember），不同類型會(huì)員的權(quán)利義務(wù)以甲方平臺(tái)公示的《會(huì)員權(quán)益說(shuō)明》為準(zhǔn)。2.4資格終止（TerminationofEligibility）：若乙方存在以下情形之一，甲方有權(quán)立即終止其會(huì)員資格，且不承擔(dān)任何責(zé)任：（1）提供虛假、偽造或失效的注冊(cè)信息；（2）違反本協(xié)議任何條款或甲方平臺(tái)規(guī)則；（3）濫用會(huì)員權(quán)利（如批量爬取數(shù)據(jù)、轉(zhuǎn)售授權(quán)內(nèi)容、攻擊系統(tǒng)等）；（4）法律、法規(guī)規(guī)定的其他違法或違約情形。2.MembershipEligibility2.1ApplicationRequirements:(1)IndividualMembers:Musthavefullcivilcapacity;(2)EnterpriseMembers:Mustbealegallyexistinglegalpersonorotherorganization;2.2ReviewandEffectiveness:PartyAhastherighttoreviewPartyB’sapplication.Uponapproval,PartyBobtainsmembershipeligibility,andthisAgreementshalltakeeffectfromthedateofapproval.PartyAhastherighttorejectapplicationsthatdonotmeettherequirementswithoutgivingreasons.2.3MembershipTypes:MembersaredividedintoIndividualMembersandEnterpriseMembers.Therightsandobligationsofdifferenttypesofmembersshallbesubjecttothe*MemberBenefitsStatement*publishedonPartyA’splatform.2.4TerminationofEligibility:PartyAhastherighttoimmediatelyterminatePartyB’smembershipeligibilitywithoutanyliabilityifPartyBisinanyofthefollowingcircumstances:(1)Providingfalse,forged,orinvalidregistrationinformation;(2)ViolatinganytermsofthisAgreementorPartyA’splatformrules;(3)Abusingmembershiprights(suchasbatchdatacrawling,resellinglicensedcontent,attackingsystems,etc.);(4)Otherillegalorbreachcircumstancesstipulatedbylawsandregulations.**3.會(huì)員權(quán)利（MemberRights）**3.1內(nèi)容訪問(wèn)權(quán)（ContentAccessRight）：乙方有權(quán)根據(jù)會(huì)員類型訪問(wèn)甲方數(shù)據(jù)庫(kù)中的授權(quán)內(nèi)容（如論文、報(bào)告、統(tǒng)計(jì)數(shù)據(jù)等）。3.2服務(wù)使用權(quán)（ServiceUseRight）：乙方有權(quán)使用甲方提供的數(shù)據(jù)庫(kù)檢索、篩選、分析、導(dǎo)出等功能（具體以會(huì)員等級(jí)為準(zhǔn)）。3.3技術(shù)支持權(quán)（TechnicalSupportRight）：乙方有權(quán)獲得甲方提供的技術(shù)咨詢、故障排查等客戶服務(wù)。3.4建議反饋權(quán)（SuggestionandFeedbackRight）：乙方有權(quán)向甲方提出關(guān)于數(shù)據(jù)庫(kù)服務(wù)的建議或投訴，甲方應(yīng)及時(shí)處理并回復(fù)。3.MemberRights3.1ContentAccessRight:PartyBhastherighttoaccessthelicensedcontent(suchaspapers,reports,statisticaldata,etc.)inPartyA’sdatabaseaccordingtothemembershiptype.3.2ServiceUseRight:PartyBhastherighttousethefunctionsprovidedbyPartyA,suchasdatabaseretrieval,filtering,analysis,export,etc.(subjecttothemembershiplevel).3.3TechnicalSupportRight:PartyBhastherighttoobtaintechnicalconsulting,faulttroubleshooting,andothercustomerservicesprovidedbyPartyA.**4.會(huì)員義務(wù)（MemberObligations）**乙方應(yīng)遵守中華人民共和國(guó)法律法規(guī)及相關(guān)國(guó)際條約，不得利用數(shù)據(jù)庫(kù)服務(wù)從事任何違法活動(dòng)（如傳播虛假信息、侵犯他人隱私、從事詐騙等）。乙方應(yīng)嚴(yán)格遵守本協(xié)議及甲方平臺(tái)發(fā)布的所有規(guī)則（如《數(shù)據(jù)使用規(guī)范》《隱私政策》等），不得實(shí)施任何違反協(xié)議的行為。4.3賬號(hào)安全（AccountSecurity）：乙方應(yīng)妥善保管賬號(hào)及密碼，不得將賬號(hào)轉(zhuǎn)借、出租或轉(zhuǎn)讓給第三方使用。若賬號(hào)被盜用，乙方應(yīng)立即通知甲方，否則承擔(dān)由此造成的損失。4.4知識(shí)產(chǎn)權(quán)保護(hù)（IntellectualPropertyProtection）：乙方不得復(fù)制、修改、分發(fā)、銷(xiāo)售、許可他人使用甲方數(shù)據(jù)庫(kù)中的授權(quán)內(nèi)容，除非獲得甲方書(shū)面授權(quán)。乙方上傳至甲方平臺(tái)的內(nèi)容，應(yīng)保證不侵犯任何第三方的知識(shí)產(chǎn)權(quán)，否則承擔(dān)全部法律責(zé)任。4.5信息更新（InformationUpdate）：乙方注冊(cè)信息發(fā)生變更時(shí)，應(yīng)及時(shí)通過(guò)甲方平臺(tái)更新。若因信息未更新導(dǎo)致的損失，由乙方自行承擔(dān)。4.MemberObligations4.3AccountSecurity:PartyBshallproperlykeepitsaccountandpassword,andshallnotlend,rent,ortransfertheaccounttoathirdparty.Iftheaccountisstolen,PartyBshallimmediatelynotifyPartyA;otherwise,itshallbearthelossescausedthereby.4.4IntellectualPropertyProtection:PartyBshallnotcopy,modify,distribute,sell,orlicenseotherstousethelicensedcontentinPartyA’sdatabaseunlessobtainingwrittenauthorizationfromPartyA.PartyBshallensurethatthecontentuploadedtoPartyA’splatformdoesnotinfringeuponanythirdparty’sintellectualpropertyrights,otherwise,itshallbearalllegalliabilities.4.5InformationUpdate:PartyBshallpromptlyupdateitsregistrationinformationthroughPartyA’splatformwhenthereisanychange.PartyBshallbearthelossescausedbyfailuretoupdatetheinformation.**5.數(shù)據(jù)使用與知識(shí)產(chǎn)權(quán)（DataUseandIntellectualPropertyRights）**5.1知識(shí)產(chǎn)權(quán)歸屬（OwnershipofIntellectualPropertyRights）：甲方對(duì)數(shù)據(jù)庫(kù)中的所有授權(quán)內(nèi)容享有完全的知識(shí)產(chǎn)權(quán)（包括但不限于著作權(quán)、商標(biāo)權(quán)、專利權(quán)、商業(yè)秘密等），乙方僅獲得非獨(dú)家、不可轉(zhuǎn)讓、不可再許可的使用權(quán)。5.2數(shù)據(jù)使用限制（RestrictionsonDataUse）：（1）個(gè)人會(huì)員：僅可出于非商業(yè)目的使用授權(quán)內(nèi)容（如學(xué)術(shù)研究、個(gè)人學(xué)習(xí)等），不得用于商業(yè)活動(dòng)（如廣告宣傳、產(chǎn)品開(kāi)發(fā)等）。（2）企業(yè)會(huì)員：可出于商業(yè)目的使用授權(quán)內(nèi)容，但需遵守甲方的《商業(yè)使用規(guī)范》（如注明來(lái)源、不得修改核心數(shù)據(jù)、不得超過(guò)授權(quán)范圍等）。（3）無(wú)論何種會(huì)員類型，均不得將授權(quán)內(nèi)容用于違法或侵權(quán)活動(dòng)。5.3會(huì)員上傳數(shù)據(jù)（Member-UploadedData）：若乙方通過(guò)甲方平臺(tái)上傳數(shù)據(jù)，視為乙方授予甲方以下權(quán)利：（1）全球性、永久性、非獨(dú)家的使用權(quán)，可用于數(shù)據(jù)庫(kù)服務(wù)的運(yùn)營(yíng)、推廣、改進(jìn)等目的；（2）修改、改編、整合上傳數(shù)據(jù)的權(quán)利（如格式轉(zhuǎn)換、數(shù)據(jù)清洗等）；（3）將上傳數(shù)據(jù)授權(quán)給其他會(huì)員使用的權(quán)利（需遵守甲方的授權(quán)規(guī)則）。乙方應(yīng)保證上傳的數(shù)據(jù)不侵犯任何第三方的合法權(quán)益（如知識(shí)產(chǎn)權(quán)、隱私權(quán)等），否則承擔(dān)由此造成的全部責(zé)任（包括甲方的損失）。5.DataUseandIntellectualPropertyRights5.1OwnershipofIntellectualPropertyRights:5.2RestrictionsonDataUse:(3)Regardlessofthemembershiptype,thelicensedcontentshallnotbeusedforillegalorinfringingactivities.5.3Member-UploadedData:IfPartyBuploadsdatathroughPartyA’splatform,itshallbedeemedthatPartyBgrantsPartyAthefollowingrights:(1)Aglobal,perpetual,non-exclusiverighttousethedatafortheoperation,promotion,improvement,etc.ofthedatabaseservices;(2)Therighttomodify,adapt,andintegratetheuploadeddata(suchasformatconversion,datacleaning,etc.);(3)Therighttolicensetheuploadeddatatoothermembers(subjecttoPartyA’slicensingrules).PartyBshallensurethattheuploadeddatadoesnotinfringeuponanythirdparty’slegitimaterightsandinterests(suchasintellectualpropertyrights,privacyrights,etc.),otherwise,itshallbearallliabilitiescausedthereby(includingPartyA’slosses).**6.隱私保護(hù)（PrivacyProtection）**6.1信息收集（InformationCollection）：甲方僅收集乙方為使用數(shù)據(jù)庫(kù)服務(wù)所需的信息，包括但不限于：（1）注冊(cè)信息：姓名/名稱、聯(lián)系方式、身份憑證（如身份證、營(yíng)業(yè)執(zhí)照等）；（2）使用信息：訪問(wèn)記錄、檢索歷史、使用時(shí)長(zhǎng)、設(shè)備信息（如IP地址、瀏覽器類型等）；（3）支付信息：支付賬戶、交易記錄（僅當(dāng)乙方使用付費(fèi)服務(wù)時(shí)收集）。6.2信息用途（InformationUse）：甲方收集的信息僅用于以下目的：（1）提供服務(wù)：如注冊(cè)賬號(hào)、處理支付、提供技術(shù)支持等；（2）改進(jìn)服務(wù)：如分析用戶需求、優(yōu)化服務(wù)功能、提升用戶體驗(yàn)等；（3）合規(guī)要求：如應(yīng)對(duì)法律調(diào)查、履行監(jiān)管義務(wù)、保護(hù)甲方及用戶的合法權(quán)益等。6.3信息共享（InformationSharing）：甲方不會(huì)向第三方共享乙方的個(gè)人信息，除非符合以下情形：（1）獲得乙方的明確書(shū)面同意；（2）為提供服務(wù)所需（如支付服務(wù)提供商、物流服務(wù)商等，甲方會(huì)要求其遵守隱私保護(hù)規(guī)定）；（3）遵守法律規(guī)定（如法院判決、政府要求、監(jiān)管指令等）。6.4用戶權(quán)利（UserRights）：乙方有權(quán)行使以下權(quán)利：（1）訪問(wèn)權(quán)：查詢其個(gè)人信息的收集、使用情況；（2）修改權(quán)：更正其個(gè)人信息中的錯(cuò)誤內(nèi)容；（3）刪除權(quán)：要求刪除其個(gè)人信息（除非甲方需要保留以履行法律義務(wù)）；（4）撤回同意權(quán)：撤回對(duì)個(gè)人信息收集、使用的同意（但可能影響服務(wù)的提供）。乙方行使上述權(quán)利時(shí)，可通過(guò)甲方平臺(tái)的“個(gè)人中心”或聯(lián)系客戶服務(wù)辦理。6.5數(shù)據(jù)安全（DataSecurity）：甲方采取合理的技術(shù)和管理措施保護(hù)乙方的個(gè)人信息，防止信息泄露、篡改或丟失，包括但不限于：（1）加密存儲(chǔ)：對(duì)敏感信息（如密碼、支付信息）進(jìn)行加密處理；（2）訪問(wèn)控制：限制員工對(duì)個(gè)人信息的訪問(wèn)權(quán)限；（3）定期備份：定期備份數(shù)據(jù)以防止數(shù)據(jù)丟失。6.PrivacyProtection6.1InformationCollection:PartyAonlycollectsinformationnecessaryforPartyBtousethedatabaseservices,includingbutnotlimitedto:(1)RegistrationInformation:Name,contactinformation,identitydocuments(suchasIDcard,businesslicense,etc.);(2)UsageInformation:Accessrecords,searchhistory,usageduration,deviceinformation(suchasIPaddress,browsertype,etc.);(3)PaymentInformation:Paymentaccount,transactionrecords(onlycollectedwhenPartyBusespaidservices).6.2InformationUse:TheinformationcollectedbyPartyAisonlyusedforthefollowingpurposes:(1)ProvidingServices:Suchasregisteringaccounts,processingpayments,providingtechnicalsupport,etc.;(2)ImprovingServices:Suchasanalyzinguserneeds,optimizingservicefunctions,enhancinguserexperience,etc.;6.3InformationSharing:PartyAshallnotsharePartyB’spersonalinformationwiththirdpartiesunless:(1)ObtainingPartyB’sexpresswrittenconsent;6.4UserRights:PartyBhastherighttoexercisethefollowingrights:(1)AccessRight:Querythecollectionanduseofitspersonalinformation;(2)ModificationRight:Correcterrorsinitspersonalinformation;(3)DeletionRight:Requestdeletionofitspersonalinformation(unlessPartyAneedstoretainittofulfilllegalobligations);(4)RighttoWithdrawConsent:Withdrawconsenttothecollectionanduseofpersonalinformation(butmayaffecttheprovisionofservices).PartyBmayexercisetheaboverightsthroughthe"PersonalCenter"onPartyA’splatformorbycontactingcustomerservice.6.5DataSecurity:PartyAtakesreasonabletechnicalandmanagementmeasurestoprotectPartyB’spersonalinformationfromleakage,tampering,orloss,includingbutnotlimitedto:(1)EncryptedStorage:Encryptingsensitiveinformation(suchaspasswords,paymentinformation);(2)AccessControl:Restrictingemployees’accesstopersonalinformation;(3)RegularBackups:Regularlybackingupdatatopreventdataloss.**7.服務(wù)費(fèi)用與支付（ServiceFeesandPayment）**7.1費(fèi)用標(biāo)準(zhǔn)（FeeStandards）：甲方根據(jù)會(huì)員類型、服務(wù)內(nèi)容及市場(chǎng)情況制定費(fèi)用標(biāo)準(zhǔn)，具體以甲方平臺(tái)公示的《服務(wù)價(jià)格表》為準(zhǔn)。甲方有權(quán)調(diào)整費(fèi)用標(biāo)準(zhǔn)，但會(huì)提前30天通過(guò)平臺(tái)公告或電子郵件通知乙方。7.2支付方式（PaymentMethods）：乙方可通過(guò)以下方式支付費(fèi)用：（1）在線支付：微信、支付寶、銀聯(lián)等；（2）銀行轉(zhuǎn)賬：甲方指定的銀行賬戶；（3）其他方式：如支票、匯票等（需雙方協(xié)商一致）。7.3自動(dòng)續(xù)訂（AutomaticRenewal）：若乙方選擇自動(dòng)續(xù)訂服務(wù)，甲方將在訂閱期屆滿前7天通知乙方，若乙方未提出取消申請(qǐng)，甲方將自動(dòng)扣除下一周期的費(fèi)用。乙方可通過(guò)“個(gè)人中心”取消自動(dòng)續(xù)訂。7.4退款政策（RefundPolicy）：（1）未使用服務(wù)：若乙方在訂閱期內(nèi)未使用任何服務(wù)，可申請(qǐng)退款，甲方將扣除10%的手續(xù)費(fèi)后退還剩余費(fèi)用；（2）已使用服務(wù)：若乙方已使用服務(wù)，除非甲方存在違約行為，否則不予退款；（3）特殊情況：如甲方停止提供服務(wù)，甲方將退還乙方未使用部分的費(fèi)用。7.ServiceFeesandPayment7.1FeeStandards:PartyAshallformulatefeestandardsaccordingtothemembershiptype,servicecontent,andmarketconditions,whichshallbesubjecttothe*ServicePriceList*publishedonPartyA’splatform.PartyAhastherighttoadjustthefeestandards,butwillnotifyPartyB30daysinadvancethroughaplatformannouncementoremail.7.2PaymentMethods:PartyBmaypayfeesthroughthefollowingmethods:(1)OnlinePayment:WeChat,Alipay,UnionPay,etc.;(2)BankTransfer:PartyA’sdesignatedbankaccount;(3)OtherMethods:Suchascheck,draft,etc.(subjecttomutualagreementbetweenbothparties).7.3AutomaticRenewal:IfPartyBchoosestheautomaticrenewalservice,PartyAwillnotifyPartyB7daysbeforetheexpirationofthesubscriptionperiod.IfPartyBdoesnotapplyforcancellation,PartyAwillautomaticallydeductthefeeforthenextcycle.PartyBmaycanceltheautomaticrenewalthroughthe"PersonalCenter".7.4RefundPolicy:(1)UnusedServices:IfPartyBhasnotusedanyservicesduringthesubscriptionperiod,itmayapplyforarefund,andPartyAwillrefundtheremainingfeeafterdeductinga10%handlingfee;(2)UsedServices:IfPartyBhasusedtheservices,norefundwillbegivenunlessPartyAhasabreachofcontract;(3)SpecialCircumstances:IfPartyAstopsprovidingservices,PartyAwillrefundtheunusedportionofthefeetoPartyB.**8.協(xié)議終止（Termination）**8.1終止情形（TerminationCircumstances）：本協(xié)議可因以下情形終止：（1）乙方主動(dòng)注銷(xiāo)：乙方可通過(guò)“個(gè)人中心”申請(qǐng)注銷(xiāo)會(huì)員資格，注銷(xiāo)后本協(xié)議終止；（2）甲方終止服務(wù)：甲方因業(yè)務(wù)調(diào)整、法律規(guī)定等原因停止提供數(shù)據(jù)庫(kù)服務(wù)，應(yīng)提前60天通知乙方，本協(xié)議自服務(wù)停止之日起終止；（3）違約終止：若乙方違反本協(xié)議條款，甲方有權(quán)立即終止本協(xié)議；（4）其他情形：如雙方協(xié)商一致、法律規(guī)定等。8.2終止效果（EffectsofTermination）：（1）服務(wù)停止：乙方不再享有會(huì)員權(quán)利，不得繼續(xù)使用數(shù)據(jù)庫(kù)服務(wù)；（2）數(shù)據(jù)保留：甲方有權(quán)保留乙方的注冊(cè)信息和使用記錄，但應(yīng)遵守隱私保護(hù)規(guī)定；（3）費(fèi)用結(jié)算：若乙方存在未支付的費(fèi)用，應(yīng)在協(xié)議終止后15天內(nèi)支付；若甲方存在應(yīng)退還的費(fèi)用，應(yīng)在協(xié)議終止后15天內(nèi)退還。8.Termination8.1TerminationCircumstances:ThisAgreementmaybeterminatedduetothefollowingcircumstances:(1)VoluntaryCancellationbyPartyB:PartyBmayapplytocancelthemembershipeligibilitythroughthe"PersonalCenter",andthisAgreementshallterminateuponcancellation;(2)TerminationofServicesbyPartyA:IfPartyAstopsprovidingdatabaseservicesduetobusinessadjustments,legalprovisions,etc.,itshallnotifyPartyB60daysinadvance,andthisAgreementshallterminateonthedateofservicetermination;(3)TerminationduetoBreach:IfPartyBviolatesthetermsofthisAgreement,PartyAhastherighttoterminatethisAgreementimmediately;(4)OtherCircumstances:Suchasmutualagreementbetweenbothparties,legalprovisions,etc.8.2EffectsofTermination:(1)SuspensionofServices:PartyBshallnolongerenjoymembershiprightsandshallnotcontinuetousethedatabaseservices;(3)FeeSettlement:IfPartyBhasunpaidfees,itshallpaythemwithin15daysaftertheterminationofthisAgreement;ifPartyAhasfeestorefund,itshallrefundthemwithin15daysaftertheterminationofthisAgreement.**9.違約責(zé)任（LiabilityforBreach）**9.1乙方違約（BreachbyPartyB）：若乙方違反本協(xié)議條款，甲方有權(quán)采取以下措施：（1）警告：口頭或書(shū)面警告乙方，要求其糾正違約行為；（2）暫停服務(wù)：暫停乙方的會(huì)員服務(wù)，直至乙方糾正違約行為；（3）終止協(xié)議：立即終止本協(xié)議，且不承擔(dān)任何責(zé)任；（4）賠償損失：要求乙方賠償甲方因此遭受的損失（包括直接損失和間接損失，如律師費(fèi)、訴訟費(fèi)等）；（5）法律追究：向法院起訴或向仲裁機(jī)構(gòu)申請(qǐn
