ié)果處理（HandlingofAcceptanceResults）1.如產(chǎn)品符合驗收標(biāo)準(zhǔn)，甲方應(yīng)向乙方出具驗收合格證明。Iftheproductsmeettheacceptancecriteria,PartyAshallissueacertificateofacceptancetoPartyB.2.如產(chǎn)品不符合驗收標(biāo)準(zhǔn)，甲方應(yīng)在驗收期限內(nèi)書面通知乙方，說明不合格的具體情況。乙方應(yīng)在收到通知后______日內(nèi)予以答復(fù)，并在______日內(nèi)采取______（退貨/換貨/維修/其他：________________）措施，直至產(chǎn)品符合驗收標(biāo)準(zhǔn)。因此產(chǎn)生的費用由乙方承擔(dān)。Iftheproductsdonotmeettheacceptancecriteria,PartyAshallnotifyPartyBinwritingwithintheacceptanceperiod,statingthespecificcircumstancesofthenon-conformity.PartyBshallreplywithin______daysafterreceivingthenoticeandtake______(return/replacement/repair/other:________________)measureswithin______daysuntiltheproductsmeettheacceptancecriteria.TheexpensesincurredtherebyshallbebornebyPartyB.五、質(zhì)量保證（QualityAssurance）1.乙方保證所提供的產(chǎn)品是全新的、未使用過的，符合本合同約定的質(zhì)量標(biāo)準(zhǔn)及相關(guān)法律法規(guī)的要求。PartyBguaranteesthattheproductsprovidedarenew,unused,andinlinewiththequalitystandardsagreedinthiscontractandtherequirementsofrelevantlawsandregulations.2.產(chǎn)品的質(zhì)量保證期為自甲方驗收合格之日起______個月/年。Thequalityguaranteeperiodoftheproductsis______months/yearsfromthedatewhenPartyApassestheacceptance.3.在質(zhì)量保證期內(nèi)，如產(chǎn)品出現(xiàn)質(zhì)量問題，乙方應(yīng)在收到甲方通知后______日內(nèi)予以響應(yīng)，并在______日內(nèi)免費為甲方提供______（維修/更換零部件/更換產(chǎn)品）服務(wù)。如因甲方使用不當(dāng)或人為損壞導(dǎo)致產(chǎn)品出現(xiàn)質(zhì)量問題，乙方可提供維修服務(wù)，但相關(guān)費用由甲方承擔(dān)。Withinthequalityguaranteeperiod,iftheproductshavequalityproblems,PartyBshallrespondwithin______daysafterreceivingthenoticefromPartyAandprovidePartyAwithfree______(repair/replacementofparts/replacementofproducts)serviceswithin______days.Iftheproductqualityproblemsarecausedbyimproperuseorman-madedamagebyPartyA,PartyBmayprovidemaintenanceservices,buttherelevantexpensesshallbebornebyPartyA.六、違約責(zé)任（LiabilityforBreachofContract）（一）甲方違約責(zé)任（PartyA'sLiabilityforBreach）1.如甲方未按本合同約定的時間支付貨款，每逾期一日，應(yīng)按逾期付款金額的______‰向乙方支付違約金。逾期付款超過______日的，乙方有權(quán)解除本合同，并要求甲方賠償因此造成的損失。IfPartyAfailstopaythepurchasepriceinaccordancewiththetimeagreedinthiscontract,itshallpayliquidateddamagestoPartyBat______‰oftheoverduepaymentamountforeachdayofdelay.Iftheoverduepaymentexceeds______days,PartyBhastherighttoterminatethiscontractandrequirePartyAtocompensateforthelossescausedthereby.2.如甲方無正當(dāng)理由拒收產(chǎn)品，應(yīng)向乙方支付合同總價款______%的違約金，并賠償乙方因此造成的損失。IfPartyArefusestoaccepttheproductswithoutjustifiablereasons,itshallpayliquidateddamagesof______%ofthetotalcontractpricetoPartyBandcompensatePartyBforthelossescausedthereby.（二）乙方違約責(zé)任（PartyB'sLiabilityforBreach）1.如乙方未按本合同約定的時間交付產(chǎn)品，每逾期一日，應(yīng)按合同總價款的______‰向甲方支付違約金。逾期交付超過______日的，甲方有權(quán)解除本合同，并要求乙方退還已支付的貨款及利息（利息按中國人民銀行同期貸款利率計算），同時乙方應(yīng)向甲方支付合同總價款______%的違約金，賠償甲方因此造成的損失。IfPartyBfailstodelivertheproductsinaccordancewiththetimeagreedinthiscontract,itshallpayliquidateddamagestoPartyAat______‰ofthetotalcontractpriceforeachdayofdelay.Ifthedelayeddeliveryexceeds______days,PartyAhastherighttoterminatethiscontractandrequirePartyBtorefundthepaidpurchasepriceandinterest(interestshallbecalculatedaccordingtothebenchmarklendingrateofthePeople'sBankofChinaforthesameperiod),andatthesametime,PartyBshallpayliquidateddamagesof______%ofthetotalcontractpricetoPartyAandcompensatePartyAforthelossescausedthereby.2.如乙方提供的產(chǎn)品質(zhì)量不符合本合同約定的標(biāo)準(zhǔn)，乙方應(yīng)按照本合同第四條第四款第2項的約定采取補救措施，并向甲方支付合同總價款______%的違約金。如因此給甲方造成損失的，乙方應(yīng)予以賠償。IfthequalityoftheproductsprovidedbyPartyBdoesnotmeetthestandardsagreedinthiscontract,PartyBshalltakeremedialmeasuresinaccordancewiththeprovisionsofArticle4,Paragraph4,Item2ofthiscontractandpayliquidateddamagesof______%ofthetotalcontractpricetoPartyA.IflossesarecausedtoPartyAthereby,PartyBshallcompensate.七、不可抗力（ForceMajeure）1.任何一方由于不可抗力原因不能履行合同時，應(yīng)在不可抗力事件發(fā)生后______日內(nèi)，向?qū)Ψ酵▓螅詼p輕可能給對方造成的損失，在取得有關(guān)機(jī)構(gòu)的不可抗力證明后，允許延期履行、部分履行或者不履行合同，并根據(jù)情況可部分或全部免予承擔(dān)違約責(zé)任。Ifeitherpartyisunabletoperformthecontractduetoforcemajeure,itshallnotifytheotherpartywithin______daysaftertheoccurrenceoftheforcemajeureeventtoreducethepossiblelossestotheotherparty.Afterobtainingtheforcemajeurecertificatefromtherelevantauthority,itisallowedtodelayperformance,partiallyperformornotperformthecontract,andmaybepartiallyorfullyexemptedfromliabilityforbreachofcontractaccordingtothecircumstances.2.不可抗力是指不能預(yù)見、不能避免并不能克服的客觀情況，包括但不限于地震、臺風(fēng)、洪水、火災(zāi)、戰(zhàn)爭、政府行為等。Forcemajeurereferstoobjectivecircumstancesthatcannotbeforeseen,avoidedorovercome,includingbutnotlimitedtoearthquakes,typhoons,floods,fires,wars,governmentactions,etc.八、爭議解決（DisputeResolution）1.本合同在履行過程中發(fā)生的爭議，由雙方當(dāng)事人協(xié)商解決；協(xié)商不成的，按下列第______種方式解決：Disputesarisingintheperformanceofthiscontractshallberesolvedthroughnegotiationbybothparties;ifnegotiationfails,itshallberesolvedinthefollowing______way:（1）提交________________仲裁委員會仲裁；Submitto________________ArbitrationCommissionforarbitration;（2）依法向________________人民法院提起訴訟。Filealawsuitwith________________People'sCourtinaccordancewiththelaw.2.在爭議解決期間，除爭議事項外，雙方應(yīng)繼續(xù)履
