2025咨詢服務(wù)合同中英文2025CONSULTANCYSERVICECONTRACTThisContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintoon[DateofContract],andbetweenthefollowingparties:PartyA:[FullLegalNameofPartyA],a[LegalEntityType]incorporatedunderthelawsof[Country/State],withitsregisteredofficelocatedat[RegisteredAddressofPartyA],hereinafterreferredtoas"PartyA."PartyB:[FullLegalNameofPartyB],anindividual/representativeof[LegalEntityType]incorporatedunderthelawsof[Country/State],withhis/herprincipalplaceofbusinesslocatedat[PrincipalPlaceofBusinessofPartyB],hereinafterreferredtoas"PartyB."WHEREAS,PartyAisengagedinthebusinessof[BriefDescriptionofPartyA'sBusiness],andPartyBrequirestheservicesofPartyAfor[BriefDescriptionofthePurposeoftheConsultancyServices];NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.ScopeofServicesPartyAagreestoprovideconsultancyservicestoPartyBasdescribedintheattachedScheduleofServices(hereinafterreferredtoasthe"Services").TheServicesshallinclude,butnotbelimitedto,thefollowing:[DetailedDescriptionofService1][DetailedDescriptionofService2][DetailedDescriptionofService3][DetailedDescriptionofService4]2.Term3.FeesandPayment3.1ThetotalfeefortheServicesshallbe[AmountinCurrency](hereinafterreferredtoasthe"Fees").3.2PaymentoftheFeesshallbemadeinaccordancewiththefollowingschedule:[Percentage/Amount]oftheFeesuponexecutionofthisContract.[Percentage/Amount]oftheFeesupondeliveryof[SpecificDeliverableorReport].3.3Allpaymentsshallbemadein[Currency]totheaccountofPartyAasspecifiedintheattachedinvoice.4.Confidentiality4.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyinconnectionwiththisContract,exceptforinformationthatis:Publiclyavailable.Alreadyknowntothereceivingpartyatthetimeofdisclosure.lawfullyacquiredfromathirdparty.4.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.5.IntellectualProperty5.1AllintellectualpropertyrightsintheServicesprovidedPartyAunderthisContractshallremainthepropertyofPartyA.5.2PartyBshallnotusetheintellectualpropertyrightsofPartyAinanymannerthatisnotpermittedunderthisContract.6.WarrantiesandLiability6.1PartyAwarrantsthattheServiceswillbeperformedwithduecareandskill.6.2PartyAshallnotbeliableforanylossordamagearisingfromanycausebeyonditsreasonablecontrol.6.3PartyB'ssoleremedyforanybreachofwarrantyPartyAshallbetherighttohavetheServicesreperformedortohavetheFeesrefundedinproportiontothebreach.7.Termination7.1ThisContractmaybeterminatedeitherpartyupon[SpecificEventorCondition],upon[NoticePeriod]priorwrittennoticetotheotherparty.8.GoverningLawandDisputeResolution8.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[Country/State].8.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthrough[SpecificDisputeResolutionMechanism],suchasmediation,arbitration,orlitigation.9.GeneralProvisions9.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,relatingtothesubjectmatterofthisContract.9.2NoamendmentormodificationofthisContractshallbeeffectiveunlessitisinwritingandsignedbothparties.9.3IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.PartyA:__________
