2025標準版中英文對照來料加工合同范本ContractforProcessingMaterialsonConsignment（來料加工合同）ContractNo.:DateofSigning:PlaceofSigning:Between:(甲方,PartyA)Address:ContactPerson:Phone:And(乙方,PartyB)Address:ContactPerson:Phone:1.緒言(Introduction)ThepresentContractisenteredintobyandbetweenPartyAandPartyBonthebasisofequalityandmutualbenefit.ThepurposeofthisContractistoregulatethecooperationbetweenPartyAandPartyBintheprocessingofmaterialsonconsignment,ensuringthattherightsandobligationsofbothpartiesareclearlydefined,andthatthetransactionsareconductedsmoothlyandinaccordancewiththerelevantlawsandregulations.2.合作內(nèi)容與要求（ContentandRequirementsofCooperation）2.1ScopeofProcessing:PartyBshallberesponsiblefortheprocessingoftherawmaterialsandcomponents(hereinafterreferredtoas"Materials")providedbyPartyA.Thespecificscopeofprocessingisasfollows:Theprocessingshallcomplywiththetechnicalrequirements,qualitystandards,anddeliveryschedulesspecifiedinthe《TechnicalSpecificationsandQualityRequirements》(附件A)attachedtothisContract.2.2OutputStandards:Theprocessedproductsshallmeetthefollowingstandards:Allproductsshallbeinspectedandacceptedinaccordancewiththe《QualityInspectionStandards》(附件B)attachedtothisContract.2.3Confidentiality:Bothpartiesagreethatalltechnicalinformation,businesssecrets,andotherconfidentialinformationexchangedduringthecourseofthisContractshallbetreatedasconfidentialandshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.3.原材料與輔料（RawMaterialsandAuxiliaryMaterials）3.1SupplyofMaterials:PartyAshallprovidealltheMaterialsrequiredfortheprocessinginaccordancewiththeschedulespecifiedinthe《SupplySchedule》(附件C),includingbutnotlimitedtorawmaterials,components,andothernecessarymaterials.3.2QualityofMaterials:PartyAguaranteesthattheMaterialsitprovidesshallconformtotheagreed-upontechnicalspecificationsandqualitystandards.AnydefectsintheMaterialsthatareattributabletoPartyAshallbetheresponsibilityofPartyA.3.3AuxiliaryMaterials:AnyauxiliarymaterialsrequiredfortheprocessingshallbeprovidedbyPartyB,unlessotherwiseagreeduponinwritingbybothparties.4.加工流程與工藝（ProcessingProcessandTechnology）4.1ProductionScheduling:Theproductionscheduleshallbedeterminedbybothpartiesbasedonthe《ProductionSchedule》(附件D).Anychangestothescheduleshallbeagreeduponinwritingbybothparties.4.2ProcessingTechnology:PartyBshallcarryouttheprocessinginaccordancewiththetechnologyandmethodsagreeduponinwritingbybothparties.AnychangestothetechnologyshallrequirethepriorwrittenconsentofPartyA.4.3EquipmentMaintenance:PartyBshallberesponsibleforthemaintenanceandrepairoftheequipmentusedintheprocessing.PartyAshallhavetherighttoinspecttheequipmentatanytimetoensureitisingoodoperatingcondition.5.質量檢驗與驗收（QualityInspectionandAcceptance）5.1InspectionStandards:Thequalityoftheprocessedproductsshallbeinspectedandacceptedinaccordancewiththe《QualityInspectionStandards》(附件B).Bothpartiesshalljointlyconducttheinspectionwithin__daysafterthecompletionoftheprocessing.5.2DefectsandRevisions:Ifanydefectsarefoundintheproductsduringtheinspection,PartyBshallberesponsibleforrevisingthematitsownexpense.IfthedefectsarefoundtobeattributabletoPartyA,thecostsshallbebornebyPartyA.5.3RejectionofProducts:Iftheproductsfailtomeettheagreed-uponstandardsandcannotberevisedwithinareasonableperiodoftime,PartyAshallhavetherighttorejectthem.Therelevantcostsshallbebornebythepartyatfault.6.交貨與交付（DeliveryandHandover）6.1DeliverySchedule:Thedeliveryscheduleshallbeasspecifiedinthe《SupplySchedule》(附件C).PartyBshallensurethattheproductsaredeliveredontime.6.2ModeofDelivery:Theproductsshallbedeliveredtothefollowinglocation:PartyBshallbeartheresponsibilityandcostsoftransportationuntiltheproductsaredeliveredtothespecifiedlocation.6.3HandoverProcedures:Bothpartiesshalljointlyconductthehandoveroftheproductsatthespecifiedlocation.A《HandoverDocument》(附件E)shallbecompletedandsignedbybothpartiesuponhandover.7.費用與支付（FeesandPayment）7.1.serviceFee:PartyAshallpayPartyBaservicefeeof(RMB)fortheprocessingservices,inadditiontothecostsofauxiliarymaterials.7.2PaymentTerms:Thepaymentshallbemadeasfollows:%ofthetotalfeeuponsigningofthisContract;%ofthetotalfeeuponcompletionoftheprocessing;Theremaining%shallbepaidwithindaysafterthefinaldelivery.7.3Invoices:PartyBshallprovidePartyAwithvalidinvoicesfortheprocessingservicesandauxiliarymaterialsuponpayment.8.知識產(chǎn)權（IntellectualPropertyRights）8.1OwnershipofDesignsandTechnology:Alldesigns,drawings,technicalinformation,andotherintellectualpropertyrightsrelatedtotheprocessingshallbethepropertyofPartyA,unlessotherwiseagreeduponinwriting.8.2UseofIntellectualProperty:PartyBshallnotuseanyintellectualpropertyrightsofPartyAforanypurposeoutsidethescopeofthisContractwithoutthepriorwrittenconsentofPartyA.9.違約責任（LiabilityforBreachofContract）9.1DelayinDelivery:IfPartyBfailstodelivertheproductsontime,itshallpayapenaltyof%ofthetotalservicefeeforeachdayofdelay,uptoamaximumof%ofthetotalservicefee.9.2FailuretoMeetStandards:Iftheproductsfailtomeettheagreed-uponstandards,PartyBshallberesponsibleforrevisingthematitsownexpense.IftheproductsarerejectedbyPartyA,PartyBshallbeliableforanylossesincurredbyPartyA.9.3FailuretoPay:IfPartyAfailstopaytheagreed-uponfeesontime,itshallpayapenaltyof%oftheoverdueamountforeachdayofdelay,uptoamaximumof%ofthetotalamountdue.10.保密條款（ConfidentialityClause）10.1ConfidentialInformation:Bothpartiesagreetokeepconfidentialallinformationrelatingtotheprocessingbusiness,includingbutnotlimitedtotechnicaldata,businessplans,andfinancialinformation.Theobligationofconfidentialityshallcontinueindefinitely,regardlessoftheterminationofthisContract.10.2Non-Disclosure:Neitherpartyshalldiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.11.不可抗力（ForceMajeure）11.1DefinitionofForceMajeure:Forcemajeureshallincludeanyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtonaturaldisasters,war,orgovernmentactions.11.2EffectofForceMajeure:IfeitherpartyispreventedfromperformingitsobligationsunderthisContractduetoaforcemajeureevent,itshallpromptlynotifytheotherpartyandprovideawrittenproofoftheevent.Theobligationsoftheaffectedpartyshallbesuspendedduringtheperiodoftheforcemajeureevent.12.爭議解決（DisputeResolution）12.1Negotiation:AnydisputesarisingoutoforinconnectionwiththisContractshallfirstbesettledbyfriendlynegotiationbetweentheparties.12.2**Arbitration:**Ifthedisputescannotberesolvedthroughnegotiation,theyshallbesubmittedtothe(地點,Place)ArbitrationCommissionforarbitrationinaccordancewithitsrules.Thearbitrationshallbeconductedin(語言,Language).Thedecisionofthearbitrationcommissionshallbefinalandbindinguponbothparties.13.合同的生效與終止（EffectiveandTerminationoftheContract）13.1EffectiveDate:ThisContractshallenterintoforceonthedateitissignedbybothparties.13.2Termination:ThisContractmaybeterminatedbymutualagreementofbothparties.Anyterminationshallbeinwritingandsignedbybothparties.13.3AutomaticTermination:ThisContractshallautomaticallyterminateifeitherpartybreachesanymaterialtermsofthisContractandfailstocurethebreachwithin__daysafterreceivingwrittennoticefromtheotherparty.14.補充條款（SupplementaryClauses）14.1Amendments:AnyamendmentstothisContractshallbeinwritingandsignedbybothparties.Suchamendmentsshallbedeemedtobeeffectiveonlywhensignedbyb
