setheportrait(s)subjecttotherestrictionssetforthherein.ThisAgreementdoesnotgranttheUseranyrightsinrelationtotheModel'spersonalityrightsoranyotherrightsbeyondthescopeexplicitlydefinedinthisAgreement.TheownershipandintellectualpropertyrightsintheModel'sportrait(s)remainwiththeModel(ortheAgencyonbehalfoftheModel),exceptforthelimitedrightofusegrantedhereunder.4.CompensationandPaymentTerms(報(bào)酬與支付條款)Inconsiderationfortherightsgrantedherein,theUsershallpaytheModel(ortheAgencyonbehalfoftheModel)thefollowingcompensation:(a)Fee:[Specifyamountandcurrency,e.g.,USD5,000.00(FiveThousandUnitedStatesDollars)].(b)Payment:Thepaymentshallbemadewithin[Specifynumber,e.g.,15(fifteen)]daysaftertheEffectiveDate.Paymentshallbemadeviabanktransfertothefollowingaccount:BankName:[BankName]AccountName:[AccountNameforModel/Agency]AccountNumber:[AccountNumber]SWIFTCode:[SWIFTCode]BankAddress:[BankAddress](c)Taxes:TheUsershallberesponsibleforanytaxes(includingbutnotlimitedtoVAT/GST)leviedonthepaymenttobemadetotheModel(ortheAgencyonbehalfoftheModel).TheUsershallprovidetheModel(ortheAgency)withavalidtaxinvoiceorreceiptasrequiredbylaw.Inconsiderationfortherightsgrantedherein,theUsershallpaytheModel(ortheAgencyonbehalfoftheModel)thefollowingcompensation:(a)Fee:[Specifyamountandcurrency,e.g.,RMB30,000.00(ThirtyThousandChineseYuan)].(b)Payment:Thepaymentshallbemadewithin[Specifynumber,e.g.,15(fifteen)]daysaftertheEffectiveDate.Paymentshallbemadeviabanktransfertothefollowingaccount:BankName:[BankName]AccountName:[AccountNameforModel/Agency]AccountNumber:[AccountNumber]SWIFTCode:[SWIFTCode]BankAddress:[BankAddress](c)Taxes:TheUsershallberesponsibleforanytaxes(includingbutnotlimitedtoVAT/GST)leviedonthepaymenttobemadetotheModel(ortheAgencyonbehalfoftheModel).TheUsershallprovidetheModel(ortheAgency)withavalidtaxinvoiceorreceiptasrequiredbylaw.5.RestrictionsonUse(使用限制)TheUseragreesnottousethelicensedportrait(s)foranypurposethatis:(a)defamatory,libelous,oroffensive;(b)infringingupontherightsofanythirdparty;(c)usedinconnectionwithillegalactivitiesorproducts;(d)alteredinamannerthatmisrepresentstheModelorissubstantiallyunrecognizable;(e)usedinawaythatnegativelyimpactstheModel'sreputationorbrandimage;(f)combinedwithimagesorcontentthatarepornographic,violent,orotherwiseinappropriate;or(g)anyotherusethatwouldbeconsideredcommerciallyunsoundorlegallyquestionable.TheUsershallensurethattheportrayaloftheModelinthelicensedmaterialisaccurateanddoesnotmisleadthepublic.TheUseragreesnottousethelicensedportrait(s)foranypurposethatis:(a)defamatory,libelous,oroffensive;(b)infringingupontherightsofanythirdparty;(c)usedinconnectionwithillegalactivitiesorproducts;(d)alteredinamannerthatmisrepresentstheModelorissubstantiallyunrecognizable;(e)usedinawaythatnegativelyimpactstheModel'sreputationorbrandimage;(f)combinedwithimagesorcontentthatarepornographic,violent,orotherwiseinappropriate;or(g)anyotherusethatwouldbeconsideredcommerciallyunsoundorlegallyquestionable.TheUsershallensurethattheportrayaloftheModelinthelicensedmaterialisaccurateanddoesnotmisleadthepublic.6.TermandEffectiveness(期限與生效)ThisAgreementshallcommenceontheEffectiveDateandshallcontinueinfullforceandeffectforthedurationspecifiedinSection2(c)above.Uponexpirationortermination,thelicensegrantedhereinshallautomaticallycease,andtheUsershallberequiredtoimmediatelyceasealluseofthelicensedportrait(s)anddestroyallcopiesthereof.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueinfullforceandeffectforthedurationspecifiedinSection2(c)above.Uponexpirationortermination,thelicensegrantedhereinshallautomaticallycease,andtheUsershallberequiredtoimmediatelyceasealluseofthelicensedportrait(s)anddestroyallcopiesthereof.7.ObligationsoftheParties(雙方權(quán)利與義務(wù))7.1Model's/Agency'sObligations:TheModel(orAgency)representsandwarrantsthatithasthefullright,power,andauthoritytograntthelicensehereinandthattheModel'sappearanceintheportrait(s)doesnotviolateanythird-partyrights.TheModel(orAgency)shallcooperatereasonablywiththeUsertoprovidethenecessaryportraitmaterialsinatimelymanner.TheModel(orAgency)representsandwarrantsthatithasthefullright,power,andauthoritytograntthelicensehereinandthattheModel'sappearanceintheportrait(s)doesnotviolateanythird-partyrights.TheModel(orAgency)shallcooperatereasonablywiththeUsertoprovidethenecessaryportraitmaterialsinatimelymanner.7.2User'sObligations:TheUsershallusethelicensedportrait(s)strictlyinaccordancewiththetermsandconditionsofthisAgreement.TheUsershallmaintaintheconfidentialityofthisAgreementandshallnotdiscloseanyinformationcontainedhereintoanythirdpartywithoutthepriorwrittenconsentoftheModel(orAgency).TheUsershallensurethatallmaterialscontainingthelicensedportrait(s)complywithallapplicablelawsandregulations,includingdataprotectionlaws(e.g.,GDPR,CCPA).TheUsershallindemnifyandholdharmlesstheModel(andAgency)fromanyclaims,liabilities,damages,costs,andexpensesarisingoutoforresultingfromtheUser'sbreachofthisAgreementoranyunauthorizeduseofthelicensedportrait(s).TheUsershallusethelicensedportrait(s)strictlyinaccordancewiththetermsandconditionsofthisAgreement.TheUsershallmaintaintheconfidentialityofthisAgreementandshallnotdiscloseanyinformationcontainedhereintoanythirdpartywithoutthepriorwrittenconsentoftheModel(orAgency).TheUsershallensurethatallmaterialscontainingthelicensedportrait(s)complywithallapplicablelawsandregulations,includingdataprotectionlaws(e.g.,GDPR,CCPA).TheUsershallindemnifyandholdharmlesstheModel(andAgency)fromanyclaims,liabilities,damages,costs,andexpensesarisingoutoforresultingfromtheUser'sbreachofthisAgreementoranyunauthorizeduseofthelicensedportrait(s).8.IntellectualPropertyandOwnership(知識(shí)產(chǎn)權(quán)與所有權(quán))ItisherebyacknowledgedandagreedthattheownershipandallintellectualpropertyrightsinandtotheModel'sportrait(s),includingbutnotlimitedtothephotographs/videosthemselves,remainthepropertyoftheModel(ortheAgencyonbehalfoftheModel).Thelicensegrantedhereinissolelyforthelimitedpurposeofusingthespecificportrait(s)asauthorized.TheUsershallnotclaimanyownershipinterestintheModel'sportrait(s)beyondthelicensegrantedherein.TheUseracknowledgesthatanymodificationsmadetothelicensedportrait(s)shallnotaffecttheownershiporintellectualpropertyrightsoftheModel.ItisherebyacknowledgedandagreedthattheownershipandallintellectualpropertyrightsinandtotheModel'sportrait(s),includingbutnotlimitedtothephotographs/videosthemselves,remainthepropertyoftheModel(ortheAgencyonbehalfoftheModel).Thelicensegrantedhereinissolelyforthelimitedpurposeofusingthespecificportrait(s)asauthorized.TheUsershallnotclaimanyownershipinterestintheModel'sportrait(s)beyondthelicensegrantedherein.TheUseracknowledgesthatanymodificationsmadetothelicensedportrait(s)shallnotaffecttheownershiporintellectualpropertyrightsoftheModel.9.GoverningLawandDisputeResolution(法律適用與爭(zhēng)議解決)ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughfriendlynegotiationbetweentheParties.Ifthedisputecannotbesettledthroughnegotiationwithin[Specifynumber,e.g.,30(thirty)]daysfromthedateeitherPartyservesawrittennoticeofdisputetotheotherParty,thedisputeshallbesubmittedtotheArbitrationCourtoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forfinalandbindingarbitration.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Beijing].ThePartiesagreetocomplywithandabidebytheawardrenderedbytheArbitrationCourt.Thearbitrationfeeshallbebornebythelosingparty,unlesstheawardsoprovides.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtobesettledamicablythroughfriendlynegotiationbetweentheParties.Ifthedisputecannotbesettledthroughnegotiationwithin[Specifynumber,e.g.,30(thirty)]daysfromthedateeitherPartyservesawrittennoticeofdisputetotheotherParty,thedisputeshallbesubmittedtotheArbitrationCourtoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forfinalandbindingarbitration.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Beijing].ThePartiesagreetocomplywithandabidebytheawardrenderedbytheArbitrationCourt.Thearbitrationfeeshallbebornebythelosingparty,unlesstheawardsoprovides.10.Confidentiality(保密條款)EachPartyagreestokeepthetermsandconditionsofthisAgreement,aswellasanyotherinformationdisclosedbytheotherPartyinconnectionwiththisAgreement(includingbutnotlimitedtotheModel'spersonalinformation),confidential.TheUsershallnotdisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheModel(orAgency),exceptasrequiredbylaw,regulation,orcourtorder,orasnecessarytoenforcethetermsofthisAgreement.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreement.EachPartyagreestokeepthetermsandconditionsofthisAgreement,aswellasanyotherinformationdisclosedbytheotherPartyinconnectionwiththisAgreement(includingbutnotlimitedtotheModel'spersonalinformation),confidential.TheUsershallnotdisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheModel(orAgency),exceptasrequiredbylaw,regulation,orcourtorder,orasnecessarytoenforcethetermsofthisAgreement.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreement.11.EntireAgreementandAmendments(合同完整性與修訂)ThisAgreement,includingtheattachments(ifany),constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousagreements,negotiations,andunderstandings,whetheror
