BondedWarehousingAgreement

Preamble

ThisBondedWarehousingAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[CompanyNameA],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"WarehouseProvider"),and[CompanyNameB],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"GoodsOwner").

Recitals

1.TheWarehouseProviderisdulylicensedandauthorizedtooperateabondedwarehouseinaccordancewiththerelevantlawsandregulationsof[country].

2.TheGoodsOwnerdesirestostoreitsgoodsinthebondedwarehouseoftheWarehouseProvider,andtheWarehouseProvideragreestoprovidebondedwarehousingservicestotheGoodsOwneronthetermsandconditionssetforthherein.

Agreement

1.Definitions

1.1"BondedWarehouse"meansthewarehouseownedandoperatedbytheWarehouseProvider,whichisapprovedbytherelevantcustomsauthoritiesforthestorageofbondedgoods.

1.2"Goods"meansthegoodsownedbytheGoodsOwnerandstoredintheBondedWarehouseinaccordancewiththisAgreement,includingbutnotlimitedto[listthetypesofgoods].

1.3"StoragePeriod"meanstheperiodcommencingonthedateofreceiptoftheGoodsbytheWarehouseProviderandendingonthedateofdeliveryoftheGoodstotheGoodsOwnerorasotherwiseagreedbytheParties.

1.4"CustomsDutiesandTaxes"meansallcustomsduties,taxes,fees,andotherchargesleviedbythecustomsauthoritiesinconnectionwiththestorage,handling,andclearanceoftheGoods.

1.5"ForceMajeure"meansanyeventorcircumstancebeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,war,riots,strikes,naturaldisasters,andgovernmentactions.

2.ScopeofServices

2.1TheWarehouseProvidershallprovidetheGoodsOwnerwithbondedwarehousingservices,includingbutnotlimitedtothereceipt,storage,handling,anddeliveryoftheGoodsinaccordancewiththeapplicablelaws,regulations,andcustomsrequirements.

2.2TheWarehouseProvidershallmaintaintheBondedWarehouseinaclean,safe,andsecureconditiontoensuretheproperstorageoftheGoods.

2.3TheWarehouseProvidershallkeepaccuraterecordsofthereceipt,storage,anddeliveryoftheGoods,includingthequantity,quality,andconditionoftheGoods.

3.DeliveryandReceiptofGoods

3.1TheGoodsOwnershalldelivertheGoodstotheBondedWarehouseinaccordancewiththeagreedschedule.TheGoodsOwnershallprovidetheWarehouseProviderwithallnecessarydocumentation,includingbutnotlimitedtothebilloflading,invoice,packinglist,andcustomsdeclarationform.

3.2UponreceiptoftheGoods,theWarehouseProvidershallinspecttheGoodsforanyvisibledamageordiscrepancies.Ifanydamageordiscrepanciesarefound,theWarehouseProvidershallnotifytheGoodsOwnerimmediately.

3.3TheWarehouseProvidershallissueareceipttotheGoodsOwneruponreceiptoftheGoods,whichshallindicatethequantity,quality,andconditionoftheGoods.

4.StorageofGoods

4.1TheGoodsshallbestoredintheBondedWarehouseinaccordancewiththeapplicablelaws,regulations,andcustomsrequirements.TheWarehouseProvidershalltakeallnecessarymeasurestoensurethesafetyandsecurityoftheGoods,includingbutnotlimitedtoprovidingadequateprotectionagainstfire,theft,anddamage.

4.2TheWarehouseProvidershallnotcommingletheGoodswiththegoodsofothercustomerswithoutthepriorwrittenconsentoftheGoodsOwner.

4.3TheGoodsOwnershallberesponsibleforobtainingallnecessaryinsurancecoveragefortheGoodsduringtheStoragePeriod.

5.HandlingandDeliveryofGoods

5.1TheWarehouseProvidershallhandletheGoodswithduecareandinaccordancewiththeapplicablelaws,regulations,andcustomsrequirements.TheWarehouseProvidershallnotusetheGoodsforanypurposeotherthanthestorageandhandlingoftheGoodsinaccordancewiththisAgreement.

5.2TheGoodsOwnershallprovidetheWarehouseProviderwithwritteninstructionsforthedeliveryoftheGoods.TheWarehouseProvidershalldelivertheGoodstothedesignateddestinationinaccordancewiththeinstructionsoftheGoodsOwner.

5.3TheWarehouseProvidershallissueadeliverynotetotheGoodsOwnerupondeliveryoftheGoods,whichshallindicatethequantity,quality,andconditionoftheGoods.

6.FeesandPayment

6.1TheGoodsOwnershallpaytheWarehouseProviderthefeesforthebondedwarehousingservicesprovidedunderthisAgreementinaccordancewiththeagreedschedule.Thefeesshallincludebutnotlimitedtothestoragefee,handlingfee,anddeliveryfee.

6.2TheWarehouseProvidershallissueaninvoicetotheGoodsOwneronamonthlybasis.TheGoodsOwnershallpaytheinvoicewithin[numberofdays]daysofreceiptoftheinvoice.

6.3Inadditiontothefees,theGoodsOwnershallberesponsibleforpayingallCustomsDutiesandTaxesinconnectionwiththestorage,handling,andclearanceoftheGoods.

7.RightsandObligationsoftheParties

7.1RightsandObligationsoftheWarehouseProvider

TheWarehouseProviderhastherighttochargetheGoodsOwnerthefeesforthebondedwarehousingservicesprovidedunderthisAgreement.

TheWarehouseProviderhastherighttolientheGoodsintheeventofnonpaymentofthefeesorotheramountsdueunderthisAgreement.

TheWarehouseProvidershallcomplywithallapplicablelaws,regulations,andcustomsrequirementsinconnectionwiththeprovisionofthebondedwarehousingservices.

TheWarehouseProvidershallindemnifyandholdtheGoodsOwnerharmlessfromandagainstanyloss,damage,liability,orexpensearisingoutoforinconnectionwiththenegligenceorwillfulmisconductoftheWarehouseProvideroritsemployeesoragents.

7.2RightsandObligationsoftheGoodsOwner

TheGoodsOwnerhastherighttoaccesstheBondedWarehousetoinspecttheGoodsduringnormalbusinesshoursuponpriornoticetotheWarehouseProvider.

TheGoodsOwnerhastherighttoreceiveaccurateandtimelyinformationaboutthestorage,handling,anddeliveryoftheGoods.

TheGoodsOwnershallcomplywithallapplicablelaws,regulations,andcustomsrequirementsinconnectionwiththestorage,handling,andclearanceoftheGoods.

TheGoodsOwnershallindemnifyandholdtheWarehouseProviderharmlessfromandagainstanyloss,damage,liability,orexpensearisingoutoforinconnectionwiththenegligenceorwillfulmisconductoftheGoodsOwneroritsemployeesoragents.

8.Confidentiality

8.1EachPartyshallkeepconfidentialallinformationanddocumentsobtainedfromtheotherPartyinconnectionwiththisAgreement,includingbutnotlimitedtothebusinesssecrets,customerinformation,andfinancialinformationoftheotherParty.

8.2NeitherPartyshalldiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaw.

9.TermandTermination

9.1ThisAgreementshallcommenceonthedateofexecutionandshallcontinueforaperiodof[numberofyears].TheAgreementshallbeautomaticallyrenewedforsuccessive[numberofyears]yeartermsunlesseitherPartygiveswrittennoticetotheotherPartyatleast[numberofdays]dayspriortotheexpirationofthethencurrentterm.

9.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherParty,providedthatthebreachingPartyfailstocurethebreachwithin[numberofdays]daysofreceiptofthenotice.

9.3IntheeventofterminationofthisAgreement,theWarehouseProvidershalldelivertheGoodstotheGoodsOwnerorasotherwisedirectedbytheGoodsOwnerwithin[numberofdays]daysoftheeffectivedateoftermination.

10.ForceMajeure

10.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementduetoForceMajeure.However,theaffectedPartyshallnotifytheotherPartyimmediatelyoftheoccurrenceofForceMajeureandshalluseitsbesteffortstominimizetheimpactofForceMajeureontheperformanceofthisAgreement.

10.2IntheeventthatForceMajeurecontinuesforaperiodofmorethan[numberofdays],eitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty.

11.GoverningLawandJurisdiction

11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

11.2AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmitted
