4.REPRESENTATIONSANDWARRANTIES

PartyAwarrantsthatithasthelegalauthoritytoenterintothisAgreementandwillfulfillthecommissionpaymentobligationsasspecified.

PartyBwarrantsthatithasperformedthenecessaryservicestofacilitatethetransactions,andthecommissionclaimedisvalidandinaccordancewiththeParties'understanding.

5.DISPUTERESOLUTION

AnydisputearisingoutoforinconnectionwiththisAgreementshallfirstberesolvedthroughamicablenegotiationbetweentheParties.Ifnosettlementisreachedwithin30daysofthedisputearising,eitherPartymaysubmitthedisputetoarbitrationin[City,Country]inaccordancewiththerulesof[ArbitrationInstitution,e.g.,ICC].ThearbitralawardshallbefinalandbindingonbothParties.

6.MISCELLANEOUS

ThisAgreementconstitutestheentireunderstandingbetweenthePartiesconcerningthesubjectmatterhereinandsupersedesallpriororalorwrittenagreements.

AnymodificationtothisAgreementshallbevalidonlyifmadeinwritingandsignedbybothParties.
