法律服務(wù)委托協(xié)議EngagementAgreement

本協(xié)議由以下雙方：

根據(jù)《中華人民共和國律師法》和其他相關(guān)法律、法規(guī)的規(guī)定，經(jīng)友好協(xié)商，雙方

達成如下共識：

一、特別條款SpecialTermsandConditions

1.法律服務(wù)范圍ScopeofLegalServices

乙方接受甲方委托指定經(jīng)辦律師，為甲方所提供1.2條所列法律服務(wù)。

2.服務(wù)內(nèi)容ServiceContents

甲方與一有限公司（下稱“CCC”）之間就一案（下稱“案件”）,特委托乙方提

供法律服務(wù)；服務(wù)范圍包括全部訴訟程序和申請執(zhí)行程序。具體授權(quán)事項與范圍見

授權(quán)委托書。

Co.,Ltd.

（"CCC”）.Thelegalservicehereofincludeslegalserviceunderalllegalproceedingsa

ndenforcementprocedure.Detailsandscopeoftheauthorizationshallbedefinedinthe

LetterofAuthorization.

3.律師Attorneys

乙方指派—律師、―律師作為本協(xié)議法律服務(wù)事項的經(jīng)辦律師（以下簡稱“律

師”）。

PartyBherebyappointsMr.andMs.tobetheattorneys（hereinafterreferredtoa

s“Attorneys"）underthisAgreement.

4.律師費和其他費用LegalFeesandDisbursement

根據(jù)《，海市律師服務(wù)收費政府指導(dǎo)價標(biāo)準(zhǔn)》，并雙方經(jīng)協(xié)商后確定，甲方委托乙

方辦理的案件按以下方式收取律師費：

乙方的收費分兩部分：固定費用和風(fēng)險代理費用。

ment:flatfeesandcontingencyfees.

第一部分固定費用為人民幣（大寫）一元（￥_）,該固定費用應(yīng)在本協(xié)議簽署

后的20個工作日內(nèi)支付。

第二部分風(fēng)險代理費用：

SectionIIContingencyFees:

本通過乙方經(jīng)辦律師的弋理行為，無論是通過判決、裁決還是雙方和解、調(diào)解、強

制執(zhí)行，CCC向甲方支付或返還任意金額的款項，則甲方同意按照該等金額的

20%向乙方支付風(fēng)險代理費用。

甲方應(yīng)在收到款項后二十日內(nèi)一次性向乙方支付風(fēng)險代理費。

5.甲方應(yīng)將上述律師費如期支付至以下賬號：

6.其他費用Disbursement

經(jīng)辦律師在辦理案件中所發(fā)生的以下其他費用并不包含在上述律師費內(nèi)，應(yīng)由甲方

另行承擔(dān)：

（1）政府、法院以及相關(guān)職能部門、中介機構(gòu)收取的費用；

（2）異地差旅費（含交通、住宿以及餐費）。

二、一般條款GeneralTermsandConditions

1.甲方的義務(wù)ObligationsofPartyA

甲方應(yīng)當(dāng)承擔(dān)以下的義務(wù)：

PartyAshallundertakethefollowingobligations:

（1）與乙方誠實合作，向乙方如實提供與案件有關(guān)的資料信息、如實陳述與案件

有關(guān)的情況；

CooperatingwithPartyBsincerely,includingprovidingmaterials,informationandrepre

sentationrelatedtothecase;

（2）如與案件有關(guān)的情況和事實發(fā)生變化，應(yīng)及時告知乙方或經(jīng)辦律師；

InformingPartyBortheAttorneyspromptlyifthesituationrelatedtothecasechanges;

（3）如果甲方變更聯(lián)系信息，當(dāng)及時通知乙方和經(jīng)辦律師；

NoticingPartyBortheAttorneyspromptlyifPartyAchangescontactinformation;

（4）無論何時情況，甲方向乙方和經(jīng)辦律師提出的要求均不得違反律師職業(yè)道德

和執(zhí)業(yè)紀(jì)律的規(guī)定；

PartyAshallnotrequirePartyBorAttorneystoviolatetheprofessionalethicsorpractici

ngdisciplinesofattorneys;

（5）在案件終結(jié)之前，除非本協(xié)議約定的經(jīng)辦律師嚴(yán)重失職，甲方不得單方面解

除其對案件的代理權(quán)和授權(quán)，亦不得單方面解除本協(xié)議。

gence.PartyAshallnotterminatetheauthorizationof（heattorneysunilaterally,andshall

notterminatethisAgreementunilaterally.

2.乙方的義務(wù)ObligationsofPartyB

乙方經(jīng)辦律師在向甲方提供法律服務(wù)時，承擔(dān)以下的義務(wù)：

ngPartyAwithlegalservices:

（1）乙方經(jīng)辦律師必須遵守律師職業(yè)道德和執(zhí)業(yè)紀(jì)律；

Adheringtotheprofessionalethicsandpracticingdisciplinesofattorneys;

（2）乙方經(jīng)辦律師應(yīng)當(dāng)勤勉盡責(zé)，維護甲方的最大利益；

BediligentandresponsiblefortheservicetoPartyAandshalltryitshardesttoservethe

rightsofParlyA;

（3）乙方經(jīng)辦律師應(yīng)當(dāng)及時向甲方報告有關(guān)案件的進展情況；

NoticingPartyAthecaseprogresspromptly;

（4）乙方經(jīng)辦律師無權(quán)超越甲方授權(quán)行事。如果確有需要，應(yīng)當(dāng)由甲方另行給予

明確的授權(quán)；

NotexceedingPartyA'sauthorization.Ifnecessary,PartyBshallobtainthespecificauth

orizationfromPartyA;

（5）乙方經(jīng)辦律師就本協(xié)議約定的律師費和其他費用以外，無權(quán)要求甲方支付任

何其他款項，但是如有必要需律師代繳代付予其他機構(gòu)的費用除外；

NotrequiringPartyAtopayanycostsandexpensesotherthanthelegalfeesanddisburs

ementunderthisAgreementunlessthecostsandexpensesarerequiredbyotherbodiesto

bepaidonbehalf;

a.乙方或經(jīng)辦律師變更聯(lián)系信息的，應(yīng)當(dāng)及時通知甲方；

PartyBshallnoticePartyApromptlyifPartyBchangescontactinformation;

b.乙方和經(jīng)辦律師對甲方負有保密義務(wù)。

PartyBandtheAttorneysshallkeepconfidentialitytoPartyA.

3.保密Confidentiality

（1）乙方和經(jīng)辦律師對于甲方的相關(guān)信息以及與案件有關(guān)的資料、文件和其他情

況（以下簡稱“甲方秘密”）應(yīng)當(dāng)保守秘密，在未征得甲方同意的情況下，不得向任

何第三方透露甲方秘密。

ocumentsetc.inconnectionwiththecase（hereinafterreferredtoasuPartyA'ssecretsM）.

PartyBshallnotdivulgePartyA'ssecretstoanyotherthirdpartywithoutpriorapproval

fromPartyA.

（2）根據(jù)甲方在本協(xié)議中的授權(quán)，乙方和經(jīng)辦律師可以將甲方秘密向與案件有關(guān)

的司法機構(gòu)、行政機構(gòu)或其他關(guān)聯(lián)方（非利益沖突方）披露。

InaccordancewiththeauthorizationunderthisAgreement,PanyBandtheattorneysarc

entitledtodisclosePartyA'ssecretstotherelevantjudicialoradministrativegovernment

oraffiliatedparties（nottheconHictparty）.

（3）以下內(nèi)容不可視為甲方秘密：

ThefollowingshallnotbedeemedasPartyA'ssecrets:

a.刑事犯罪證據(jù)；

Criminalevidence;

b.可以公開杳詢或取得的信息和資料；

Informationandmaterialswhicharcavailabletothepublic;

c.本協(xié)議所約定的服務(wù)范圍和授權(quán)權(quán)限的內(nèi)容。

Contentswithinthescopeoflegalservicesandauthorization.

（4）甲方和乙方另簽訂有保密協(xié)議的，應(yīng)以保密協(xié)議的約定為準(zhǔn)。

TheConfidentialAgreementshallprevailifPartyAandPartyBenterintoaConfidential

Agreement.

4.利益沖突ConflictInterest

乙方和經(jīng)辦律師在提供法律服務(wù)時，應(yīng)當(dāng)就已經(jīng)存在的或可能存在的，代理與甲方

有利益沖突方的情況如實告知甲方。在根據(jù)法律、法規(guī)或有效規(guī)章之相關(guān)規(guī)定確已

發(fā)生利益沖突的情況下，甲方有權(quán)撤銷對乙方和經(jīng)辦律師的授權(quán)；乙方有權(quán)作出回

避的安排或解除本協(xié)議。發(fā)生以上情況均不視為任何一方違約。

PartyAshallbetoldtheexistingorpotentialconflictinterestinrelationtotherepresentat

ionofPartyBwhenPartyBanditshandlingattorneysrenderinglegalservices.Ifthecon

flictinterestdoesexistinaccordancewiththeeffectivelaws,regulationsorrules,PartyA

hastherighttorevoketheauthorizationtoPartyBanditshandlingattorney;andPartyB

hastherighttowithdrawtheconflictorterminatethisAgreement.Suchcasesshallnotb

edeemedasanyparty'sbreachofthisAgreement.

5.其他法律事務(wù)OtherLegalServices

乙方和經(jīng)辦律師均無義務(wù)代理甲方處理本協(xié)議約定的法律服務(wù)范圍以外的其他法律

事務(wù)。甲方如確需要乙方提供有關(guān)其他法律服務(wù)的，應(yīng)當(dāng)與乙方另行簽訂法律服務(wù)

委托協(xié)議。

ExceptihcservicesunderthisAgreement,PanyBanditshandlingattorneyshavenodut

yorobligationtorenderanylegalservicetoPartyA.IfPartyAneedsanyotherlegalser

vice,anotherengagementagreementshallbeenteredbetweenbothparties.

6.完整的協(xié)議EntireAgreement

本協(xié)議作為甲方和乙方之間的最終的、完整的協(xié)議，取代之前雙方作出的口頭或書

面的約定。

ThisAgreementconstitutesthefinalandentireagreementbetweenthepartiesandsupers

edesallpreviousoralorwrittenagreementsbetweentheparties.

7.協(xié)議的可分性Severability

本協(xié)議中的任何條款如因任何原因?qū)е氯炕虿糠譄o效，本協(xié)議的其他條款仍保持

原有的效力，應(yīng)當(dāng)予以履行。

IfanyprovisionofthisAgreementisvoidorpartlyvoidduetoanyreason,theentirepro

visionistobeseveredfromthisAgreementwithoutaffectingthevalidityorenlorceabilit

yoftheremainingprovisionsofthisAgreement.

8.一致性Consistency

雙方之間之前就本案簽訂的協(xié)議，如與本協(xié)議不一致，則以本協(xié)議的約定為準(zhǔn)。

IfthereisanyinconsistencybetweenprioragreementssubjecttothiscaseandthisAgree

ment,thisAgreementshallprevail.

本協(xié)議由中英文書就，如中英文版本不一致，則以英文版本為準(zhǔn)。

ThisAgreementiswritteninbothChineseandEnglish.Ifthereisanyconflictbetweenth

esetwoversions,theEnglishversionshallprevail.

9.通知Notice

與本協(xié)議履行有關(guān)的通知應(yīng)當(dāng)以書面方式提交對方，書面方式可以郵寄、掛號郵

寄、專人送達、傳真、電子郵件等方式送達。甲方和乙方均應(yīng)視需要選擇合適的送

達方式。

AnynoticeinrelationtotheperformanceofthisAgreementshallbesentbywrittenform,

includingbypost,registeredpost,personalservice,faxandemail.PartyAandPartyBs

hallchoosetheappropriatewaytoserve.
