IT系統(tǒng)集成服務(wù)合同協(xié)議2026年條款ThisITSystemIntegrationServiceAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof[EffectiveDate],byandbetween[ClientCompanyName]("Client"),havingitsprincipalplaceofbusinessat[ClientAddress],and[ServiceProviderCompanyName]("Provider"),havingitsprincipalplaceofbusinessat[ProviderAddress].1.DefinitionsandInterpretationsInthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothem:a."System"meanstheITsystemtobeintegratedasdescribedinthisAgreement.b."IntegrationServices"meanstheservicesprovidedbyProvidertointegratetheSystemaspertheScopeofWork.c."Project"referstotheentireintegrationprojectundertakenunderthisAgreement.d."ServiceLevelAgreement(SLA)"meansthespecificperformancestandardsagreeduponfortheIntegrationServices.e."ConfidentialInformation"meansanynon-publicinformationdisclosedbyeitherPartytotheother,includingbutnotlimitedtobusinessplans,financialdata,technicalinformation,andcustomerdata.f."IntellectualProperty"meansallcreationsofthemind,includinginventions,designs,patterns,andsoftwarecode.g."GoverningLaw"meansthelawsof[SpecifyJurisdiction,e.g.,theStateofNewYork]withoutregardtoitsconflictoflawprinciples.h."ForceMajeure"meanseventsbeyondthereasonablecontrolofaParty,includingnaturaldisasters,war,actsofgovernment,andepidemics.i."Milestones"refertothekeyphasesorcheckpointsoutlinedintheProjectManagementsection.j."AcceptanceCriteria"arethepredefinedstandardsusedtodeterminetheacceptabilityofDeliverables.k."WorkingDay"meansanydayotherthanaSaturday,Sunday,orlegalholidayintheCityof[City]wheretherelevantPartyislocated.2.PartiesClient:[ClientCompanyName],acompanyorganizedandexistingunderthelawsof[ClientState/Country].Provider:[ServiceProviderCompanyName],acompanyorganizedandexistingunderthelawsof[ProviderState/Country].3.BackgroundClientdesirestoengageProvidertoprovideIntegrationServicesforthedevelopmentandimplementationoftheSystem,andProvideracceptssuchengagementonthetermsandconditionssetforthinthisAgreement.4.ScopeofWorka.Objectives:Theprimaryobjectiveistodesign,develop,deploy,andintegratetheSystemtomeetClient'sbusinessrequirementsasdetailedintheattachedStatementofWork(SOW),whichisincorporatedbyreferenceintothisAgreement.b.Deliverables:Providershalldeliverthefollowing,amongothers:i.Systemdesigndocumentation.ii.SoftwareandhardwarecomponentsasspecifiedintheSOW.iii.Integratedsysteminstallationandconfiguration.iv.Systemtestingreports.v.Usertrainingsessions.vi.Operationandmaintenancemanuals.vii.Projectmanagementreports.c.ServicesDescription:Providershallutilizeindustry-standardmethodologiesandtechnologiestoperformtheIntegrationServices,ensuringcompatibilityandinteroperabilityofallcomponents.DetailedmethodologieswillbeoutlinedintheSOW.d.Assumptions:ProviderassumesClientwillprovidetimelyaccesstonecessarypersonnel,data,andfacilities.ProviderisnotresponsiblefordelayscausedbyClient'sfailuretofulfilltheseassumptions.5.TermandMilestonesa.Term:ThisAgreementshallcommenceon[EffectiveDate]andcontinueforaperiodof[ProjectDuration,e.g.,twelve(12)months]unlessterminatedearlierinaccordancewiththisAgreementorextendedbymutualwrittenagreement.b.Milestones:TheProjectshallbedividedintothefollowingMilestones,eachsubjecttoacceptancebyClient:i.Milestone1:SystemDesignFinalization(TargetDate:[Date]).ii.Milestone2:CoreSoftwareInstallationandInitialConfiguration(TargetDate:[Date]).iii.Milestone3:IntegrationTestingPhase1Completion(TargetDate:[Date]).iv.Milestone4:UserTrainingConducted(TargetDate:[Date]).v.Milestone5:FinalSystemAcceptance(TargetDate:[Date]).6.ProjectManagementa.ProvidershalldesignateaProjectManagerwhoshallbetheprimarypointofcontactforClientregardingtheProject.b.ClientshalldesignateaProjectCoordinatortoliaisewiththeProvider'sProjectManager.c.Regularmeetingsshallbeheld,frequencytobedeterminedbasedonprojectneeds,withminutesandactionitemsdistributedpromptly.d.ChangestotheScopeofWorkmustbesubmittedinwritingbyeitherParty,reviewedbytheotherParty,andagreeduponbeforeimplementation.7.Pricing,Payment,and發(fā)票a.PricingStructure:Thetotalprojectcostis[TotalContractPrice],payableinaccordancewiththePaymentTermsbelow.ThispriceincludesallIntegrationServices,softwarelicenses(asspecifiedintheSOW),andhardware(asspecifiedintheSOW),unlessotherwisestated.b.PaymentTerms:ClientshallpayProvider:i.30%ofthetotalpriceuponsigningthisAgreement.ii.40%uponcompletionofMilestone2.iii.30%uponfinalacceptanceoftheProjectbyClient.c.Invoicing:Providershallissueaninvoicewithin[Number,e.g.,15]daysfollowingtheduepaymentdate,detailingtheamountdueandtherelevantMilestoneorserviceperiod.InvoicesshallbesenttotheClient'sAccountsPayabledepartment.d.TaxesandDuties:Providershallinvoiceforallapplicabletaxes.ClientshallberesponsibleforanytaxesassociatedwithitsreceiptoftheIntegrationServices.8.Acceptancea.AcceptanceCriteria:DeliverablesshallbeacceptedbasedonthecriteriaspecifiedintheSOWandthisAgreement.AcceptanceshallbeformalizedinwritingbytheClient'sauthorizedrepresentative.b.AcceptanceProcess:ProvidershallnotifyClientforacceptanceuponcompletionofaMilestone.Clientshallhave[Number,e.g.,10]daysfromnotificationtoconductacceptancetestingandprovidewrittenacceptanceorrejectionwithreasons.c.DefectRectification:Providershallrectifyanydefectsidentifiedduringtheacceptanceperiodatnoadditionalcharge,withinareasonabletimeframetorestorethefunctionalityasagreed.9.ServiceLevelAgreement(SLA)a.ServiceLevels:ProviderguaranteesthefollowingSLAsfortheSystempost-acceptance:i.SystemAvailability:99.9%uptimeduringstandardbusinesshours([SpecifyBusinessHours]).ii.ResponseTimeforSupportRequests:Within[Number,e.g.,2]hoursduringbusinesshours,within[Number,e.g.,4]hoursoutsidebusinesshours.iii.ResolutionTimeforCriticalIncidents:Within[Number,e.g.,4]hoursduringbusinesshours,within[Number,e.g.,8]hoursoutsidebusinesshours.b.MonitoringandReporting:ProvidershallmonitortheSystem'sperformanceandprovideClientwithmonthlyreportsdetailinguptime,incidents,andSLAcompliance.c.Non-ComplianceandRemedies:IntheeventofSLAnon-compliance,Providershall:i.NotifyClientpromptly.ii.TakecorrectiveactionstomeettheSLA.iii.ApplyServiceCreditsequalto[Percentage,e.g.,1%]ofthemonthlyfeeforeachmissedSLAmetric,cappedat[Amount,e.g.,$1,000]permonth,tobeappliedtowardsfutureinvoices.10.IntellectualPropertya.Ownership:Allpre-existingIntellectualPropertyremainsthepropertyoftherespectiveParty.Duringtheterm,anynewIntellectualPropertycreatedspecificallyforthisProjectshallbeownedbyClient,providedProvideriscompensatedasagreedinthisAgreement.Providershallretainownershipofitsinternaltools,methodologies,andsoftwareusedintheIntegrationServicesunlessspecificallylicensedtoClient.b.LicenseRights:Clientshallreceiveanon-exclusive,royalty-freelicensetousethesystemcomponentsdevelopedunderthisAgreementsolelyforthepurposesoutlinedinthisAgreement.11.Confidentialitya.Obligations:EachPartyagreestoholdtheotherParty'sConfidentialInformationinstrictconfidenceandnotuseitforanypurposeotherthanperformingitsobligationsunderthisAgreement.b.Exclusions:ConfidentialInformationshallnotincludeinformationalreadyinthepublicdomain,informationindependentlydevelopedbythereceivingParty,orinformationrequiredtobedisclosedbylaworcourtorder.c.Duration:ConfidentialityobligationsshallsurvivetheterminationofthisAgreementforaperiodof[Number,e.g.,three(3)]yearsaftertermination.d.ReturnofInformation:UponterminationoruponClient'srequest,ProvidershallreturnordestroyallcopiesofClient'sConfidentialInformation.12.LiabilityandIndemnificationa.LiabilityLimits:Provider'stotalliabilityunderthisAgreementshallnotexceedthetotalpaymentmadebyClientunderthisAgreement.Providershallnotbeliableforindirect,consequential,orpunitivedamages.ThislimitationdoesnotapplytoliabilityfordeathorpersonalinjurycausedbyProvider'snegligence.b.Indemnification:ClientshallindemnifyandholdharmlessProvideragainstanyclaims,damages,orexpensesarisingfromClient'sbreachofthisAgreementorfromClient'suseoftheSysteminamannerinconsistentwiththeSOW.ProvidershallindemnifyandholdharmlessClientagainstanyclaimsarisingfromProvider'sbreachoftheSLAs,providedClient'sdamagesdonotexceedtheservicecreditsearnedundertheSLA.13.DataProcessingandPrivacya.ProcessingObligations:ProvideragreestoprocessClientDatasolelyasdirectedbyClientandincompliancewithapplicabledataprotectionlaws,including[SpecifyLaws,e.g.,GDPR,CCPA].ProvidershalldesignateaDataProtectionOfficeravailabletoClient.b.DataSecurity:Providershallimplementappropriatetechnicalandorganizationalmeasures(e.g.,encryption,accesscontrols,regularbackups)toprotectClientDatafromunauthorizedaccess,loss,ordestruction.c.DataTransfer:AnytransferofClientDataoutsidetheEuropeanEconomicArea(ifapplicable)shallbeconductedincompliancewithrelevanttransfermechanisms.14.Securitya.SystemSecurity:ProvidershallmaintainasecureenvironmentfortheSystem,includingregularvulnerabilityassessmentsandpromptpatchingofknownvulnerabilities.b.ClientSecurityResponsibilities:ClientisresponsibleformaintainingthesecurityofitsownaccesscredentialsanddataprovidedtotheSystem.15.ForceMajeurea.Definition:NeitherPartyshallbeliableforanydelayorfailureinperformingitsobligationsunderthisAgreementifsuchdelayorfailureiscausedbyForceMajeure.b.Impact:AffectedPartyshallsuspenditseffortstoperformobligationsuntiltheForceMajeureeventends.c.Notice:PartyexperiencingForceMajeureshallnotifytheotherPartyimmediatelyandprovidedetailsandanestimateddurationoftheevent.d.DurationandTermination:IfForceMajeurecontinuesformorethan[Number,e.g.,90]days,eitherPartymayterminatethisAgreementwithoutpenalty.16.NoticesandDeliveryAllnotices,requests,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemeddelivered:a.Whendeliveredpersonally.b.One(1)businessdayafterdepositwithareputableovernightcourier.c.Three(3)businessdaysaftermailingbycertifiedorregisteredmail,returnreceiptrequested.AllnoticesshallbeaddressedtothePartiesattheaddressessetforthaboveoratsuchotheraddressasaPartymaydesignateinwriting.17.Amendments,Modifications,andTerminationa.Amendments:ThisAgreementmayonlybeamendedinwritingandsignedbyauthorizedrepresentativesofbothParties.b.TerminationClauses:i.TerminationforCause:EitherPartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithin[Number,e.g.,30]daysofreceivingwrittennotice.ii.TerminationforConvenience:ClientmayterminatethisAgreementupon[Number,e.g.,60]days'writtennoticewithoutcause.ProvidermayterminatethisAgreementupon[Number,e.g.,60]days'writtennoticewithoutcause,providedithascompletedallworkforwhichpaymenthasbeenreceivedandisperformingonlyminimalongoingobligations.iii.ConsequencesofTermination:Upontermination,Providershall:i.CeaseallIntegrationServicesnotyetcompleted.ii.DelivertoClientalldeliverablesreadyforuse.iii.ReturnClient'sConfidentialInformation.iv.Providefinalprojectdocumentation.v.Ensuredatabackupsaremaintainedfor[Number,e.g.,90]dayspost-termination.vi.Bepaidforallservicesrendereduptotheeffectivedateoftermination.18.DisputeResolutionAnydisputearisingoutoforrelatingtothisAgreementshallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationsbetweentheseniormanagementoftheParties.Ifthedisputeisnotresolvedwithin[Number,e.g.,30]days,thedisputeshallbesubmittedtofinalandbindingarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce(ICC)]inaccordancewithitsthen-currentRules.Thearbitrationshallbeheldin[SpecifyCity,Country].Thelanguageofarbitrationshallbe[SpecifyLanguage,e.g.,English].19.GoverningLaw,EntireAgreement,andSeverabilitya.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,theStateofNewYork],withoutregardtoitsconflictoflawprinciples.b.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttoth
