中英文保密承諾書(shū)ConfidentialityCommitmentNo.（保密承諾編號(hào)）：____________________I,theundersignedCommitmentMaker,inaccordancewiththeCivilCodeofthePeople'sRepublicofChina,theAnti-UnfairCompetitionLawofthePeople'sRepublicofChinaandotherrelevantnationallawsandregulations,andbasedontheactualsituationofmywork,cooperationorotherinformationcontactwith[NameoftheCommittedParty/Company],voluntarilymakethissolemnconfidentialitycommitmenttotheCommittedParty.Ishallabidebythecommitmentshereundersincerelyandbearcorrespondinglegalliabilitiesforanybreachofthiscommitment.本人（以下簡(jiǎn)稱(chēng)“承諾人”），依據(jù)《中華人民共和國(guó)民法典》《中華人民共和國(guó)反不正當(dāng)競(jìng)爭(zhēng)法》等國(guó)家相關(guān)法律法規(guī)，結(jié)合本人與[被承諾方/公司名稱(chēng)]（以下簡(jiǎn)稱(chēng)“被承諾人”）的工作任職、合作往來(lái)或其他信息接觸實(shí)際情況，自愿向被承諾人作出本鄭重保密承諾。本人將嚴(yán)格恪守本承諾內(nèi)容，如有違反，自愿承擔(dān)相應(yīng)法律責(zé)任。BasicInformationoftheCommitmentMaker/承諾人基本信息FullName（姓名）：____________________Gender（性別）：______IDCardNumber（身份證號(hào)碼）：____________________ContactPhone（聯(lián)系電話(huà)）：____________________EmailAddress（電子郵箱）：____________________ResidentialAddress（居住地址）：____________________RelationshipwiththeCommittedParty（與被承諾人關(guān)系）：□On-the-jobEmployee在職員工□ResignedEmployee離職員工□Cooperator合作方□ProjectParticipant項(xiàng)目參與方□Other其他：__________DateofFirstContactwithConfidentialInformation（首次接觸保密信息日期）：______年____月____日CoreCommitments/核心承諾內(nèi)容1.DefinitionandCognitionofConfidentialInformation（保密信息定義與認(rèn)知）1.1Iconfirmthatduringtheperiodofcontacting,handlingandmanagingaffairsrelatedtotheCommittedParty,Ihaveaccessed,understoodandmasteredavarietyofunpublishedconfidentialinformationandtradesecretsoftheCommittedParty.SuchinformationisthecoreassetoftheCommittedParty,whichiscrucialtoitsbusinessoperation,marketcompetitionandlong-termdevelopment.Ifullyrecognizetheimportanceofsuchconfidentialinformationandvoluntarilyassumetheobligationofstrictconfidentiality.1.1本人確認(rèn)，在與被承諾人進(jìn)行業(yè)務(wù)接觸、事務(wù)處理及相關(guān)工作開(kāi)展期間，接觸、了解并掌握了被承諾人多項(xiàng)未公開(kāi)的保密信息及商業(yè)秘密。該等信息均為被承諾人核心資產(chǎn)，對(duì)其經(jīng)營(yíng)運(yùn)作、市場(chǎng)競(jìng)爭(zhēng)及長(zhǎng)遠(yuǎn)發(fā)展具有重要意義，本人充分認(rèn)知該等保密信息的重要性，自愿承擔(dān)嚴(yán)格的保密義務(wù)。1.2The"ConfidentialInformation"referredtointhiscommitmentincludesbutisnotlimitedtothefollowingcategories(本承諾所指“保密信息”，包括但不限于以下類(lèi)別)：1.2.1BusinessOperationSecrets(經(jīng)營(yíng)運(yùn)營(yíng)秘密)：Includingbutnotlimitedtobusinessstrategies,developmentplans,investmentandfinancingschemes,financialstatements(unpublished),costcontroldata,pricingsystems,procurementchannels,salesnetworks,customerlistsandcoredata(contactinformation,cooperationagreements,transactionrecords,creditstatus,demandpreferences,etc.),supplierresources,marketresearchreports,marketingstrategies,biddingdocuments(unpublished),businessnegotiationplansandrelatedrecords,etc.;1.2.1包括但不限于經(jīng)營(yíng)戰(zhàn)略、發(fā)展規(guī)劃、投融資方案、財(cái)務(wù)報(bào)表（未公開(kāi)）、成本控制數(shù)據(jù)、定價(jià)體系、采購(gòu)渠道、銷(xiāo)售網(wǎng)絡(luò)、客戶(hù)名單及核心數(shù)據(jù)（聯(lián)系方式、合作協(xié)議、交易記錄、信用狀況、需求偏好等）、供應(yīng)商資源、市場(chǎng)調(diào)研報(bào)告、營(yíng)銷(xiāo)策劃方案、招投標(biāo)文件（未公開(kāi)）、商務(wù)談判計(jì)劃及相關(guān)記錄等；1.2.2TechnicalResearchandDevelopmentSecrets(技術(shù)研發(fā)秘密)：Includingbutnotlimitedtocoretechnicalparameters,technicalformulas,productionprocesses,R&Dachievements,testdataandreports,technicaldrawings,designschemes,softwaresourcecodes,algorithmmodels,databasestructuresanddatacontents,patentapplicationdocuments(unpublished),technicalknow-how,productupgradeanditerationplans,technicalteamconfiguration,R&Dfundbudgets,etc.;1.2.2包括但不限于核心技術(shù)參數(shù)、技術(shù)配方、生產(chǎn)工藝、研發(fā)成果、試驗(yàn)數(shù)據(jù)及報(bào)告、技術(shù)圖紙、設(shè)計(jì)方案、軟件源代碼、算法模型、數(shù)據(jù)庫(kù)結(jié)構(gòu)及數(shù)據(jù)內(nèi)容、專(zhuān)利申請(qǐng)文件（未公開(kāi)）、技術(shù)訣竅、產(chǎn)品升級(jí)迭代計(jì)劃、技術(shù)團(tuán)隊(duì)配置、研發(fā)經(jīng)費(fèi)預(yù)算等；1.2.3InternalManagementSecrets(內(nèi)部管理秘密)：Includingbutnotlimitedtoemployeerosters,salaryandwelfaresystems,performanceappraisalstandards,coreemployeeinformation,internalmanagementsystemsandrules,trainingmaterials,equityincentiveschemes,internaldecision-makingdocuments,employeecomplainthandlingrecords,etc.;1.2.3包括但不限于員工名冊(cè)、薪酬福利體系、績(jī)效考核標(biāo)準(zhǔn)、核心員工信息、內(nèi)部管理制度及規(guī)章、培訓(xùn)資料、股權(quán)激勵(lì)方案、內(nèi)部決策文件、員工投訴處理記錄等；1.2.4OtherConfidentialInformation(其他保密信息)：Includingbutnotlimitedtoalldocumentsandmaterialsmarkedwith"Confidential","Secret","TopSecret"or"InternalUseOnly"bytheCommittedParty,informationthattheCommittedPartyhasorallyorinwritinginformedmetokeepconfidential,andotherunpublishedsensitiveinformationthatIhavelearnedintheprocessofcontactingtheCommittedPartyandmayaffectthelegitimaterightsandinterestsoftheCommittedParty.1.2.4包括但不限于被承諾人標(biāo)注“保密”“機(jī)密”“絕密”“內(nèi)部使用”等字樣的各類(lèi)文件資料，被承諾人口頭或書(shū)面告知本人需保密的信息，以及本人在與被承諾人接觸過(guò)程中知悉的其他未公開(kāi)、可能影響被承諾人合法權(quán)益的敏感信息。2.SpecificConfidentialityObligations（具體保密義務(wù)）DuringtheperiodofcontactingtheConfidentialInformationandaftertheterminationofthecontactrelationship(suchasresignation,terminationofcooperation,completionofproject,etc.),Ishallstrictlyabidebythefollowingobligations(在接觸保密信息期間及接觸關(guān)系終止后（如離職、合作終止、項(xiàng)目結(jié)束等），本人將嚴(yán)格遵守以下義務(wù))：2.1Ishallnotdisclose,leak,disseminate,transfer,lend,lease,copy,reproduceorotherwisedisseminatetheConfidentialInformationoftheCommittedPartytoanythirdparty(includingbutnotlimitedtorelatives,friends,colleagues,newemployers,competitorsoftheCommittedPartyandotherunitsorindividuals)inanyform(oral,written,electronictransmission,networkcommunication,etc.)withoutthepriorwrittenconsentoftheCommittedParty;2.1未經(jīng)被承諾人事先書(shū)面同意，不得以任何形式（口頭、書(shū)面、電子傳輸、網(wǎng)絡(luò)傳播等）向任何第三方（包括但不限于親友、同事、新用人單位、被承諾人競(jìng)爭(zhēng)對(duì)手及其他單位或個(gè)人）披露、泄露、傳播、轉(zhuǎn)讓、出借、出租、復(fù)制、轉(zhuǎn)載或以其他方式擴(kuò)散被承諾人的保密信息；2.2IshallnotusetheConfidentialInformationoftheCommittedPartytoseekimproperinterestsformyselforanythirdparty,norusetheConfidentialInformationtoengageinbusinessactivitiesthatcompetewiththeCommittedParty,norusetheConfidentialInformationtocarryoutactsthatmaydamagethereputation,imageorlegitimaterightsandinterestsoftheCommittedParty;2.2不得利用被承諾人的保密信息為本人或任何第三方謀取不正當(dāng)利益，不得利用該保密信息從事與被承諾人存在競(jìng)爭(zhēng)關(guān)系的經(jīng)營(yíng)活動(dòng)，不得利用該保密信息開(kāi)展可能損害被承諾人名譽(yù)、形象或合法權(quán)益的行為；2.3IshallproperlykeepallcarriersoftheConfidentialInformation(includingbutnotlimitedtopaperdocuments,electronicfiles,Udisks,harddisks,notebooks,technicaldrawings,mobilephones,computersandotherstoragedevicesormedia)thatIhavecomeintocontactwith,heldorcontrolled.Aftertheterminationofthecontactrelationship,Ishall,withinthetimelimitrequiredbytheCommittedParty,fullyreturnallConfidentialInformationanditscarrierstothepersondesignatedbytheCommittedParty,ordestroytheminaccordancewiththestandardizedproceduresrequiredbytheCommittedParty,andshallnotsecretlyretainanycopies,backups,excerptsorfragmentsoftheConfidentialInformation;2.3妥善保管所接觸、持有或控制的全部保密信息載體（包括但不限于紙質(zhì)文件、電子文檔、U盤(pán)、硬盤(pán)、筆記本、技術(shù)圖紙、手機(jī)、電腦等存儲(chǔ)設(shè)備或介質(zhì)）。接觸關(guān)系終止后，將在被承諾人要求的期限內(nèi)，向被承諾人指定人員完整返還全部保密信息及其載體，或按被承諾人要求的規(guī)范流程予以銷(xiāo)毀，不得私自留存任何保密信息的副本、備份、摘錄或片段；2.4IfIfindthattheConfidentialInformationoftheCommittedPartyisleakedorthereisapotentialleakagerisk(includingbutnotlimitedtoaccidentalleakagebymyself,theftbyathirdparty,intentionaldisclosurebyothers,etc.),Ishallimmediatelytakeeffectiveremedialmeasures(includingbutnotlimitedtorecoveringtheleakedinformation,blockingtheleakagechannel,protectingthescene,etc.),andnotifythedesignatedcontactpersonoftheCommittedPartyinwritingororallywithin24hours,andfullycooperatewiththeCommittedPartyininvestigatingthecauseoftheleakage,handlingtheaftermathandotherrelatedwork;2.4如發(fā)現(xiàn)被承諾人保密信息泄露或存在泄露隱患（包括但不限于本人不慎泄露、第三方竊取、他人故意披露等情形），將立即采取有效補(bǔ)救措施（包括但不限于收回泄露信息、阻斷泄露渠道、保護(hù)現(xiàn)場(chǎng)等），并在24小時(shí)內(nèi)書(shū)面或口頭通知被承諾人指定聯(lián)系人，全力配合被承諾人開(kāi)展泄露原因調(diào)查、后續(xù)處置等相關(guān)工作；2.5Ishallnotpersuade,induce,instigateorcoercetheon-the-jobemployees,formeremployeesorotherrelatedpersonneloftheCommittedPartytodisclosetheConfidentialInformationoftheCommittedParty,norassistanythirdpartyinobtaining,usingordisseminatingtheConfidentialInformationoftheCommittedParty;2.5不勸說(shuō)、誘導(dǎo)、慫恿或脅迫被承諾人在職員工、離職員工及其他相關(guān)人員披露被承諾人的保密信息，不協(xié)助任何第三方獲取、使用或擴(kuò)散被承諾人的保密信息；2.6IshallnotusetheConfidentialInformationoftheCommittedPartyinjobinterviews,workexchanges,businesscooperationorotheroccasionswithoutthepriorwrittenconsentoftheCommittedParty,norshallItaketheConfidentialInformationasmyownworkachievementorcapitaltoshowofforseekbenefits.2.6未經(jīng)被承諾人事先書(shū)面同意，不得在求職面試、工作交流、業(yè)務(wù)合作等場(chǎng)合使用被承諾人的保密信息，不得將該保密信息據(jù)為己有作為個(gè)人工作業(yè)績(jī)或資本進(jìn)行炫耀、謀取利益。3.TermofCommitment（承諾期限）ThisconfidentialitycommitmentshalltakeeffectfromthedatewhenIfirstcontacttheConfidentialInformationoftheCommittedPartyandshallremainvalidpermanentlyuntiltheConfidentialInformationbecomespubliclyavailablethroughlegalchannels.EvenifthecontactrelationshipbetweenmeandtheCommittedPartyisterminated,thiscommitmentshallnotbeinvalidated,andIshallstillcontinuetoperformtheaboveconfidentialityobligations.本保密承諾自本人首次接觸被承諾人保密信息之日起生效，有效期至該保密信息通過(guò)合法途徑成為公眾可獲取信息之日止，承諾期限永久有效。即使本人與被承諾人的接觸關(guān)系終止，本承諾亦不失效，本人仍需繼續(xù)履行上述保密義務(wù)。4.LiabilityforBreachofCommitment（違約責(zé)任）Ifullyunderstandandconfirmthatanybreachoftheabovecommitmentswillcauseseriouseconomiclosses,reputationdamageandotheradverseconsequencestotheCommittedParty.Ivoluntarilybearthefollowingliabilitiesforbreachofcommitment(本人充分理解并確認(rèn)，任何違反上述承諾的行為，均將給被承諾人造成嚴(yán)重經(jīng)濟(jì)損失及聲譽(yù)損害等不良后果，自愿承擔(dān)以下違約責(zé)任)：4.1Ishallimmediatelystopthebreachofcommitment,eliminatetheadverseimpactcausedbythebreach,andissueapublicapologytotheCommittedPartyifnecessary;4.1立即停止違約行為，消除因違約造成的不利影響，必要時(shí)向被承諾人作出公開(kāi)道歉；4.2IshallpayliquidateddamagestotheCommittedParty.TheliquidateddamagesshallnotbelessthanRMB50,000(thespecificamountshallbedeterminedbytheCommittedPartyaccordingtothedegreeofdamagecausedbythebreach,thevalueoftheleakedConfidentialInformation,thescopeofleakageandotherfactors);iftheliquidateddamagesareinsufficienttocompensatefortheactuallossesoftheCommittedParty,Ishallmakeupforthedifference;4.2向被承諾人支付違約金，違約金金額不低于人民幣50000元（具體金額由被承諾人根據(jù)違約造成的損害程度、泄露保密信息的價(jià)值、泄露范圍等因素確定）；若違約金不足以彌補(bǔ)被承諾人實(shí)際損失的，本人將補(bǔ)足差額；4.3IshallcompensatetheCommittedPartyforalleconomiclossescausedbythebreachofcommitment,includingbutnotlimitedtodirecteconomiclosses(suchaslossofbusinessopportunities,reductionofmarketshare,investmentlosses,etc.),indirecteconomiclosses(suchaslossofexpectedbenefits,brandreputationdamage,etc.)andallrightsprotectioncosts(suchasattorneyfees,litigationfees,arbitrationfees,investigationandevidencecollectionfees,notarizationfees,travelexpenses,etc.);4.3賠償被承諾人因違約行為造成的全部經(jīng)濟(jì)損失，包括但不限于直接經(jīng)濟(jì)損失（如商業(yè)機(jī)會(huì)喪失、市場(chǎng)份額縮減、投資損失等）、間接經(jīng)濟(jì)損失（如預(yù)期利益損失、品牌聲譽(yù)受損等）及全部維權(quán)費(fèi)用（如律師費(fèi)、訴訟費(fèi)、仲裁費(fèi)、調(diào)查取證費(fèi)、公證費(fèi)、差旅費(fèi)等）；4.4Ifthebreachofcommitmentconstitutesacrime(suchasthecrimeofinfringingtradesecrets),Ishallvoluntarilyacceptlegalsanctionsandbearcorrespondingcriminalliabilities;4.4若違約行為構(gòu)成犯罪（如侵犯商業(yè)秘密罪等），自愿接受法律制裁，承擔(dān)相應(yīng)的刑事責(zé)任；4.5IagreethattheCommittedPartyhastherighttodisclosemybreachofcommitmenttomynewemployer,relevantindustryauthoritiesandotherrelevantunitsorindividuals,andIshallbearalltheconsequencesarisingtherefrom.4.5同意被承諾人有權(quán)向本人新用人單位、相關(guān)行業(yè)主管部門(mén)及其他相關(guān)單位或個(gè)人披露本人的違約行為，本人承擔(dān)由此產(chǎn)生的全部后果。5.OtherProvisions（其他條款）5.1IconfirmthatIhavecarefullyreadallthecontentsofthiscommitment,fullyunderstandthemeaningofeachclause,clearlyknowmyconfidentialityobligationsandtheconsequencesofbreachofcommitment,andthiscommitmentismadevoluntarilybymewithoutanycoercion,inducementorfraudfromanyparty;5.1本人確認(rèn)，已仔細(xì)閱讀本承諾全部?jī)?nèi)容，充分理解各條款含義，明確知曉自身保密義務(wù)及違約后果，本承諾系本人自愿作出，無(wú)任何一方的脅迫、誘導(dǎo)或欺詐情形；5.2Thiscommitmenthastwoversions:ChineseandEnglish.Bothversionshavethesamelegaleffect.Incaseofanyinconsistency,ambiguityorconflictb
