2、eed as follows:第一條定義Definition1. “交易對象”指與達(dá)成交易或合作意向的公司、組織或個人，包括但不限于上下游供應(yīng)商、客戶、中介機(jī)構(gòu)、合資合營方等；以及受上述對象委托，或者代表、代理上述對象與洽談交易、合作的公司、組織或個人?！?Counterparty ” indicates any kind of corporation, organization or individual or their representative, agent or deputy making transactionswith , including but not limited t

3、o the suppliers, clients or customers, cooperative suppliers, contractors, service suppliers, intermediaries, joint corporation and partners, regardless of successfully cooperating or not.2. “關(guān)聯(lián)人員”指中直接或間接與交易對象商洽交易條件、簽署合同、履行合同或可直接、間接影響到上述交易達(dá)成或執(zhí)行的人員，包括但不限于董事、 經(jīng)理 等高級管理人員以及參與交易決策和執(zhí)行的相關(guān)人員?！癆ssociated Per

4、sons ” indicates the directors or staff of who directly or indirectly consult the business term with the Counterparty, conclude transactions and perform the contract, or those who can directly orindirectly influence such transactions, including but not limited to the management or staff in charge of

5、 concluding or performing the transactions.3. “關(guān)系人”指關(guān)聯(lián)人員的配偶、父母、子女、兄弟姐妹等親屬和具有特殊利 益關(guān)系的人員?！?Related Persons ” involves the special interest persons and relatives of the Associated Persons, such as their spouses, parents, offspring, brothers and sisters.4. “不正當(dāng)利益”指在商業(yè)活動中，違反法律、法規(guī)或政策規(guī)定，非法給予或收受現(xiàn)金、實(shí)物及其他利益，

6、包括但不限于回扣、 禮物、禮金、禮品卡（券） （如會員卡、消費(fèi)卡、購物卡） 、有價證券、干股、紅利或提供旅游、度假或獲取其他優(yōu)惠條件、機(jī)會等任何不正當(dāng)利益?！?Unjust Benefit ” refers to any kind of pecuniary benefit, material benefit and other benefit, which is illegal , or conflict with duties, or contrary to professional ethics, including but not limited to kickback, gift, m

7、oney, gift coupons, securities, valuable cards . membership card, shopping card）, traveling or vacation tourism, profit division, shares . performance shares or dark shares） and/or presents and treatment.第二條交易對象保證 Undertakings of Counterparty1. 嚴(yán)格遵守法律、法規(guī)和政策規(guī)定，確保廉潔從業(yè)。Strictly comply with the applicab

8、le laws, regulations and relevant provisions of work without corruption.2. 不向關(guān)聯(lián)人員或其關(guān)系人許諾、給予任何形式的賄賂或輸送不正當(dāng)利益等。Not to offer and/or give Associated Persons or their Related Persons of any kind of bribery, Unjust Benefit, etc.3. 不以任何形式為關(guān)聯(lián)人員或其關(guān)系人謀取私利，包括但不限于以下行為：Never seek personal advantage for Associated

9、 Persons or their Related Persons of PENAVICOS, including but not limited to the followings:（ 1）為關(guān)聯(lián)人員或其關(guān)系人報銷各類費(fèi)用；To reimburse expenses for Associated Persons or their Related Persons of that should be paid by themselves;（ 2） 為關(guān)聯(lián)人員或其關(guān)系人投資入股、個人借款或買賣股票、 債券等提供方便；To provide convenience for Associated Per

10、sons or their Related Persons of for their investment on shares, personal loans or stock and bond transactions etc.;（ 3）為關(guān)聯(lián)人員或其關(guān)系人購買或裝修住房、婚喪嫁娶、配偶子女上學(xué)或工作安排以及出國（境） 、旅游等提供方便；To provide convenience for Associated Persons or their Related Personsof for house purchase or decoration, weddings or funerals,

11、or the working, studying, going abroad of their spouses and children or traveling etc.;4）為關(guān)聯(lián)人員或其關(guān)系人安排任何健身、娛樂活動；To arrange junketing, fitness or any other entertainments for Associated Persons or their Related Persons of ;（ 5）為關(guān)聯(lián)人員或其關(guān)系人購置或提供通訊工具、交通工具和辦公用品、生活 用品等；To purchase or provide communication t

12、ools, transportation vehicles, office supplies and living equipment for Associated Persons or their Related Persons of ;（ 6）為關(guān)聯(lián)人員或其關(guān)系人的配偶、子女及其他親屬、特殊利益關(guān)系人謀取不正當(dāng)利益提供方便；To provide convenience for the spouses, children, other relatives and special interest persons of Associated Persons or their Related P

13、ersons of for getting Unjust Benefit;（ 7）以洽談工作、簽訂經(jīng)濟(jì)合同為名，提供關(guān)聯(lián)人員或其關(guān)系人外出旅游、考 察等給付財物以外的其他利益。To entertain Associated Persons or their Related Persons of with traveling and recreational activities etc. in the name of business negotiations or contract signing.4. 不安排、不允許關(guān)聯(lián)人員或其關(guān)系人在交易對象或相關(guān)企業(yè)任職或領(lǐng)取報 酬。Not to ar

14、range or permit Associated Persons or their Related Persons ofto hold a concurrent post in or receive wages or salary from the Counterparty s enterprise or the related enterprises of the Counterp arty related enterprises and/or receive wages or salary.5. 交易對象承諾及相關(guān)主管部門在對涉嫌商業(yè)賄賂的行為進(jìn)行調(diào)查時，提供一 切必要的便利和協(xié)助，并

15、積極配合調(diào)查的開展。When and relevant governing authorities investigate on corrupted business, the Counterparty promises to provide all necessary convenience and assistance for such investigation, and shall cooperate actively to testify or provide the statement and evidence.6. 交易對象的股東、合伙人、董事或高級管理人員與關(guān)聯(lián)人員或其關(guān)系人無

16、親屬關(guān)系； 交易對象的股東、合伙人、 董事均不存在與履行本合同相沖突的經(jīng)濟(jì)利益或其他利益；若有，交易對象應(yīng)事先以書面的形式告知。The stockholders, partners, board members or company officers of the Counterparty shall have no kinship with Associated Persons or theirRelated Persons of; none of the owners, partners, shareholders, directors of the Counterparty has an

17、y financial or any other interest which would in any manner or degree be in conflict with the performance of thisAgreement; otherwise, the Counterparty shall disclose such fact to in written form on or before the entering into this contract.7. 交易對象承諾不以不正當(dāng)方式誘使人員離職或做出違背職務(wù)的行為，不以任何方式聘任、 承諾聘任或邀請關(guān)聯(lián)人員及其關(guān)系人

18、加入交易對象； 不利用非法手段向人員打探涉及的商業(yè)秘密、業(yè)務(wù)渠道等。The Counterparty guarantees not to instigateor induce any staffs of toresign or contravene his/her duty, and not to employ or promise to employ Associated Persons and their Related Persons of or invite them to join the Counterparty by any means; not to inquire about

19、 the business secrets, channels, etc. using illegal means.第三條違約責(zé)任 Responsibilities for Breaking Promise1. 交易對象有違反上述承諾的行為，有權(quán)解除雙方之間簽署的任何合同、訂單等，并由交易對象承擔(dān)由此給雙方造成的一切損失，包括直接和間接損失。Once the Counterparty breaches the undertakings hereunder, is entitled to terminate any contracts or orders etc. between the par

20、ties, and the Counterparty shall be responsible to compensate any and all losses suffered inclusive of direct and indirect losses.2. 若交易對象有任何違反本條款的行為，交易對象除應(yīng)將由此獲取的不正當(dāng)利 益全部返還外，并對由此造成的一切損失承擔(dān)全部賠償責(zé)任。For any kind of noncompliance with this clause by the Counterparty, the Counterparty shall undertake to co
