2、 30 99 (hereinafter called the Agent.Represented by Mr Ernest Lenteu,General Manager.下面簡(jiǎn)稱(chēng)代理商In Consideration of mutual covenants & Promises contained herein, the parties agree as follows: 在共同約定與承諾的基礎(chǔ)上,雙方同意如下:Article 1: APPOINTMENT: The Company hereby appoints the Agent hereby accept the right to

3、 act as sales Agent to solicit order subject to the terms and conditions set for company. The Purpose of this appointment is to develop & maintain substantial volume of business for company. Agent agrees it is an independent contractor and it does not have or shall it hold itself out as having a

4、ny right, power or Authority to enter into any contract or obligation either expressed or implied in the name of or on behalf of company or to pledge their credit or to extend credit in company name. 第1條:任命:本公司茲任命代理商以下權(quán)利:擔(dān)當(dāng)銷(xiāo)售代理,在公司條款及規(guī)定的條件下尋求訂單。這一任命的目的是發(fā)展和維持公司的實(shí)際銷(xiāo)售額。代理商同意它是一個(gè)獨(dú)立的協(xié)議方,它不具有或?qū)⑺4鏋榫哂腥魏螜?quán)利,

5、權(quán)力或權(quán)限訂立的合同或義務(wù)的任何明示或以公司名義或代表或隱含保證他們的自身信貸或延長(zhǎng)信貸公司名稱(chēng)。All orders solicited by the Agent shall be in accordance with company standard terms, andconditions of sales. These Terms and conditions shall be Subject to change by company, with or without prior notice to the Agent. Company reserves the right to ap

6、prove or disapprove or accept or reject any order solicited by the Agent out of his Agency Agreement Territories. Company and the Agent understand and Agree that it can be to their mutual benefit that Company enters also, in direct contact, with Client into Agent Territories. For such direct sales,

7、Agent shall receive such commission as set forth under the commission section.委托專(zhuān)利代理機(jī)構(gòu)征求所有訂單應(yīng)符合公司的標(biāo)準(zhǔn)條款和條件進(jìn)行銷(xiāo)售。這些條款及條件須經(jīng)由公司變更,恕不另行通知代理。公司保留權(quán)利批準(zhǔn)或不批準(zhǔn)或接受或拒絕由他代理協(xié)議委托專(zhuān)利代理機(jī)構(gòu)征求領(lǐng)土的任何命令。公司及代理了解并同意,可以在他們的相互利益的公司也進(jìn)入,直接接觸到客戶(hù)代理領(lǐng)土。這種直接銷(xiāo)售,代理等,應(yīng)領(lǐng)取委員會(huì)作為委員會(huì)下設(shè)節(jié)等等。ARTICLE 2: TERRITORY & DURA TION. The territories in

At the end of the 1st year, company will review Agents performance and if deemed acceptable, the agreement shall be renewe d for a period which will be decided

If, for any reason, Company and Agent do notrenew this agreement, Company will continue to honor Agents commission for all sales to buyers that Agent introduced to Company, for an additional period of 02 year.這項(xiàng)協(xié)議的期限為1年。在第一年年底,公司將復(fù)議代理的表現(xiàn),如果認(rèn)為可以接受的,該協(xié)議將繼續(xù)有效另外一個(gè)將決定公司及

11、 active contacts with the customers, to keep the Company fully informed of all governmental, commercial, and industrial activities and plans that could affect the sale in the assigned territory.保持與客戶(hù)的積極接觸,充分告知公司所有政府的,商業(yè)和工業(yè)的可能會(huì)影響指定區(qū)域內(nèi)銷(xiāo)售的活動(dòng)和計(jì)劃,。To provide market information to the company; to recommen

12、d improvements to sales plans, assist in developing sales strategy and clarify customersproduct requirements.向公司提供市場(chǎng)信息;建議改善銷(xiāo)售計(jì)劃,協(xié)助制定銷(xiāo)售戰(zhàn)略,明確客戶(hù)的產(chǎn)品要求。To transmit, on request, proposals and technical data to customers, interpret customer inquiries, requirements, attitudes and to assist in contract negot

13、iations.應(yīng)客戶(hù)請(qǐng)求傳送建議和技術(shù)資料,說(shuō)明客戶(hù)詢(xún)盤(pán),要求,態(tài)度,并協(xié)助合同談判。To perform customer liaison services with regard to any customer order for the Companys products.向?qū)井a(chǎn)品下單的客戶(hù)提供聯(lián)絡(luò)服務(wù)。ARTICLE 4 : COMPANY RESPONSIBILIES The company agrees to keep the Agent advised of new prospect, sales plan and objectives for its market.第四條

14、:公司責(zé)任該公司同意告知代理在其市場(chǎng)范圍內(nèi)的新預(yù)期,銷(xiāo)售計(jì)劃和銷(xiāo)售目標(biāo)。To provide the representative with informative and advisory materials about the business practices to be followed.向代理方提供與應(yīng)開(kāi)展商務(wù)活動(dòng)有關(guān)的信息和咨詢(xún)材料。To provide the Agent with training and product knowledge with respect to new products, Services features, functionality and p

15、ricing.在新產(chǎn)品,服務(wù)特性,功能和價(jià)格向代理提供培訓(xùn)和產(chǎn)品知識(shí),。To support the representative with printed commercial and technical data and information and to pay compensation as specified.向代理商提供打印的商業(yè)和技術(shù)數(shù)據(jù)和資料,并按指定支付補(bǔ)償。To take care of Travel expenses(Air Ticket, accommodations, national transport,regarding travel in Taiwan, fo

16、r International Exhibition, for Customers Visits, Annual Meeting,etc對(duì)于在臺(tái)灣的旅游,國(guó)際展覽,拜訪(fǎng)客戶(hù),年會(huì)等,負(fù)責(zé)旅行費(fèi)用(機(jī)票,住宿,國(guó)內(nèi)出行. To send once a Year at least, the Export Manager, in Africa, to visit with the “Representative Agent”(Impex Distributors,the Customers, mainly, to understand the realities of the market.每年至少

17、一次,派遣出口經(jīng)理,在非洲,與“代表代理”訪(fǎng)問(wèn)客戶(hù),主要是為了市場(chǎng)實(shí)際情況。ARTICLE 5: TERMS AND CONDITIONS. The Agreement shall become effective as of the datefirst written above which the date isexecuted by Company. Company reserves the right to terminate this Agreement if Agents breaches any material,provision of this Agreement or if

18、 the Agent:第五條:條款與條件。該協(xié)定應(yīng)自首次寫(xiě)明的公司確立的日期起生效。公司有權(quán)終止本協(xié)議,如果代理人違反任何本協(xié)議重要的規(guī)定,或者如果代理:1-Violates any law or regulation, governing the performance of the obligation set forth in this Agreement 2-Amends company quoted pricing without authorization from the company.1,違反法律,法規(guī),載于本協(xié)議規(guī)定的應(yīng)履行的義務(wù);2,修訂公司報(bào)價(jià)且未經(jīng)本公司授權(quán)。ARTI

19、CLE 6: COMMISSION. For orders accepted and approved, Company shall invoice the customer in accordance with Company standard terms and conditions for sale. Upon receipt of the full payment by Company, the commission set forth as detailed under hereto and shall become due and payable to Agent Within 1

20、0 days. Company will pay a Commission of seven percent (10 % of the total value of contract. No sales commission will be paid for the start up services, creating, dock charges, insurance and any other charges related to the shipping. No commission shall be applicable for Freight charges.第6條:傭金。對(duì)于接受和

21、認(rèn)可的訂單,公司應(yīng)按照公司的發(fā)票標(biāo)準(zhǔn)條款及條件開(kāi)具銷(xiāo)售發(fā)票給客戶(hù)。從公司收訖全額付款起,下面列出的傭金,在10日內(nèi)應(yīng)付予代理商。公司將支付百分之七的合同總價(jià)值(10%的傭金。傭金的支付不產(chǎn)生于啟動(dòng)服務(wù),創(chuàng)造,碼頭費(fèi),保險(xiǎn)和航運(yùn)有關(guān)的任何其他費(fèi)用。傭金的支付不產(chǎn)生于運(yùn)費(fèi)。ARTICLE 7: A/ The Agent shall not enter into any agreement to solicit orders for or promote products and or services, which are in direct competition with the produc

22、ts/Services listed without the written consent of company. B/ Agent agree to cooperate with company in conduct of trade shows, and exhibits, and assist and cooperate in various training programs scheduled by the company, in the agent territories.第7條:A/凡是與公司直接競(jìng)爭(zhēng)的產(chǎn)品/未經(jīng)本公司書(shū)面同意列出的產(chǎn)品/服務(wù),代理不得訂立任何協(xié)議來(lái)爭(zhēng)取訂單或推

23、廣相關(guān)的產(chǎn)品,或服務(wù)。B/代理商同意在貿(mào)易展覽,展覽會(huì)提供合作。公司在代理地區(qū)安排的各種培訓(xùn)計(jì)劃,公司同意相應(yīng)的幫助與合作。C/Agent during term of this agreement, may have to access to and become acquainted with various trade secrets, consisting of but not limited to formulas patterns, devices, secret inventions,process, compilation of information, records spe

24、cifications and customers lists which are owned by company and which are regularly used/in operation of business of company(Trade Secret.Agent shall not disclose any of the earlier said trade secrets, directly, or indirectly, or use them in any。way, either during the course of the Agent Services und

25、er this Agreement. All files records and any other documents relating to the business of company, whether prepared by Agent or otherwise coming into the possession, shall remain in exclusive property of the company and shall be returned to company in the event of termination of this agreement. C /在本

26、協(xié)議有效期內(nèi)代理,可能要訪(fǎng)問(wèn),了解各種商業(yè)秘密組成的,但不限于公式的模式,設(shè)備,秘密發(fā)明,工藝,資料匯編,規(guī)格記錄,公司擁有且經(jīng)常使用的客戶(hù)名單/公司業(yè)務(wù)運(yùn)行中的客戶(hù)名單(商業(yè)秘密。代理人不得泄露任何先前提到的商業(yè)秘密,不得直接或間接或以任何方式,或代理商在本協(xié)議項(xiàng)下的服務(wù)過(guò)程中使用它們。任何與公司業(yè)務(wù)有關(guān)的所有文件記錄和其他文件,不管是否由代理人編制或其占有,都是公司的獨(dú)有財(cái)產(chǎn),在本協(xié)議終止應(yīng)當(dāng)返還至公司。C/ Agent agree to keep the company fully advise on the prospective sale by providing upon requ

27、est, areport pertaining to agents sales efforts. Agent Agree to provide copies, of the mailinglist, inquiries and quotations, recommendations or other such reports and company may reasonablyrequest information relating to this agreement. 代理人按公司要求,以報(bào)告的形式,充分告知有關(guān)適當(dāng)?shù)匿N(xiāo)售力度下其預(yù)期銷(xiāo)售情況。代理人同意提供郵件列表、詢(xún)價(jià)及報(bào)價(jià)、建議或其他類(lèi)

28、似的報(bào)告和公司合理要求的與本協(xié)議有關(guān)的信息的復(fù)印件。B/ The Company should bring to the Agent all his supports with prior intimation & permission from company. (catalogs, CDs, Samples . etc. 九洲應(yīng)全力支持代理機(jī)構(gòu),比如提供優(yōu)先告知,優(yōu)先許可(目錄,光盤(pán),樣品. .等。ARTICLE 8: Terms and provisions herein contained constitute the entire agreement between the parties and shall supersede all previous communications, representations or agreements either verbal or written betwe
