英文涉外借貸合同范本 [頁6]英文涉外借貸合同范本英文涉外借貸合同范本thelenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons;thelenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees;thelenderbreachestheprovisionssetforthinarticle12;undertheabovecircumstances,theborrowershallhaverightto:(1)requestthelendertorectify;(2)repaytheloanaheadoftimeandrefusetopayanycompensationforprepayment.article14deductiontheborrowershallpayinfullforthepaymentwithoutanycounteractionoranycondition.article15assignmentofthedebtandcredittheborrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdpartywithoutanywrittenapprovalofthelender;12.intheeventtheborrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentofthelender,thethirdpartyshallabidethiscontractwithoutanycondition.article16performanceofobligationandwaiverofrightstheborrowerisindependentcontractorunderthiscontract,itwillnotimpactbyanyotherrelationsbetweentheborrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract.thelendergiveanyextension,toleration,favortotheborrowerorpermittheborrowertodelayofperformanceanyobligationunderthiscontractshallnotimpairanyrightsofthelenderinaccordancewiththiscontractandlaws,regulation,itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheborrowerunderthiscontract.article17amendment,supplementandinterpretationofthecontract1.this contract could beamended and supplementeduponthe writtenagreements concludebythe parties. anyaamendment and supplement shall beintegral party ofthiscontract.2intheeventchangeoflaws,regulationsorlegalpracticewhichwillcauseanytermscontainedinthiscontractbecomeillegal,invalidorlossofpractice,theotherpartofthiscontractshallnotbeimpairedbyit.thebothpartiesshallmakeeffortstochangetheillegal,invalidorlossofpracticepart.forthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthepeoplesbankofchina.article18disputeresolution,governinglawandwaiverofexemption1.theconclusion, interpretation anddispute resolutionshallbesubjecttothelawsofthepeoplesrepublicofchin.thedisputes arising from theexecution ofthiscontract shallbesettledthroughfriendlyconsultationbybothparties
