1.DEFINITIONS定義

ForpurposesofthisAgreement,thefollowingdefinitionswill

apply:

本協(xié)議將使用以下定義.

1.1.AcceptanceTestingwillmeanthedemonstrationthatthe

EquipmentoperatestoBuyer'ssatisfactionandinaccordance

withtheSpecificationsasmorefullydescribedinExhibitA.

"驗(yàn)收測試”指設(shè)備操作能使買家滿意并與附錄A規(guī)范描述相符的示范。

1.2EquipmentorMachinewillmeantheequipmentmeetingthe

Specificationsalongwithanyservices,includingdesign,

development,shippingandinstallationservices,asdescribedin

anExhibitA.

"設(shè)備"或"機(jī)器”指該設(shè)備在各項(xiàng)服務(wù)方面,包括設(shè)計(jì)、開發(fā)、運(yùn)輸、

安裝服務(wù)中須如附錄A所描述的符合技術(shù)規(guī)范。

1.3"Price"willmeanthepricelistedinExhibitA.Unless

otherwisestated,thePricewillincludeallcostsofmanufacturing,

packaging,crating,freight(perarticle2.4),start-upand

installationatBuyer'sfacility,alongwithanytrainingandtesting

relatedtotheEquipment.

“價(jià)格"指附錄A所列的價(jià)格除非另有說明外。價(jià)格將包括關(guān)聯(lián)此設(shè)備

的制造、包裝、裝箱、貨運(yùn)（根據(jù)第2.4款,、在買方處啟動(dòng)和安裝以

及在相關(guān)培訓(xùn)和測試的所有費(fèi)用。

1.4Specificationswillmeanadetaileddescriptionofthe

Equipmentincludingitsperformancecapabilities,maintenance

requirements,anyspecialoperatingconditionsorparameters

andanyotherrelevantdescriptionoftheEquipment's

capabilitiesaslistedinExhibitA.

"規(guī)范”指該設(shè)備在附錄A所列的詳細(xì)描述,包括其性能、設(shè)備維護(hù)要

求,特殊的操作環(huán)境或參數(shù)以及該設(shè)備的其他能力

1.5"Subcontractor“willmeananindividualororganization

approvedbyBuyerthatSellerhascontractedwithtoperform

workinconnectionwiththisAgreement.

“分包商"指經(jīng)買方同意并與賣方簽定相關(guān)合同共同履行本協(xié)議所規(guī)定

工作的個(gè)人或組織。

2.PRICE/PAYMENT價(jià)格/付款

2.1Price.BuyerwillpaySellerthePriceforthefullperformance

ofthisAgreementinaccordancewiththetermshereof.ThePrice

fortheMachineintotalwillbeUS$withpaymentsmadeas

describedinExhibitA.

價(jià)格。在履行完本協(xié)議所規(guī)定的的全部內(nèi)容,買方將支付賣方相關(guān)費(fèi)用。

根據(jù)附錄A所述,該設(shè)備總價(jià)是美圓元。

2.2Subcontractors.Sellerwillberesponsibleforthehiringof

andpaymentto,anySubcontractor.Seller,atitssolecost,will

immediatelydischargeanyliencreatedorpermittedby

SubcontractorwithrespecttotheEquipment.

分包商。賣方將負(fù)責(zé)的雇用和支付分包商。賣方,以其唯一的成本會(huì)立

即履行任何留置權(quán)創(chuàng)建或允許在設(shè)備方面的分包商。賣方和分包商以其

唯一的成本會(huì)立即履行任何留置權(quán)。

2.3Taxes.AlltaxesrelatedtothesaleoftheEquipment,oras

otherwiserequiredbythisAgreement,willbeperExhibit.A'of

thisAgreement.

2.4Delivery.FOBport,China(Incoterms2000).

TheMachinewillbedeliveredtotheportfromwherethe

MachinewillbeshippedbyseatothemutuallyagreedManaus,

Amazonas;PortOfEntry(P.O.E.),inBRAZILtobeappointedby

theBuyer.TheMachinewillbedeliveredaccordingtotheagreed

timeline.TheMachineshallbereadyforshipmentatporton.

Documents:Sellershallprovide,atitsownexpense:(a)theclean

documentconfirmingthedeliveryoftheMachineonboardof

theindicatedship;and(b)theorigincertificate.Ifrequestedby

theBuyer,theSellershallprovidewithallassistanceinobtaining

anydocumentsissuedinthecountryofmanufacturethatthe

Buyermayneedforthepurposesofimportation.

定輪船的的清潔裝船單證.和.b,原產(chǎn)地證書。如果經(jīng)買方要求,供應(yīng)

商應(yīng)協(xié)助取得買方進(jìn)口所需要的關(guān)于產(chǎn)品原產(chǎn)國家的相關(guān)文件。

Imp/expdutyDutyProvisionofInvoices:SellerwillfurnishBuyer

anoriginalinvoicewithatleastone(1)copypriortoBuyer

makinganyduepayment.

進(jìn)出口稅發(fā)票提供,賣方應(yīng)向買方提供相關(guān)付款的至少ー份復(fù)制復(fù)印

件在內(nèi)的原始發(fā)票。

3.SCHEDULEFORCOMPLETION完成進(jìn)度

3.1."rimeoftheEssence.Timeofshipmentandofotheraspects

ofperformancehereunderisoftheessenceofthisAgreement.

時(shí)間節(jié)點(diǎn).裝船日期以及協(xié)議提到的相關(guān)時(shí)間節(jié)點(diǎn)。

3.2PerformanceSchedule.Sellerwillsubmitaperformance

scheduledesignatingtheorderinwhichSellerproposesto

overhaultheEquipmentperExhibitA,thedatesonwhichitwill

startthevariousportionsoftheEquipmentandthecompletion

dateoftheEquipment.Suchschedulewillbepreparedtoalevel

ofdetailsuitableformanagingallactivitiesassociatedwiththe

EquipmentbySellerandSubcontractors.

進(jìn)度安排。賣方將提交一份進(jìn)度安排來闡明檢修附錄A里面設(shè)備的順

序,設(shè)備各部分的開工日期,以及設(shè)備的竣工日期。此進(jìn)度安排應(yīng)為供貨

商和分包商闡明一系列的細(xì)節(jié)說明來適合與設(shè)備相關(guān)的管理活動(dòng)。

4.CHANGES更改

4.1SpecificationChanges.Buyerwillhavetherightatanytime

tomakechangesintheSpecificationsbywrittennoticetoSeller,

andSelleragreestocomplywithsuchchanges.Ifsuchchanges

causeamaterialincreaseordecreaseinSeller'scostsortimeof

performanceofthisAgreement,SellerwillnotifyBuyer

immediatelyandnegotiateanadjustment.

技術(shù)規(guī)范條款的更改.買方有權(quán)在任何時(shí)間以書面形式通知賣方更改技

術(shù)規(guī)范條款,賣方須同意遵循此類修改。如果更改造成賣方原材料的增

加或者減少以及履行本協(xié)議時(shí)間的增減,賣方須立即通知買方共同商議

作相應(yīng)變更。

5.TERMANDTERMINATION期限與終止

5.1.'Ferm.ThisAgreementshallbevalidasoftheexecutiondate

andshallberemaininfullforceandeffectforthetermofthe

durationofthewarrantyoftheEquipment,exceptinginrelation

toClause9,whicheffectsshallbevalidforundeterminedterm.

期限。本協(xié)議有效期為實(shí)行起始日到設(shè)備維護(hù)期的結(jié)束,除相應(yīng)第9款

規(guī)定的未定期限。

5.2.Breach.Intheeventofabreachofanyprovisionofthis

Agreement,theinfringingpartymustpaytotheotherpartythe

non-compensatorypenaltyintheamountcorrespondingto5%

(fivepercent)ofthetotalvalueoftheAgreement,inadditionto

thepossibilityofterminationhereinbelow,attheprejudiced

partyDsdiscretion.Thepenaltyisapplicablewithoutprejudiceof

eventuallossesordamagesthattheprejudicedpartymayhave

right.

違約責(zé)任。如發(fā)生違反本協(xié)議任何條款的情況,違反方必須向另一方支付

非補(bǔ)償性罰款,數(shù)額相當(dāng)于協(xié)議的價(jià)格總額的百分之五(5%),止匕外,受損

方有終止協(xié)議的可能性。處罰不應(yīng)對違約方造成的最終損失或者破壞有

任何偏見。

6.PROJECTSPECIFICATIONANDDRAWINGS工程技術(shù)要求和圖紙

6.1.DrawingsandManuals.SellerwillfurnishtoBuyera

minimumoffour(4)copiesofallEquipmentdrawingsand

maintenance/repairmanuals,andotheritemsrequiredbythis

Agreement.Informationhandbooks:Operation,Maintenance,

MechanicalandElectricalParts,Spareparts,Installation

ProceduresandSetup,TroubleshootingGuide,Machine

Drawings,PLCs,electricalwiringdiagram,pneumaticand

hydraulicdiagrams,etc.mustbesentinpaper(3copies)and

eithermagneticoropticalmedia.Handbooklanguagesmustbe

EnglishandPortuguese.Handbooksmustbesent30/45days

after

thepurchaseorderisissued.

.圖紙和維修手冊。賣方應(yīng)向買方提供至少4份所有設(shè)備圖紙和維修手

冊以及其他協(xié)議所要求內(nèi)容的復(fù)印件。

操作手冊,操作、維護(hù)、機(jī)械和電子部分、配件、安裝和啟動(dòng)程序、故

障排除、機(jī)械圖紙、

PLCs、電路圖、氣壓水表等必須以紙質(zhì)提供一式3份或者以方式提供。

手冊須提供英語和葡萄牙語版本,且在買賣合同生效后30至45內(nèi)送

交買方。

6.2SafetyRequirements:CECertificationorequivalent.

安全要求:CE證書或相等證書

7.WARRANTIES質(zhì)保

7.1Defects.Foraperiodoftwelve(12)monthsafterthe

completionoftheAcceptanceTesting,Sellerwarrantsthatthe

EquipmentperformedbytheSellerorbyitsSubcontractorswill

befreefromdefectsinmaterialandworkmanshipandperform

inaccordancewiththeSpecifications.Inaddition,Sellerwarrants

toBuyerthattheEquipmentwillbeinstalledinaworkmanlike

manner,freefromdefectsandinaccordancewiththe

Specifications.Intheeventthatduringthewarrantyperiodany

Equipmentorcomponentbreachesorfailstoperformin

accordancewiththewarrantyprovidedhereunder,Sellerwillbe

responsibleandremedyorcausetoberemediedsuchbreach,

replacingthematerials,componentsandparts,ifnecessary,at

nocosttoBuyer.Thewarrantyshallnotcoverthefailuresdueto

misuseornormalwearandtear.

缺陷.根據(jù)協(xié)議規(guī)定完成接受測試后的12個(gè)月內(nèi),賣方須確保自己或

者分包商提供的設(shè)備在材料、操作方面沒有任何缺陷。另外賣方須按照

協(xié)議保證設(shè)備的安裝符合相關(guān)標(biāo)準(zhǔn)無任何缺陷。在質(zhì)保期內(nèi),發(fā)生任何

設(shè)備或組件無法按照本協(xié)議正常工作,賣方將自身承擔(dān)費(fèi)用負(fù)責(zé)補(bǔ)救或

更換材料、組件和零件。質(zhì)保范圍不包括錯(cuò)誤操作或正常磨損產(chǎn)生的故

障。

7.2Title.SellerwarrantsthattheEquipmentwillbedeliveredto

Buyerfreeandclearofallliensandencumbrances,exceptfor

anysuchliencreatedorpermittedbyBuyer.Selleratitscostwill

immediatelydischargeanycompetingclaimswithrespecttothe

Equipment.

標(biāo)題。賣主保證設(shè)備將任意和清楚地被交付到買家所有先得權(quán)和阻礙,

除了Buyer創(chuàng)造或允許的任何如此先得權(quán)。它的費(fèi)用的賣主將立刻釋放

所有競爭的要求關(guān)于設(shè)備。

7.3CompliancewithLaw.Sellerwarrantsthatallworkperformed

bySellerwillcomplywithall

applicableBrazilianlaws.Sellerwillobtainallpermitsnecessary

foritsperformancehereunder.If

priorto,orupon,completionoftheAcceptanceTesting,the

Equipmentisheldtoviolateanyregulationsand/orcodes,Seller,

atnocosttoBuyer,willmodifytheEquipmentsothatthe

Equipmentwillcomplywithsuchregulationsandcodes.

遵守法規(guī).賣方應(yīng)保證自己所有工作遵守巴西法律。賣方將取得工作所

需要的必要許可。在完成驗(yàn)收測試之時(shí)或者之前,設(shè)備與相關(guān)法規(guī)和/或

代碼不符,由賣方承擔(dān)費(fèi)用根據(jù)與設(shè)備相符的法規(guī)和代碼對設(shè)備進(jìn)行更

改。

7.4BuyerRepairs.IntheeventSellerfailstofullyandpromptly

proceedtocureorrepairanybreachoftheforegoingwarranties,

Buyermay,butnotbeobligatedto,inadditiontoanyrightor

remedytowhichitisentitled,includingbutnotlimitedto,the

rightofspecificperformance,cureandrepairsuchbreachat

Seller'scostwithoutvoidingoraffectinganywarrantiesorany

otherBuyer'srightsorremediesinthisAgreement.

買方維修.若賣方未能充分且及時(shí)對違反質(zhì)保的行為進(jìn)行更改或修復(fù),

買方有權(quán)但沒有義務(wù),包括但不限于,在賣方承擔(dān)費(fèi)用和不影響賣方提

供質(zhì)保的情況下對違反本協(xié)議權(quán)利的行為進(jìn)行更改或者修復(fù)。

7.5SpareParts.Sellerwillprovideorcausetobeprovidedto

Buyeranyandallnecessarypartsfortheoperationofthe

Equipment.Ifsorequested,SellerwillprovideBuyerwitha

currentinventorylistofsparepartsmaintainedbySeller.In

addition,Sellerwillusegoodfaitheffortstoprovidespareparts

foraperiodofatleastfive(5)yearsaftercompletionofthe

warrantyperiodinSection7.1.

配件.賣方應(yīng)向買方提供設(shè)備操作所必需的配件。根據(jù)此要求,賣方須

向買方提供賣方維護(hù)設(shè)備現(xiàn)狀配件目錄表。另外,賣方應(yīng)該根據(jù)條款

7.1盡量提供維護(hù)期結(jié)束后至少5年所需的配件。

8.INDEMNIFICATION/INSURANCE賠償和保險(xiǎn)

8.1.PatentIndemnity.Selleragreestoindemnify,saveharmless

anddefendBuyerfromandagainstanyandallsuits,claims,

damages,costs,andattorney'sfeesarisingoutoforin

connectionwithanyinfringementorclaimedinfringementof

anypatent,trademarkorcopyrightinthemanufacture,useor

saleoftheEquipmentoranyothermaterialsfurnishedunder

thisAgreement.

專利補(bǔ)償。根據(jù)協(xié)議規(guī)定,在生產(chǎn)、使用、銷售本設(shè)備或相關(guān)材料中,

賣方應(yīng)為買方賠償、保證無害、確保買方不受因侵權(quán)或被聲稱侵犯商標(biāo)

版權(quán)等專利糾紛引起的任何訴訟、索賠、損失、花費(fèi)和律師費(fèi)。

8.2Insurance.Supplierundertakestotakeoutandmaintain

adequateinsurancecoveragainsttherisksascontemplatedin

thisAgreementandallotherrisksnormallyinsuredagainstby

companiescarryingonthesameorasimilarbusinessas

Supplier.

保險(xiǎn).賣方應(yīng)為本協(xié)議所存在的危險(xiǎn)以及賣方公司進(jìn)行日常生產(chǎn)所存在

的危險(xiǎn)實(shí)行和維持保險(xiǎn)。

9.CONFIDENTIALITY保密條款

9.1Seller'sRequirements.SelleragreestokeepallBuyer

technicalandbusinessinformationsecretandnottorevealorto

divulgetheinformationtothirdpartiesortouseortopublishit

anymannerwhatsoeverwithoutthepriorwrittenapprovalby

Buyer,provided,however,thatSellerwillnotbeboundtokeep

secretinformationwhich

(a)wasknowntoSellerpriortothedateofthisAgreementfrom

sourcesotherthanBuyerwithoutanobligationof

confidentialtiy,

(b)isorbecomesavailabletothepublicwithoutfaultonSeller

'spart,

(c)isdisclosedtoSellerbyapartynotrelated,directlyor

indirectlytoBuyerwhohasarightfulclaimtosuchinformation

andisundernoobligationofconfidentialitytoBuyer.Sellerwill

onlyuseBuyer'stechnicalandbusinessinformationin

connectionwiththeperformanceofitsobligationshereunder.

Theforegoingobligationswillremainineffectforundetermined

term,exceptiftheBuyeragreesinwritingtopermitreleaseof

suchinformation.

對賣方的要求.賣方必須為買方的技術(shù)和商業(yè)信息保密不向第三方透露

或者泄露信息,在事先未得到買方同意不使用也不以任何形式出版相關(guān)

信息,以下情況除外

⑻在簽署本協(xié)議前從不是買方的另外地方得到的信息,賣方?jīng)]有保密的

責(zé)任

(b)并不是由于賣方的原因而為公眾所獲知

?由與買方無直接和間接關(guān)系的或者對買方無保密責(zé)任的某一方提供

給賣方。賣方只能在遵守保密責(zé)任下使用買方的技術(shù)和商業(yè)信息。上述

責(zé)任將永久有效,除非有買方提供書面說明該信息可以公開。

10.GENERALTERMS普通條款

10.1.GoverningLaw.ThisAgreementwillbegovernedand

construedinaccordancewiththelawsofthecountryofBRAZIL.

政府法律?本協(xié)議受巴西法律管轄并據(jù)以解釋。

10.2ForceMajeure.Sellerwillnotberesponsiblefor

unforeseeabledelaysintheperformanceoftheAgreementnot

reasonablyavoidablebySellerandresultinginwholeorpart

fromcausesbeyondSeller'scontrol,includingactsofGod(i.e.

storms,floods,orotherunforeseeableweatherconditions).If

Sellerisadverselyaffectedbyadelaybeyonditscontrolas

describedherein,thetimeofcompletionmaybeextendedby

theBuyeraccordingly,provided,however,thatSellerwill,within

three(3)daysfromthebeginningofanysuchdelay,notifyBuyer

inwritingofthecausesofdelayandofSeller'srequested

extension.

不可抗力。賣方不必對不能合理地避免由賣方無法控制的原因,包括天

災(zāi),如風(fēng)暴,洪水,或者其他不可預(yù)料的天氣條件,等不可預(yù)見的延誤

負(fù)責(zé)。如果賣方是因?yàn)闊o法控制的延誤而受影響的完工時(shí)間可由買方相

應(yīng)延長,但是賣方需在三天內(nèi)以書面形式將此類延誤通知買方。

BuyermayextendthetimeofcompletionoftheEquipmentin

writing,asmutuallyagreeduponbyBuyerandSeller,within

seven(7)workingdays.IfaForceMajeureeventcontinues,oris

anticipatedtocontinue,foraperiodinexcessofthirty(30)days,

Buyer,bywrittennoticetoSeller,willhavetherighttoterminate

thisAgreementandallmoniespaidwillbereturnedtoBuyer,

exceptthatSellerwillbeentitledtoreceivepaymentforlabor

andmaterialsusedfortheEquipmentpriortothetermination

andBuyerandSellerwillhavenofurtherobligationtoeach

other.

在七個(gè)工作日內(nèi),雙方同意由買方和賣方約定,買方可以書面形式延長

了設(shè)備完工時(shí)間。如果不可抗力事件持續(xù),或預(yù)計(jì)將繼續(xù)下去,超過買

方期限三十天,賣方有權(quán)以書面通知終止本協(xié)議及將所有支付的款項(xiàng)退

還給買方,但賣方將有權(quán)獲得勞動(dòng)和設(shè)備之前,終止買方使用并要求對

方歸還材料。

11.TESTINGATTHESUPPUER'SPREMISES在賣方的現(xiàn)場測試

11.1WhentheproductionoftheMachinehasbeencompleted,

theSuppliershallproceedtotesttheminitsownfactory.A

successfuloutcometothesetestswillmaketheMachine"ready

fordelivery."

當(dāng)本設(shè)備完成時(shí),賣方應(yīng)事先在自己廠里進(jìn)行測試。只有當(dāng)測試結(jié)束比

較令人滿意,本設(shè)備才能進(jìn)入被送交狀態(tài)。
