產(chǎn)品買賣運輸協(xié)議雙方，即賣方（以下簡稱“甲方”）和買方（以下簡稱“乙方”）基于平等自愿的原則，經(jīng)協(xié)商達成如下約定，以明確各自權(quán)利與義務：一、賣方的權(quán)利和義務賣方承諾所售產(chǎn)品為合法且符合國家質(zhì)量標準的合法產(chǎn)品。賣方應當按合同約定的時間和數(shù)量交付產(chǎn)品，如有延誤，賣方須向買方承擔違約責任。賣方要負責對產(chǎn)品進行妥善包裝，確保在運輸過程中不受損壞，并在產(chǎn)品到達買方手中時進行必要的檢驗，確保產(chǎn)品與原訂單無異。賣方應根據(jù)合同約定提供合法的、獨立、有效的產(chǎn)品運輸證明及相關文件材料。賣方應對產(chǎn)品在運輸過程中可能遇到的各種問題，例如在海運中發(fā)生的海難等不可抗力因素負責。二、買方的權(quán)利和義務買方應當根據(jù)合同約定的方式和時間支付合同約定的產(chǎn)品價格。買方應協(xié)調(diào)好接收產(chǎn)品的時間和場所，并對接收的產(chǎn)品進行檢驗，并在檢驗合格后付款。買方應保證自己的支付賬戶安全、合法，確保支付的真實可靠，如買方支付賬戶產(chǎn)生問題，應及時通知賣方。三、運輸公司的權(quán)利和義務運輸公司應做好產(chǎn)品的運輸工作，包括但不限于產(chǎn)品的裝卸、運輸、儲存等工作。運輸公司應按正常的運輸標準進行運輸，并在正常情況下按約定到達目的地，產(chǎn)生的責任由運輸公司承擔。運輸公司應監(jiān)控和標注包裹的具體位置、時間和溫度等運輸環(huán)境信息以確保運輸?shù)目茖W與合理。四、不可抗力ProductsaletransportationagreementThefollowingagreementisreachedbasedontheprincipleofequalityandfreewill,betweentheseller(hereinafterreferredtoasPartyA)andthebuyer(hereinafterreferredtoasPartyB):I.RightsandObligationsofPartyA:PartyApromisesthattheproductssoldarelegalandmeetnationalqualitystandards.PartyAshalldelivertheproductsaccordingtothetimeandquantityagreeduponinthecontract.Ifthereisadelay,PartyAshallbeheldresponsibleforbreachofcontract.PartyAshouldberesponsiblefortheproperpackagingoftheproductstoensurethattheyarenotdamagedduringtransportation.NecessaryinspectionsshouldbecarriedoutwhentheproductsarereceivedbyPartyBtoensurethattheyconformtotheoriginalorder.PartyAshouldprovidelegal,independentandvalidproofofproducttransportationandrelateddocumentsaccordingtothecontract.PartyAshouldberesponsibleforthevariousissuesthattheproductmightfaceduringtransportation,suchasforcemajeurefactorslikeseadisastersduringoceanshipping.RightsandObligationsofPartyB:PartyBshouldpaytheagreedproductpriceaccordingtothewayandtimespecifiedinthecontract.PartyBshouldcoordinatethetimeandplaceofproductreceipt,inspectthereceivedproducts,andmakepaymentsafterinspection.PartyBshouldensurethesecurityandlegalityoftheirpaymentaccount,makesuretheirpaymentistrueandreliable.AnyissuesrelatedtothepaymentaccountmustbereportedtoPartyApromptly.RightsandObligationsoftheTransportationCompany:Thetransportationcompanyshouldtransporttheproductsproperly,includingbutnotlimitedtoloading,transportation,andstorage.Thetransportationcompanyshouldtransporttheproductsaccordingtothenormaltransportationstandards,andarriveatthedestinationasagreeduponinnormalconditions.Liabilityarisingfromthetransportprocessshouldbebornebythetransportationcompany.Thetransportationcompanyshouldmonitorandmarkthespecificlocation,timeandtemperatureofthepackagesintransit,andensurethescientificandrationalityoftransportation.ForceMajeureIfanyofthefollowingforcemajeureeventsoccurduringthebusinessprocess,theaffectedpartyshallnotbearanyliabilityandshallbeexemptedfromallrightsandobligationsofthisagreement:earthquakes,typhoons,floods,wars,strikes,terrorism,epidemics,changesingovernmentpolicies,andanyothereventsbeyondthecontrolofeitherParty.TheaffectedPartyshallnotifytheotherPartyinwritingwithin5daysoftheoccurrenceoftheevent,andattachrelevantproof.V.LiabilityforBreachofContractIfPartyAfailstoprovidetheproductsasspecifiedordeliverstheproductslate,causinglossestoPartyB,PartyAshallcompensatePartyBforanylossesincurred.IfPartyBfailstopaytheagreedpriceontimeorrefusestoreceivetheproducts,resultinginlossestoPartyA,PartyBshallcompensatePartyAforanylossesincurred.DisputeResolutionAnydisputesarisingfromtheperformanceofthisagreementshallberesolvedthroughfriendlynegotiationsbetweenthetwoparties.Iffriendlynegotiationsarenotpossible,thepartiesagreetosubmitthedisputetotherelevantauthoritiesoracourtofcompetentjurisdictionforresolution.TerminationoftheContractThepartiesagreethatthisagreementwillbeterminatedwhentheobligationsunderthisagreementarefulfilledbybothparties.Ifeitherpartybreachesthisagreement,theagreementshallbeterminatedautomaticallyunlessotherwiseagreedupon.MiscellaneousThisagreementisalegaldocumentsignedbytheparties.Anychangestothisagreementmustbeinwritingandsignedbybothparties.Thisagreementshallbebindingonthepartiesandtheirlegalsuccessorsandassigns.GoverningLawandJurisdictionThisagreementshallbegovernedbythelawsoftheplacewherePartyAisregistered.Anydisputearisingfromtheperformanceofthisagreementshallbe
