INTERNATIONALEMPLOYMENTAGREEMENT

ThisInternationalEmploymentAgreement(the"Agreement")ismadeandenteredintoasofthe__________dayof__________,20__,byandbetween__________("Employer"),acompanyincorporatedunderthelawsof__________,withitsprincipalplaceofbusinessat__________,and__________("Employee"),acitizenof__________,residingat__________.

WHEREAS,theEmployerdesirestoemploytheEmployee,andtheEmployeedesirestobeemployedbytheEmployer,onthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.EmploymentTerm

ThetermofthisAgreement(the"EmploymentTerm")shallcommenceonthe__________dayof__________,20__,andshallcontinueuntilterminatedbyeitherpartyinaccordancewiththeprovisionsofthisAgreement.

2.PositionandDuties

TheEmployeeisemployedasa__________andshallperformthedutiesandresponsibilitiescustomarilyassociatedwithsuchposition,asmoreparticularlydescribedinthejobdescriptionattachedheretoasExhibitA.

3.Compensation

TheEmployershallpaytheEmployeeanannualsalaryof__________(the"BaseSalary"),payableinaccordancewiththeEmployer'sstandardpayrollpractices.TheEmployeeshallalsobeentitledtoparticipateinanybonusorincentiveplansestablishedbytheEmployerfromtimetotime.

4.Benefits

TheEmployeeshallbeeligibleforbenefitsprovidedbytheEmployertoitsemployeesgenerally,includingbutnotlimitedtohealthinsurance,retirementplanparticipation,andotherbenefitsasmaybedeterminedbytheEmployer.

5.WorkLocation

TheEmployeeshallperformworkattheEmployer'sprincipalplaceofbusinessorsuchotherlocationastheEmployermaydesignate.

6.Confidentiality

TheEmployeeagreestokeepconfidentialallinformationofaproprietaryorconfidentialnatureobtainedbytheEmployeeinconnectionwiththeEmployee'semploymentwiththeEmployer.

7.IntellectualProperty

Allinventions,discoveries,improvements,andotherintellectualpropertyconceived,reducedtopractice,orfirstactuallyreducedtopracticebytheEmployeeduringtheEmploymentTermandwithinthescopeoftheEmployee'semploymentshallbethesolepropertyoftheEmployer.

8.Termination

EitherpartymayterminatethisAgreementupon__________days'writtennoticetotheotherparty.TheEmployermayalsoterminatethisAgreementimmediatelyupontheoccurrenceofanyofthefollowingevents:(i)theEmployee'sbreachofanymaterialtermorconditionofthisAgreement;(ii)theEmployee'sconvictionofafelonyoranycrimeinvolvingmoralturpitude;or(iii)theEmployee'sgrossnegligenceorwillfulmisconductintheperformanceoftheEmployee'sduties.

9.Post-TerminationObligations

UponterminationofthisAgreementforanyreason,theEmployeeshallpromptlyreturnallpropertyoftheEmployerandshallnotmakeanydisparagingremarksabouttheEmployeroritsbusiness.

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe__________withoutgivingeffecttoanychoiceoflaworconflictoflawprovisions.

11.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,representations,andunderstandingsbetweenthem.ThisAgreementmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.

12.Severability

IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallbeenforced.

13.Notices

Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierservice,orthreedaysafterbeingsentbycertifiedmail,postageprepaid,returnreceiptrequested,totherespectiveaddressessetforth
