3.3TheBoardshallmeetatleastonceayeartodiscussandmakedecisionsregardingthemanagementandoperationoftheJointVenture.
4.ProfitandLossDistribution
4.1TheprofitsandlossesoftheJointVentureshallbesharedequallybetweenPartyAandPartyB.
4.2TheJointVentureshallfileanannualfinancialstatementanddistributetheprofitsandlossesaccordingly.
5.TermandTermination
5.1ThetermofthisContractshallbe[durationofthejointventure].
5.2EitherPartymayterminatethisContractupon[circumstancesfortermination].
6.DisputeResolution
6.1AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheParties.
