2025【精選合同范本】正式英文合同大全ContractAgreementbetweenPartyAandPartyBThisContractAgreement("Agreement")ismadeandenteredintoasofthedayof,2025(the"EffectiveDate"),byandbetween:PartyAName:Address:Phone:Email:andPartyBName:Address:Phone:Email:RecitalsWHEREAS,PartyAisengagedinthebusinessof;WHEREAS,PartyBisengagedinthebusinessof;WHEREAS,PartyAandPartyBdesiretoenterintoamutualagreementforthepurposeof;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DEFINITIONS1.1ForthepurposeofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"PartyA"means."PartyB"means."EffectiveDate"meansdayof,2025."Term"meansthedurationofthisAgreementasspecifiedinSection2.1."Services"meanstheservicesprovidedbyPartyAtoPartyBasdescribedinExhibitA."Deliverables"meanstheproducts,materials,orotheritemssuppliedbyPartyAunderthisAgreement,asdescribedinExhibitA."ConfidentialInformation"meansanynon-public,proprietary,orconfidentialinformationdisclosedbyonePartytotheotherunderthisAgreement,asfurtherdefinedinSection7.2.TERMANDTERMINATION2.1ThetermofthisAgreement("Term")shallcommenceontheEffectiveDateandshallcontinueforaperiodofyears(the"InitialTerm"),unlessterminatedearlierasprovidedherein.2.2EitherPartymayterminatethisAgreementforconvenienceuponwrittennoticeofdaystotheotherParty.2.3ThisAgreementmaybeterminatedimmediatelybyeitherPartyupontheoccurrenceofanyofthefollowingevents:(a)TheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithindaysafterreceiptofwrittennoticethereof;(b)TheotherPartybecomesinsolvent,bankrupt,orfilesorhasfiledagainstitanypetitionforbankruptcyorinsolvency.3.SCOPEOFWORK3.1PartyAagreestoperformtheServicesasdescribedinExhibitAattachedheretoandmadeapartofthisAgreement.3.2PartyBagreestoprovideallnecessarycooperationandassistancetoPartyAinperformingtheServices,includingbutnotlimitedtoprovidingaccesstopremises,personnel,andotherresourcesasreasonablyrequestedbyPartyA.4.PAYMENTANDINVOICING4.1InconsiderationoftheServicesprovidedbyPartyA,PartyBshallpayPartyAthefeessetforthinExhibitA.4.2InvoicesshallbeissuedbyPartyAandsubmittedtoPartyBatleastdayspriortotheduedateforpayment.4.3Paymentshallbemadewithindaysafterreceiptoftheinvoice.Latepaymentsshallincurapenaltyofpercent(%)permonthuntilpaidinfull.4.4AllpaymentsunderthisAgreementshallbeinthecurrencyof.5.CONFIDENTIALITY5.1EachPartyagreestomaintaintheConfidentialInformationoftheotherPartyinstrictconfidenceanddiscloseitonlytoitsemployees,agents,orcontractorswhoneedtoknowsuchConfidentialInformationforthepurposeofthisAgreementandwhoareboundbyconfidentialityobligationsnolessstringentthanthosecontainedherein.5.2TheobligationsofconfidentialityunderthisSection5shallsurvivetheterminationofthisAgreementandshallcontinueforaperiodofyearsthereafter.5.3TherestrictionsofthisSection5shallnotapplytoConfidentialInformationthat:(a)IsorbecomespubliclyavailablethroughnofaultofthereceivingParty;(b)Isrightfullyreceivedfromathirdpartywithoutbreachofanyobligationofconfidentiality;(c)IsindependentlydevelopedbythereceivingPartywithoutuseoforreferencetotheConfidentialInformation.6.INTELLECTUALPROPERTYRIGHTS6.1Allintellectualpropertyrights(includingbutnotlimitedtotrademarks,copyrights,patents,andtradesecrets)intheDeliverablesshallvestinPartyA,unlessotherwiseagreedinwriting.6.2PartyBisgrantedanon-exclusive,royalty-freelicensetousetheDeliverablessolelyforthepurposeofcarryingoutitsbusinessduringtheTermofthisAgreement.6.3PartyBagreesnottoreverseengineer,decompile,ordisassembleanysoftwareorothermaterialsprovidedbyPartyAunderthisAgreement.7.CHANGESTOTHEAGREEMENT7.1AnychangesormodificationstothisAgreementshallbemadeinwritingandsignedbybothParties.7.2AnyrequestforchangesbyonePartyshallbesubmittedinwritingtotheotherParty,andthePartiesshallnegotiateingoodfaithtoreachamutuallyacceptableamendmenttothisAgreement.8.BREACHANDREMEDIES8.1IntheeventofabreachofthisAgreementbyoneParty,theotherPartyshallhavetherighttopursueallremediesavailableatlaworinequity,includingbutnotlimitedtoseekingspecificperformanceordamages.8.2ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.9.TRANSFERANDASSIGNMENT9.1NeitherPartyshallassignortransferthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld.9.2AnypurportedassignmentortransferinviolationofthisSection9shallbeinvalidandofnoeffect.10.FORCEMAJEURE10.1NeitherPartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,actsofGod,war,orgovernmentaction.10.2ThePartyaffectedbyaforcemajeureeventshallpromptlynotifytheotherPartyinwritingoftheoccurrenceandexpecteddurationofsucheventandshallusereasonableeffortstomitigatetheeffectsthereof.11.GOVERNINGLAW11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionof,withoutregardtoitsconflictoflawsprinciples.11.2AnylegalactionorproceedingarisingoutoforrelatedtothisAgreementshallbebroughtexclusivelyinthecourtslocatedin,andthePartiesherebyconsenttothejurisdictionandvenueofsuchcourts.12.ENTIREAGREEMENT12.1ThisAgreement,togetherwithitsExhibits,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten,regardingsuchsubjectmatter.12.2ThisAgreementmaynotbeamendedexceptbyawrittenagreementsignedbybothParties.13.NOTICES13.1Allnotices,demands,orrequestsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyovernightcourier,totheaddressessetforthabove,ortosuchotheraddressasaPartymaydesignatebywrittennoticetotheotherParty.14.SEVERABILITY14.1IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceablebyacourtofcompetentjurisdiction,theremainingprovisionsofthisAgreementshallremaininfullforceandeffect,andtheinvalidorunenforceableprovisionshallbereplacedbyavalidandenforceableprovisionthatmostcloselyreflectstheintentoftheoriginalprovision.15.COUNTERPARTS15.1ThisAgreementmaybeexecutedinco
