Obligations

TorepresentandwarrantthatithasthelegalrightandauthoritytotransfertheTargetCompanyandallofitsrights,interests,andobligationsasdescribedinthisAgreement.

TodisclosetotheTransfereeallmaterialinformationrelatedtotheTargetCompany,includingbutnotlimitedtoitsfinancialcondition,businessoperations,legaldisputes,etc.

ToindemnifyandholdtheTransfereeharmlessfromandagainstanyandalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanybreachofitsrepresentations,warranties,orcovenantsunderthisAgreement.

ToassisttheTransfereeinpletingallnecessaryproceduresforthetransferoftheTargetCompany,includingbutnotlimitedtoobtainingapprovalsfromrelevantgovernmentauthorities,amendingthepany'sarticlesofassociation,andregisteringthetransferwiththerelevantregistrationauthorities.

3.2Transferee'sRightsandObligations

ToacquiretheTargetCompanyandallofitsrights,interests,andobligationsasdescribedinthisAgreement.

ToinspectandverifytheinformationanddocumentsprovidedbytheTransferorrelatedtotheTargetCompany.

Obligations

TopaytheconsiderationtotheTransferorinaccordancewiththepaymentschedulespecifiedinSection2.

Toassumealloftherights,interests,andobligationsoftheTargetCompanyfromtheeffectivedateofthetransferinaccordancewiththelawsandregulationsandthetermsofthisAgreement.

ToindemnifyandholdtheTransferorharmlessfromandagainstanyandalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanybreachofitsrepresentations,warranties,orcovenantsunderthisAgreement.

Toplywithalllaws,regulations,andpoliciesapplicabletotheoperationoftheTargetCompanyafterthetransfer.

4.RepresentationsandWarranties

4.1Transferor'sRepresentationsandWarranties

TheTransferorrepresentsandwarrantstotheTransfereeasfollows:

TheTransferorisalegallyvalidandexistingpany,dulyincorporatedandoperatinginaccordancewiththelawsof[jurisdiction].

TheTransferorhasthelegalrightandauthoritytoenterintothisAgreementandtotransfertheTargetCompanyasdescribedherein.

AllnecessarycorporateactionshavebeentakenbytheTransferortoauthorizetheexecution,delivery,andperformanceofthisAgreement.

TitletoAssets

TheTransferorhasgoodandmarketabletitletoalloftheassetsoftheTargetCompanybeingtransferredhereunder,freeandclearofanyliens,encumbrances,mortgages,orotherrestrictions.

Therearenopendingorthreatenedlegalactions,claims,ordisputesthatcouldmateriallyaffectthevalueortransferabilityoftheassetsoftheTargetCompany.

FinancialCondition

ThefinancialstatementsoftheTargetCompanyprovidedtotheTransfereearetrue,accurate,andplete,andfairlypresentthefinancialconditionoftheTargetCompanyasoftherespectivedatesthereof.

TheTargetCompanyhasnooutstandingdebts,liabilities,orobligationsthathavenotbeendisclosedtotheTransferee.

BusinessOperations

ThebusinessoperationsoftheTargetCompanyhavebeenconductedinpliancewithallapplicablelaws,regulations,andpolicies.

Therearenopendingorthreatenedlegalactions,claims,ordisputesrelatedtothebusinessoperationsoftheTargetCompanythatcouldmateriallyaffectitsoperationsorfinancialcondition.

Employees

AllemployeesoftheTargetCompanyareemployedinaccordancewiththeapplicablelaborlawsandregulations,andtherearenolabordisputesorclaimsoutstandingagainsttheTargetCompany.

TheTransferorwillensurethatallnecessaryproceduresarepletedtotransfertheemploymentrelationshipsoftheemployeesoftheTargetCompanytotheTransfereeinaccordancewiththelaw.

4.2Transferee'sRepresentationsandWarranties

TheTransfereerepresentsandwarrantstotheTransferorasfollows:

FinancialAbility

TheTransfereehasthefinancialabilityandresourcestopaytheconsiderationtotheTransferorinaccordancewiththepaymentschedulespecifiedinSection2.

TheTransfereehasnooutstandingdebts,liabilities,orobligationsthatcouldmateriallyaffectitsabilitytoperformthisAgreement.

Compliance

TheTransfereewillplywithalllaws,regulations,andpoliciesapplicabletotheoperationoftheTargetCompanyafterthetransfer.

5.Indemnification

5.1Transferor'sIndemnification

TheTransferorshallindemnifyandholdtheTransfereeharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingbutnotlimitedtolegalfees,arbitrationfees,andsettlementamounts)arisingoutoforinconnectionwith:

AnybreachoftheTransferor'srepresentations,warranties,orcovenantsunderthisAgreement.

Anyundiscloseddebts,liabilities,orobligationsoftheTargetCompanyasofthedateoftransfer.

Anylegalactions,claims,ordisputesrelatedtotheTargetCompany'sassets,businessoperations,oremployeespriortothetransfer.

5.2Transferee'sIndemnification

TheTransfereeshallindemnifyandholdtheTransferorharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingbutnotlimitedtolegalfees,arbitrationfees,andsettlementamounts)arisingoutoforinconnectionwith:

Anylegalactions,claims,ordisputesrelatedtotheTargetCompany'soperationsafterthetransfer.

6.Confidentiality

EachpartyagreestokeepconfidentialallinformationobtainedfromtheotherpartyduringthenegotiationandperformanceofthisAgreement,includingbutnotlimitedtobusinesssecrets,financialinformation,customerlists,andtechnicalknowhow.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdparty,exceptasrequiredbylaw.

7.GoverningLawandJurisdiction

7.1GoverningLaw
