I.SubjectMatteroftheOriginalContract

Theoriginalcontract(the"OriginalContract")betweenPartyAandPartyBwasexecutedon[originalcontractdate]andpertainedto[describeindetailthenatureofthegoods,services,orothersubjectmatteroftheOriginalContract].Forexample,ifitwasaservicecontract,itcouldstate:"TheOriginalContractwasforPartyBtoprovideprofessionalconsultingservicesinthefieldof[specificconsultingarea]toPartyAforaperiodof[duration]startingfrom[startdate].PartyBwasrequiredtoofferexpertadvice,conductresearch,andpreparedetailedreportsbasedonPartyA'sbusinessneedsandindustrytrends."Ifitwasagoodscontract,itmightsay:"TheOriginalContractwasforPartyAtosupply[quantity]unitsof[productname]toPartyB.Theproductsweretomeetthefollowingspecifications:[listproductspecificationssuchasqualitystandards,dimensions,etc.]andbedeliveredtoPartyB'sdesignatedlocationat[deliveryaddress]by[deliverydate]."

II.ReasonsforContractTermination

BothpartieshavemutuallyagreedtoterminatetheOriginalContractforthefollowingreasons:[specifythereasonsclearly,e.g.,"DuetounforeseenchangesinmarketconditionsthathavemadetheperformanceoftheOriginalContractmerciallyunfeasibleforbothparties,"or"Afterfriendlynegotiation,bothpartieshavedecidedtoterminatetheOriginalContractasitnolongeralignswiththeirstrategicbusinessplans."]

III.RightsandObligationsuponTermination

A.Rights

1.PaymentSettlement

PartyAshallhavetherighttorequestarefundofanyprepaidamountsthathavenotbeenearnedbyPartyBasoftheterminationdate.PartyBshall,within[numberofdays]daysafterreceivingPartyA'swrittenrequest,reviewandverifytheamounts.Iftheamountsareindeedprepaidandnotyetearned,PartyBshallrefundthesametoPartyAinfull.

PartyBshallhavetherighttoinvoicePartyAforanyservicesrenderedorgoodsdeliveredandacceptedbyPartyAuptotheterminationdate.PartyAshallpaysuchinvoiceswithin[numberofdays]daysofreceipt.

2.IntellectualPropertyRights

EachpartyshallretainitsrespectiveintellectualpropertyrightsinanyintellectualpropertycreatedorusedinconnectionwiththeperformanceoftheOriginalContractpriortotheterminationdate.Forexample,ifPartyBdevelopedcertainsoftwareduringthetermoftheOriginalContract,PartyBshallretainthecopyrighttosuchsoftware,andPartyAshallhavenoclaimtoitotherthantherighttouseitasperthetermsoftheOriginalContractuptotheterminationdate.

PartyAshallnotuseanyintellectualpropertyofPartyBaftertheterminationdate,exceptasotherwiseprovidedinthisAgreementorasrequiredbylawforthepurposeoflegitimatepostterminationplianceoraudit.

B.Obligations

1.Confidentiality

BothpartiesshallcontinuetobeboundbytheconfidentialityprovisionsoftheOriginalContractforaperiodof[confidentialityduration]yearsaftertheterminationdate.ThismeansthatPartyAandPartyBshallnotdiscloseanyconfidentialinformationobtainedduringtheperformanceoftheOriginalContract,includingbutnotlimitedtobusinesssecrets,customerlists,technicalknowhow,etc.

PartyAandPartyBshalltakeallreasonablemeasurestoprotecttheconfidentialityofsuchinformation,includingbutnotlimitedtorestrictingaccesstoauthorizedpersonnelonlyandusingappropriatesecuritymeasures.

2.ReturnofMaterials

PartyAshallreturntoPartyBanymaterials,documents,orequipmentprovidedbyPartyBinconnectionwiththeOriginalContractwithin[numberofdays]daysaftertheterminationdate.SuchmaterialsshallbeinthesameconditionasreceivedbyPartyA,reasonablewearandtearexcepted.

PartyBshallreturntoPartyAanymaterials,documents,orequipmentprovidedbyPartyAinconnectionwiththeOriginalContractwithin[numberofdays]daysaftertheterminationdate,alsointhesameconditionasreceivedbyPartyB,reasonablewearandtearexcepted.

3.NonCompeteandNonSolicitation

Foraperiodof[nonpete/nonsolicitationduration]yearsaftertheterminationdate,PartyAshallnotengageinanybusinessactivitiesthatareindirectpetitionwithPartyB'scorebusinessasdefinedintheOriginalContract.PartyAshallalsonotsolicitPartyB'semployees,customers,orbusinesspartners.

Similarly,foraperiodof[nonpete/nonsolicitationduration]yearsaftertheterminationdate,PartyBshallnotengageinanybusinessactivitiesthatareindirectpetitionwithPartyA'scorebusinessasdefinedintheOriginalContract.PartyBshallalsonotsolicitPartyA'semployees,customers,orbusinesspartners.

IV.LiabilityforBreach

1.GeneralProvisions

IfeitherpartybreachesanyoftheprovisionsofthisAgreement,thebreachingpartyshallbeliabletothenonbreachingpartyforalllossesanddamagessufferedasaresultofsuchbreach.Thisincludesbutisnotlimitedtodirectlosses,indirectlosses,andanyreasonablecostsincurredbythenonbreachingpartyinconnectionwiththeenforcementofthisAgreement,suchaslegalfees,arbitrationfees,andcourtcosts.

2.SpecificBreachScenarios

IfPartyAfailstopayPartyBforservicesrenderedorgoodsdeliveredasrequiredbythisAgreement,PartyAshallbeliabletopaytheoutstandingamountplusanylatepaymentfeescalculatedattherateof[latepaymentfeepercentage]perannumfromtheduedateuntilthedateoffullpayment.

IfPartyBfailstoreturnPartyA'smaterialsordocumentswithinthespecifiedtimelimit,PartyBshallbeliabletopensatePartyAforanylossescausedbysuchdelay,includingbutnotlimitedtoanybusinesslossesresultingfromtheunavailabilityofsuchmaterials.

IfeitherpartyviolatestheconfidentialityprovisionsofthisAgreement,thebreachingpartyshallindemnifythenonbreachingpartyforalllossesarisingfromsuchbreach,includingbutnotlimitedtoanylossofbusinessopportunityordamagetoreputationcausedbytheunauthorizeddisclosureofconfidentialinformation.

IfeitherpartyviolatesthenonpeteornonsolicitationprovisionsofthisAgreement,thebreachingpartyshallbeliabletopayapenaltytothenonbreachingpartyintheamountof[penaltyamount],andshallalsoberequiredtoceasetheillegalactivitiesimmediately.Inaddition,thebreachingpartyshallindemnifythenonbreachingpartyforanylossessufferedasaresultofsuchviolation,includingbutnotlimitedtolostprofitsduetothediversionofcustomersorbusiness.

V.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysaftereitherpartynotifiestheotherpartyoftheexistenceofthedispute.

2.Arbitration

Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallbesubmittedtoarbitrationinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationshallbeconductedin[arbitrationlocation],andthelanguageofthearbitrationshallbe[language].

Thearbitralawardshallbefinalandbindingonbothparties.Eachpartyshallbearitsowncostsofarbitration,includingbutnotlimitedtoarbitrationfeesandlegalrepresentationfees,unlessthearbitralawardspecificallyprovidesotherwise.

3.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].
