2025年室內(nèi)裝飾設(shè)計(jì)師合作協(xié)議鑒于合作各方（以下簡稱“合作方”）基于平等自愿原則，wishtojointlyengageinthebusinessofinteriordesignservices,andinordertoclarifytherights,obligations,andresponsibilitiesofeachpartyduringthecooperation,thefollowingarticlesareagreeduponasfollows:Article1:BasicInformationandCooperationPurpose1.1Thepartiestothisagreementare:[PartyAName],IDNo.:[PartyAIDNumber],Contact:[PartyAContactInformation][PartyBName],IDNo.:[PartyBIDNumber],Contact:[PartyBContactInformation](Iftherearemoreparties,pleaselisttheminthesameformat)1.2Thepurposeofthiscooperationistoleverageeachparty'sdesignexpertise,resources,andmarketnetworktoimprovedesigncapabilities,expandmarketshare,jointlyundertakeprojects,shareresources,achievebusinessprofits,andothermutuallyagreed-uponobjectives.1.3Thecooperationperiodshallcommenceon[StartDate]andterminateon[EndDate].(Alternatively,ifthecooperationisintendedtobeindefinite,state:Thecooperationshallbeindefiniteuntilterminatedbyanypartywithpriorwrittennoticetotheotherparties.)1.4Theprimarylocationforcarryingoutcooperativebusinessactivitiesshallbe[CooperationLocation].Article2:CooperationModelandBusinessScope2.1Thecooperationmodelshallbe[SpecifyCooperationModel,e.g.,jointoperationestablishingapartnership/studio,project-basedcollaboration,resourcesharing,brandjointventure].Thespecificoperationmodeisdetailedintheattached[ifany]orasfurtherelaboratedherein.2.2Thescopeofbusinessforjointundertakingshallinclude,butnotbelimitedto:[Listspecifictypesofinteriordesignservices,e.g.,residentialinteriordesign,commercialspacedesign,softdecorationdesign,renderingproduction,constructionsupervision].Partiesmayagreetoexpandoradjustthebusinessscopethroughwrittenagreement.Article3:FinancialMattersandProfitDistribution3.1ProjectPricingandDecision-Making:Theprincipleforprojectquotationandtheprocessforfinalapprovalshallbe[Specifyprincipleandprocess,e.g.,determinedbasedonmarketratesandprojectcomplexity,requiringunanimousconsentfromallpartiesforfinalapproval].3.2CostSharing:Costsincurredjointlyduringthecooperation,suchasofficesupplies,softwarelicenses,travelexpenses,marketingcosts,etc.,shallbesharedbasedon[Specifymethod,e.g.,agreedpercentageratios,orspecifywhoincursandwhoisreimbursed].3.3Profit(Income)Distribution:(a)Thebasisforprofitdistributionshallbe[Specifybasis,e.g.,thetotalprojectamount,ortheproportionoftime,effort,andcreativecontributionofeachdesigner].(b)Theprofitdistributionratioshallbe[Specifypercentageoramountforeachparty].(c)Thetimeandmethodforprofitsettlementshallbe[Specifytimeframeandpaymentmethod,e.g.,paymentshallbemadeintodesignatedaccountswithin[Number]daysafterprojectcompletion,orcashpayment].(d)Taxationonthedistributedincomeshallbehandledby[Specify,e.g.,eachpartyresponsiblefortheirownshare,orpaidbythecooperativeentitybeforedistribution].3.4PrepaymentandFinalPayment:Ifpaymentsarereceivedfromclients,theproportion,paymenttimeforprepayment,andconditionsandtimeforfinalpayment(orretentionmoney)shallbe[Specifydetails].Article4:RightsandObligationsofDesigners4.1Eachdesigner'srespectiveresponsibilitiesshallbeclearlydefinedwithinthecooperation.Forexample:[Detailspecificdutiesandauthorities,e.g.,PartyAisprimarilyresponsibleforconceptualdesign,PartyBisprimarilyresponsibleforconstructiondrawing;PartyAshallbethemainpointofcontactforclientcommunication,andbothpartiesshallcoordinateonservicedelivery].4.2IntellectualPropertyRights:(a)Ownershipofintellectualpropertyrightsinspecificprojectdesigndocuments(sketches,concepts,drawings,renderings,etc.)generatedduringthecooperationshallbe[Specify,e.g.,ownedbythecooperativeentity,ordistributedaccordingtocontribution,orownedbytheindividualcreatorwithusagerightssharedbytheentity].(b)Ownershipandusagerightsofgeneraldesignresources/templatesdevelopedbeforeorduringthecooperationshallbe[Specify].(c)Ownershipofintellectualpropertyrightsforprojectsundertakenbyapartybeforethecooperationshallremainwiththatparty.4.3ClientCommunicationandService:Themainpointofcontactforclientcommunicationshallbe[Specify],andbothpartiesshallfulfilltheirrespectiveobligationsinprovidingservicestoclients.4.4Confidentiality:Eachpartyshallundertakeconfidentialityobligationsregardingclientinformation,businesssecrets,designschemes,andotherconfidentialinformationaccessedduringthecooperation.4.5ProfessionalConduct:Allpartiesshallcomplywiththeregulationsandprofessionalethicsoftheinteriordesignindustryandmaintainthereputationofthecooperation.Article5:OperationandManagement5.1Decision-MakingMechanism:Majormatters,suchasadmittingnewmembers,changingthecooperationmodel,significantinvestments,orsigningimportantcontractsonbehalfofthecooperativeentity,shallbedecidedthrough[Specifyprocessandvotingrequirements,e.g.,unanimousconsent,oramajorityvoteofallparties].5.2FinancialManagement:Arrangementsforestablishingajointaccount(ifapplicable),accounting,auditresponsibilities,andfinancialreportingproceduresshallbe[Specifydetails].5.3InternalCommunicationandCollaboration:Aregularmeetingscheduleorothercommunicationmethodsshallbeestablishedtoensuresmoothcooperation.5.4AuthorizedRepresentatives:Partiesauthorizedtorepresentthecooperativeentityindealingswithexternalparties,suchassigningdocuments,negotiations,orhandlinglegalmatters,shallbe[Specifywhoandunderwhatconditions].Article6:FinancialProvisionsandExitMechanism6.1CapitalContributionandAdditionalCapital:Initialinvestmentoradditionalcapitalcontributions,ifrequired,shallbe[Specifyamount,method(cash,resourcesvalued),andtiming].6.2ProfitDistributionandWithdrawal:RulesforwithdrawalandprofitdistributionhavebeenoutlinedinArticle3.[Additionalprovisionsforwithdrawalfundscanbeaddedhereifneeded].6.3ExitMechanism:(a)VoluntaryExit:Conditionsforvoluntaryexit,noticeperiod,assetliquidation,andcalculationmethodforthepropertysharetobeobtainedbytheexitingpartyshallbe[Specifyterms,noticeperiod,liquidationprocess,calculationmethod].(b)ForcedExit:Provisionsforforcedexitshallapplyifapartycommitsamajorbreach,becomesincapacitated,orseverelydamagesthecooperative'sreputation,etc.[Specifytriggeringeventsandconsequences].(c)AssetLiquidation:Uponterminationofthecooperation,howjointpropertyshallbeappraisedanddistributed,andhowdebtsshallbehandled,shallbe[Specifyliquidationproceduresanddebtsettlement].6.4DisputeResolution:RefertoArticle10.Article7:ConfidentialityandNon-Compete7.1Confidentiality:Allpartiesagreetostrictlyprotectallconfidentialinformationlearnedduringthecooperationandshallbeartheconsequencesforviolatingthisobligation.7.2Non-Compete(Optional):[Specifyterms,e.g.,Duringthecooperationperiodand/orforaperiodof[Number]yearsafterexit,partiesshallnotengageinbusinessactivitiesinthesameorsimilarfieldsforcompetitors.Note:Non-competeclausesshouldbereasonableinduration,scope,andgeography,andcomplywithlegalrequirements].Article8:Effectiveness,Amendment,andTerminationoftheAgreement8.1Effectiveness:Thisagreementshallbecomeeffectiveupon[Specifycondition,e.g.,thesignaturesofallparties].8.2Amendment:Anymodificationtothecontentofthisagreementshallrequirethewrittenconsentofallparties.8.3Termination:Thisagreementmaybeterminatedunderthefollowingcircumstances:[Specifyterminationevents,e.g.,expirationofthecooperationperiod,mutualagreementbyallparties,occurrenceoflegallyormutuallyagreed-uponterminationevents].Article9:GoverningLawandDisputeResolution9.1GoverningLaw:Thisagreementshallbegovernedbythelawsof[SpecifyJurisdiction,e.g.,thePeople'sRepublicofChina].9.2DisputeResolution:Disputesarisingfromorinconnectionwiththisagreementshallberesolvedby[Specifymethod,e.g.,negotiationandmediationfirst,andifunsuccessful,submittedtothe[SpecifyArbitrationInstitution]forarbitrationaccordingtoitsrules,orlitigatedinthepeople'scourtat[SpecifyCounty/District]People'sCourt].Article10
