國際海運貨物承運合同樣本ThisInternationalSeaFreightContract("Contract")ismadeandenteredintoonthis______dayof__________,20__,byandbetween______,havingitsprincipalplaceofbusinessat[Shipper'sAddress]("Shipper"),and______,havingitsprincipalplaceofbusinessat[Carrier'sAddress]("Carrier").Now,therefore,inconsiderationofthemutualcovenantsandagreementshereincontained,theShipperandCarrieragreeasfollows:1.ContractDescription:TheCarrierherebyundertakestotransporttheGoodsdescribedherein,consistingof[Number][DescriptionofGoods,e.g.,cartonsofelectronicequipment],weighingapproximately[Weight]grosstons/[Weight]kilograms,measuringapproximately[Volume]cubicmeters,fromthePortofLoadingspecifiedinClause3below(hereinafterreferredtoasthe"LoadingPort"),overseavoyagetothePortofDischargespecifiedinClause3below(hereinafterreferredtoasthe"DischargePort"),anddelivertheGoodstotheConsigneenamedintheBillofLadingtobeissuedhereunder(ifany).TheCarriershalluseitsownoritsagents'vessels,dulyequippedandsuitable,whichshallbereasonablyfitforthepurposeofthecontract.2.VoyageandPorts:Theintendedvoyageshallbefrom[LoadingPortName],[Country](LoadingPort),to[DischargePortName],[Country](DischargePort).TheCarrierreservestherighttodeviatefromtheroutewithoutliability,exceptincasesofforcemajeure,weatherconditions,ortosavethevesselorcargo.AnyadditionalportscalledatshallbesubjecttoShipper'spriorwrittenconsentunlessnecessaryforthesafenavigationofthevessel.3.Vessel:TheCarriershallprovideavesselofitschoice,tobereasonablyfit,seaworthy,andcarryingsufficientcrew,stores,andprovisions.TheactualvesselprovidedshallbenotifiedtotheShipperassoonasreasonablypracticableafterthecontractismade.Thevessel'snameandvoyagenumberwillbeindicatedontheBillofLading.4.CargoAcceptance:TheCarriershalltakepossessionoftheGoodsattheLoadingPort,subjecttoitsliabilityunderthisContractandapplicablelaw.TheCarrier'sresponsibilityunderthisContractshallcommencewhentheGoodsareloadedontothevesselandendwhentheGoodsaredischargedfromthevesselattheDischargePort.TheCarrier'sacceptanceoftheGoodsdoesnotimplyanywarrantyastotheirquantityorqualityorthattheyarefitforthepurposeforwhichtheyareintended.5.PackagingandMarking:TheShippershallpackagetheGoodsinamannersuitableforseatransportandprovideclear,legiblemarkingsonallpackagesasrequiredbytheCarrierandapplicableregulations,enablingtheiridentification,handling,andsafecarriage.TheShippershallbefullyliableforanylossordamagearisingfrominadequatepackagingormarkings.6.BillofLading:TheCarriershallissueannegotiable[Specifytype:e.g.,Order]BillofLading(hereinafterreferredtoasthe"B/L")uponloadingtheGoods,unlessotherwiseagreedinwriting.TheB/Lshallbeissuedin[Number]originalcopies(asstatedonthefacethereof),allbearingidenticaltermsandconditions.TheB/Lshallstatethenumberofpackagesorpieces,thedescriptionoftheGoodsasfurnishedbytheShipper,theweightorvolume,theLoadingPort,theDischargePort,andtheship'sname.TheB/LshallbedeemedanabsolutelyfinalandcorrectaccountoftheGoodsreceivedbytheCarrier.TheissuanceoftheB/LshallbesolelyforthepurposeofevidencingthecontractofcarriageandtitletotheGoodsandshallnotbeconstruedasanacknowledgementofreceiptthattheGoodsareintheconditiondescribedorthattheCarrierhasundertakenanyresponsibilityinconnectiontherewith,exceptasexpresslyprovidedherein.TheB/LshallbeconsideredacleanB/LunlesstheCarrierhasissuedaB/Lwithspecificon-boardremarksconcerningtheGoods'condition.7.FreightandCharges:(a)Thefreightrateis[Specifyrate,e.g.,USDXXpermetricton/percontainer/lumpsum],calculatedonthebasisof[Specifybasis:e.g.,GrossWeight/Volume].Thetotalfreightpayableis[Amount].(b)Thefreightpaymenttermsare[Specify:e.g.,Prepaid/Collect].Ifprepaid,paymentshallbemadetotheCarrierby[Specifymethod:e.g.,banktransfer]tothefollowingaccountdetails:[AccountNumber,BankName,SWIFTCode,etc.]within[Number]daysaftertheBillofLadingisissued.Ifcollect,theCarriershallchargethefreightagainsttheB/LattheDischargePortforcollectionbytheConsignee.(c)Allotherchargesincurredinconnectionwiththisshipment,suchasportdues,terminalhandlingcharges,fuelsurcharges,stevedoringcharges,customsclearancefees,etc.,shallbefortheaccountoftheShipper,unlessotherwiseagreedinwriting.TheShippershallbeliableforallchargesduetotheCarrier.8.Carrier'sLiability:(a)TheCarrier'sliabilityfortheloss,damage,ordelayintheGoodsshallbegovernedbythe[Specify:e.g.,Hague-VisbyRules,1968]asamended,andincorporatedhereinbyreference,subjecttotheapplicablelawof[SpecifyJurisdiction,e.g.,theCourtofthePortofLondon].TheCarrier'saggregateliabilityunderthisContract,forallclaimsarisingfromorconnectedwiththisContract,shallbelimitedto[SpecifyLimit:e.g.,[Amount]perpackage/perunitofgoods/accordingtothevaluedeclaredbytheShipperuptoamaximumof[Amount],unlesstheShipperhasdeclaredahighervalue,inwhichcasethelimitshallbethedeclaredvalue],unlesstheShipperhasdeclaredavaluefortheGoodsontheB/L,inwhichcasethelimitshallbethedeclaredvalue.(b)TheCarriershallbeexoneratedfromalloranyliabilityandexemptedfromalloranyclaimwhatsoever,whetherinlaworequity,arisingfromorconnectedwiththeGoods,iftheloss,damage,ordelayintheGoodswascausedbyorcontributedtobyanyofthefollowingcauses:(i)theinherentdefects,quality,nature,orconditionoftheGoods;(ii)thepackagingoftheGoods,unlesspackingisdefectiveduetotheCarrier'sfault;(iii)theweightorvolumeoftheGoods;(iv)thecarriageofdangerousgoodswithoutproperpackingandnotification;(v)theactsofanyindividualoragencyoftheShipperorhisagents;(vi)strikes,lockouts,andsimilarindustrialactions;(vii)war,civilwar,insurrection,revolution,rebellion,insurrection,actofterrorism,oranyanalogousarmedconflict;(viii)檢疫病或傳染病;(ix)actofGod;(x)theneglectoftheMaster,船長或船員或承運人的雇員或代理人inthenavigationormanagementofthevessel;(xi)thesavingorattemptatsavinglifeorpropertyatsea;(xii)theact,neglect,default,orfaultoftheConsignee,owner,orholderoftheB/L;(xiii)anyothercausebeyondthereasonablecontroloftheCarrier,itsservants,oragents.Thislistisnotexhaustive.9.CargoLoss,Damage,andDelay:(a)TheShippershallexerciseduecaretomakesurethatanyclaimforloss,damage,ordelayintheGoodsisfiledwiththeCarrierinwritingwithin[Number,e.g.,15]daysaftertheGoodsaredeliveredattheDischargePortorupontheexpiryofthecarrier'sliabilityperiod,whicheverisearlier.Iftheloss,damage,ordelayisnotapparentatthetimeofdelivery,theShippershallmakeawrittenrecordofconditionandobtainacorrespondingnotationontheB/Lorothertransportdocument.(b)AllclaimsanddemandsoftheShipperinrespectofloss,damage,ordelayintheGoodsshallbesubmittedtotheCarrierinwritingtogetherwithallnecessarydocumentationtosubstantiatetheclaimwithintheabove-mentionedperiod.FailuretocomplywiththisrequirementshallprecludetherighttoclaimagainsttheCarrier.TheCarriershallhavetherighttoexaminetheGoodsatanytimeandplaceandtotakesuchmeasuresasitdeemsnecessarytoascertainorverifytheloss,damage,ordelayintheGoods.10.B/LasEvidence:TheB/L,oranypartthereof,shallnotbeevidenceofthecontractofcarriageoroftheconditionoftheGoodsatthetimeofloadingordischarge,exceptasmaybestatedontheB/Litself.11.ForceMajeure:TheCarriershallnotbeliableforanydelay,failure,orinabilitytoperformitsobligationsunderthisContractifsuchdelay,failure,orinabilityiscausedbyforcemajeure,thatis,aneventbeyonditsreasonablecontrol,arisingfromnaturalcauses(suchasfire,explosion,flood,storm,earthquake,etc.)orfromcivilormilitaryacts(suchaswar,insurrection,riots,actsofgovernment),makingperformanceofitscontractualobligationsimpossibleorimpracticable.TheCarriershallgivepromptnoticetotheShipperofanysuchevent.12.Notices:Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,airmail,courierservice,orsentviaemailtotheaddressessetforthinthisContractortosuchotheraddressesaseitherpartymaydesignateinwriting.13.Severability:IfanyprovisionofthisContractisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.14.EntireAgreement:ThisContractconstitutestheentireagreementbetweentheShipperandCarrierwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.15.Amendment:ThisContractmayonlybeamendedormodifiedinwritingandsignedbyauthorizedrepresentativesofboththeShipperandtheCarrier.16.GoverningLawandDisputeResolution:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,EnglandandWales].Anydispute,controversy,or
