2、，對(duì)買賣雙方具有同等的約束力。第一節(jié) 訂購(gòu)和購(gòu)貨合同 與銷售合同類似，購(gòu)貨合同在進(jìn)出口貿(mào)易中也主要有兩種形式，即正式合同(contract)和合同確認(rèn)書(confirmation)。購(gòu)貨合同和購(gòu)貨確認(rèn)書是由買方出具并寄給對(duì)方加以確認(rèn)的列明達(dá)成交易條件的書面證明，雖然繁簡(jiǎn)不同，但經(jīng)買賣雙方簽署確認(rèn)后，具有同等法律效力，對(duì)買賣雙方均有約束力。對(duì)于在國(guó)際貿(mào)易中大宗商品或成交額較大的交易，多采用正式合同，即購(gòu)貨合同；而對(duì)于金額不大，批數(shù)較多的小土特產(chǎn)品或輕工產(chǎn)品，或者已訂立代理、包銷等長(zhǎng)期協(xié)議的交易多采用合同確認(rèn)書，即購(gòu)貨確認(rèn)書。第二節(jié) 購(gòu)貨合同和相關(guān)函電往來(lái)Dear Sirs,Purchase Co

Claim(索賠):The buyer shall make a claim against the Seller (including replacement 置換of the goods) by憑借 the further inspection certificate and all the expenses incurred thereafter由此引起的 shall be borne負(fù)擔(dān) by the Seller. Late delivery and Penalty遲交貨與罰款Should the Seller fail to make delivery on time as s

Force Majeure（不可抗力）:The Seller shall not be responsible for 負(fù)責(zé)任的the delay of shipmen

Arbitration仲

If the terms of credit do not conform to the terms of this contract, the Seller shall immediately request the Buyer in writing to amend the letter of credit so tat it will conform to this contract or shall be deemed to have waived such variance.2.
