MemorandumOfUnderstanding

ThisMemorandumOfUnderstandingcoverstheagreementreachedbetweenRCCandSinomabasedonthefinaltechnocommercialnegotiations,heldatRiyadhon15thFebruary2005,inconnectionwiththeRCC’sGreenfieldCementProjectof5,000tpdclinker.本理解備忘錄記錄了RCC和Sinoma于2005.2.15在利雅得的最終技術(shù)商務(wù)磋商中就RCC的日產(chǎn)5000噸熟料的節(jié)能水泥項目達(dá)成的協(xié)議。

01Sinoma’s“FullTurnkey”offerforUSD1000wasacceptedbyRCC.Thisincludessparepartsfor1USDwhichwillbeselectedbyRCCatalaterdate.Inadditionthecontractpricealsoincludesasumof1USDwhichshallbepaidontimelycompletionofkilnfiringby24months.ThecustomdutyforimportofmachineryshallbebornebyRCC.AllothertaxesanddutiesshallbetoSinoma’saccount.RCC接受Sinoma的1000美元的完全交鑰匙報價，此報價包括RCC將在晚些時候選購的1美元的備件價格，另外此合同價也包括在24個月后回轉(zhuǎn)窯培燒及時竣工后支付的USD1。設(shè)備的進(jìn)口關(guān)稅由RCC承擔(dān)，其它稅費由Sinoma承擔(dān)。sinoma2AllRIGHTSRESERVEDMemorandumOfUnderstandingTheabovepriceincludesallitemsofworkfortheturnkeyexecutionoftheproject.HoweverifonfurthergeotechnicalinvestigationbySinomaitisfoundthatfoundationsrequirepilling,thenthecostofpillingwillbetoRCC’saccount.

上述價格包括完成該工程的所有子項目，然而，如果Sinoma通過進(jìn)一步的地理技術(shù)調(diào)查，發(fā)現(xiàn)地基需要pilling，則此pilling的費用由RCC承擔(dān)。02ThefollowingimplementationperiodisproposedbySinomaandwhichisacceptabletoRCC.

由Sinoma提議且RCC已接受的工期如下：

PAC26monthsPAC26個月sinoma3AllRIGHTSRESERVEDMemorandumOfUnderstanding03Effectivedateofcontractshallbedateofsigningofcontractsubjecttofulfillingofthefollowingactivities:合同的生效日是完成下列活動后的合同簽訂日：

Submissionofbankguarantee,acceptabletobank,bySinomaforAdvanceandPerformance.

Sinoma提交銀行接受的對預(yù)付款和性能的銀行擔(dān)保。

PaymentbyRCCofadvancewithinoneweekofreceiptofbankguaranteesfromSinomaRCC在接到Sinoma提交的銀行擔(dān)保后的一周內(nèi)支付預(yù)付款。

OpeningofLCforshipmentbyRCCwithinonemonthofreceiptofbankguarantee(s)fromSinomaRCC在接到Sinoma提交的銀行擔(dān)保后的一個月內(nèi)針對發(fā)貨開立信用證。sinoma4AllRIGHTSRESERVEDMemorandumOfUnderstanding04Astheprojectison“FullTurnkey”basisandsitehasbeenidentified,thesame(site)canbehandedovertoSinomaimmediately.HoltechasalsopreparedtheproposedplantlayoutandagradingplanwhichshallformbasisoffurtherdevelopmentbySinoma.Sinomacanalsostartworkimmediatelyforgeotechnicalinvestigations,siteleveling,accesstositeetc.

由于此項目為完全交鑰匙工程，施工現(xiàn)場也已確定，故Sinoma可立刻接管現(xiàn)場，Holtec也已做好了其設(shè)計總圖和分階段計劃，Sinoma可在此基礎(chǔ)上作進(jìn)一步發(fā)展，也可立刻開始地理技術(shù)調(diào)查、場地平整、通往現(xiàn)場道路建設(shè)等工作。05TheTwoTendersviz“OffShore”and“OnShore”werenotfor“FullTurnkey”execution.Itishoweverexplicitlyunderstoodthatinternationalpracticefor“FullTurnkey”executionshallbeapplicablefortheproject.Theseaspectsareincludedinthe“TotalContractPrice”ofSinoma.

兩個標(biāo)書viz“離岸”和“岸上”沒有采用“完全交鑰匙”的執(zhí)行方式，然而，依國際慣例來理解，“完全交鑰匙”的執(zhí)行方式應(yīng)適用于本項目，這些方面已被包括在Sinoma的”合同總價”中。sinoma5AllRIGHTSRESERVEDMemorandumOfUnderstanding06Asaconfidencebuildingmeasure,MarubeniissuedalettertoRCC(Annexure1).AlsoSinomaagreedtoprovideextendedwarrantyforfiveyearsforthepartsmanufacturedinChina,FinalAcceptanceCertificateshallhoweverbereleasedafternormalwarrantyperiodof12monthsafterPAC.Alsoinordertoachievetheagreedtimeschedule,RCC/HoltecshallbevisitingChinaforco-ordinationmeetings/inspectionetcaspermutuallyagreedplans.SinomawillmakethearrangementsforthesevisitsinChinaatnocosttoRCC.HoweverthetravelexpensestoChinashallbebornebyRCC.

作為信心建立的標(biāo)志，Marubeni已給RCC發(fā)了一封信（見附件1）。Sinoma也同意對中國制造的部件提供被延長至5年的保證期，但最終驗收證書要在PAC后的12個月的常規(guī)保證期后簽發(fā)。同時為了完成約定的時間進(jìn)度，RCC/Holtec將根據(jù)已一致約定的計劃來中國參加協(xié)調(diào)會并從事檢查等工作。Sinoma將為這些來訪做安排，RCC不承擔(dān)與這些在中國的來訪相關(guān)的費用，但到中國的差旅費由RCC承擔(dān)。sinoma6AllRIGHTSRESERVEDMemorandumOfUnderstanding07Followingschedulefor“ContractSigning”wasagreed:

4.TheContractconstitutesafullstatementofthecontractualrightsandliabilitiesoftheOwnerandtheContractorinrelationtotheWorks.Howeverthisclauseshallnotlimitthefollowing:

sinoma18AllRIGHTSRESERVEDContractAgreement5.ThescopeofthisContractistosetupanewGreenfieldcementplantwithaguaranteedcapacityof5,000tpdOPC/SRCclinker(accordingtoASTM/EN197)forOPC,SRCandPLCincludingallassociatedequipmentandauxiliariesandinfrastructure.合同范圍是：建設(shè)一座保證生產(chǎn)能力為日產(chǎn)5,000噸OPC/SRC/PLC熟料（其定義依據(jù)ASTM/EN197）、包括所有配套設(shè)備及輔助設(shè)備的新型節(jié)能水泥廠。6.TheContractorshallperformtheWorkswhichshallinclude,butisnotlimitedto:承包商需要完成的工作包括但不限于：sinoma19AllRIGHTSRESERVEDContractAgreement6.1General概要a.Theprovisionofallknow-how,engineering,design,procurement,manufacturing,supply,deliverytoSite,insurance,unloadingaswellasstoringandsafekeepingoftherequiredequipmentinaccordancewiththerequirementsofthisContract.所有專業(yè)知識的提供、工程設(shè)計、設(shè)計、采購、制造、供貨、運輸至現(xiàn)場、保險、卸貨、儲存以及對合同要求的設(shè)備的安全保衛(wèi)。b.Theengineering,architecturaldesign,supplyandexecutionofallcivilworksandstructures.工程設(shè)計、建筑設(shè)計、供貨、所有土建項目的執(zhí)行。c.Theelectro-mechanicalerection/installation,thetestsoncompletionandthetrainingoftheOwner’spersonnel.機電設(shè)備的安裝、完工測試和業(yè)主員工的培訓(xùn)。d.Placingintocommercialoperation,StartUp,commissioning,PerformanceGuaranteeTestingandhandingover.

投入商業(yè)運行、啟動，試運行及性能保證測試和交付。sinoma20AllRIGHTSRESERVEDContractAgreemente.Remedyingbyrepairorreplacementofanydefect.通過修理或更換缺陷設(shè)備進(jìn)行維修。

TheContractorshallfollowISO/DIN/ASTMstandardswhereverapplicableforequipment,machinery,civilworksandelectro-mechanicalerection.在設(shè)備、機械、土建、機電安裝方面只要適用，承包商就應(yīng)依照ISO/DIN/ASTM標(biāo)準(zhǔn)。

TheContractincludeseverythingnecessary,withintheboundarylimitsofthisturnkeycontract,fortheexecutionoftheWorkswhetherspecificallymentionedornotintheContract.不論合同中有否明確提及，本合同包括本交鑰匙和范圍內(nèi)對本工程項目的施工必要的一切。

sinoma21AllRIGHTSRESERVED6.2MechanicalEquipment機械設(shè)備

TheprovisionofallmechanicalplantandequipmentrequiredtocompletetheWorksexcludingthemobilelimestonecrusher,whethersuchequipmentisparticularlymentionedornotintheContractDocuments.MechanicalplantandequipmentshallbesuppliedbytheContractorcompleteineveryrespectsothatnoprovisionfortheirsatisfactoryinstallation,functionandoperationisrequiredfromtheOwner.除可移動石灰石破碎機外的所有被要求用來完成本工程項目的機械設(shè)施和設(shè)備的提供，不論這些設(shè)施和設(shè)備在合同文件中有否被明確提及，承包商須提供全部機械設(shè)施和設(shè)備，且須保證這些設(shè)施和設(shè)備的安裝、運行和操作令業(yè)主徹底滿意。

sinoma22AllRIGHTSRESERVED6.2MechanicalEquipment機械設(shè)備

Allauxiliaryequipmentsuchaschutes,ductsandpipes,connectingoneitemofplanttoanotherandallnecessaryprovisionsareincludedintheContract,irrespectiveofthembeingmentionedornotintheContractDocuments.本合同包括所有的輔助設(shè)備，如滑道、連接管道以及所有必要的供應(yīng)品，不論這些是否在合同文件中被提及。TheContractorshallensurethatallmechanicalequipmentisfullycoordinatedwiththerespectiveelectricalequipment,control&automationsystemsandwiththecivilandstructuralworks.承包商須確保所有的機械設(shè)備與其電氣設(shè)備、控制和自動化系統(tǒng)以及土建工程相配。sinoma23AllRIGHTSRESERVED6.3Electrical,Control&AutomationSystemsInstallation

TheprovisionofallelectricalplantandequipmentrequiredtocompletetheWorksexcludingthepowerplant,whethersuchequipmentisparticularlymentionedornotintheContractDocuments.ElectricalplantandequipmentshallbesuppliedbytheContractorcompleteineveryrespectsothatnoprovisionfortheirsatisfactoryinstallation,functionandoperationisrequiredfromtheOwner.除電廠外的所有被要求用來完成本工程項目的電氣設(shè)施和設(shè)備的提供，不論這些設(shè)備在合同文件中有否被明確提及。承包商須提供全部電氣設(shè)施和設(shè)備，且須保證這些設(shè)施和設(shè)備的安裝、運行和操作令業(yè)主徹底滿意。

Theprovisionofallspeciallydesignederectiontools,fieldjoiningdevicesandgadgets,maintenanceandmeasuringtoolsforthesuppliedequipmentnecessaryduringexecution,commissioningaswellasoperationofthePlantrequiredtocompletetheWorks,whethersuchequipmentisparticularlymentionedornotintheContractDocuments.所有被要求來完成本工程項目的專門設(shè)計的安裝工具，現(xiàn)場連接設(shè)備、小配件、用于在工廠的運行、試車和操作中必要的被提供設(shè)備的維護(hù)和測量工具，不論這些設(shè)備有否在合同文件中被提及。sinoma25AllRIGHTSRESERVED6.5SpareParts備件

TheContractorshallsubmitacompleteitemizedsparepartsspecificationandlistcomprisingofallpartstheContractordeemsrequiredtosafeguardnormaloperationofthePlantfortwoyearsofcommercialproduction(fromtheProvisionalAcceptanceDate)andaseparatelistofstrategicparts(e.g.longdeliveryitems)withinfive(05)MonthsoftheEffectiveDate.TheOwnershalldecideandisfreetoselecthischoiceofsparepartswithintwo(02)MonthsthereafterandthesesparepartsshallbedeliveredtotheOwnerwithintwenty(20)monthsfromeffectivedateofcontract.承包商須在生效日后5個月內(nèi)提交一份完整的逐項列出的、包含所有承包商認(rèn)為保證工廠在兩年（自臨時驗收之日起）的商業(yè)生產(chǎn)中的正常運行所要求的所有零件的說明和清單，和一份單獨的戰(zhàn)略性零件（如長距離運輸項）清單，業(yè)主可在生效日后2個月內(nèi)自由選擇備件且這些備件應(yīng)在合同生效日后20個月內(nèi)被交給業(yè)主。
