”)根據(jù)《中華人民共和國合同法》、《中華人民共和國勞動法》和《中華人民共和國勞動合同法》等有關(guān)法律、法規(guī)的規(guī)定,本著平等互利的原則,甲、乙雙方經(jīng)友好協(xié)商,就乙方使用甲方員工等事宜,達成本勞務(wù)合同(以下簡稱“本合同”)。AccordingtotheContractLawofthePeople ’sRepublicofChina,LaborLawofthePeople’sRepublicofChina,LaborContractLawofthePeople epublicofChina’andsRotherrelevantlawsandregulations,andinlinewiththeprincipleofequalityandmutualbenefits,thetwopartiesenterintothisLaborServiceContract(hereinafterreferredtoas “thisContract ”)throughfriendlyconsultationregardwithtoPartyA ’slaborserviceforPartyB.第一章總則
Chapter1GeneralProvisions第一條適用
Article1Application甲、乙雙方有關(guān)乙方使用甲方員工等事宜,適用本合同。ThisContractappliestotherelatedissuesregardingPartyB
’
susingPlaborservice.第二條適用法律Article2ApplicableLaws本合同,以及與本合同有關(guān)的一切事宜,一律適用中華人民共和國的法律、法規(guī)。因任何原因,包括但不限于因法律法規(guī)變化,致使本合同條款與中華人民共和國法律、法規(guī)不一致時,均應(yīng)以中華人民共和國法律、法規(guī)為準。ThisContractandrelatedmattersshallbesubjecttolawsandregulationsofthePeople’sRepublicofChina.IncaseofanydiscrepancybetweenthearticlesofthisContractandthelawsandregulationsofthePeople’sRepublicofChinaforanyreasons,includingbutnotlimitedtothechangeoflawsandregulations,thelattershallprevail.第三條定義Article3Definitions3.1甲方員工:指乙方需要使用的,由甲方依法辦理相關(guān)手續(xù),派遣到乙方的中國公民。3.1PartyA ’sStaff:PartyA ’sStaffrefertoanyChinesecitizensneededbyPartyBanddispatchedbyPartyAtoPartyBafterPartyAhashandledrelevantproceduresinaccordancewithlaw.3.2附件:指甲、乙雙方另行簽訂的所有關(guān)于本合同的補充協(xié)議或相關(guān)約定等;附件是本合同不可分割的組成部分,與本合同具有同等法律效力。3.2Attachments:Attachmentsrefertoallsupplementaryorrelatedagreementssignedbythetwoparties;theAttachmentsareintegralpartsofthisContractandhavethesameeffectasthisContract.3.3管理費:指乙方使用甲方員工而應(yīng)支付給甲方的各種費用的總和。一般包括:3.3ManagementFee:ThetotalsumofallchargesandexpensesthatPartyBshouldpaytoPartyAfortheuseofPartyA ’sStaff.Itgenerallycovers:3.3.1乙方為承擔甲方員工的社會保險和住房公積金而支付的費用;3.3.1SocialinsurancesandaccumulatedhousingfundbornebyPartyBforPartyA’sStaff;3.3.2乙方為要求甲方向甲方員工提供福利保障、檔案保管而支付的費用;3.3.2ExpensesofbenefitsandpersonnelfilepreservationthatPartyBrequestsPartyAtoprovideforPartyA ’sStaff;3.3.3乙方為甲方提供本合同下所列服務(wù)而支付給甲方的服務(wù)費和約定的相關(guān)稅收。3.3.3ServicefeechargedbyPartyAforserviceprovidedunderthisContractandtaxesleviedbythestateagreeduponbythetwoparties.3.4工資:指乙方使用甲方員工而應(yīng)支付給甲方員工的勞動報酬,具體數(shù)額應(yīng)以附件所載為準。3.4Pay:LaborremunerationpaidbyPart yBtoPartyA ’sStaffforlaboruse,intheamountsubjecttotheattachmentshereto.3.5法律:指中華人民共和國法律、法規(guī)、規(guī)章、制度、規(guī)范性文件等。3.5Law(s):Anyandalllaws,rules,regulations,institutions,statutesandthelike,ofthePeople ’sRepublicofChina.第二章權(quán)利和義務(wù) Chapter2RightsandObligations第四條甲方享有的權(quán)利 Article4RightsEnjoyedbyPartyA4.1甲方有權(quán)要求乙方為甲方的服務(wù)配合甲方擬定的流程。4.1PartyAisentitledtorequestPartyBtocooperatewithregardtotheproceduressetbyPartyAforitsservice.4.2甲方有權(quán)對乙方與甲方員工之間因?qū)嶋H使用關(guān)系所發(fā)生的爭議進行調(diào)解。4.2PartyAisentitledtoconciliatebetweenPartyBandthePartyAregardtothedisputesarisingfromlaborservice.4.3甲方有權(quán)對乙方侵害甲方員工合法權(quán)益的行為進行交涉并提出整改意見和要求。4.3PartyAisentitledtonegotiatewithPartyBandtoproposesuggestionsandrequestsofrectificationwithregardtotheinfringementoflawfulrightsandinterestsofPartyA’sStaff.4.4甲方有權(quán)根據(jù)本合同和附件的約定,按月向乙方收取管理費。4.4PartyAisentitledtochargeManagementFeefromPartyBonamonthlybasisaccordingtothestipulationsinthisContractandtheAttachmentshereto.第五條乙方享有的權(quán)利 Article5RightsEnjoyedbyPartyB5.1乙方有權(quán)享有本合同和附件約定的由甲方提供的服務(wù)。5.1PartyBisentitledtotheserviceitemsprovidedbyPartyAaccordingtothisContractandtheAttachmentshereto.5.2乙方有權(quán)決定甲方員工的派遣期限,派遣期限一般不應(yīng)少于
2年,派遣期滿乙方可以退回甲方員工,但另有約定的除外。5.2PartyBisentitledtodecideonthedispatchtermofPartyA
’
sSdispatchtermshallgenerallynotbeshorterthantwoyears.PartyBmayreturnPartyA’sStaffupontheexpirationofthedispatchtermunlessotherwiseagreedbythetwoparties.5.3乙方有權(quán)與被其使用的甲方員工另行簽訂協(xié)議(包括但不限于培訓(xùn)服務(wù)期協(xié)議、保密協(xié)議等),以約定雙方的權(quán)利義務(wù);但因此產(chǎn)生的一切責任,甲方不承擔任何一方(即乙方或甲方員工)的連帶責任。5.3PartyBisentitledtoconcludeotheragreements(includingbutnotlimitedtoAgreementonServiceTermforTraining,Non-disclosureAgreementandthelike)withPartyA ’sStafftospecifyrightsandobligationsbetweenthetwoparties..However,PartyAdoesnotbearanyjointorseveralliabilitieswitheitherside(PartyBorPartyA ’sStaff)arisingfromsuchagreements.5.4乙方有權(quán)制定、修改或者決定有關(guān)勞動報酬、工作時間、休息休假、勞動安全衛(wèi)生、保險福利、職工培訓(xùn)、勞動紀律以及勞動定額管理等直接涉及甲方員工切身利益的規(guī)章制度或者重大事項;但該規(guī)章制度或者重大事項在實體和程序上均不得與法律相沖突,而且應(yīng)當向甲方員工公示或者告知。5.4PartyBisentitledtoset,modifyordeterminerulesandregulationsormajorissueswithregardtolaborremuneration,workinghours,leavesandholidays,laborsafetyandhealth,insuranceandbenefit,training,labordisciplineandlaborquotamanagement,etc.whichareindirectrelationtothepersonalinterestsofPartyA’sStaff;howeversuchrules,regulationsormajorissuesshallnotconflictwithlawinanysubstantiveorproceduralissuesandshallbedisclosedornotifiedamongPartyA’sStaff.第六條甲方履行的義務(wù)Article6ObligationstoBePerformedbyPartyA6.1甲方應(yīng)為乙方合法使用的甲方員工依法辦理相關(guān)手續(xù)。6.1PartyAshallhandlerelevantproceduresinaccordancewithlawforPartyAStafflawfullyservingPartyB.6.2甲方應(yīng)根據(jù)本合同和附件的約定,向乙方提供各類由乙方選定的服務(wù)。6.2PartyAshallprovideselectedserviceitemsforPartyBaccordingtothisContractandtheAttachmentshereto.6.3甲方應(yīng)教育甲方員工自覺遵守法律和乙方依法制定、修改或決定的規(guī)章制度或者重大事項。6.3PartyAshallinstructPartyA’sStafftoconscientiouslyabidebythelawsandregulationsofthePeople’csofRepubliChinaaswellastherulesandregulationsormajorissuesset,modifiedordeterminedbyPartyBinaccordancewithlaw.6.4甲方應(yīng)當按照乙方依法確定的標準為乙方使用的甲方員工繳納社會保險和住房公積金,或者按照上海規(guī)定繳納綜合保險。6.4PartyAshallpayforsocialinsurancesandaccumulatedhousingfundforPartyA’sStaffwhoservePartyBbasedonthestandarddeterminedbyPartyBinaccordancewithlaw,orpaycomprehensiveinsuranceinaccordancewiththeprovisionsofShanghaiMunicipality.6.5甲方可以根據(jù)乙方的合法需求協(xié)助符合條件的甲方員工辦理出國(境)手續(xù)。6.5PartyA,uponPartyB

squalifiehandlingproceduresforgoingoverseas.6.6甲方可以根據(jù)乙方的需求協(xié)助符合條件的甲方員工辦理擔任乙方(首席)代表的手續(xù)。6.6PartyA,uponPartyB ’srequest,mayofferassistancetoPartyAstaffinhandlingproceduresforassumingthe(chief)representativeofPartyB.6.7甲方可以為符合規(guī)定的甲方員工辦理職稱評定。6.7PartyAmayhandleproceduresofawardingprofessionaltitlesforPartyAqualifiedstaff.6.8甲方應(yīng)乙方的要求,協(xié)助乙方對甲方員工造成乙方的經(jīng)濟損失進行追索,但甲方不對上述損失承擔連帶賠償責任。6.8PartyA,upontherequestofPartyB,shallassistPartyBinrecoveringeconomiclossescausedbyPartyA’sStaff,butshallnotbearjointorseveralliabilitiesforsuchlosses.第七條乙方履行的義務(wù) Article7ObligationstoBePerformedbyPartyB7.1乙方應(yīng)根據(jù)本合同和附件的約定,為甲方履行服務(wù)提供必要的協(xié)助。7.1PartyBshallprovidePartyAwithnecessaryassistanceforitsserviceinaccordancewiththisContractandtheAttachmentshereto.7.2乙方應(yīng)根據(jù)本合同和附件的約定,每月按時足額向甲方支付管理費。7.2PartyBshallpunctuallymakefullpaymentofManagementFeeonamonthlybasistoPartyAasstipulatedinthisContractandtheAttachmentshereto.7.3乙方應(yīng)尊重甲方員工的民族習慣和宗教信仰,嚴禁種族歧視或性別歧視。7.3PartyBshallrespectethicalcustomandreligiousbel

sStaff.Anyracialorgenderdiscriminationisstrictlyforbidden.7.4乙方應(yīng)執(zhí)行國家勞動標準,提供相應(yīng)的勞動條件和勞動保護;并應(yīng)承擔甲方員工正常死亡的喪葬補助費、直系親屬撫恤金等責任和甲方員工工傷的責任。7.4PartyBshallimplementthelaborstandardofthestate,providerelevantlaborconditionsandlaborprotection;PartyBshallalsobearfuneralallowance,reliefcompensationtoimmediatefamilymembersandthelikeinthecaseofordinarydeathofPartyA’sStaff,andbearliabilitiesforthewo-relatedkinjuryofPartyA’sStaff.7.5乙方應(yīng)根據(jù)法律規(guī)定依法執(zhí)行工時制度和支付加班費。7.5PartyBshallimplementaworking-hoursystemandmakeovertimepaymentinconformitywiththeprovisionsoflaw.7.6乙方應(yīng)根據(jù)法律給予女性甲方員工特殊勞動保護,保障其在孕期、產(chǎn)期和哺乳期的合法權(quán)益。7.6PartyBshallofferspeciallaborprotectionforPartyA’sfemalestaffandensuretheirlegalrightsandinterestsinpregnancy,maternityandnursingperiodsinconformitywiththeprovisionsoflaw.7.7乙方如果直接支付報酬的,包括但不限于工資、加班費、績效獎金等,應(yīng)當及時足額支付并依法代扣代繳個人所得稅。7.7IfPartyBdirectlypaysPartyAflaborremuneration,’sStafincludingbutnotlimitedtopay,overtime,performancebonusandthelike,PartyBshallpaytheremunerationtoPartyA’sStaffinfullandwithholdandpaythefullamountofindividualincometaxforPartyA’sStaffinannertimelyaccordingmatolaw.7.8乙方應(yīng)根據(jù)法律規(guī)定執(zhí)行帶薪休假制度。7.8PartyBshallimplementthepaidannualleavepolicystipulatedbyLaw.7.9乙方可以與甲方員工書面約定,乙方聘用甲方員工每滿一公歷年,在年終由乙方向甲方加付一個月的工資作為年終雙薪。7.9WhenPartyA ’sStaffhaveprovidedservicetoPartyBforachecalendaryear,PartyBandPartyA’sStaffmayagreeinwritingthatPartyBshallofferanextraone-monthpaytosuchstaffattheendofsuchacalendaryear.7.10因乙方使用、退回甲方員工,或因乙方與甲方員工發(fā)生爭議,而引起甲方與甲方員工發(fā)生勞動爭議仲裁或訴訟,或被行政處罰的,乙方應(yīng)協(xié)助甲方參加仲裁、訴訟、行政復(fù)議。若甲方因前述仲裁或訴訟或行政處罰導(dǎo)致需支付任何費用,包括但不限于罰款、賠償、仲裁費、訴訟費、執(zhí)行費等,均應(yīng)由乙方承擔,但爭議或處罰系甲方過錯造成的除外。7.10IncaseofanydisputesarisingfromPartyB ’suseofPartyA ’thereturnofthePartyA ’sStafforthedisputebetweenPartyBandPartyA
’swhichleadstoalabordisputearbitrationoralawsuitbetweenthem,or,anadministrativepenaltyagainstPartyA,PartyBshallassistPartyAinparticipatinginsucharbitration,lawsuitoradministrativereconsideration.IfPartyAshallpayanychargesforsucharbitration,lawsuitoradministrativepenalty,PartyBshallbearallcostincludingbutnotlimitedtopenalty,damages,arbitrationfee,costofaction,andexpenseofexecution,unlessthesaiddisputeorthepenaltyisduetoPartyA
’第八條雙方共同享有的權(quán)利和共同履行的義務(wù)Article8RightsandObligationsSharedbyBothParties8.1本合同以及本合同履行過程中與之相關(guān)的一切文件,包括但不限于合同的草稿、附件、報價、往來傳真信函等,均為甲、乙雙方之商業(yè)秘密,除因法定事由并事先通知對方外任何一方均不得以任何形式向第三方泄漏,否則應(yīng)承擔相應(yīng)之違約責任和經(jīng)濟責任。8.1ThisContractandtheotherrelateddocumentsmadeintheprocessofperformingthisContract,includingbutnotlimitedtodraftofthisContract,theAttachments,quotations,faxesandletters,aretradesecretsofthetwopartiesandshallnotbedisclosedtoathirdpartybyeitherpartyinanyform,unlessforlawfulreasonsandwithpriornoticetotheotherparty.Otherwise,thedisclosingpartyshallbearliabilitiesforbreachofcontractandeconomiccompensationaccordingly.8.2任何一方有權(quán)對另一方違反本合同的行為進行交涉并提出整改意見和要求,違約方有義務(wù)賠償因此造成的一切損失。8.2IfonepartybreachesthisContract,theotherpartyshallbeentitledtonegotiatewiththebreachingpartyandtoproposesuggestionsandrequestsofrectification.Thebreachingpartyshallcompensateforallthelossesaccordingly.8.3任何一方有權(quán)要求另一方根據(jù)中華人民共和國新制定的法律、法規(guī)、規(guī)章執(zhí)行并變更本合同的相應(yīng)條款;另一方應(yīng)當執(zhí)行。8.3EitherpartyisentitledtorequiretheotherpartytoimplementandmodifyarticlesofthisContractaccordingtothenewlyenactedoralteredlaws,regulationsandrulesofthePeople ’sRepublichina.ofSuchCrequirementshallbeimplemented.8.4任何一方應(yīng)根據(jù)另一方的需要,提供相應(yīng)的法律、法規(guī)、規(guī)章。8.4Eitherpartyshall,asrequiredbytheotherparty,providerelevantlaws,regulationsandrules.8.5任何一方擬變更任何工商登記事項,或者任何一方搬遷辦公地址的,均應(yīng)提前十五日以書面形式通知另一方,如因未及時通知而造成對方損失的,變更方應(yīng)承擔相應(yīng)之經(jīng)濟賠償責任。8.5Incasethateitherpartychangesindustrial&commercialregistrationorbusinessaddress,thepartyinchangeshallinformtheotherpartyinwriting15daysinadvance.Ifitcausesanylosstotheotherpartyforfailingtodoso,thepartyinchangeshallbeartheliabilitiesforeconomiccompensationaccordingly.8.6任何一方變更名稱、法定代表人、主要負責人或投資人等事項,不影響本合同的履行;如果乙方發(fā)生分立、合并的,本合同應(yīng)由承繼乙方權(quán)利義務(wù)的單位繼續(xù)履行。8.6Thechangeofeitherpartyregardingname,legalrepresentative,personincharge,investorandthelike,shallnotimpacttheperformanceofthisContract;IfPartyBundertakessplitormerger,thesuccessortoPartyB’srightsandobligationsshallcontinuetoperformthisContract.第三章甲方員工的使用、解除使用 Chapter3UseandRetu rnofPartyA ’sStaff第九條甲方員工的使用 Article9UseofPartyA ’sStaff9.1乙方使用甲方員工,應(yīng)在本合同簽訂前向甲方提供乙方在中國境內(nèi)有效的工商登記證明文件。乙方應(yīng)對前述文件的真實性和有效性負責。9.1PartyB,priortotheconclusionofthisContract,shallprovidePartyAwithdocumentsevidencingitsvalidindustrialandcommercialregistrationinChinasoastousePartyA’slaborservice.PartyBshallberesponsiblefortheauthenticityandvalidityofsuchdocuments.9.2甲方員工的派遣期限以附件中約定的或者乙方書面通知的起始日期開始,該派遣期限一般不應(yīng)少于兩年;如非因甲方原因致使使用起始日期無法按照乙方確定的日期為準的,以甲方確定的日期為起始日期,派遣期限應(yīng)相應(yīng)順延。9.2ThedispatchtermofPartyA’sStaffshallcommencefromthedateasstipulatedintheAttachmentsheretoorinthewrittennoticeissuedbyPartyB.Normallysuchdispatchtermshallnotbeshorterthantwoyears;IfthestartdateofactualemploymentcouldnotmatchthedatedeterminedbyPartyBduetoreasonsbeyondPartyA’scontrol,thestartdateshallbedeterminedbyPartyAandthedispatchtermshallbepostponedaccordingly.9.3對于乙方初次使用的甲方員工,乙方可以要求甲方依法設(shè)置試用期,但有規(guī)定不能設(shè)置的除外。9.3PartyBmayrequirePartyAtosettheprobationperiodforPartyAwhoservesPartyBforthefirsttimeinaccordancewithlawunlessotherwiselegallystipulated.9.4甲方員工在乙方連續(xù)工作滿十年或甲方員工在乙方工作期間與甲方連續(xù)簽訂兩次固定期限勞動合同后,乙方繼續(xù)使用甲方員工的,甲方應(yīng)與該甲方員工簽訂無固定期限勞動合同,由乙方承擔無固定期限勞動合同中根據(jù)法律規(guī)定甲方應(yīng)當承擔的所有義務(wù)。乙方根據(jù)勞務(wù)合同和附件的約定退回該甲方員工的,除需要向甲方承擔本合同約定的責任外還應(yīng)當承擔退回甲方員工后應(yīng)當由甲方向甲方員工承擔的責任,包括但不限于支付勞動報酬、繳交社會保險和住房公積金、工傷醫(yī)療等經(jīng)濟責任。 (乙方在初次接受該甲方員工的派遣時該甲方員工已經(jīng)與甲方簽訂無固定期限勞動合同的除外。 )9.4PartyAandPartyBagreethatPartyAshallconcludenon-fixedlaborcontractswithPartyA’sStaffifPartyA’sStaffhaveservedPartyBcontinuouslyfortenyearsoroverandarestillservingPartyB,orhavecontinuouslyconcludedtwofixed-termlaborcontractswithPartyAduringserviceinPartyBandPartyBcontinuestousePartyA ’sStaff ’slaborservice.PartyBshallbearallliabilitiesstipulatedbylawsandregulationsrelatedtonon-fixedlaborcontract.ShouldPartyBreturnPartyA ’sStaffinaccordancewiththisContractanditsAttachments,inadditiontotheobligationsagreedoninthisContract,PartyBshallassumePartyAeconomicliabilitiestoPartyA ’sStaff,includingbutnotlimitedtolaborremuneration,socialinsurances,accumulatedhousingfund,work-relatedinjuryandmedicaltreatment.(CasesinwhichPartyAhasconcludednon-fixedlaborcontractwithPartyA’sStaffbeforePartyBusesPartyA ’sStaffforthefirsttimeshallbeexcluded.)9.5乙方使用甲方員工,應(yīng)當在使用前如實告知甲方員工錄用條件、工作內(nèi)容、工作要求、工作條件、工作地點、職業(yè)危害、安全生產(chǎn)狀況、勞動報酬,以及甲方員工要求了解的其他情況。9.5PartyBbeforeusingPartyA ’sStaffshalltruthfullyinformPartyAtheirworkcontents,workrequirements,workconditions,worklocations,occupationalhazards,conditionsofproductionsafety,laborremunerations,andotherinformationPartyA ’sStaffrequiretoknow.9.6乙方使用甲方員工,甲方應(yīng)提供的服務(wù)和辦理的手續(xù),以及乙方應(yīng)提供的協(xié)助等相關(guān)事宜,除本合同約定的內(nèi)容外,均具體以附件為準。9.6IssueswithregardtotheservicetobeprovidedandprocedurestobehandledbyPartyAaswellastheassistancetobesuppliedbyPartyBshallbedeterminedinaccordancewiththeAttachmentshereto,unlesstheyhavebeenstipulatedinthisContract.第十條甲方員工的解除使用 Article10DismissalofPartyA ’sStaff10.1甲方員工有下列情形之一的,乙方可以解除使用關(guān)系,將甲方員工退回甲方,但應(yīng)當提前以書面形式通知甲方和甲方員工:10.1UnderanyofthefollowingsituationsonthesideofPartyA ’sStafmayrescindthelaborservicerelationshipandreturnsuchstafftoPartyAwithapriornoticeinwritingtobothPartyAandPartyA ’sStaff:10.1.1在試用期間被證明不符合錄用條件的;10.1.1Provednottomeettherecruitmentrequirementsduringtheprobationperiod;10.1.2嚴重違反乙方的規(guī)章制度的;10.1.2SeriouslyviolatesPartyB ’srulesandregulations;10.1.3嚴重失職,營私舞弊,給乙方造成重大損害的;10.1.3Seriouslyneglectshis/herduty,practicesfavoritismandirregularities,andcausesgreatlosstoPartyB10.1.4同時與其他用人單位建立勞動關(guān)系,對完成乙方的工作任務(wù)造成嚴重影響,或者經(jīng)乙方提出,拒不改正的;10.1.4EstablisheslaborrelationshipwithanyotheremployeratthesametimeandcausesseriousimpactupontheperformanceofitsdutytoPartyB,orrefusestomakeanyrectificationupontherequestofPartyB;10.1.5以欺詐、脅迫的手段或者乘人之危,使乙方在違背真實意思的情況下建立或者變更與其的使用關(guān)系的;10.1.5InducesPartyBtoenterintoorchangelaborservicerelationshipwithhim/heragainstPartyB’sentiontrueintbyfraudorduressorbytakingadvantageofPartyB;10.1.6被依法追究刑事責任的。 10.1.6Beinginvestigatedforcriminalliabilities.10.2甲方員工有下列情形之一的,乙方可以解除使用關(guān)系,將甲方員工退回甲方,但應(yīng)當至少提前三十五日以書面形式通知甲方和甲方員工:10.2Underanyofthefollowingsituationsonthe sideofPartyA

’sStaff:10.2.1甲方員工患病或者非因工負傷,在規(guī)定的醫(yī)療期滿后不能從事原工作,也不能從事由乙方另行安排的工作的;10.2.1BeingSickorwoundedfornon-work-relatedreasons,andwhenthemedicaltreatmentperiodexpireshe/shestillremainsunabletoresumeworkoranyotherworkarrangedbyPartyB;10.2.2甲方員工不能勝任工作,經(jīng)過培訓(xùn)或者調(diào)整工作崗位,仍不能勝任工作的。10.2.2Provedincompetentforitsownjob,andaftertrainingorchangeofposition,stillfailtobequalifiedorcompetentinthatregard.10.2.3乙方使用甲方員工時所依據(jù)的客觀情況發(fā)生重大變化,致使乙方無法繼續(xù)使用甲方員工,且乙方與甲方員工未能就變更使用關(guān)系協(xié)商一致的。10.2.3NoagreementonmodificationofthelaborservicerelationshipcanbereachedthroughconsultationbyPartyBandPartyA’sStaffwhentheobjectiveconditionstakenasthebasisforthePartyA’sStaffservingPartyBhavesubstantiallychangedandPartyBcannolongerusePartyA’rsserviceStaff’slabo乙方未依約定提前通知的,應(yīng)當向甲方支付相當于甲方員工一個月工資的違約金,標準按本合同 11.4的約定執(zhí)行。IncasePartyBfailstonotifyPartyAinadvanceaccordingtotheContract,PartyBshallpaypenaltyattherateofPartyA’sStaff’sonemonthwagetoPartyA.TherateshallbedeterminedinaccordancewithArticle11.4ofthisContract10.3除本條
10.1約定的情形外,甲方員工有下列情形之一的,乙方不得解除使用關(guān)系退回甲方員工:10.3Unlessotherwisestipulatedin10.1,under anyoneofthefollowingsituationsonthesideofPartyA ’sStaff,PartyBshallnotherescindlaborservicetrelationshiporreturnPartyA
’sStaff:10.3.1從事接觸職業(yè)病危害作業(yè)的甲方員工未進行離崗前職業(yè)健康檢查,或者疑似職業(yè)病病人在診斷或者醫(yī)學觀察期間的;10.3.1Engaginginoperationswithexposuretooccupationaldiseasehazardsbuthavenotundergoneapre-departureoccupationalhealthcheck-up,or,aresuspectedofhavingcontractedanoccupationaldiseaseandarestilltobediagnosedorundermedicalobservation;10.3.2在乙方患職業(yè)病或者因工負傷并被確認喪失或者部分喪失勞動能力的;10.3.2Confirmedashavinglostorpartiallylostitscapacitytoworkduetoanoccupationaldiseaseorawork-relatedinjury;10.3.3患病或者非因工負傷,在規(guī)定的醫(yī)療期內(nèi)的;10.3.3Contractinganillnessorsustainedanon-work-relatedinjury,andtheprescribedmedicalperiodhasnotexpired;10.3.4女職工在孕期、產(chǎn)期、哺乳期的;10.3.4Femalestaffinpregnancy,maternityornursingperiod;10.3.5在乙方連續(xù)工作滿十五年,且距法定退休年齡不足五年的;10.3.5HavingbeenworkingforPartyBcontinuouslyfor15yearsorover,andarelessthan5yearsawayfromlegalretirementage;10.3.6法律、行政法規(guī)規(guī)定的其他情形。10.3.6Othercircumstancesprovidedbythelawsoradministrativeregulations.10.4使用的順延 10.4ExtensionofLaborUse如果乙方以派遣期限屆滿退回甲方員工時,甲方員工有本條 10.3約定的情形之一,且不屬于本條 10.1情形的,乙方應(yīng)順延其使用關(guān)系至相應(yīng)的情形消失后方可退回。WhenPartyBintendstoreturnPartyA ’sStaffuponfdispatchexpirationterm,oifPartyA ’sStaffareunderanyoneofthesituationsprovidedin10.3andarenotsubjecttoanyofthesituationslistedin10.1,PartyBshallextendthelaborservicerelationshipandshallnotreturnPartyA ’sStaffuntilarancethedisappeoftheparticularsituation.10.5甲方可以依法與甲方員工解除或終止勞動合同關(guān)系,但應(yīng)提前通知乙方。10.5PartyAmayrescindorterminatethelaborservicerelationshipwithPartyA’sStaffaccordingtolaw,howeverapriornoticetoPartyBisnecessary.第十一條退回補償Article11ReturnCompensation11.1除本合同10.1約定的情形外,乙方將甲方員工退回甲方的,均應(yīng)向甲方支付退回補償。11.1Exceptforthecircumstancesspecifiedin Article10.1hereof,PartyBshallpayPartyAreturncompensationuponreturningPartyA ’sStafftoPartyA.11.2退回補償按甲方員工在乙方工作的年限,按每滿一年支付一個月工資的標準向甲方支付。六個月以上不滿一年的,按一年計算;不滿六個月的,向甲方支付半個月工資的退回補償。11.2ReturncompensationshallbepaidaccordingtothenumberofyearsPartyA’sStaffhasservedPartyB.Thecalculationisonemonth’spayforoneyearservice.Iftheactualserviceperiodisover6monthsbutshorterthan1year,itshallbecalculatedas1year.Iftheactualserviceperiodisshorterthan6months,returncompensationshallequaltoahalf-monthpay.11.3甲方員工月工資高于上海市上年度職工月平均工資三倍的,向甲方支付退回補償?shù)臉藴拾绰毠ぴ缕骄べY三倍的數(shù)額支付,向甲方支付退回補償?shù)哪晗拮罡卟怀^十二年。11.3IfthemonthlypayofPartyA’sStaffishigherthanthreetimesofthemeanmonthlysocialsalaryofemployeesinShanghaiMunicipality,therateforthereturncompensationpaidtoPartyAshallbethreetimesofsuchmonthlysalaryandnotbemorethan12years.11.4本條所稱月工資是指甲方員工被退回前十二個月的平均工資。11.4ThepayofPartyA

11.3的約定封頂。11.5PartyBunderstandsandacceptsthatif PartyBreturnsPartyA ’whostarttoservePartyBbefore1January2008andPartyAhasnotrenewedtheLaborContractwithPartyA ’sStaffafter1January2008,thereturncompensationshallbecalculatedintwoparts.Thereturncompensationforthelaborserviceafter1January2008shallbecappedaccordingtoArticle11.3andthepartbefore1January2008shallbecalculatedaccordingtoArticle11.2andshallnotbecappedaccordingtoArticle11.3
sStaff第十二條額外退回補償 Article12AdditionalReturnCompensation12.1乙方以10.2.1約定的情形退回甲方員工的,除應(yīng)按本條 11.2的約定向甲方支付退回補償外,還需按不低于甲方員工六個月工資的標準,向甲方支付額外退回補償;對于患重病和絕癥的還應(yīng)增加額外退回補償,患重病的增加部分不低于六個月工資標準的百分之五十,患絕癥的增加部分不低于六個月工資標準的百分之一百。12.1IfPartyBreturnsPartyA ’sStaffunderanyofthecircumstancesspecifiedinArticle10.2.1,ithasto,inadditiontothereturncompensationstipulatedintheprovisionsofArticle11.2hereof,paytoPartyAadditionalreturncompensationnotlowerthanstaff ’s6monthspay.IfPartyA ’sStaffsufferfromcriticalillnessoranincurabledisease,suchreturncompensationshallbeadded.Theaddedpartshallnotbelowerthan50%forcriticalillnessandnotlowerthan100%foranincurabledisease,ofthestaff ’s6months ’pay.12.2乙方以10.2.3約定的情形退回甲方員工的,剩余派遣期限應(yīng)計算入甲方員工在乙方的工作年限,據(jù)此計算退回補償;并且除應(yīng)按本條
11.2的約定向甲方支付退回補償外,還應(yīng)按剩余派遣期內(nèi)應(yīng)支付的該甲方員工的工資、社會保險和住房公積金,以及服務(wù)費等的總合作為額外退回補償按月向甲方支付。12.2InthecasethatPartyBreturnsPartyAthebalanceofdispatchtermshallbeincludedintheservicetermofPartyA
’sStaffaccordingtoArticle10.2.3,’sandthereturncompensationshallbecalculatedaccordingtothetotalserviceterm.InadditiontothereturncompensationaccordingtoArticle11.2,PartyBshallpay,PartyA’sStaff’ssalary,socialinsurances,accumulatedhousingfundandservicefee,onamonthlybasis,toPartyAastheadditionalreturncompensationduringthebalanceofdispatchterm.第十三條甲方員工解除使用關(guān)系A(chǔ)rticle13RescissionofLaborServiceRelationshipbyPartyA
’sStaff13.1甲方員工提前三十日以書面形式通知乙方或者甲方,可以解除使用關(guān)系;甲方員工在試用期內(nèi)提前三日通知乙方或者甲方,可以解除使用關(guān)系。13.1PartyA ’sStaffmayrescindthelaborservicerelationshipwitha30-daypriornoticeinwritingtoPartyBorPartyA;PartyA ’sStaff,duringtheprobationperiod,mayrescindthelaborservicerelationshipwitha3-daypriornoticetoPartyBorPartyA.13.2有下列情形之一的,甲方員工可以與乙方解除使用關(guān)系。13.2Underanyofthefollowingcircumstances,PartyA’sStaffmayrescindtlaborservicerelationshipwithPartyB.13.2.1乙方未按照約定依法提供勞動保護或者勞動條件的;13.2.1PartyBfailstoprovidelaborprotectionorworkconditionsinaccordancewithlaw;13.2.2乙方未及時足額支付勞動報酬的;13.2.2PartyBfailstopayinfulllaborremunerationinatimelymanner;13.2.3乙方未按照約定向甲方支付為勞動者繳納社會保險費的費用的;13.2.3PartyBfailstomakesocialinsurancepaymenttoPartyAforPartyA’sStaffinlinewiththeagreementsbythetwoparties;13.2.4乙方的規(guī)章制度違反法律、法規(guī)的規(guī)定,損害甲方員工權(quán)益的;13.2.4RulesandregulationsofPartyBviolatetheprovisionsoflawsandregulationsandinfringeupontherightsandinterestsofPartyA’sStaff;13.2.5乙方以欺詐、脅迫的手段或者乘人之危,使甲方員工在違背真實意思的情況下與乙方建立或者變更使用關(guān)系(約定)的;13.2.5PartyBinducesPartyA ’sStaffintotorenterchangelaborservicerelationship(agreement)againstitstrueintentionbyfraudorduressorbytakingadvantageofhimorher;13.2.6乙方以暴力、威脅或者非法限制人身自由的手段強迫甲方員工勞動的,或者乙方違章指揮、強令冒險作業(yè)危及甲方員工人身安全的,甲方員工可以立即解除使用關(guān)系,不需事先告知乙方。13.2.6IfPartyBforcesPartyA ’sStafftoworkbyresortingtoviolence,intimidationorillegalrestrictionofpersonalfreedom,orPartyBgivesordersinviolationofrulesandregulationsorforcesPartyA ’sStafftorunrisksinoperationandcausesdangertothepersonalsafetyofPartyA ’sStaff,PartyA ’sStaffmayrescindthelaborservicerelationshipatoncewithoutpriornoticetopartyB.13.2.7法律、行政法規(guī)規(guī)定的其他情形。13.2.7Othercircumstancesprovidedbythelawsoradministrativeregulations.13.3甲方員工解除使用關(guān)系的退回補償甲方員工依照本條 13.2約定解除使用關(guān)系的,乙方應(yīng)當按照本合同第 11條和第12.1條約定的標準向甲方支付(額外)退回補償。13.3ReturnCompensationforRescissionofLaborServiceRelationshipbyPartyA’sStaff.IfPartyA’sStaffrescindthelaborservicerelationshipinlinewiththeprovisionsinArticle13.2,PartyBshallpaytoPartyA(additional)returncompensationinlinewiththestandardspecifiedinArticle11andArticle12.1hereof.第四章費用及結(jié)算 Chapter4ManagementFeeandItsSettlement第十四條管理費的確定 Article14DeterminationofManagementFee14.1管理費根據(jù)甲、乙雙方協(xié)商,確定于本合同附件,并以每月二十日前甲方標準格式統(tǒng)一打印的《付款通知書》為當月管理費的結(jié)算依據(jù)。乙方如有任何變動情況,應(yīng)于當月十五日前書面通知甲方,否則應(yīng)承擔相應(yīng)之責任。14.1ManagementfeeshallbedefinedintheAttachmentsheretothroughconsultationbythetwoparties.SettlementofthemanagementfeeforthecurrentmonthshallbebasedontheNoticeofPaymentissuedinstandardprintedformbyPartyAon20thofeachmonth.IncasethatPartyBintendstochangethesumofmanagementfee,itshallnotifyPartyAinwritingbefore15thofthecurrentmonth,oritshallbeartheliabilitiesaccordingly.14.2管理費可以人民幣或者等值于人民幣報價的外幣結(jié)算。匯率按中國人民銀行當月十五日公布的匯率的中間價為準。14.2ManagementfeecanbesettledinRMBorforeigncurrenciesofequalvalue.TheexchangerateshallbethemedialratequotedbyPeople’sBankofChinaon15thofthecurrentmonth.14.3甲、乙雙方應(yīng)根據(jù)政府相關(guān)規(guī)定的時間相應(yīng)地調(diào)整社會保險費用和住房公積金費用;并根據(jù)政府的需要隨時進行其它必須的調(diào)整。前述的調(diào)整,不應(yīng)影響派遣期限。14.3Thetwopartiesshall,incompliancewiththerelevantgovernmentregulations,adjustchargesforsocialinsurancesandaccumulatedhousingfundaccordinglyeachyear.Suchadjustmentofotheritemsmayoccuratanytimeaccordingtothepoliciesofthegovernmentandshallnotaffectthedispatchterm.第十五條管理費的支付 Article15Paymen
