鑒于,員工同意并且希望按本合同下述條款為公司提供服務(wù)、公司建立勞動(dòng)關(guān)系;公司亦同意聘用員工作為正式雇員;
NOWTHEREFORE,theCompanyandtheEmployee,onthebasisoftheirequalandself—willingnegotiation,agreetoenterintothisAgreementandestablishtheemploymentrelationshipinaccordancewiththeEmploymentAgreementLawofthePeople’sRepublicofChinaandotherrelevantlawsandregulations。
因此,公司和員工本著協(xié)商一致的原則,根據(jù)《中華人民共和國(guó)勞動(dòng)合同法》及其他相關(guān)法律法規(guī)同意簽署該勞動(dòng)合同、建立勞動(dòng)關(guān)系。
TermofAgreement合同期限ThepartiesagreethatthetermofthisAgreementwillbeanindefiniteperiodoftime,startingfrommacrobuttonnomacro[Fillinplease],withoutprobationperiod..本合同期限為無固定期限合同,從macrobuttonnomacro[請(qǐng)輸入勞動(dòng)合同開始時(shí)間]開始。Position&JobDescription崗位與職責(zé)描述AccordingtotherequirementoftheCompany’soperationandbusiness,theCompanyherebyengagestheEmployeeasSeniorConsultantwithsuchduties,authorityandresponsibilitiesasarenormallyassociatedwithandappropriateforsuchpositions.TheEmployeeherebyagreestoacceptthisposition。TheEmployeewillreporttothepersonasdesignatedbytheCompany.
根據(jù)公司業(yè)務(wù)要求,公司聘任員工擔(dān)任高級(jí)咨詢顧問,員工同意接受公司的聘任。員工直接向公司指定人員匯報(bào)工作。TheCompanyhirestheEmployeetoperformworkinaccordancewiththejobdescriptioncontainedinExhibitAtothisAgreement。TheEmployeeshallperformtheworkasdescribedinExhibitA。
公司可根據(jù)本合同附件的職責(zé)描述安排員工工作,員工按照附件中的職責(zé)描述履行工作職責(zé)。Inaddition,orasanalternativetoEmployee’snormalduties,theEmployeemayatanytimeandfromtimetotimeberequiredtoundertakeonatemporaryorpermanentbasisotherdutieswithinanydepartmentoftheCompanythatarereasonablyconsistentwithEmployee’spositionandwithinEmployee'scapabilitiesastheneedsoftheCompany’sbusinessmayrequire。
除了員工的日常職責(zé)外,公司因?yàn)闃I(yè)務(wù)需要、在符合員工職位和能力的前提下,可隨時(shí)要求員工承擔(dān)公司其他部門的臨時(shí)性或長(zhǎng)期性的工作.Notwithstandingtheforegoing,theCompanymayadjusttheEmployee’spositionorjobdescriptionbasedontheoperationandbusinessoftheCompanyandprofessionalabilities,performanceandphysicalconditionoftheEmployee.TheEmployeeshallaccepttheCompany’sadjustment(s)。
盡管有前述約定,但根據(jù)公司業(yè)務(wù)和運(yùn)營(yíng)情況,考慮員工的業(yè)務(wù)能力、工作表現(xiàn)和身體情況后,公司可對(duì)員工職位或工作職責(zé)進(jìn)行調(diào)整.員工應(yīng)接受公司的相應(yīng)調(diào)整.TheEmployeeisnotauthorisedtobindtheCompanyoritsparentcompany,oranyofitsrelatedentities(“AssociatedCompany")orenterinto,onbehalfoftheCompanyoranyofitsAssociatedCompany,anycontracts,deeds,agreements,assignmentsorotherlegaldocumentsandpapersthatcreatelegalobligationsandliabilitiesonthepartoftheCompanyoranyAssociatedCompany,includingbutnotlimitedtoAgreementforthesaleorprovisionofservicesorproducts,leaseagreements,loansorotherformsofborrowingonbehalfoftheCompanyoranyAssociatedCompany。
員工無權(quán)代表公司、公司的母公司或關(guān)聯(lián)方簽訂任何有法律約束力的合同、契約、協(xié)議、委派書等法律文件。這些法律文件包括但不限于員工以公司或公司關(guān)聯(lián)方名義簽署的銷售協(xié)議、服務(wù)和貨物服務(wù)協(xié)議、租賃協(xié)議、貸款或其他形式的借款協(xié)議等.Remuneration工作薪酬及其他It'sagreedbybothpartiesthatthepre—tax,grossannualbasesalaryismacrobuttonnomacro[Fillinplease]whichshallpaidtothedesignatedbankaccountasinstructedbytheEmployer。Anyexchangerate(ifapplicable)shallbesubjecttothemiddlerateasannouncedbytheStateAdministrationofForeignExchange()onthedayforpaymentofthesalary.Incasethereareanyspecialarrangementswithregardtothecurrencyofpayment,wayofpayment,frequencyofpaymentanddesignatedpaymentaccount,etc,bothpartiesmayagreeseparatelyintheformofannex。
員工的稅前年工資為macrobuttonnomacro[請(qǐng)輸入工資數(shù)額及幣種],由公司發(fā)放至指定賬戶.如涉及到匯率問題,匯率以發(fā)放工資當(dāng)天中國(guó)國(guó)家外管局公布的人民幣中間價(jià)(http://)為準(zhǔn)。如雙方對(duì)于支付的幣種、方式、時(shí)間及指定支付的賬戶等有特別約定的,另行以附件方式確定。
heCompanymayalso,atitsolediscretiondecidewhethertopayabonustotheEmployeeinaccordancewiththeCompany'sbonuspolicy,asamendedfromtimetotime,andaccordingtothePRCregulationsortheCompany'sinternalprocedures。公司也可以根據(jù)其不時(shí)修訂之獎(jiǎng)金制度、國(guó)家法規(guī)或公司的內(nèi)部程序自行決定獎(jiǎng)金發(fā)放事宜.
TheEmployeeshallpaytheindividualincometaxinaccordancewithapplicablelawsandregulations.TheCompanyshallbeobligedtowithholdtheindividualincometaxfortheEmployeeanddeclaretothecompetenttaxauthorityonhisbehalf。
員工應(yīng)根據(jù)稅法規(guī)定繳納個(gè)人所得稅。公司負(fù)責(zé)從員工工資中扣除個(gè)人所得稅并予申報(bào)、繳納.
BothPartiesagreethatEmployeeshallchecktheaccuracyofthepaidremunerationincludingwithoutlimitationtobasesalary,bonus,overtimepaymentetc.bytheCompanyintimelymanner.ShouldthereisanydisputeovertheamountofremunerationpaidbytheCompany,theEmployeeshallnotifytheCompanywith3businessdaysinwrittenwithoutanydelay。Otherwiseitshallbedeemedthatallthedueandpayableremunerationhasbeensettledproperly.
雙方約定:?jiǎn)T工對(duì)于公司支付的薪酬,包括工資、獎(jiǎng)金、加班費(fèi)等應(yīng)當(dāng)及時(shí)進(jìn)行核查。員工對(duì)前述支付有異議時(shí),應(yīng)自收到該等支付后3個(gè)工作日內(nèi)以書面方式向公司提出;逾期未提出異議的,視為應(yīng)付薪酬已全部結(jié)清。
TheEmployeeagreestohonourtheCompany’spolicyandkeepstrictconfidentialofanysalaryinformation.
員工同意遵守公司實(shí)行的工資保密原則,對(duì)工資信息承擔(dān)嚴(yán)格的保密義務(wù)。
TheCompanyshallbeentitledtomakearateabledeductionfromEmployee'ssalaryforitemsincludingwithoutlimitationto,timelostthroughaccident,defaultorotherabsence,debttotheCompany,costofCompanypropertynotreturnedonterminationofemployment,economiclosscausedbytheEmployeetotheCompanyduetohis/hernegligenceofjoborviolationoftheAgreement,andotherswhereauthorisedbyanylawsandregulations.
對(duì)于因乙方事假缺勤、欠付公司款項(xiàng)、未歸還公司物品、因失職或違約給公司造成損失,以及其他法定事項(xiàng),公司有權(quán)從員工的工資報(bào)酬中做相應(yīng)的扣除。
TheCompanyshallcontributethemandatorysocialsecurity&housingfundtotheEmployeeinaccordancewithapplicablelawsandregulations。
公司應(yīng)根據(jù)相關(guān)法律為員工繳納社會(huì)保險(xiǎn)和住房公積金等法定福利。
TheEmployeeshallnotreceiveanycompensation,benefitsorpaymentsfromtheCompanyinadditiontothecompensation,benefitsorpaymentsdescribedinthisAgreement(includingitsexhibit)unlessotherwisespecifiedinrelevantnationalandlocallawsandregulations,ordeterminedbytheCompany,initssolediscretion。
除本合同(含其附件)所述的報(bào)酬、福利和付款以外,員工無權(quán)從公司獲得其它補(bǔ)償、福利和付款,除非根據(jù)國(guó)家和地區(qū)相關(guān)法律法規(guī)的另行規(guī)定,或公司自行決定。Workinghours工作時(shí)間Thestandardofficehoursarefrom9:00a。m。to6:00p.m。withonehouroffforlunchbetween1:00p。m.and2:00p。m.MondaystoFridays,orsuchothertimesastheCompanymayfromtimetotimestipulate。
標(biāo)準(zhǔn)工作期間為每周一至周五自早9點(diǎn)至晚6:00點(diǎn),其中1:00p.m。至2:00p。m。為午餐時(shí)間Notwithstandingtheforegoing,thebothPartiesagreethat,whenthelocalgovernmentauthoritiesadoptsmeasurestoavoidtrafficjamsduringpeakhoursorspecialevent,orwheretheCompanydeemsnecessaryduetoproductionandoperation,theCompanymaytemporarilychangetheworkinghoursatitssolediscretion。
在當(dāng)?shù)卣扇”芊宕胧┗蛴刑厥馐录才?、或公司因生產(chǎn)經(jīng)營(yíng)需要時(shí),公司均可自行決定臨時(shí)性、階段性地調(diào)整工作時(shí)間。Ifrequiredbytheoperationandbusiness,theCompanymayarrangetheEmployeetoworkovertime。TheEmployeeshallobservetheCompany’srequirementandfulfiltherelevantapprovalproceduresforworkingovertimeinaccordancewiththeCompany’srelevantpolicy.FortheEmployeewhoworksovertimeandfollowstherelevantapprovalproceduresforworkingovertime,theCompanyshallpaycorrespondingremunerationorprovidecompensatoryleaveinaccordancewiththeapplicablelaws。
如因業(yè)務(wù)需要,公司可安排員工加班。員工應(yīng)按照公司的要求履行加班審批手續(xù)后方可進(jìn)行加班.加班的員工應(yīng)按照加班小時(shí)數(shù)獲得公司依法律規(guī)定標(biāo)準(zhǔn)支付的加班費(fèi)或安排倒休。TheEmployeeundertakestousereasonableendeavourstoensurethatheisavailableatsuchtimesoutsidenormalbusinesshoursonreasonablenoticetoprovidesuchadditionalworkastheCompanymayrequire.
員工承諾盡最大努力、確保在正常的工作時(shí)間之外,經(jīng)公司合理提前通知后可以履行公司要求的加班職責(zé).However,notwithstandingtheforegoing,theEmployeemay,onvoluntarybasis,workoutsidethesenormalhoursonSaturday,Sundayorholidayaswellasworkonnightshiftwithoutadditionremunerationinordertomeettherequirementsforbusinessandfortheproperperformanceofhisduties。
盡管有前述約定,但員工可以在正常的工作時(shí)間之外自愿加班,即在周末、假期以及夜間輪班工作,以符合業(yè)務(wù)需要或完成個(gè)人業(yè)績(jī).公司不為自愿加班支付薪酬。WorkingLocation工作地點(diǎn)TheEmployee'splaceofworkwillinitiallybemacrobuttonnomacro[Fillinplease]。員工的工作地點(diǎn)在macrobuttonnomacro[請(qǐng)輸入工作地點(diǎn)].PaidLeaveentitlement帶薪休假TheEmployeeisentitledtodaysoffonChinesePublicHolidaysasstipulatedintheRegulationonPublicHolidaysforNationalAnnualFestivalsandMemorialDayswhichtakesintoeffecton1stJan.2008。
員工有權(quán)按照2008年1月1日生效的《全國(guó)年節(jié)及紀(jì)念日放假辦法》享受法定假日休假權(quán)利。TheEmployeeisentitledtopaidleaveperannuminaccordancewiththeRegulationsofPaidAnnualLeaveofEmployeeswhichtakesintoeffecton1stJan。2008andotherrelevantregulations。SuchleaveistobetakenatsuchtimesastheCompanyconsidersmostconvenienthavingregardtotherequirementoftheCompany'sbusiness。Notwithstandingtheforegoing,it’sacknowledgedandagreedbybothPartiesthatthepaidleaveoftheEmployeeunderthisAgreementis5daysperyear。
員工有權(quán)按照2008年1月1日生效的《職工帶薪年休假條例》及相關(guān)法規(guī)的規(guī)定享受帶薪年假。年假應(yīng)由公司根據(jù)其業(yè)務(wù)需求,在方便、可行的時(shí)間安排進(jìn)行.盡管有前述約定,雙方一致知悉并同意,就員工在本合同有效期內(nèi)的帶薪年假可按照與公司另行達(dá)成的書面協(xié)議加以確定(該等帶薪年假天數(shù)不應(yīng)低于法律規(guī)定的最低天數(shù)).Forpaidleave,thepaymentshallbebasedontheEmployee’scurrentbasicrateofsalary.Leaveentitlementforthefirstandlastcalendaryearmaybetakenonaproratabasisdependingonthenumberofdaysworked。
帶薪年假期間的報(bào)酬應(yīng)按照員工當(dāng)前的基本工資標(biāo)準(zhǔn)支付.在員工入職及離職的當(dāng)年度可享受的帶薪年假天數(shù)應(yīng)按根據(jù)員工當(dāng)年工作天數(shù)、按比例計(jì)算得出.TheEmployeeisentitledtoaccumulateuptooneyearofhis/heruntakenleavetothefollowingyear。Otherthanthat,alluntakenleaveshallberegardedasfromtheEmployee’sapplication(s)forpersonalreasonsunlessevidencedbytheCompany’spriorwrittenconfirmation。Furthermore,theEmployeeherebyapplies,andtheCompanyherebyapprovesthat,theEmployeeneedsnottosubmitwrittenletter(s)totheCompanyintermsofaboveapplication(s)。Uponterminationoftheemploymentrelationship,alluntakenleaveshallbepaidbycashinamountoftheproductofEmployee’scurrentbasicsalaryratewiththeduemultiplierorbeoffsetbyarrangementofdefactouse。
員工當(dāng)年未休之年假僅可以累積至下一年度。除此之外,所有未經(jīng)公司事先書面確認(rèn)的未休年假應(yīng)被認(rèn)為是由于員工個(gè)人原因而申請(qǐng)不予安排。即,對(duì)于超出累積年度仍未書面提出休年假,視為員工已事先書面通知公司因個(gè)人原因放棄休假而無須再另行提起書面申請(qǐng)。員工離職時(shí),所有未休年假均應(yīng)依法律規(guī)定由公司按照員工當(dāng)前的工資標(biāo)準(zhǔn)的法定倍數(shù)支付現(xiàn)金或?qū)嶋H安排休假予以補(bǔ)足.companyproperty公司財(cái)物OnrequestandinanyeventonterminationofEmployee’semploymentforanyreasontheEmployeeisrequiredtoreturntotheCompanyallcompanypropertyincluding,ifapplicable,anycompanycar,companycreditorchargecards,Employee'ssecuritypass,allkeys,computerhardwareandrelatedequipment,Blackberry(orcompanyprovidedcellphone),andsoftwareincludingdiscsandalldocumentsinwhateverform(includingnotesandminutesofmeetings,customerlists,diariesandaddressbooks,computerprintouts,plans,emails,projections)togetherwithallcopies(irrespectiveofbywhomandinwhatcircumstancessuchcopiesweremade)whichareinEmployee'spossession,underEmployee’scontrolorwhichweremadebyEmployee。
勞動(dòng)合同不論以何種原因終止,員工均應(yīng)按照公司要求返還所有公司財(cái)物,包括但不限于下述(如有):公司汽車、公司信用卡或借記卡、員工通行證、鑰匙、電腦硬件、軟件(磁盤等)、以及不論以何種形式存儲(chǔ)的、由員工占用、占有或由其制作的文件(包括記錄、會(huì)議紀(jì)要、客戶名單、日記、地址簿、電腦打印件、計(jì)劃、郵件、項(xiàng)目書)以及他們的副本、復(fù)印件(不論副本、復(fù)印件是何人所制,所制何用)。IftheEmployeehasanyinformationrelatingtotheCompanyoranyAssociatedCompanyorworktheEmployeehascarriedoutfortheCompanyoranyAssociatedCompanywhichisstoredonacomputerorlaptopcomputerwhichcomputerorlaptopdoesnotbelongtotheCompany,thismustbedisclosedtotheCompanyandtheCompanyshallbeentitledtodownloadtheinformationand/orsuperviseitsdeletionfromthecomputerorlaptopconcerned。
如果員工在非公司所有的臺(tái)式電腦、手提電腦中存儲(chǔ)了與公司、公司關(guān)聯(lián)方、或工作相關(guān)的信息,員工必須向公司披露該情形。公司有權(quán)下載該信息或監(jiān)督員工從臺(tái)式電腦、手提電腦中將該等信息刪除。AfterthereturnofpropertytotheCompanypursuanttothisClause,theEmployeeshallnotretainanycopiesofmaterialsorinformation(includinghardandsoftcopiesthereof)relatingtothebusinessoraffairsofanyAssociatedCompany。TheEmployeeshallattherequestoftheCompanydelivertotheVicePresidentofHumanResourcesorhis/herdesigneeasignedstatementconfirminghis/hercompliancewiththeprovisionsofthisClause。
員工根據(jù)本條規(guī)定歸還公司財(cái)物之后,不應(yīng)再留有與公司或公司關(guān)聯(lián)方業(yè)務(wù)有關(guān)的材料或信息的副本、復(fù)印件(包括硬件和軟件存儲(chǔ)).員工應(yīng)按照公司的要求,向公司人力資源副總載或其指定人員遞交書面聲明確認(rèn)已經(jīng)達(dá)到本條款的要求。RepresentationandWarrantyofTheEmployee員工陳述與保證TheEmployeerepresentsandwarrantstotheCompanythattheperformanceofEmployee’sdutiespursuanttotheEmployee'sengagementwillnotviolateanyagreementswithortradesecretsofanyotherpersonorentity。
員工向公司保證其履行本勞動(dòng)合同項(xiàng)下的工作職責(zé)不會(huì)與其他個(gè)人或機(jī)構(gòu)的協(xié)議發(fā)生沖突、亦不會(huì)泄露其他方商業(yè)秘密.TheEmployeefurtherwarrantsthatanynoticeperiodtheEmployeeisrequiredtogiveortoservewithapreviousemployerhasexpiredandthatbyenteringintothisAgreementorperforminganyofEmployee’sdutiesfortheCompany,theEmployeedoesnotviolateandwillnotviolateanycontractoragreementtowhichtheEmployeeisapartyanddoesnotorwillnotresultinabreachbytheEmployeeofanycovenantofnon-disclosureornon—competitionoranyothercovenantoragreementsowedbytheEmployeetoanypersonorentityotherthantheCompany.TheEmployeeshallindemnifyandholdtheCompanyharmlessfromanyandallclaims,suitsorcausesofactionarisingfromanycontract,agreementorcovenantdescribedhereintowhichtheEmployeeisaparty。
員工進(jìn)一步保證其與前任雇主的雇傭關(guān)系已經(jīng)結(jié)束且不在任何通知期內(nèi).員工簽署本協(xié)議,以及在本公司履行工作職責(zé)目前和將來都不會(huì)違反其本人涉及的合同或協(xié)議,不會(huì)因此違反其向非本公司的個(gè)人或?qū)嶓w所作的承諾,如披露禁止、競(jìng)業(yè)禁止或其它合約之承諾.員工應(yīng)保證公司不受上述合同、協(xié)議或合約的索賠要求和起訴,若發(fā)生此類索賠要求和起訴,員工應(yīng)進(jìn)行賠償.
TheEmployeefurtherrepresentsandwarrantstotheCompanythatallthepre—employmentpersonalinformationhe/shesubmittedtotheCompany,includingwithoutlimitationto,educationbackground,employmenthistory,creditrecordandnon—criminalrecordcertificationassetforthonhis/herCVorjobapplicationdocumentistrueandaccurate。TheEmployeefurtherauthorizestheCompanytoconductbackgroundinvestigationand/orreferencechecksbeforethisAgreementbecomeseffectiveandfromtimetotimeduringthevalidtermoftheAgreement。
員工保證,其向公司提交的聘用前的個(gè)人資料,包括在其簡(jiǎn)歷或工作申請(qǐng)上記錄的學(xué)歷和工作經(jīng)歷信息、或其他背景、信用、無犯罪記錄證明等都是真實(shí)的,并同意公司有權(quán)在本合同生效前以及本合同有效期內(nèi)不時(shí)進(jìn)行背景調(diào)查。ExclusiveEmployment全職工作WhileemployedbytheCompany,theEmployeeshalldevotethewholeofhis/hertime,attentionandabilityasisappropriatetothediligentdischargeofEmployee’sduties(includingifnecessary,workingovertime)andasshallbeinaccordancewiththepoliciesoftheCompany.Forthisreason,theEmployeeisnotpermittedtoundertakeanyadditionalworkwhetherprivateorpublic,paidorunpaid,directlyorindirectly.
根據(jù)公司規(guī)章制度以及勤勉履行職責(zé)所需,員工在任職期間,應(yīng)付出全部的時(shí)間、注意力和能力,如有需要還應(yīng)加班工作。因此,公司不允許員工有任何兼職工作行為,無論該等工作行為是私下的還是公開的、計(jì)酬的還是免費(fèi)的、直接的還是間接的.Confidentiality保密條款TheEmployeeshallnotduringorafterhis/heremploymentdiscloseconfidentialinformationbelongingtotheCompany.TheEmployeehasapersonalresponsibilitytoprotectandmaintainconfidentialityofboththeCompany'sandclients’information。TheEmployeemustnot,exceptasauthorisedorrequiredbylawortheEmployee’sduties,revealanyconfidentialinformationrelatingtotheCompany,itssubsidiaries,itsparentorassociates。ThisobligationwillcontinueaftertheterminationoftheEmployee'semploymentunlessanduntilanysuchinformationcomesintothepublicdomainotherthanthroughanybreachofthisprovisionbytheEmployee。
員工不得披露屬于公司的保密信息,無論是在受雇期間還是終止雇傭之后。員工對(duì)保護(hù)和維護(hù)公司和客戶信息的保密性負(fù)有個(gè)人義務(wù)。員工不得不透露任何有關(guān)的公司,其附屬公司,其母公司或聯(lián)營(yíng)公司的保密信息,除非得到授權(quán)或法律或員工的職責(zé)要求。員工雇傭終止之后,仍然負(fù)有該義務(wù),直至任何此類信息進(jìn)入公有領(lǐng)域,并且不是由于員工違反本條規(guī)定而造成的.NoinformationmaybegiventotheLocal,NationalorArchitecturalPress,unlessalldetailshavepreviouslybeenagreedbytheCompanyinwriting.AlltelephoneenquiriesfromthePressshouldbereferredtothelinemanager,aPartner,Director,AssociateDirector,AssociateortheMarketingManagerfromtheCompany;ortotheclientifthetopicistheclient。
除非得到公司事先書面同意,員工不得向任何地方、國(guó)家或建筑類的新聞界披露任何信息。所有記者的電話詢問,應(yīng)提交公司的直接上級(jí)經(jīng)理、合伙人、董事,副董事,負(fù)責(zé)人或營(yíng)銷經(jīng)理,雖然有上述規(guī)定,但是如果該等問題是指向客戶端的則應(yīng)交由客戶端的相關(guān)人員處理。ToprotecttheconfidentialityofthisinformationtheEmployeeagrees:為了保護(hù)保密信息,員工同意:todelivertotheCompany,beforetheendoftheEmployee’semployment,orifthatemploymentendswithoutnoticeimmediatelyafteritsend,ALLdocumentsandrecordsbelongingtotheCompanywhichareintheEmployee’spossession,includingalldocumentsandrecordsmadebytheEmployeeinthecourseoftheEmployee’semploymentandrelatingtotheaffairsoftheCompany,includingcomputerlists,disksorprograms,diaries,clientrecords,cards,telephonelists,pricinglistsandtechnicaldataandallothertangibleitemsintheEmployee’spossessionorcontrolbelongingtoorcontaininganyconfidentialinformationoftheCompany;and
在員工雇傭終止前,如果雇傭在無需通知時(shí)終止,在雇傭結(jié)束時(shí)立即向本公司歸還員工持有的在雇傭期間產(chǎn)生的及與公司相關(guān)的所有屬于公司文檔、記錄,包括員工所擁有或控制的屬于或含有任何本公司的保密信息的計(jì)算機(jī)列表,磁盤或方案,日記,客戶記錄,卡片,電話清單,價(jià)格表和技術(shù)數(shù)據(jù)和所有其他有形物品,和notatanytimetomakeanycopy,abstract,summaryorthewholeoranypartofanydocument,computerprogramorrecordbelongingtotheCompany,exceptwhenspecificallyauthorisedbyaPartnerorrequiredtodosointhecourseoftheEmployee’semployment,inwhicheventthedisk,program,copy,abstract,summaryshallbelongtotheCompanyandshalllikewisebedeliveredupimmediatelyuponterminationoftheEmployee'semployment。
不得在任何時(shí)間,制作任何屬于公司的任何文件、計(jì)算機(jī)程序或者記錄的任何副本的,摘錄的,摘要或全文或任何部分,除非經(jīng)過合伙人特別授權(quán)或在雇傭過程中被要求這么做,在此情況下,任何磁盤,程序,復(fù)制,摘錄,摘要應(yīng)屬于公司,并應(yīng)終止雇傭后應(yīng)立即被交回.
COVENANTNOTTOCOMPETE競(jìng)業(yè)禁止
TheEmployeeagreestorefrainfromengaginginanycompetitionduringthetermofemployment.TheEmployeeshallrefrainfromestablishingortakingoverorparticipatingin,directlyorindirectly,acompetingenterprise。Furthermore,theEmployeeshallrefrainfromanycontractorsupportforacompetingenterprise。WithinthescopeofthebusinessoftheCompany,theEmployeeshallrefrainfromengaginginanybusinessforhis/herownorotherperson’saccount。
員工同意在其任職期間不與公司進(jìn)行任何形式的競(jìng)爭(zhēng)。員工承諾不直接或間接地參與競(jìng)爭(zhēng)對(duì)手公司的設(shè)立、接管、不直接或間接參與競(jìng)爭(zhēng)對(duì)手企業(yè).員工進(jìn)一步承諾:不接觸、不支持競(jìng)爭(zhēng)對(duì)手企業(yè)。員工不得為自己或他人從事與公司有競(jìng)爭(zhēng)的業(yè)務(wù)。Non—solicitationOfNominumemployees不勸誘員工TheEmployeeherebycovenantsandagreesthat,foraperiodofone(1)yearfollowingtheterminationorexpirationofthisAgreement,heshallnot,directlyorindirectly,solicitforemployment,orotherwiseenticethedepartureofanyemployeeworkingfortheCompany。
員工同意在勞動(dòng)合同終止后的一年內(nèi)不得以直接或間接的方式勸誘或慫恿公司其他員工從公司離職。NoBribery禁止行賄TheEmployeemaynot,withoutpriorwrittenconsentoftheCompany,giveoracceptanyfavoursofwhateverkind(includingwithoutlimitation,gifts,cash,loan,entertainmentandadvantage)toorfromanyactualorpotentialcustomersorsuppliersorregulatory/government/otheragencies。
未經(jīng)公司書面同意,員工不得向現(xiàn)有或潛在客戶、供應(yīng)商或管理/政府/其它機(jī)構(gòu)提供任何形式的好處(包括但不限于,禮品、現(xiàn)金、借款、娛樂和有利條件),也不得從現(xiàn)有或潛在客戶、供應(yīng)商或管理/政府/其它機(jī)構(gòu)獲得任何形式的好處.IntellectualProperty知識(shí)產(chǎn)權(quán)TheEmployeewillpromptlydisclosetotheCompanyandkeepconfidentialalldiscoveries,inventions,processes,improvementstoanexistinginventionorprocess,systems,formulas,programs,copyrightworks,designsortechnicalknowhowconceivedormadebytheEmployeealoneorwithothersinthecourseoftheEmployee’semployment。TheEmployeewillholdallsuchintellectualpropertyintrustfortheCompanyandwilldoeverythingnecessaryordesirableatourexpensetovesttheintellectualpropertyfullyintheCompanyand/ortosecureanyappropriateformsofprotectionfortheintellectualproperty.DecisionsastotheprotectionorexploitationofanyintellectualpropertyshallbeintheabsolutediscretionoftheCompany。員工應(yīng)及時(shí)向公司披露其在履行雇傭職責(zé)中形成或制作的,無論是單獨(dú)形成的還是在雇傭過程中隨附形成的所有發(fā)現(xiàn),發(fā)明,工藝,改進(jìn)現(xiàn)有的發(fā)明或者過程,系統(tǒng),配方,程式,版權(quán)作品,設(shè)計(jì)或技術(shù),并且對(duì)該等信息進(jìn)行保密。員工受公司的信托持有該等信息,并盡一切必要的或適宜的措施以使公司成為該等知識(shí)產(chǎn)權(quán)的所有人,及/或?yàn)樵摰戎R(shí)產(chǎn)權(quán)提供任何適當(dāng)形式的保護(hù),費(fèi)用由公司承擔(dān).公司有絕對(duì)的自主權(quán)決定任何知識(shí)產(chǎn)權(quán)的保護(hù)或開發(fā)。TheEmployeemusttoconfidentialitywhatduringworkingaccesstointellectualpropertyandconfidentialinformationrelated,,withouttheCompanyand/orthecustomer’swrittenpermission,otherwiseemployeesshallnotdisclosetoanythirdpartyintellectualpropertyrightsandconfidentialityofsuchinformation.員工應(yīng)就其在工作過程中接觸到的客戶端相關(guān)的知識(shí)產(chǎn)權(quán)及保密信息進(jìn)行保密,未經(jīng)公司及/或客戶的書面許可,員工不得向任何第三方透露該等知識(shí)產(chǎn)權(quán)及保密信息。
LaboUrDiscipline勞動(dòng)紀(jì)律TheEmployeeshallstrictlycomplywiththePRClawsandregulations.
員工應(yīng)嚴(yán)格遵守中國(guó)法律法規(guī).TheEmployeehasreadthroughandclearlyunderstandsalltherules,policies,codeofconductguidelinesandsafetyoperationregulations(hereinaftercollectivelyas“CompanyRules”)formulatedbytheCompanyasatthedateofthisAgreementbeforehis/hercommencement;heacknowledgesthatthePoliciesareenactedfollowingCompanydemocraticproceduresandhasnoobjectiontowardabovePolicies。
員工在勞動(dòng)合同生效之日,正式就職之前就已通讀并清楚了解公司制定的所有規(guī)則、政策、行為準(zhǔn)則以及安全生產(chǎn)規(guī)定(以下統(tǒng)稱“公司規(guī)章”).員工認(rèn)可該政策系經(jīng)公司民主程序產(chǎn)生且對(duì)其沒有異議。TheEmployeeshallstrictlyadheretothePoliciesthatareissuedorupdatedfromtimetotime,andshallberequiredtosigntheCompany’sformalundertakingstoabidebysuchCompanyRules.IftheEmployeemateriallyandseverelyviolatessuchCompanyRules,theCompanyshallbeentitledtosuspendorimmediatelyterminatethisAgreementwithoutanyseverancepayment.
員工應(yīng)嚴(yán)格遵守公司隨時(shí)發(fā)布或更新的公司規(guī)章,并應(yīng)按公司要求簽署正式承諾書以便遵守.如果員工嚴(yán)重違反上述公司規(guī)章,公司有權(quán)中止或終止勞動(dòng)合同,并且不給予任何經(jīng)濟(jì)補(bǔ)償。TheEmployeeshallfullyobeythelabourdisciplineandworkarrangement.ProvidedthattheEmployeefailstomeettheaboverequirementandleadstolabourinjuryand/orlabouraccidenttohim,theCompanymayreservetherightnottocompensate;ifthefailureofperformanceleadstodamagetootherparties,theEmployeeshallundertakeallcorrespondinglegalliabilitiesinaccordancewithlawsandregulations。
員工應(yīng)當(dāng)服從公司的勞動(dòng)紀(jì)律與工作安排。如果因?yàn)槲茨茏袷毓ぷ髦噶疃掳l(fā)生工傷及勞動(dòng)事故的,公司有權(quán)不予賠償;如因此給其他方造成損害的,員工個(gè)人應(yīng)依法承擔(dān)賠償責(zé)任.LaboUrProtectionandWorkingConditions勞動(dòng)保護(hù)和工作條件TheCompanyshallabidebytherelevantlawsandregulations,andprovidetheEmployeewithaproperworkenvironment,andtakeprotectivemeasurestopreventoccupationalhazardssoastosecuretheEmployee’ssafetyandhealthintheworkplace.
公司應(yīng)遵守相關(guān)法律和法規(guī),為員工提供適當(dāng)?shù)墓ぷ鳝h(huán)境,采取保護(hù)措施防止職業(yè)危害,以保證員工在工作場(chǎng)所的安全和健康.TheCompanyshallprovidetheEmployeewithnecessarylabourprotectionequipmentaccordingtotheactualrequirementsofEmployee’spositionandrelevantPRClaw。
公司應(yīng)根據(jù)員工崗位的實(shí)際需要和相關(guān)國(guó)家法律,提供員工必要的勞動(dòng)保護(hù)設(shè)施。PursuanttoPRClaw,theCompanyshallprovidespeciallabourprotectionforemployeesemployedinpositionsexposedtooccupationalhazards,andtofemaleemployees.
根據(jù)中國(guó)法律,公司應(yīng)為處在有職業(yè)危害的崗位的職工和婦女職工提供特殊勞動(dòng)保護(hù)。TheCompanyisresponsibleforprovidingtheEmployeewitheducationandtrainingonprofessionalethics,vocationaltechniques,andrulesandregulationsonworksafetyandoccupationalhygiene.
公司有義務(wù)向員工提供有關(guān)職業(yè)道德、職業(yè)技術(shù)、有關(guān)工作安全和職業(yè)衛(wèi)生的規(guī)章法規(guī)的教育和培訓(xùn)。BasedontheactualphysicalrequirementsofthepositionoftheEmployee,theCompanymayannuallyarrangearegularphysicalexaminationfortheEmployee。
根據(jù)員工崗位對(duì)身體健康的實(shí)際要求,公司可每年安排員工定期檢查身體。Termination合同終止TheCompanymayterminatethisAgreementwithoutpriornoticeunderanyofthefollowingcircumstanceswhentheEmployee,(i)isfoundguiltyonacriminalliabilitysuit;(ii)commitsaseriousmalpracticeornegligencewhichresultsinasignificanteconomiclossoftheCompany。
公司下列情況下無需提前通知員工即可與員工終止勞動(dòng)合同:(1)員工被判決承擔(dān)刑事責(zé)任;(2)員工有重大過失或失職行為,營(yíng)私舞弊、使公司蒙受顯著經(jīng)濟(jì)利益損失.TheCompanymayterminatethisAgreementaftergivingathirty(30)daypriorwrittennoticeorbypayingonemonthsalaryinlieuofnoticeunderanyofthefollowingcircumstanceswhen:
在下列情況下,公司有權(quán)經(jīng)提前30天通知、或無需提前30日而支付一個(gè)月工資取代提前通知期,通知員工解除本協(xié)議。
(i)duetoillnessornon-work-relatedinjuries,theEmployeeisunabletoperformhis/heroriginalworkorisunabletoperformalternativedutiesasarrangedbytheCompany,whenthemedicaltreatmentperiodends;
由于疾病或非因工受傷,醫(yī)療期結(jié)束后,員工仍無法繼續(xù)履行本職工作也無法履行公司調(diào)崗后的工作.
(ii)theEmployeeisunabletoperformhis/herdutiestoanacceptablestandard,evenaftertraininghasbeenprovidedoradjustmentshavebeenmadetohis/herposition;
員工無法勝任本職工作,在接受培訓(xùn)和崗位調(diào)整后仍無法勝任的。
(iii)aforcemajeureeventoccursandthepartiesareunabletonegotiateandagreeuponanyamendmentstothisAgreementinordertoallowitsperformance。
由于不可抗力致使雙方無法協(xié)商同意對(duì)履行合同進(jìn)行修改。IftheEmployeewishestoterminatethisAgreement,he/sheshallgiveathirty(30)daypriorwrittennotice.TheEmployeeagreesthattheCompanyshallbeentitled,atitssolediscretion,towaivethereferencedtheEmployeeNoticePeriodandtoacceptandtreattheEmployee'snoticeofterminationasanimmediateterminationoftheAgreementbytheEmployee;providedthatifsuchwaiveroccurs,theEmployeeshallbeentitledtoreceivehis/herSalaryfortheEmployeeNoticePeriod.
員工可提前30天通知公司終止本合同。員工同意公司有權(quán)決定放棄員工通知期,在接受員工終止合同通知時(shí),視為合同立即終止。該情形下,員工有權(quán)獲通知期內(nèi)應(yīng)得的工資。UpontheterminationorexpirationofthisAgreement,theEmployeeshall,withinfive(5)workingdays,completetheproceduresrequiredforhis/herdeparturefromtheCompanyasrequiredbytheCompany,includingwithoutlimitation,totransferhis/herworkandreturnanyCompany’spropertyinhis/herpossessionorcontrol.
當(dāng)合同終止或到期時(shí),員工應(yīng)按公司要求、在5個(gè)工作日內(nèi)完成離職手續(xù),包括但不限于歸還公司物品,交接工作等。Notwithstandingtheaforesaid,oncenoticeofterminationhasbeengivenbyeithertheEmployeeortheCompany,theCompanymay,atitssolediscretion,choosetosuspendtheEmployeefromtheperformanceofhis/herdutiesand/orexcludehim/herfromanypremisesoftheCompanyortheAssociatedCompany.Remunerationandotheragreedbenefitsshallcontinuetobepaidorprovidedinaccord
