Preamble:

WHEREAS,ClientdesirestoengageDesignertoprovideprofessionaldesignservicesfortheprojectdescribedherein;and

WHEREAS,Designerdesirestobeengagedtoprovidesuchservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:

1.ServicestobeProvided

1.1ProjectDescription:

Designeragreestoprovidedesignservicesforthefollowingproject(the"Project"):

1.2DesignServices:

b)DetailedDesign:Uponapprovaloftheconceptualdesign,Designerwilldevelopdetaileddesignplans,includingfloorplans,elevations,sections,andspecifications,forClient'sreviewandapproval.

c)DesignDevelopment:DesignerwillrefinethedesignbasedonClient'sfeedbackandincorporateanynecessarychanges.

d)ConstructionDocuments:Designerwillprepareconstructiondocuments,includingdetaileddrawingsandspecifications,foruseintheconstructionoftheProject.

e)CoordinationwithConsultants:DesignerwillcoordinatewithanyconsultantsengagedbyClient,includingarchitects,engineers,andcontractors,toensurethesuccessfulcompletionoftheProject.

f)DesignImplementation:Designerwillprovideon-sitesupervisionandassistanceduringtheconstructionphasetoensurethedesignisimplementedasintended.

2.TermofAgreement

2.1Duration:

ThetermofthisAgreementshallcommenceonthedatefirstwrittenaboveandshallcontinueuntilthecompletionoftheDesignServices,oruntilterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.PaymentTerms

3.1Fees:

ClientagreestopayDesignerafeefortheDesignServicesasfollows:

4.OwnershipandIntellectualPropertyRights

4.1OwnershipofDesign:

Designershallretainallright,title,andinterestinandtothedesignconcepts,drawings,specifications,andotherintellectualpropertyrightsassociatedwiththeDesignServices(the"DesignIP").

4.2LicensetoClient:

SubjecttothetermsandconditionsofthisAgreement,DesignergrantstoClientanon-exclusive,worldwide,perpetual,irrevocable,royalty-freelicensetouse,reproduce,modify,anddistributetheDesignIPsolelyinconnectionwiththeProject.

5.Confidentiality

5.1ObligationofConfidentiality:

BothpartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedtoeachotherinconnectionwiththisAgreement(the"ConfidentialInformation").

5.2Exceptions:

Theobligationofconfidentialityshallnotapplytoinformationthatisorbecomespubliclyknownthroughnofaultofthereceivingparty,isobtainedfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality,orisindependentlydevelopedbythereceivingpartywithoutreferencetotheConfidentialInformation.

6.WarrantiesandRepresentations

6.1Designer'sWarranties:

DesignerwarrantsthattheDesignServiceswillbeperformedinaprofessionalandworkmanlikemanner,consistentwithindustrystandards.

6.2Client'sRepresentations:

ClientrepresentsandwarrantsthatithasthefullpowerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

7.Indemnification

7.1Designer'sIndemnification:

DesigneragreestoindemnifyandholdharmlessClientfromandagainstanyandallclaims,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofDesigner'sobligationsunderthisAgreement.

7.2Client'sIndemnification:

ClientagreestoindemnifyandholdharmlessDesignerfromandagainstanyandallclaims,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofClient'sobligationsunderthisAgreement.

8.Termination

8.1TerminationbyEitherParty:

EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennoticespecifyingthebreach.

8.2EffectofTermination:

UponterminationofthisAgreement,DesignershallceaseprovidingtheDesignServices,andClientshallpayDesignerforallservicesperformeduptothedateoftermination.

9.DisputeResolution

9.1Mediation:

IfadisputearisesoutoforinconnectionwiththisAgreement,thepartiesagreetofirstattempttoresolvethedisputethroughgoodfaithnegotiations.Ifthepartiesareunabletoresolvethedisputethroughnegotiations,theyagreetosubmitthedisputetobindingarbitrationinaccordancewiththerulesofthe[NameofArbitrationAssociation].

10.Miscellaneous

10.1EntireAgreement:

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
