員工保密及競業(yè)限制協(xié)議(中英文版)協(xié)議編號(AgreementNo.):________________________甲方(用人單位):________________________PartyA(Employer):________________________乙方(員工):________________________PartyB(Employee):________________________身份證號碼(IDCardNo.):________________________鑒于乙方與甲方已建立或擬建立勞動關系,乙方在工作中將接觸、知悉甲方核心商業(yè)秘密、技術信息及其他保密信息,且乙方離職后若從事競爭業(yè)務,可能嚴重損害甲方合法權益。為保護甲方商業(yè)秘密與經(jīng)營利益,明確雙方保密及競業(yè)限制權利義務,依據(jù)《中華人民共和國民法典》《中華人民共和國勞動合同法》《中華人民共和國反不正當競爭法》等相關法律法規(guī),甲乙雙方本著平等自愿、誠實信用、公平合理的原則,經(jīng)充分協(xié)商一致,訂立本協(xié)議,以資共同信守。WhereasalaborrelationshiphasbeenestablishedoristobeestablishedbetweenPartyBandPartyA,PartyBwillhaveaccesstoandknowPartyA'scoretradesecrets,technicalinformationandotherconfidentialinformationinwork.IfPartyBengagesincompetitivebusinessafterresignation,itmayseriouslydamagePartyA'slegitimaterightsandinterests.ToprotectPartyA'stradesecretsandoperationalinterests,andclarifytherightsandobligationsofbothpartiesregardingconfidentialityandnon-competition,inaccordancewiththeCivilCodeofthePeople'sRepublicofChina,theLaborContractLawofthePeople'sRepublicofChina,theAnti-UnfairCompetitionLawofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,thetwopartiesenterintothisAgreementthroughfullnegotiationontheprinciplesofequality,voluntariness,goodfaithandfairnessforjointcompliance.第一條雙方基本信息/BasicInformationofBothParties一、甲方/PartyA1.企業(yè)名稱(EnterpriseName):________________________2.統(tǒng)一社會信用代碼(UnifiedSocialCreditCode):________________________3.實際經(jīng)營地址(ActualBusinessAddress):________________________4.法定代表人(LegalRepresentative):________________________5.聯(lián)系電話(ContactPhone):________________________6.保密及競業(yè)限制管理部門(ConfidentialityandNon-CompetitionManagementDepartment):________________________二、乙方/PartyB1.姓名(FullName):________________________2.身份證號碼(IDCardNo.):________________________3.常用住址(PermanentResidentialAddress):________________________4.聯(lián)系電話(ContactPhone):________________________5.所屬部門(Department):________________________6.崗位名稱(Position):________________________7.入職日期(DateofEmployment):____年____月____日8.月平均工資(AverageMonthlySalary):人民幣__________元(離職前十二個月平均工資,用于核算競業(yè)限制經(jīng)濟補償)第二條保密信息的界定與范圍/DefinitionandScopeofConfidentialInformation2.1本協(xié)議所稱“保密信息”(ConfidentialInformation),指甲方所有或合法持有、尚未公開披露,且對甲方具有商業(yè)價值、能為甲方帶來競爭優(yōu)勢,或甲方明確標注“保密”“機密”“內(nèi)部資料”等字樣的全部信息,包括但不限于甲方在經(jīng)營管理、技術研發(fā)、市場運營、客戶服務、財務管理等活動中形成、獲取或持有的各類信息,以及乙方在職期間基于工作崗位接觸、制作、整理、保管的與甲方相關的全部未公開信息。2.1Theterm"ConfidentialInformation"asusedinthisAgreementreferstoallinformationownedorlegallyheldbyPartyA,notyetpubliclydisclosed,whichhascommercialvalueforPartyA,canbringcompetitiveadvantagestoPartyA,ormarkedbyPartyAas"Confidential","Secret","InternalMaterial"andotherwords.Itincludesbutisnotlimitedtovariousinformationformed,obtainedorheldbyPartyAinactivitiessuchasoperationandmanagement,technologicalresearchanddevelopment,marketoperation,customerservice,financialmanagement,aswellasallnon-publicinformationrelatedtoPartyAthatPartyBcontacts,produces,collatesandkeepsbasedonthejobpositionduringemployment.2.2保密信息具體涵蓋以下類別,無論其表現(xiàn)形式為書面、電子、口頭、實物或其他形式:2.2TheConfidentialInformationspecificallycoversthefollowingcategories,regardlessoftheirformsofwritten,electronic,oral,physicalorotherforms:(一)技術類信息(TechnicalInformation):核心技術方案、技術架構、源代碼、算法模型、產(chǎn)品設計圖紙及技術參數(shù)、生產(chǎn)工藝流程、技術配方、實驗數(shù)據(jù)及分析報告、技術研發(fā)路線圖、未公開的專利技術及專利申請文件、技術改進方案、技術合作協(xié)議及相關資料、商業(yè)軟件授權及操作權限等;(I)TechnicalInformation:Coretechnicalsolutions,technicalarchitecture,sourcecodes,algorithmmodels,productdesigndrawingsandtechnicalparameters,productionprocesses,technicalformulas,experimentaldataandanalysisreports,technicalR&Droadmaps,undisclosedpatentedtechnologiesandpatentapplicationdocuments,technicalimprovementplans,technicalcooperationagreementsandrelatedmaterials,commercialsoftwareauthorizationandoperationpermissions,etc.;(二)經(jīng)營類信息(OperationalInformation):企業(yè)發(fā)展戰(zhàn)略及規(guī)劃、商業(yè)計劃書、客戶名單及完整檔案(含聯(lián)系方式、交易記錄、信用狀況、合作需求、合作期限等)、潛在客戶資源、市場調(diào)研數(shù)據(jù)、市場拓展策略、定價策略及利潤空間、廣告投放方案、營銷推廣計劃、品牌運營策略、供應商資源及核心合作條款、采購及銷售渠道等;(II)OperationalInformation:Enterprisedevelopmentstrategyandplan,businessplan,customerlistsandcompletefiles(includingcontactinformation,transactionrecords,creditstatus,cooperationneeds,cooperationperiod,etc.),potentialcustomerresources,marketresearchdata,marketexpansionstrategies,pricingstrategiesandprofitmargins,advertisingplans,marketingpromotionplans,brandoperationstrategies,supplierresourcesandcorecooperationterms,procurementandsaleschannels,etc.;(三)財務類信息(FinancialInformation):年度/季度/月度財務報表、成本核算數(shù)據(jù)、盈利預測報告、財務預算及決算方案、資金流向及調(diào)度明細、稅務籌劃方案、投融資計劃及可行性報告、核心資產(chǎn)清單及估值、應收賬款及應付賬款明細等;(III)FinancialInformation:Annual/quarterly/monthlyfinancialstatements,costaccountingdata,profitforecastreports,financialbudgetandfinalaccountsplans,capitalflowandschedulingdetails,taxplanningplans,investmentandfinancingplansandfeasibilityreports,coreassetlistsandvaluations,accountsreceivableandpayabledetails,etc.;(四)管理類信息(ManagementInformation):內(nèi)部管理制度、組織架構、核心崗位設置、人力資源規(guī)劃、人才儲備名單、會議紀要(尤其是涉及重大決策、商業(yè)談判的內(nèi)容)、未公開重大經(jīng)營決策、內(nèi)部培訓資料、核心工作流程及話術、保密管理制度及流程等;(IV)ManagementInformation:Internalmanagementsystems,organizationalstructure,corepostsettings,humanresourceplans,talentreservelists,meetingminutes(especiallythoseinvolvingmajordecisionsandbusinessnegotiations),undisclosedmajorbusinessdecisions,internaltrainingmaterials,coreworkprocessesandscripts,confidentialitymanagementsystemsandprocesses,etc.;(五)其他保密信息(OtherConfidentialInformation):甲方明確告知乙方需保密的其他信息,乙方基于工作崗位可合理推斷為保密性質(zhì)的未公開信息,以及甲乙雙方在合作過程中知悉的對方未公開的商業(yè)信息。(V)OtherConfidentialInformation:OtherinformationthatPartyAexplicitlyinformsPartyBtokeepconfidential,non-publicinformationthatPartyBcanreasonablyinferasconfidentialbasedonthejobposition,andothernon-publiccommercialinformationofeachotherknownbybothpartiesinthecourseofcooperation.2.3下列信息不屬于本協(xié)議項下保密信息,乙方無需承擔保密義務:2.3ThefollowinginformationisnottheConfidentialInformationunderthisAgreement,andPartyBshallnotbeliableforconfidentiality:(一)在乙方接觸前,已通過公開渠道(如官方發(fā)布、行業(yè)期刊、公開數(shù)據(jù)庫等)合法公開,且乙方無任何過錯的信息;(I)Informationthathasbeenlegallypublishedthroughpublicchannels(suchasofficialreleases,industryjournals,publicdatabases,etc.)beforePartyB'scontactandforwhichPartyBhasnofault;(二)乙方在未接觸甲方任何保密信息的前提下,通過自身獨立研究、學習、實踐獲得的信息,且能提供有效證據(jù)證明其合法來源;(II)InformationobtainedbyPartyBthroughindependentresearch,studyandpracticewithoutcontactinganyConfidentialInformationofPartyA,andeffectiveevidencecanbeprovidedtoproveitslegalsource;(三)乙方從第三方合法、善意獲取的信息,且第三方對該信息無保密義務,乙方獲取過程無惡意,亦未違反任何法律法規(guī)及約定;(III)InformationlegallyandingoodfaithobtainedbyPartyBfromathirdpartywhohasnoconfidentialityobligationfortheinformation,andPartyBhasnobadfaithintheacquisitionprocessandhasnotviolatedanylaws,regulationsoragreements;(四)依據(jù)司法機關、行政監(jiān)管部門生效文書要求或法律法規(guī)強制性規(guī)定必須披露的信息,乙方應提前24小時書面通知甲方(緊急情況除外),并配合甲方采取合理措施減輕披露帶來的不利影響。(IV)Informationthatmustbedisclosedinaccordancewiththerequirementsofeffectivedocumentsofjudicialorgansandadministrativesupervisiondepartmentsormandatoryprovisionsoflawsandregulations.PartyBshallnotifyPartyAinwriting24hoursinadvance(exceptinemergencycases)andcooperatewithPartyAtotakereasonablemeasurestomitigatetheadverseimpactcausedbythedisclosure.第三條乙方的保密義務/ConfidentialityObligationsofPartyB3.1在職期間,乙方應嚴格遵守甲方保密管理制度及本協(xié)議約定,秉持審慎、勤勉原則,對接觸、知悉的全部保密信息履行保密義務,未經(jīng)甲方保密及競業(yè)限制管理部門或法定代表人書面明確同意,不得向任何第三方(包括乙方親友、非相關崗位同事、其他單位或個人)以披露、泄露、傳播、復制、摘抄、出租、出借、贈與、共享等任何形式泄露保密信息,亦不得將其用于與甲方工作無關的任何活動。3.1Duringemployment,PartyBshallstrictlyabidebyPartyA'sconfidentialitymanagementsystemandtheprovisionsofthisAgreement,andinaccordancewiththeprinciplesofprudenceanddiligence,performtheconfidentialityobligationforallConfidentialInformationcontactedandknown.WithouttheexplicitwrittenconsentofPartyA'sConfidentialityandNon-CompetitionManagementDepartmentorlegalrepresentative,PartyBshallnotdisclosetheConfidentialInformationtoanythirdparty(includingPartyB'srelativesandfriends,colleaguesinirrelevantpositions,otherunitsorindividuals)inanyformsuchasdisclosure,leakage,dissemination,copying,extraction,leasing,lending,donation,sharing,noruseitforanyactivitiesunrelatedtoPartyA'swork.3.2乙方應按甲方規(guī)定的范圍和權限使用保密信息,不得擅自擴大接觸范圍、超越工作權限獲取或使用保密信息。對電子保密信息,應采取加密存儲、設置訪問密碼、定期備份等安全防護措施,不得擅自拷貝、傳輸至非工作設備(如私人電腦、手機等),不得通過非工作郵箱、社交軟件等傳輸保密信息;對紙質(zhì)保密信息,應妥善保管,存放于甲方指定的保密文件柜或保密區(qū)域,使用后及時歸檔,作廢文件需按甲方規(guī)定流程銷毀,不得隨意丟棄、遺失或帶出工作區(qū)域。3.2PartyBshallusetheConfidentialInformationwithinthescopeandauthorityspecifiedbyPartyA,andshallnotarbitrarilyexpandthescopeofcontactorobtainorusetheConfidentialInformationbeyondthejobauthority.ForelectronicConfidentialInformation,securityprotectionmeasuressuchasencryptedstorage,accesspasswordsetting,andregularbackupshallbeadopted.Itshallnotbearbitrarilycopiedortransmittedtonon-workequipment(suchaspersonalcomputers,mobilephones,etc.),nortransmittedthroughnon-workemail,socialsoftware,etc.;forpaperConfidentialInformation,itshallbeproperlykept,storedintheconfidentialfilecabinetorconfidentialareadesignatedbyPartyA,filedinatimelymannerafteruse,andobsoletedocumentsshallbedestroyedinaccordancewithPartyA'sspecifiedprocedures,andshallnotbearbitrarilydiscarded,lostortakenoutoftheworkarea.3.3乙方應積極配合甲方的保密管理工作,接受甲方組織的保密培訓、考核、檢查與監(jiān)督,主動學習保密知識,提高保密意識。發(fā)現(xiàn)保密信息泄露風險、疑似泄露或已泄露時,應立即采取有效措施制止泄露行為、控制泄露范圍,同時在24小時內(nèi)書面或口頭向甲方保密及競業(yè)限制管理部門或直接上級報告,詳細說明泄露情況、原因及已采取的補救措施,并全力配合甲方開展調(diào)查、追責及后續(xù)補救工作。3.3PartyBshallactivelycooperatewithPartyA'sconfidentialitymanagementwork,acceptconfidentialitytraining,assessment,inspectionandsupervisionorganizedbyPartyA,taketheinitiativetolearnconfidentialityknowledge,andimproveconfidentialityawareness.Whenfindingtheriskofdisclosure,suspecteddisclosureordisclosureofConfidentialInformation,PartyBshallimmediatelytakeeffectivemeasurestostopthedisclosureandcontrolthescopeofdisclosure,andreportinwritingororallytoPartyA'sConfidentialityandNon-CompetitionManagementDepartmentordirectsupervisorwithin24hours,detailingthedisclosuresituation,causesandremedialmeasurestaken,andfullycooperatewithPartyAininvestigation,accountabilityandsubsequentremedialwork.3.4乙方離職后,其保密義務并不因勞動關系終止而免除,仍需對在職期間接觸、知悉的全部保密信息承擔本協(xié)議約定的保密責任,直至該信息成為非保密信息為止。離職時,乙方不得攜帶任何保密信息及存儲載體離開工作崗位,需按甲方要求完成保密信息及載體的返還、交接工作。3.4AfterPartyB'sresignation,itsconfidentialityobligationshallnotbeexemptedduetotheterminationofthelaborrelationship,anditshallstillbeliablefortheconfidentialityofallConfidentialInformationcontactedandknownduringemploymentinaccordancewiththisAgreementuntiltheinformationbecomesnon-confidentialinformation.Uponresignation,PartyBshallnottakeanyConfidentialInformationandstoragecarriersawayfromtheworkpost,andshallcompletethereturnandhandoverofConfidentialInformationandcarriersinaccordancewithPartyA'srequirements.第四條競業(yè)限制約定/Non-CompetitionProvisions4.1競業(yè)限制范圍(ScopeofNon-Competition):乙方離職后,不得在與甲方經(jīng)營同類業(yè)務且存在競爭關系的單位任職(包括但不限于全職、兼職、顧問、股東等任何形式),不得自行經(jīng)營或與他人合作經(jīng)營與甲方同類業(yè)務,亦不得為該等單位提供任何形式的服務或協(xié)助。4.1ScopeofNon-Competition:AfterPartyB'sresignation,itshallnotholdanyposition(includingbutnotlimitedtofull-time,part-time,consultant,shareholder,etc.)inanyunitthatoperatesthesametypeofbusinessasPartyAandhasacompetitiverelationshipwithPartyA,shallnotoperateindependentlyorcooperatewithotherstooperatethesametypeofbusinessasPartyA,norprovideanyformofserviceorassistancetosuchunits.4.2競業(yè)限制地域(RegionofNon-Competition):本協(xié)議項下競業(yè)限制地域為甲方實際經(jīng)營所在地、乙方在職期間負責的業(yè)務區(qū)域,以及甲方未來三年計劃拓展的業(yè)務區(qū)域,具體范圍為:________________________。4.2RegionofNon-Competition:Theregionofnon-competitionunderthisAgreementreferstotheactualbusinesslocationofPartyA,thebusinessarearesponsiblebyPartyBduringemployment,andthebusinessareathatPartyAplanstoexpandinthenextthreeyears.Thespecificscopeis:________________________.4.3競業(yè)限制期限(TermofNon-Competition):自乙方離職之日起計算,期限為兩年。若法律法規(guī)對競業(yè)限制期限有更嚴格規(guī)定的,從其規(guī)定。4.3TermofNon-Competition:CalculatedfromthedateofPartyB'sresignation,thetermistwoyears.Ifthelawsandregulationshavestricterprovisionsonthetermofnon-competition,suchprovisionsshallprevail.4.4競業(yè)限制經(jīng)濟補償(EconomicCompensationforNon-Competition):甲方應在乙方離職后,按每月人民幣__________元(不低于乙方離職前十二個月平均工資的30%,且不低于勞動合同履行地最低工資標準)向乙方支付競業(yè)限制經(jīng)濟補償。補償按月支付,支付時間為每月15日前,支付方式為銀行轉(zhuǎn)賬至乙方指定賬戶。若雙方未約定補償標準,按乙方離職前十二個月平均工資的30%按月支付,低于當?shù)刈畹凸べY標準的,按最低工資標準支付。4.4EconomicCompensationforNon-Competition:PartyAshallpayeconomiccompensationfornon-competitiontoPartyBatRMB__________permonthafterPartyB'sresignation(notlessthan30%ofPartyB'saveragemonthlysalaryinthetwelvemonthsbeforeresignation,andnotlessthantheminimumwagestandardoftheplacewherethelaborcontractisperformed).Thecompensationshallbepaidmonthlybeforethe15thofeachmonthbybanktransfertotheaccountdesignatedbyPartyB.Ifthetwopartiesdonotagreeonthecompensationstandard,itshallbepaidmonthlyat30%ofPartyB'saveragemonthlysalaryinthetwelvemonthsbeforeresignation;ifitislowerthanthelocalminimumwagestandard,itshallbepaidattheminimumwagestandard.4.5補償支付終止(TerminationofCompensationPayment):乙方違反競業(yè)限制約定的,甲方有權立即停止支付經(jīng)濟補償,并追究乙方違約責任;競業(yè)限制期限屆滿或甲方書面通知乙方解除競業(yè)限制義務的,補償支付終止。4.5TerminationofCompensationPayment:IfPartyBviolatesthenon-competitionagreement,PartyAhastherighttoimmediatelystoppayingtheeconomiccompensationandpursuePartyB'sliabilityforbreachofcontract;thecompensationpaymentshallterminatewhenthenon-competitiontermexpiresorPartyAnotifiesPartyBinwritingtoterminatethenon-competitionobligation.第五條保密信息的返還與銷毀/ReturnandDestructionofConfidentialInformation5.1乙方離職(包括試用期離職)或甲方提出書面要求后7日內(nèi),應將其持有的全部保密信息原件、復印件、掃描件、電子文檔、衍生成果及所有存儲載體(包括但不限于U盤、硬盤、光盤、移動硬盤、筆記本、圖紙、文件資料、錄音錄像資料等)一并返還給甲方保密及競業(yè)限制管理部門指定負責人,不得留存任何形式的副本、備份、緩存數(shù)據(jù)、云端備份或殘留數(shù)據(jù)。5.1Within7daysafterPartyB'sresignation(includingresignationduringprobationperiod)orPartyA'swrittenrequest,PartyBshallreturnalloriginals,copies,scannedcopies,electronicdocuments,derivativeachievementsandallstoragecarriers(includingbutnotlimitedtoUdisks,harddisks,CDs,mobileharddisks,notebooks,drawings,documents,audioandvideomaterials,etc.)oftheConfidentialInformationinitspossessiontothepersoninchargedesignatedbyPartyA'sConfidentialityandNon-CompetitionManagementDepartment,andshallnotretainanycopies,backups,cachedata,cloudbackupsorresidualdatainanyform.5.2對存儲于乙方私人設備中的電子保密信息,乙方應在甲方保密及競業(yè)限制管理部門工作人員監(jiān)督下予以徹底刪除、銷毀,并出具書面確認函,詳細說明返還/銷毀的信息名稱、數(shù)量、存儲載體及方式,明確承諾無任何留存,對確認函內(nèi)容的真實性、完整性承擔全部法律責任。5.2ForelectronicConfidentialInformationstoredinPartyB'spersonalequipment,PartyBshallcompletelydeleteanddestroyitunderthesupervisionofthestaffofPartyA'sConfidentialityandNon-CompetitionManagementDepartment,andissueawrittenconfirmationletter,detailingthename,quantity,storagecarrierandmethodofthereturned/destroyedinformation,explicitlycommittingnoretentioninanyform,andbearingfulllegalliabilityforthetruthfulnessandcompletenessofthecontentoftheconfirmationletter.5.3甲方有權對乙方返還、銷毀保密信息的情況進行核查、審計,乙方應予以全面配合,提供必要的協(xié)助和證明材料。5.3PartyAhastherighttoverifyandauditthereturnanddestructionofConfidentialInformationbyPartyB,andPartyBshallfullycooperateandprovidenecessaryassistanceandsupportingmaterials.第六條違約責任/LiabilityforBreachofContract6.1保密違約責任(LiabilityforBreachofConfidentiality):若乙方違反本協(xié)議第三條保密義務,應立即停止違約行為,采取有效措施消除影響、挽回損失,向甲方出具書面道歉函,并支付違約金人民幣叁萬元整(大寫:叁萬元整)。若違約金不足以彌補甲方全部損失(包括但不限于直接經(jīng)濟損失、間接經(jīng)濟損失、商譽損失、客戶流失損失、維權費用等),乙方應就不足部分足額賠償。6.1LiabilityforBreachofConfidentiality:IfPartyBviolatestheconfidentialityobligationinArticle3ofthisAgreement,itshallimmediatelyceasethebreach,takeeffectivemeasurestoeliminatetheimpactandrecoverlosses,issueawrittenapologylettertoPartyA,andpayliquidateddamagesofRMB30,000yuan(inwords:RMBThirtyThousandYuanOnly).IftheliquidateddamagesareinsufficienttocoveralllossesofPartyA(includingbutnotlimitedtodirecteconomiclosses,indirecteconomiclosses,goodwilllosses,customerlosslosses,rightsprotectioncosts,etc.),PartyBshallfullycompensatefortheshortfall.6.2競業(yè)限制違約責任(LiabilityforBreachofNon-Competition):若乙方違反本協(xié)議第四條競業(yè)限制約定,應立即停止違約行為,返還甲方已支付的全部競業(yè)限制經(jīng)濟補償,向甲方支付違約金人民幣伍萬元整(大寫:伍萬元整),同時賠償甲方因此遭受的全部損失(包括但不限于經(jīng)濟損失、商譽損失、維權費用等)。若乙方違約行為情節(jié)嚴重,甲方有權要求乙方返還因違約行為獲得的全部非法收益。6.2LiabilityforBreachofNon-Competition:IfPartyBviolatesthenon-competitionagreementinArticle4ofthisAgreement,itshallimmediatelyceasethebreach,returnalleconomiccompensationfornon-competitionpaidbyPartyA,payliquidateddamagesofRMB50,000yuan(inwords:RMBFiftyThousandYuanOnly)toPartyA,andcompensatePartyAforalllossescausedthereby(includingbutnotlimitedtoeconomiclosses,goodwilllosses,rightsprotectioncosts,etc.).IfPartyB'sbreachisserious,PartyAhastherighttorequirePartyBtoreturnallillegalgainsobtainedfromthebreach.6.3加重違約處理(AggravatedBreachHandling):若乙方故意泄露甲方核心商業(yè)秘密、多次違反本協(xié)議約定,或因違約行為導致甲方核心競爭力受損、遭受重大經(jīng)濟損失的,甲方有權單方解除與乙方的勞動合同(無需支付經(jīng)濟補償金),沒收乙方已獲得的相關獎金福利,追究乙方全部賠償責任,并保留向司法機關報案、追究乙方民事、行政乃至刑事責任的權利。6.3AggravatedBreachHandling:IfPartyBintentionallydisclosesPartyA'scoretradesecrets,repeatedlyviolatestheprovisionsofthisAgreement,orcausesdamagetoPartyA'scorecompetitivenessorsignificanteconomiclossesduetothebreach,PartyAhastherighttounilaterallyterminatethelaborcontractwithPartyB(withoutpayingeconomiccompensation),confiscatetherelevantbonusesandbenefitsobtainedbyPartyB,pursuePartyB'sfullcompensationliability,andreservetherighttoreporttojudicialorgansandpursuePartyB'scivil,administrativeandevencriminalliabilities.第七條爭議解決/DisputeResolution7.1因本協(xié)議的簽訂、履行、解釋、變更、終止及爭議解決等事宜產(chǎn)生的任何糾紛,雙方應首先通過友好協(xié)商解決;協(xié)商不成的,任何一方均有權向甲方所在地有管轄權的勞動爭議仲裁委員會申請仲裁,對仲裁裁決不服的,可依法向甲方所在地人民法院提起訴訟。7.1Anydisputearisingfromthesigning,performance,interpretation,modification,terminationanddisputeresolutionofthisAgreementshallfirstberesolvedthroughfriendlynegotiationbetweenthetwoparties;ifnegotiationfails,eitherpartyhastherighttoapplyforarbitrationtothelabordisputearbitrationcommissionwithjurisdictionintheplacewherePartyAislocated,andifdissatisfiedwiththearbitrationaward,mayfilealawsuitwiththepeople'scourtintheplacewherePartyAislocatedinaccordancewiththelaw.7.2爭議解決期間,除爭議事項外,雙方應繼續(xù)履行本協(xié)議其他條款,不得因爭議而中止或終止協(xié)議的履行。7.2Duringthedisputeresolutionperiod,bothpartiesshallcontinuetoperformotherclausesofthisAgreementexceptforthedisputedmatters,andshallnotsuspendorterminatetheperformanceoftheAgreementduetothedispute.第八條其他約定/OtherProvisions8.1本協(xié)議自雙方簽字蓋章之日起生效,一式貳份,甲乙雙方各執(zhí)壹份,每份具有同等法律效力,與雙方簽訂的勞動合同具有同等約束力,可作為追究違約責任的有效依據(jù)。8.1ThisAgreementshalltakeeffectonthedateofsignatureandsealbybothparties,induplicate,withPartyAandPartyBeachholdingonecopy,eachhavingthesamelegaleffectandthesamebindingforceasthelaborcontractsignedbybothparties,and
