Inspection is conducted during the transfer from the Bonded Warehouse to the Open Warehouse.The weighing and sampling shall be carried out by SGS in accordance with standard and customary international practic

17、根據(jù)文件。3、SGS的檢驗(yàn)證書(shū)及數(shù)量。4、商業(yè)發(fā)票。9.0OTHER DELIVERY TERMSThe Seller shall ensure that all necessary documents and applicable regulations of Local Government, Ports and Customs Authorities and other Institutions involved are strictly adhered to and complied with.Title for the goods will pass from Seller to B

19、至賣家。此合同尚未提到的條款，將按照INCOTERMS2000中對(duì)倉(cāng)庫(kù)交易條款的解釋。10.0 TAXES AND DUTIESThe Seller will ensure that all taxes and duties imposed by the Country of Port of Origin pertaining to the export of Copper Cathode Plates have been paid.10.0稅、及關(guān)稅賣家支付所有的關(guān)于銅板出口方面的裝運(yùn)港的各項(xiàng)b稅與關(guān)稅，買家支付所有關(guān)于銅板進(jìn)口方面所有到達(dá)港的稅與關(guān)稅。11.0 FORCE MAJEUREE

20、ither the SELLER or BUYER hereto shall be liable or responsible for any failure to fulfill their obligations and responsibilities under this SPAC, if fulfillment has been prevented orcurtailed by any circumstances whatsoever beyond the reasonable control of Seller and Buyer hereto, as the case may b

21、e including without prejudice, due to the following factors:1. Civil strike, riots or war2. Strike, lockout or labor dispute3. Adverse weather or peril of the sea or embargoes4. Delays of vessel due to breakdown provided always that nothing contained herein shall relieve the Buyer of any of his obli

22、gations to make payments due to the Seller under this SPAC according to the provision of the Payment Terms under this SPAC once the consignment is delivered.In the event of circumstances of Force Majeure lasting more than Ninety 30 days, the Buyer hereto shall have the right to cancel this SPAC part

23、ly or fully. In such a case, none of the Parties here of shall have the right to any compensation for possible losses by either party.The Party seeking relief under these provisions shall advise the other Party as soon as practical of the circumstances causing the failure to fulfill its obligations

24、and shall thereafter providesuch information as is available regarding the progress or cessation of those circumstances. The Certificate issued by the respective Chamber of Commerce in the country where Force Majeure arises shall be sufficient proof of such circumstances.11.0不可抗拒力若出現(xiàn)下列中雙方不可控的情況，買賣雙方

25、均不承擔(dān)責(zé)任：1、暴亂，戰(zhàn)爭(zhēng)；2、罷工，停業(yè)，勞工起義；3、惡劣天氣，導(dǎo)致無(wú)法靠泊；4、只要是船貨已經(jīng)發(fā)出，但船的破損造成延誤，買方也應(yīng)按照合同付款條例進(jìn)行付款。若出現(xiàn)不可抗拒力的情況持續(xù)了90天，買方有權(quán)利部分或全部的撤消合同。這種情況下，雙方都無(wú)權(quán)就自己的損失向?qū)Ψ揭笱a(bǔ)償。提出免責(zé)的一方應(yīng)在狀況出現(xiàn)時(shí)就馬上通知另一方，自己無(wú)法執(zhí)行合同，并且提供狀況的各方面信息，所在國(guó)商務(wù)部發(fā)出的證書(shū)可以作為不可抗拒力的證明。12.0 BREACH OF THIS SPAC/ARBITRATION/JURISDICTIONBoth Parties hereby agree that except for

26、the provisions of the Force Majeur as described under clause 11 above, any breach of any of the provisions of this SPAC shall be settled amicably between both Parties. Upon failure to reach an amicable settlement, both Parties hereby agree to submit to Arbitration under the Laws of Arbitration of th

27、e country of jurisdiction.Both parties hereby to abide by the result of the Arbitration Process. If the dispute is not resolved by arbitration and necessitate bringing the dispute under the legal process, the jurisdiction shall be that of the Courts of Law in Switzerland.12.0違約后的仲裁或起訴雙方同意除了不可抗拒力外，若有

No disclosure to any other person, institutions, companies, corporations etc, shall be enter

29、tained or given access to information without prior consent by either Party. Nobody under the employ or assigns of either Party hereof shall circumvent either Party in transactingthe same business with any of the Principals under this transaction, whether during or after the maturity of this particu

30、lar transaction. Should any of the Parties involve herein conduct or transact the same business with any of the principals herein without the knowledge of the other Party, the Party in breach of this provision shall compensate the aggrieved Party equivalent to the commissions as committed under the

The addresses provided herein, such as postal address, office physical address, fax, telephone, telex and email addresses, shall beused in all forms of communication. Should any of the Parties hereto change their address, such change should be communicated in writi

33、ng to the other Party. This is the SALE-PURCHASE AGREEMENT CONTRACT in its entirety.
