7、dtothefollowing:AnybreachofprovisionshereofshallconstitutethematerialbreachofthisAgreementWithoutprejudicetothereliefmeasuresthatPartyAisentitledtoallremedialmeasuresundertherelatedagreementorlaws,PartyAisentitledtounilaterallytakesomeorallofthefollowingmeasuresifPartyBactsinbreachofprovisionsofthis

9、eforwhichtheundersignedmaylegallycontractortherateof18%perannAllpast-dueprincipaland/orinterestshallum(theDefaultRate),andsuchDefaultRateshallcontinuetoapplyfollowingajudgmentinfavorofPartyAunderthisAgreement.IfPartyBfailstokeanypaymentorinstallmentdueunderthisAgreementwithinfivedaysofitsduedate,the

12、thereof,requirePartyBtotakewhateverstepsasmaybenecessarytoachieveperformanceoftheobligationthereof,inaccordancewithtermsoftheAgreement.Article4ConfidentialityAnypartyofthisagreementshallnotdisclosetherelevantmattertoanythirdPartyBeforetheaccomplishmentoftheforegoingtransactionwithouttheconsentoftheo

13、therpartyunlessspecificallysetforthbytherelevantrulesandregulationsofPRC,thearticleofcompanyoranyotheragreementreachedbybothpartiesinwriting.Article6DisputeSettlementBothpartiesagreethatanydisputearisingoutorrelatingtothisagreementshallbesettledinthecourtofcompetentjurisdiction.Article7Miscellaneous1.Thisagreementwillcomeintoeffect3.INWITNESSWHEREOF,thepresentAgreementismadeintwo(3)originalswitheachpartyhold
