買賣雙方同意按照以下條款訂立本協(xié)議：

thesellerandthebuyeragreetoconcludethiscontractsubjecttothetermsandconditionsstatedbelow：

7.包裝及標準(packing)：

貨物應具備防潮、防銹蝕、防震并適合于遠洋運輸包裝，因為貨物包裝不良而造成貨物殘損、滅失應由賣方負責。賣方應在每個包裝箱上用不褪色顏色標明尺碼、包裝箱號碼、毛重、凈重及“此端向上”、“防潮”、“小心輕放”等標識。

thepackingofthegoodsshallbepreventivefromdampness，rust，moisture，erosionandshock，andshallbesuitableforoceantransportation/multipletransportation.thesellershallbeliableforanydamageandlossofthegoodsattributabletotheinadequateorimproperpacking.themeasurement，grossweight，netweightandthecautionssuchas“donotstackupsidedown”，“keepawayfrommoisture”，“handlewithcare”shallbestenciledonthesurfaceofeachpackagewithfadelesspigment.

由按發(fā)票金額110%投保險和附加險。

13.付款條件(termsofpayment)：

(1)信用證方式：買方應在裝運期前/協(xié)議生效后日，開出以賣方為受益人不可撤消議付信用證，信用證在裝船完成后日內(nèi)到期。

(2)付款交單：貨物發(fā)運后，賣方出具以買方為付款人付款跟單匯票，按即期付款交單(d/p)方式，經(jīng)過賣方銀行及銀行向買方轉(zhuǎn)交單證，換取貨物。

(3)承兌交單：貨物發(fā)運后，賣方出具以買方為付款人付款跟單匯票，付款期限為后日，按即期承兌交單(d/a日)方式，經(jīng)過賣方銀行及銀行，經(jīng)買方承兌后，向買方轉(zhuǎn)交單證，買方在匯票期限到期時支付貨款。

(4)貨到付款：買方在收到貨物后天內(nèi)將全部貨款支付賣方(不適適用于fob、crf、cif術(shù)語)。

cashondelivery(cod)：thebuyershallpaytothesellertotalamountwithindaysafterthereceiptofthegoods(thisclauseisnotappliedtothetermsoffob，cfr，cif)。

14.單據(jù)(documentsrequired)：

賣方應將以下單據(jù)提交銀行議付/托收：

thesellershallpresentthefollowingdocumentsrequiredtothebankfornegotiation/collection：

(1)標明通知收貨人/受貨代理人全套清潔、已裝船、空白抬頭、空白背書并注明運費已付/到付海運/聯(lián)運/陸運提單。

(2)標有協(xié)議編號、信用證號(信用證支付條件下)及裝運嘜頭商業(yè)發(fā)票一式份;

signedcommercialinvoiceincopiesindicatingcontractno.，l/cno.(termsofl/c)andshippingmarks;

(3)由出具裝箱或重量單一式份;

packinglist/weightmemoincopiesissuedby;

(4)由出具質(zhì)量證實書一式份;

certificateofqualityincopiesissuedby;

(5)由出具`數(shù)量證實書一式份;

certificateofquantityincopiesissuedby;

(6)保險單正本一式份(cif交貨條件);

insurancepolicy/certificateincopies(termsofcif);

(7)簽發(fā)產(chǎn)地證一式份;

certificateoforiginincopiesissuedby;

(8)裝運通知(shippingadvice)：賣方應在交運后小時內(nèi)以特快專遞方式郵寄給買方上述第項單據(jù)副本一式一套。

15.裝運條款(termsofshipment)：

(1)fob交貨方式

賣方應在協(xié)議要求裝運日期前30天，以方式通知買方協(xié)議號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期，方便買方安排租船/訂艙。裝運船只按期抵達裝運港后，如賣方不能按時裝船，發(fā)生空船費或滯期費由賣方負擔。在貨物越過船弦并脫離吊鉤以前一切費用和風險由賣方負擔。

(2)cif或cfr交貨方式

賣方須按時在裝運期限內(nèi)將貨物由裝運港裝船至目標港。在cfr術(shù)語下，賣方應在裝船前2天以方式通知買方協(xié)議號、品名、發(fā)票價值及開船日期，方便買方安排保險。

16.裝運通知(shippingadvice)：

一俟裝載完成，賣方應在小時內(nèi)以方式通知買方協(xié)議編號、品名、已發(fā)運數(shù)量、發(fā)票總金額、毛重、船名/車/機號及啟程日期等。

17.質(zhì)量確保(qualityguarantee)：

貨物品質(zhì)規(guī)格必須符合本協(xié)議及質(zhì)量確保書之要求，品質(zhì)確保期為貨到目標港個月內(nèi)。在確保期限內(nèi)，因制造廠商在設計制造過程中缺點造成貨物損害應由賣方負責賠償。

18.檢驗(inspection)(以下兩項任選一項)：

(1)賣方須在裝運前日委托檢驗機構(gòu)對本協(xié)議之貨物進行檢驗并出具檢驗證書，貨到目標港后，由買方委托檢驗機構(gòu)進行檢驗。

(2)發(fā)貨前，制造廠應對貨物質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全方面檢驗，出具檢驗證實書，并說明檢驗技術(shù)數(shù)據(jù)和結(jié)論。貨到目標港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物規(guī)格和數(shù)量/重量進行檢驗，如發(fā)覺貨物殘損或規(guī)格、數(shù)量與協(xié)議要求不符，除保險企業(yè)或輪船企業(yè)責任外，買方得在貨物抵達目標港后日內(nèi)憑商檢局出具檢驗證書向賣方索賠或拒收該貨。在確保期內(nèi)，如貨物因為設計或制造上缺點而發(fā)生損壞或品質(zhì)和性能與協(xié)議要求不符時，買方將委托中國商檢局進行檢驗。

themanufacturersshall，beforedelivery，makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality，specifications，performanceandquantity/weight，andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.afterarrivalofthegoodsattheportofdestination，thebuyershallapplytochinacommodityinspectionbureau(hereinafterreferredtoasccib)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.ifdamagesofthegoodsarefound，orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthiscontract，exceptwhentheresponsibilitieslieswithinsurancecompanyorshippingcompany，thebuyershall，withindaysafterarrivalofthegoodsattheportofdestination，claimagainsttheseller，orrejectthegoodsaccordingtotheinspectioncertificateissuedbyccib.incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththecontract，thebuyershall，duringtheguaranteeperiod，requestccibtomakeasurvey.

19.索賠(claim)：

買方憑其委托檢驗機構(gòu)出具檢驗證實書向賣方提出索賠(包含換貨)，由此引發(fā)全部費用應由賣方負擔。若賣方收到上述索賠后天未予回復，則認為賣方已接收買方索賠。

thebuyershallmakeaclaimagainsttheseller(includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheseller.theclaimsmentionedaboveshallberegardedasbeingacceptedifthesellerfailtoreplywithindaysafterthesellerreceivedthebuyer‘sclaim.

20.遲交貨與罰款(latedeliveryandpenalty)：

除協(xié)議第21條不可抗力原因外，如賣方不能按協(xié)議要求時間交貨，買方應同意在賣方支付罰款條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按天天收%，不足天時以天計算。但罰款不得超出遲交貨物總價%.如賣方延期交貨超出協(xié)議要求天時，買方有權(quán)撤消協(xié)議，此時，賣方仍應不拖延地按上述要求向買方支付罰款。

買方有權(quán)對所以遭受其它損失向賣方提出索賠。

shouldthesellerfailtomakedeliveryontimeasstipulatedinthecontract，withtheexceptionofforcemajeurecausesspecifiedinclause21ofthiscontract，thebuyershallagreetopostponethedeliveryontheconditionthattheselleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.therateofpenaltyischargedat%foreverydays，odddayslessthandaysshouldbecountedasdays.butthepenalty，however，shallnotexceed%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.incasethesellerfailtomakedeliverydayslaterthanthetimeofshipmentstipulatedinthecontract，thebuyershallhavetherighttocancelthecontractandtheseller，inspiteofthecancellation，shallneverthelesspaytheaforesaidpenaltytothebuyerwithoutdelay.

thebuyershallhavetherighttolodgeaclaimagainstthesellerforthelossessustainedifany.21.不可抗力(forcemajeure)：

凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發(fā)生上述情況時，賣方應立刻通知買方，并在天內(nèi)，給買方特快專遞一份由當?shù)孛耖g商會簽發(fā)事故證實書。在此情況下，賣方仍有責任采取一切必要方法加緊交貨。如事故延續(xù)天以上，買方有權(quán)撤消協(xié)議。

thesellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoforcemajeure，whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellershalladvisethebuyerimmediatelyoftheoccurrencementionedaboveandwithindaysthereafterthesellershallsendanoticebycouriertothebuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.undersuchcircumstancestheseller，however，arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.incasetheaccidentlastsformorethandaysthebuyershallhavetherighttocancelthecontract.

22.爭議處理(arbitration)：

凡因本協(xié)議引發(fā)或與本協(xié)議關于任何爭議應協(xié)商處理。若協(xié)商不成，應提交中國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會，按照申請時該會當初施行仲裁規(guī)則進行仲裁。仲裁裁決是終局，對雙方都有約束力。
